Financial regulation has traditionally been "hard": national legislatures and regulators (and sometimes international bodies) require certain kinds of behavior and forbid others, on pain of business sanctions, fines, or even criminal penalties. When a financial crisis happens, the usual after-the-fact response is more hard regulation-new laws, stricter regulations, and often entirely new regulatory agencies.That pattern goes back at least to the 1929 market crash that precipitated the Great Depression.

Central Clearing Of Financial Contracts: Theory And Regulatory Implications, Steven L. Schwarcz

To protect economic stability, post-crisis regulation requires financial institutions to clear and settle most of their derivatives contracts through central counterparties, such as clearinghouses associated with securities exchanges. This Article asks whether regulators should expand the central clearing requirement to non-derivative financial contracts, such as loan agreements. The Article begins by theorizing how and why central clearing can reduce systemic risk. It then examines the theory’s regulatory and economic efficiency implications, first for current requirements to centrally clear derivatives contracts and thereafter for deciding whether to extend those requirements to non-derivative contracts. เอกัตศึกษาฉบับนี้เป็นกรณีศึกษาการนำแนวทางการยื่นแบบรายงานข้อมูลของบริษัทนิติบุคคลที่มีความสัมพันธ์กันของแผนปฏิบัติการโครงการป้องกันการถูกกัดกร่อนฐานภาษีและการโอนกำไรไปต่างประเทศ แผนปฏิบัติการที่ 13 มาใช้กับการจัดเก็บภาษีสรรพสามิตโดยตรงเนื่องจากการไม่ยื่นแบบรายงานข้อมูลดังกล่าวทำให้เกิดช่องว่างในการจัดเก็บภาษีสรรพสามิต บริษัทที่มีหน้าที่เสียภาษีสรรพสามิตบางรายอาจใช้ช่องว่างกำหนดราคาโอนเพื่อเลี่ยงภาษีโดยเฉพาะอย่างยิ่งกรณีมีข้อสงสัยว่าอาจมีการโอนกำไรหรือสินทรัพย์บริษัทในเครือเดียวกัน จากการศึกษาพบว่าประเทศไทยมีการนำแนวทางการยื่นแบบรายงานข้อมูลของบริษัทนิติบุคคลที่มีความสัมพันธ์กันมาใช้กับการจัดเก็บภาษีเงินได้นิติบุคคลตามประมวลรัษฎากร มาตรา71 ทวิ และ 71 ตรี แต่ไม่ใช้บังคับกับนิติบุคคลที่มีความสัมพันธ์กันมีรายได้น้อยกว่าสองร้อยล้านอีกทั้งกรมสรรพสามิตยังไม่ได้นำแนวทางดังกล่าวมาปรับใช้โดยตรง จึงก่อให้เกิดช่องว่างในการจัดเก็บภาษีสรรพสามิตในประเทศไทย ทั้งนี้ ยังไม่มีประเทศใดที่นำแนวทางการยื่นแบบรายงานข้อมูลดังกล่าวมาใช้กับการจัดเก็บภาษีสรรพสามิตโดยตรงก็อาจเป็นช่องว่างให้กำหนดราคาโอนได้ แต่อย่างไรก็ตาม องค์กรเครือข่ายยุติธรรมทางภาษีได้เสนอให้นำแนวทางดังกล่าวมาปรับใช้ในการจัดเก็บภาษีสรรพสามิตด้วย ดังนั้น สำหรับประเทศไทย หากนำแนวทางการยื่นแบบรายงานข้อมูลตามประมวลรัษฎากรประกอบกับการกำหนดบุคคลตามกฎหมายศุลกากรมาปรับใช้กับการจัดเก็บภาษีสรรพสามิต ก็อาจลดปัญหาการเลี่ยงภาษีโดยการกำหนดราคาโอนที่เกิดขึ้นได้

การประกอบกิจการขายอสังหาริมทรัพย์เป็นทางค้าหรือหากําไร เป็นกิจการที่อยู่ภายใต้บังคับของภาษีธุรกิจเฉพาะ ซึ่งการขายอสังหาริมทรัพย์เป็นทางค้าหรือหากําไรที่มีลักษณะตามมาตรา91/2 (6) แห่งประมวลรัษฎากรประกอบกับมาตรา 4 แห่งพระราชกฤษฎีกา ออกตามความในประมวลรัษฎากร ว่าด้วยการขายอสังหาริมทรัพย์เป็นทางค้าหรือหากําไร (ฉบับที่ 342) พ.ศ. 2541จะต้องเสียภาษีธุรกิจเฉพาะในอัตราร้อยละ 3.3 ของรายรับก่อนหักรายจ่ายใด ๆ เฉพาะกรณีที่มีการจดทะเบียนสิทธิและนิติกรรมเกี่ยวกับอสังหาริมทรัพย์ต่อพนักงานเจ้าหน้าที่ ณ สํานักงานที่ดิน โดยความรับผิดในการเสียภาษีธุรกิจเฉพาะจะเกิดในขณะจดทะเบียนสิทธิและนิติกรรมดังกล่าว ซึ่งกรมที่ดินมีหน้าที่ในการจัดเก็บภาษีจากการขายอสังหาริมทรัพย์เป็นทางค้าหรือหากําไรแทนกรมสรรพากรจากการจัดเก็บภาษีธุรกิจเฉพาะข้างต้น จึงทําให้การประกอบกิจการขายอสังหาริมทรัพย์เป็น ทางค้าหรือหากําไรที่ไม่มีการจดทะเบียนสิทธิและนิติกรรมต่อพนักงานเจ้าหน้าที่ ณ สํานักงานที่ดินไม่อยู่ในบังคับต้องเสียภาษีธุรกิจเฉพาะ ยกตัวอย่างเช่น การตกลงยกสิ่งปลูกสร้างให้แก่เจ้าของที่ดินตามสัญญาต่างตอบแทนพิเศษยิ่งกว่าสัญญาเช่าธรรมดา การขายที่ดินตามหนังสือแจ้งการครอบครอง(ส.ค.1) การขายที่ดินโดยระบุในสัญญาซื้อขายว่าขายเฉพาะที่ดินหรือขายที่ดินเปล่าไม่รวมสิ่งปลูกสร้างและมีการขายสิ่งปลูกสร้างในภายหลัง หรือการขายหุ้นในบริษัทที่ถือครองอสังหาริมทรัพย์เป็นต้น เมื่อไม่สามารถจัดเก็บภาษีธุรกิจเฉพาะจากการขายอสังหาริมทรัพย์เป็นทางค้าหรือหากําไรได้ในทุกกรณี เพราะการให้ความสําคัญกับรูปแบบทางทะเบียน จึงทําให้เกิดการจัดเก็บภาษีที่ไม่เป็นธรรม ทําให้เกิดช่องว่างในการหลบหลีกหรือเลี่ยงภาษี และทําให้รัฐสูญเสียรายได้ จึงไม่ควรกําหนดความรับผิดในการเสียภาษีธุรกิจเฉพาะไว้กับการจดทะเบียนสิทธิและนิติกรรม เพื่อให้การจัดเก็บภาษีธุรกิจเฉพาะจากกขายอสังหาริมทรัพย์เป็นทางค้าหรือหากําไรได้ครอบคลุมในทุกกรณี

รายงานเอกัตศึกษาฉบับนี้ มีวัตถุประสงค์ในการศึกษาแนวทางในการกำหนดหลักเกณฑ์การพิจารณามูลค่าของสิทธิประโยชน์เนื่องจากการจ้างแรงงาน กรณีประโยชน์เกื้อกูล ซึ่งประเทศไทยยังไม่มีหลักเกณฑ์ในการพิจารณา เนื่องจาก "เงินได้พีงประเมิน" ตาม มาตรา 39 แห่งประมวลรัษฎากรหมายความรวมถึง ประโยชน์อย่างอื่นที่ได้รับซึ่งอาจคิดคำนวณได้เป็นเงิน ดังนั้น ในกรณีที่ได้รับ "ประโยชน์ใดๆ บรรดาที่ได้เนื่องจากการจ้างแรงงาน" ตาม มาตรา 40 (1) แห่งประมวลรัษฎากร อันถือเป็นเงินได้พึงประเมินได้นั้น ประโยชน์ดังกล่าวจะต้องคิดคำนวณเป็นเงินได้ ผลการศึกษาพบว่า สหราชอาณาจักรมีการกำหนดนิยามความหมายและข้อยกเว้นต่างๆ เกี่ยวกับประโยชน์เนื่องจากการจ้างแรงงานไว้อย่างชัดแจ้งใน Income Tax (Earning and Pensions) Act 2003 และมีการกำหนดหลักเกณฑ์ในการพิจารณามูลค่าเพื่อวัตถุประสงค์ในการจัดเก็บภาษี รายงานเอกัตศึกษาฉบับนี้ จึงจัดทำขึ้นเพื่อประโยชน์ในการพัฒนาหลักเกณฑ์การกำหนดขอบเขตและการพิจารณามูลค่าของสิทธิประโยชน์เนื่องจากการจ้างแรงงาน ตาม มาตรา 40 (1) ให้สอดคล้องกับความหมายของเงินได้พึงประเมิน ตาม มาตรา 39 แห่งประมวลรัษฎากร

Conceptualizing The Regulation Of Virtual Currencies And Providers: Friction Points In State And Federal Approaches To Regulating Providers Of Payments Execution And Custody Services And Products In The United States, Sarah J. Hughes

This essay evaluates the state of regulation by the United States government and State legislatures of participants in emerging virtual-currency businesses. It points to friction points as both the federal government and the States experiment with their own regulatory authority over virtual-currency businesses and provides a taxonomy of differing approaches to regulating such businesses. The essay takes the position that the States need to act in the near term if they wish to maintain their longstanding role as regulators of non-depository providers of financial products and services—or they risk being preempted by Congress or federal regulatory actions. The Sukuk markets, including the Saudi Arabian market, involve a variety of risks, the most important of which are credit and bankruptcy risks. This relatively new industry should be responsible for protecting the interests of potential Sukuk holders, whether individuals, financial institutions or banks, from credit and bankruptcy risks in order to maintain the reputation of these Islamic investment financial instruments and to increase their pace of growth. Activist Directors And Agency Costs: What Happens When An Activist Director Goes On The Board, John C. Coffee Jr., Robert J. Jackson Jr., Joshua R. Mitts, Robert E. Bishop

We develop and apply a new and more rigorous methodology by which to measure and understand both informed trading and the agency costs of hedge fund activism. We use quantitative data to show a systematic relationship between the appointment of a hedge fund-nominated director to a corporate board and an increase in informed trading in that corporation's stock (with the relationship being most pronounced when the fund's slate of directors includes a hedge fund employee). This finding is important from two different perspectives. First, from a governance perspective, activist hedge funds represent a new and potent force in corporate governance. …
