Regulating From The Ground Up: Controlling Financial Institutions With Bank Workers’ Unions, Emma Cusumano

In the Wells Fargo accounts scandal, millions of banking accounts were created for customers without their consent. The scandal cost Wells Fargo customers millions of dollars in direct and indirect charges. Investigations revealed that employees were pressured into creating these false accounts through abusive banking practices promulgated from the top. These practices are not unique to Wells Fargo; instead, they are ubiquitous in the financial services industry.

Current financial regulations do not adequately address how to mitigate banks’ harmful practices. This comment explores the premise that bank worker unionization could serve as a much-needed check on the power of financial …

This Article addresses a pervasive and growing problem for returning citizens – high rates of economic insecurity – and as a novel solution, proposes the creation of Economic Justice Incubators a new municipally led social enterprise strategy.

Mass incarceration is a national problem and requires comprehensive criminal justice reform. In contrast, the process of reentry is locally focused thanks to a complex web of collateral consequences. National security is a pillar of international law. As long as sovereign states exert power within the international legal regime, national security will be an exception to international law. These security concerns also come to light in the international investment legal regime. The international investment legal regime provides for essential security exceptions, aiming at protecting host states' interests. This practice has been honored by international investment treaties and international investment tribunals. ประมวลกฎหมายรัษฎากร มาตรา 57 ฉ ได้กำหนดให้คู่สมรสมีสิทธิที่จะเลือกยื่นภาษีแยกต่างหากจากกันหรือยื่นภาษีร่วมกันได้ เพื่อให้คู่สมรสเลือกวิธีการยื่นในทางที่เป็นประโยชน์แก่ตนมากที่สุดแต่หากเป็นกรณีที่คู่สมรสเลือกยื่นภาษีร่วมกัน คู่สมรสจะต้องร่วมรับผิดในหนี้ภาษีอากรค้างชำระที่เกิดขึ้นจากการยื่นภาษีร่วมกันโดยสิ้นเชิง (Strict Liability) ทั้งนี้ เมื่อคู่สมรสต้องรับผิดร่วมกันในหนี้ภาษีอากรค้างชำระที่เกิดขึ้นอย่างลูกหนี้ร่วมทำให้เกิด ความไม่เป็นธรรมต่อคู่สมรสที่ไม่ได้มีส่วนเกี่ยวข้องกับการทำให้เกิดภาษีค้างชำระนั้นและส่งผลให้คู่สมรสต้องร่วมรับผิดในเบี้ยปรับหรือเงินเพิ่มที่เกิดขึ้น อีกทั้ง การร่วมยื่นภาษีเงินได้ร่วมกันยังทำให้คู่สมรสอาจตกเป็นผู้กระทำความผิดร่วมกันในความผิดอาญาในทางภาษีได้ สร้างความไม่ชัดเจนว่าคู่สมรสจะถือว่ามีการกระทำความผิดร่วมกันหรือไม่ เนื่องจากมีการลงลายมือชื่อร่วมกันซึ่งอาจถือได้ว่ามีการกระทำร่วมกัน ดังนั้น ผู้เขียนจึงเสนอแนะให้มีการแก้ไขเพิ่มเติมประมวลรัษฎากรให้เปิดโอกาสให้คู่สมรสสามารถขอบรรเทาความรับผิดทางแพ่งได้ในกรณีที่ตนไม่ได้มีส่วนเกี่ยวข้องกับการทำให้เกิดภาษีค้างชำระ และบทบัญญัติเกี่ยวกับความรับผิดทางอาญาของคู่สมรสว่าจะต้องถือว่าคู่สมรสที่ยื่นภาษีร่วมกันไม่มีส่วน

เอกัตศึกษาฉบับนี้มุ่งเน้นศึกษาลักษณะพฤติการณ์ประวิงคดีของลูกหนี้ และปัจจัยที่มีผลต่อการประวิงคดี ของลูกหนี้ในกระบวนการด าเนินคดีล้มละลายภายหลังศาลมีค าสั่งพิทักษ์ทรัพย์เด็ดขาดลูกหนี้ของธนาคาร เพื่อการส่งออกและนำเข้าแห่งประเทศไทยเนื่องจากปัญหาความล่าช้าในการดำเนินคดีล้มละลายกับลูกหนี้ของธนาคารเพื่อการส่งออกและนำเข้าแห่งประเทศไทย สาเหตุหนึ่งเกิดจากการที่ลูกหนี้ประวิงคดีมิให้เจ้าหนี้ได้รับชำระหนี้ด้วยการยื่นคำขอประนอมหนี้หรือแก้ไขค าขอประนอมหนี้เป็นจำนวนเพิ่มขึ้นเล็กน้อยและลูกหนี้คาดหมายได้ว่าเจ้าหนี้ไม่อาจยอมรับคำขอประนอมหนี้เช่นนั้นได้ในขณะที่พระราชบัญญัติล้มละลาย พุทธศักราช 2483 ไม่ได้มีบทบัญญัติกำหนด จำนวนเงินขั้นต่ำที่ลูกหนี้จะขอประนอมหนี้ได้ทำให้บรรดาเจ้าหนี้จำต้องขอเลื่อนการประชุมเจ้าหนี้ออกไปเพื่อพิจารณาคำขอประนอมหนี้และในที่สุด ที่ประชุมเจ้าหนี้ไม่ยอมรับคำขอประนอมหนี้ฉบับดังกล่าวส่งผลให้ธนาคารต้องเสียทรัพยากรในด้านเวลาการทำงานของพนักงาน รวมทั้งค่าใช้จ่ายและค่าทนายความโดยที่ธนาคารเพื่อการส่งออกและนำเข้าแห่งประเทศไทยไม่ได้รับชำระหนี้จากลูกหนี้แต่อย่างใด ผู้เขียนจึงนำเสนอแนวทางที่เหมาะสมในการป้องกันมิให้ลูกหนี้ประวิงมิให้เจ้าหนี้ได้รับชำระหนี้ในการ ดำเนินคดีล้มละลายภายหลังศาลมีค าสั่งพิทักษ์ทรัพย์เด็ดขาดลูกหนี้ของธนาคารเพื่อการส่งออกและนำเข้า แห่งประเทศไทย

เอกัตศึกษานี้มีวัตถุประสงค์ที่จะศึกษาพระราชบัญญัติภาษีการรับมรดก พ.ศ.2558 โดยมุ่งเน้นไปที่หลักเกณฑ์การจัดเก็บภาษีการรับมรดกว่าบรรลุผลสัมฤทธิ์ตามวัตถุประสงค์ในการจัดเก็บภาษีการรับมรดกเมื่อพิจารณาภายใต้หลักเกณฑ์ตามพระราชบัญญัติหลักเกณฑ์การจัดทําร่างกฎหมายและการประเมินผลสัมฤทธิ์ของกฎหมาย พ.ศ. 2562 หรือไม่ โดยศึกษาถึงวัตถุประสงค์และปัญหาที่เกิดขึ้นจากการจัดเก็บภาษีการรับมรดกเพื่อทําการประเมินผลสัมฤทธิ์ของกฎหมายซึ่งเป็นการวิเคราะห์ผลที่เกิดขึ้นจากการบังคับใช้กฎหมายภาษีการรับมรดกว่าได้ผลตรงตามวัตถุประสงค์ของการตรากฎหมายนั้นมากน้อยเพียงใด คุ้มค่ากับภาระที่เกิดขึ้นแก่รัฐและประชาชนหรือไม่ หรือมีผลกระทบอื่นอันก่อให้เกิดความไม่เป็นธรรมแก่ประชาชนหรือไม่ เพียงใด ผลการศึกษาพบว่าจากข้อมูลการวิเคราะห์การจัดเก็บภาษีการรับมรดกภายใต้หลักเกณฑ์ตามพระราชบัญญัติหลักเกณฑ์การจัดทําร่างกฎหมายและการประเมินผลสัมฤทธิ์ของกฎหมายพ.ศ. 2562 พบว่ากฎหมายภาษีการรับมรดกในปัจจุบันยังไม่สัมฤทธิ์ผลด้วยเหตุผลหลายประการเช่นปัญหามูลค่าทรัพย์สินที่เป็นฐานภาษีในการจัดเก็บภาษีการรับมรดก ดังนั้นสมควรทําการปรับปรุงแก้ไขปัญหาในการจัดเก็บภาษีการรับมรดกให้เหมาะสมหรือมีประสิทธิภาพมากยิ่งขึ้นซึ่งถือเป็นทางเลือกที่ดีที่สุดและคุ้มค่ามากที่สุดในการบรรลุวัตถุประสงค์ตามบรรทัดฐานที่กฎหมายกําหนด อาทิความจําเป็นของกฎหมาย ความสอดคล้องกับสภาพการณ์และการลดความเหลื่อมลํ้าในสังคม เป็นต้น

ภาษีอากรเป็นค่าใช้จ่ายของกิจการอย่างหนึ่ง ผู้ประกอบธุรกิจจึงพยายามหาวิธีการเพื่อให้กิจการของตนเสียภาษีอากรน้อยที่สุดหรือไม่จําต้องเสียภาษีอากรเลยการเลือกใช้อนุสัญญาภาษีโดยมิชอบ เป็นวิธีการที่ถูกใช้เพื่อลดค่าใช้จ่ายทางภาษีส่งผลให้นานาประเทศสูญเสียรายได้จากการจัดเก็บภาษีที่รัฐควรจะได้รับมหาศาล โดยประเทศสหรัฐอเมริกาเป็นประเทศแรกที่เริ่มสนใจปัญหาการเลือกใช้อนุสัญญาภาษีซ้อนโดยมิชอบ และหามาตรการเพื่อจัดการปัญหาดังกล่าว ซึ่งหลักจํากัดสิทธิประโยชน์เป็นมาตรการที่ประเทศสหรัฐอเมริกาเลือกใช้มาเป็นระยะเวลายาวนาน และเชื่อว่าสามารถจัดการกับปัญหาการเลือกใช้อนุสัญญาภาษีโดยมิชอบได้อย่างมีประสิทธิภาพ โดยวัตถุประสงค์ของหลักจํากัดสิทธิประโยชน์มีขึ้นเพื่อรับมือกับธุรกรรมบางประเภท อันเป็นมาตรการเฉพาะว่าด้วยการต่อต้านการหลีกเลี่ยงภาษีอากร ทําให้หลักจํากัดสิทธิประโยชน์มีความชัดเจน แน่นอน จัดเก็บภาษีได้อย่างเต็มเม็ดเต็มหน่วย และมีประสิทธิภาพในการป้องกันการวางแผนภาษีที่เกิดขึ้นใหม่ได้เป็นอย่างดี จากการศึกษาพบว่าหลักการจํากัดสิทธิประโยชน์เป็นหลักการที่ประเทศไทยสมควรรับมาเป็นบทบัญญัติหนึ่งในอนุสัญญาภาษีซ้อน ด้วยเหตุนี้จึงจําเป็นต้องศึกษาถึงหลักเกณฑ์และแนวทางการบังคับใช้รวมถึงความมีประสิทธิภาพจากการบังคับใช้เพื่อเป็นแนวทางในการนําหลักการจํากัดสิทธิประโยชน์มาปรับใช้ในประเทศไทยต่อไปอย่างมีประสิทธิภาพ

As tensions between investors’ rights and sovereign power escalate, investor-state dispute settlement has become a focal point of backlash and controversy. As a result, ISDS now embodies two opposing currents in international law: (i) the erosion of sovereignty that accompanied economic globalization, trade frameworks, and investment treaties following the Second World War and (ii) more recently, reassertions of sovereignty prompted by recent backlashes against the global economic order. This Article measures and evaluates outcomes of the ISDS system for sovereign participants. Retail investors are increasingly demanding responsible investments as part of their portfolios. Retail investors also, generally, require the services of an advisor. This article argues that traditional mutual funds, while structurally able to provide responsible investments, have not provided responsible holdings to their mass affluent retail investing clientele. While institutional investors, and certain very wealthy retail investors, have a multitude of options to avail themselves of responsible investments, mass affluent retail investors have less of an ability to invest responsibly. Whether in response to roboadvising, artificial intelligence, or crypto-currencies like Bitcoin, regulators around the world have made it a top policy priority to supervise the exponential growth of financial technology (or "fintech") in the post-Crisis era. However, applying traditional regulatory strategies to new technological ecosystems has proven conceptually difficult. Part of the challenge lies in the tradeoffs involved in regulating innovations that could conceivably both help and hurt consumers and market participants alike. Problems also arise from the common assumption that today's fintech is a mere continuation of the story of innovation that has shaped finance for centuries.

This Article deploys the sociological theory of social license, or the acceptance of a business or organization by the relevant communities and stakeholders, in the context of the board of directors and corporate governance. Corporations are generally treated as “private” actors and thus are regulated by “private” corporate law. This construct allows for considerable latitude. Corporate actors are not, however, solely “private.” They are the beneficiaries of economic and political power, and the decisions they make have impacts that extend well beyond the boundaries of the entities they represent.

“Lending of last resort” is one of the key powers of central banks. As a lender of last resort, the Federal Reserve (the “Fed”) famously supports commercial banks facing distressed liquidity conditions, thereby mitigating destabilizing bank runs. Less famously, lender-of-last-resort powers also influence the distribution of credit among different groups in society and therefore have high stakes for economic inequality. The Fed’s role as a lender of last resort witnessed an unprecedented expansion during the 2007–2009 Crisis when the Fed invoked emergency powers to lend to a new set of borrowers known as “shadow banks”. Mandatory disclosure—the idea that companies must be legally required to disclose certain, specified information to public investors—is the first principle of modern securities law. Despite the high costs it imposes, mandatory disclosure has been well defended by legal scholars on two theoretical grounds: ‘Agency costs’ and ‘information underproduction.’ While these two concepts are a good fit for secondary markets (where investors trade securities with one another), this Article shows that they are largely irrelevant in the context of primary markets (where companies offer securities directly to investors). Bitcoin replicates many of the formal aspects of real estate transactions. Bitcoin transactions have features that closely resemble grantor names, grantee names, legal descriptions, and signatures found in real property deeds. While these “Bitcoin deeds” may be interesting, they are not profound. Bitcoin goes beyond creating simple digital deeds, however, and replicates important institutional aspects of real estate transactions, in particular recordation and title assurance. Deeds to real property are recorded in a central repository (e.g., the public records office), which the parties (and the public) can search to determine title. Price And Prejudice: An Empirical Test Of Financial Incentives, Altruism, And Racial Bias, Kristen Underhill

Many argue that paying people for good behavior can crowd out beneficial motivations like altruism. But little is known about how financial incentives interact with harmful motivations like racial bias. Two randomized vignette studies test how financial incentives affect bias. The first experiment varies the race of a hypothetical patient in need of a kidney transplant (black or white), an incentive ($18,500 or none), and addition of a message appealing to altruism. Incentives encouraged donation but introduced a significant bias favoring white patients. The second experiment assesses willingness to donate to a patient (black or white) without an incentive and …

Money may not corrupt. But should we worry if it corrodes? Legal scholars in a range of fields have expressed concern about “motivational crowding-out,” a process by which offering financial rewards for good behavior may undermine laudable social motivations, like professionalism or civic duty. Disquiet about the motivational impacts of incentives has now extended to health law, employment law, tax, torts, contracts, criminal law, property, and beyond. In some cases, the fear of crowding-out has inspired concrete opposition to innovative policies that marshal incentives to change individual behavior. This chapter explores the application of fiduciary duties to regulated financial firms and financial services. At first blush, the need for such a chapter might strike some as surprising in that fiduciary duties and systems of financial regulation can be conceptualized as governing distinctive and nonoverlapping spheres: fiduciary duties police private activity through open-ended, judicially defined standards imposed on an ex post basis, whereas financial regulations set largely mandatory, ex ante obligations for regulated entities under supervisory systems established in legislation and implemented through expert administrative agencies. This article considers the relative advantages of alternative enterprise forms in finance from the point of view of public accountability. The business corporation is compared to the state agency or authority, the cooperative, the state corporation, and the charitable nonprofit. These forms can be distinguished according to whether they aspire to enhance general electoral democracy or stakeholder democracy and whether their democratic controls operate directly or indirectly. The article suggests that the indirect democratic forms may be more promising than the direct ones.
