In March 2022, the Securities and Exchange Commission released proposed rules for special purpose acquisition companies (SPACs), shell companies, and projections. In this comment letter, filed with the SEC, I provide a critical assessment of this proposal.

The SEC proposed far-reaching changes intended to enhance investor protections and align disclosure and liability rules in de-SPACs more closely with those in traditional IPOs. An under-appreciated feature of the proposed reforms is that they would subject de-SPACs to provisions closely modeled on Rule 13e-3 of the Exchange Act, which applies to going-private transactions, including management buyouts. The Federal Reserve (“the Fed”) can remove bankers from office if they violate the law, engage in unsafe or unsound practices, or breach their fiduciary duties. The Fed, however, has used this power so rarely that few even realize it exists. Although major U.S. banks have admitted to repeated and flagrant lawbreaking in recent years, the Fed has never removed a senior executive from one of these institutions.

เอกัตศึกษาฉบับนี้มีวัตถุประสงค์ที่จะมุ่งศึกษาเรื่องข้อจำกัดและการกำกับดูแลการลงทุนแห่งพระราชบัญญัติสมาคมการค้า พ.ศ. 2509 โดยวิเคราะห์เกี่ยวกับข้อจำกัดของสมาคมการค้าที่ปัจจุบันอนุญาตให้ถือได้เฉพาะตราสารหนี้และหุ้นของบริษัทที่จดทะเบียนในตลาดหลักทรัพย์ที่มีผู้บริจาคหรือมอบให้ พร้อมทั้งวิเคราะห์ถึงการกำกับดูแลการลงทุนของสมาคมการค้า และ ข้อเสนอแนะเพื่อเป็นแนวทางในการแก้ปัญหาหากมีการปรับปรุงบทบัญญัติในข้อจำกัดการลงทุนของสมาคมการค้าตามมาตรา 22(1) วิธีการวิจัยในเอกัตศึกษาฉบับนี้ดำเนินการวิจัยจากเอกสาร ศึกษาค้นคว้า และวิเคราะห์เกี่ยวหลักกฎหมายที่เกี่ยวข้องกับสมาคมการค้า ตลอดจน รวบรวมข้อเท็จจริง ศึกษาเปรียบเทียบกฎหมายต่างประเทศเกี่ยวกับการลงทุนของสมาคมการค้ารวมทั้งการขอคำปรึกษาและนำจากอาจารย์ เพื่อการวิเคราะห์และศึกษาทำความเข้าใจในประเด็นต่างๆ อย่างเป็นระบบ พร้อมทั้งเสนอความคิดเห็นและหาข้อสรุปของการศึกษาต่อไป การศึกษานี้พบว่าบทบัญญัติในเรื่องการลงทุนของพระราชบัญญัติสมาคมการค้า พ.ศ. 2509 แสดงให้เห็นถึงความไม่สอดคล้องกับสภาพการณ์ปัจจุบันในเรื่องการพัฒนาการค้า และไม่ทันต่อกันการเปลี่ยนแปลงที่เกิดขึ้น เอกัตศึกษาฉบับนี้จึงเสนอให้แก้ไขบทบัญญัติของพระราชบัญญัติสมาคมการค้า พ.ศ. 2509 ตามมาตรา 22(1) เพื่อให้สมาคมการค้ามีทางเลือกในการบริหารจัดการสินทรัพย์ของตนเองมากขึ้น โดยพิจารณาเลือกลงทุนในความเสี่ยงที่ต่ำ และยังเป็นไปตามวัตถุประสงค์ของสมาคมการค้าที่จัดตั้งขึ้นเพื่อทำการส่งเสริมการประกอบวิสาหกิจอันมิใช่เป็นการหาผลกำไรหรือรายได้แบ่งปันกัน โดยดำเนินกิจการสนับสนุนสมาชิกในสมาคมการค้าให้เป็นไปตามวัตถุประสงค์เท่านั้น พร้อมกับวิเคราะห์แนวทางการกำกับดูแลการลงทุนของสมาคมการค้า

ปัญหาและผลกระทบที่เกิดจากการกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลตามพระราชกำหนดการประกอบธุรกิจสินทรัพย์ดิจิทัล พ.ศ. 2561นั้น จัดว่าเป็นปัญหาที่สำคัญมากปัญหาหนึ่งของประเทศ เพราะนอกจากจะก่อให้เกิดความเสียหายแก่นักลงทุนในตลาดสินทรัพย์ดิจิทัลแล้ว ยังกระทบกระเทือนต่อเสถียรภาพและความมั่นคงของตลาดสินทรัพย์ดิจิทัลอีกด้วย และด้วยเหตุที่การกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลเป็นอาชญากรรมทางเศรษฐกิจที่ให้ผลตอบแทนสูง จึงทำให้ในปัจจุบันมีกลุ่มอาชญากรที่เข้ามาแสวงหาผลประโยชน์จากการกระทำดังกล่าวในตลาดสินทรัพย์ดิจิทัลเป็นจำนวนมาก และปัญหาที่ตามมาคือผู้กระทำความผิดจะนํารายได้ที่ได้จากการกระทำความผิดนั้นไปทำการฟอกเงินเพื่อนําเงินดังกล่าวกลับเข้าสู่ระบบการเงินปกติ อีกทั้งยังนํามาใช้เป็นทุนในการประกอบความผิดต่อไปอย่างไม่สิ้นสุด อย่างไรก็ตามในปัจจุบันยังไม่มีกฎหมายฉบับใดสามารถบังคับใช้เพื่อป้องกันและปราบปรามการกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลอย่างมีประสิทธิภาพ ด้วยเหตุนี้เองจึงจําเป็นต้องหามาตรการในการป้องกันและปราบปรามการกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลที่มีประสิทธิภาพเพื่อมาบังคับใช้ ได้แก่ พระราชบัญญัติป้องกันและปราบปรามการฟอกเงิน พ.ศ. 2542 เนื่องจากเป็นกฎหมายที่มีบทลงโทษทางอาญาที่รุนแรงและข้อสำคัญคือมีมาตรการริบทรัพย์สินที่มีประสิทธิภาพ ซึ่งจะทำให้สามารถลดจำนวนผู้กระทำความผิด รวมถึงสกัดกั้นการฟอกเงินจากการกระทำความผิดที่กล่าวมาได้ จึงควรกําหนดให้การกระทำอันไม่เป็นธรรมเกี่ยวกับการซื้อขายสินทรัพย์ดิจิทัลเป็นความผิดมูลฐานตามพระราชบัญญัติป้องกันและปราบปรามการฟอกเงิน พ.ศ. 2542 เพื่อที่จะนํามาตรการทางกฎหมายจากพระราชบัญญัติดังกล่าวมาใช้ในการแก้ไขปัญหาได้

ภาษีมูลค่าเพิ่มเป็นภาษีสำคัญที่สร้างรายได้มหาศาลให้กับประเทศไทยโดยมุ่งจัดเก็บจากมูลค่าที่เพิ่มขึ้นจากการขายสินค้าและการให้บริการของผู้ประกอบการในระบบเศรษฐกิจ ด้วยเหตุที่การจัดเก็บภาษีมีลักษณะเป็นการกระทบสิทธิในทรัพย์สินของประชาชนโดยตรง การปรับใช้หรือตีความกฎหมายของหน่วยงานที่เกี่ยวข้องจึงต้องเป็นไปอย่างเคร่งครัดตามหลักเกณฑ์ที่กฎหมายกำหนดเอาไว้ อย่างไรก็ดี ในหนังสือตอบข้อหารือของกรมสรรพากรเลขที่ 0702/8757 ลงวันที่ 29 กันยายน 2558 ซึ่งเป็นการตอบข้อหารือในประเด็นปัญหาการจัดเก็บภาษีมูลค่าเพิ่มจากค่าป่วยการที่อนุญาโตตุลาการได้รับจากการปฏิบัติหน้าที่นั้น ปรากฏว่ากรมสรรพากรกลับไม่ได้พิจารณาว่าอนุญาโตตุลาการเป็นผู้ประกอบการในทางธุรกิจหรือในทางวิชาชีพหรือไม่แต่อย่างใด ทั้งที่หลักเกณฑ์ดังกล่าวเป็นหลักเกณฑ์สำคัญที่บัญญัติเอาไว้ในประมวลรัษฎากร จากการศึกษาหลักเกณฑ์ตามประมวลรัษฎากรตลอดจนหลักการของกฎหมายภาษีมูลค่าเพิ่มโดยเปรียบเทียบกับกรณีการจัดเก็บภาษีมูลค่าเพิ่มจากค่าป่วยการของอนุญาโตตุลาการในราชอาณาจักรเดนมาร์กและสมาพันธรัฐสวิสพบว่าประเทศไทยยังมีการตีความและปรับใช้หลักเกณฑ์การจัดเก็บภาษีมูลค่าเพิ่มจากค่าป่วยการที่อนุญาโตตุลาการได้รับจากการปฏิบัติหน้าที่ที่ไม่สอดคล้องกับบทบัญญัติของประมวลรัษฎากรตลอดจนลักษณะการปฏิบัติหน้าที่ของอนุญาโตตุลาการ ผู้เขียนจึงได้เสนอแนวทางแก้ไขปัญหาการตีความการจัดเก็บภาษีมูลค่าเพิ่มจากค่าป่วยการดังกล่าวเพื่อให้เกิดประสิทธิภาพสอดคล้องกับลักษณะการปฏิบัติหน้าที่ของอนุญาโตตุลาการ ทั้งยังเพื่อเป็นการสร้างความแน่นอนในการจัดเก็บภาษีของประเทศไทยให้เป็นที่ประจักษ์และเป็นที่ยอมรับจากนักลงทุนทั้งภายในและภายนอกประเทศต่อไปด้วย

A number of technological and political forces have transformed the once staid and insider dominated notice-and-comment process into a forum for large scale, sometimes messy, participation in regulatory decisionmaking. It is not unheard of for agencies to receive millions of comments on rulemakings; often these comments are received as part of organized mass comment campaigns. In some rulemakings, questions have been raised about whether public comments were submitted under false names, or were automatically generated by computer “bot” programs. As part of federal and state relief programs created during the COVID-19 pandemic, many American households received pauses on their largest debts, particularly on mortgages and student loans. Others may have come to agreements with their lenders, likewise pausing or altering payment on other debts, such as auto loans and credit cards. This relief allowed households to allocate their savings and income to necessary expenses, like groceries, utilities, and medicine. But forbearance does not equal forgiveness. Social media platforms are becoming an increasingly important site for consumer finance. This phenomenon is referred to as “FinTok,” a reference to the “#fintok” hashtag that identifies financial content on TikTok, a popular social media platform. This Essay examines the new methodological possibilities for consumer financial regulation due to FinTok. It argues that FinTok content offers a novel and valuable source of data for identifying emerging fintech trends and associated consumer risks. As such, financial regulators should use FinTok content analysis—and social media content analysis more broadly—as an additional method for the supervision and regulation of consumer financial markets. Algorithmic credit pricing threatens to discriminate against protected groups. Traditionally, fair lending law has addressed such threats by scrutinizing inputs. But input scrutiny has become a fallacy in the world of algorithms.

Using a rich dataset of mortgages, I simulate algorithmic credit pricing and demonstrate that input scrutiny fails to address discrimination concerns and threatens to create an algorithmic myth of colorblindness. The ubiquity of correlations in big data combined with the flexibility and complexity of machine learning means that one cannot rule out the consideration of protected characteristics, such as race, even when one formally excludes them. In the spring of 2009, the United States was mired in the greatest recession it had faced since the Great Depression. In March, the Dow Jones Industrial Average had fallen to 6,594.44, a total decline of 53.4 percent from its peak in the fall of 2007. The official unemployment rate was over 9 percent and still trending upward, eventually exceeding 10 percent. The Varsity Blues investigation uncovered a seamy side of university admissions. Multiple wealthy parents were indicted for securing their children s admission to selective institutions through bribery. Despite the publicity the indictments and guilty pleas received, and the public schadenfreude over the sight of celebrities being arrested, the investigation is most notable for what it did not do: it did not deploy the federal government's arsenal of anti-money laundering and anti-corruption tools against the universities involved. After the 2008 financial crisis, Congress, courts, and international banking agencies alike determined that their current banking infrastructures were inadequate to prevent such crises in the future. The Dodd-Frank Wall Street Reform Acttried to solve the problem by reducing derivatives-related risk through legislative provisions that increased capital and liquidity requirements for all banks. Yet, banks continued to find means to subvert the system and Congress remained relatively silent on the issue after the passage of Dodd-Frank—failing to amend Dodd-Frank in any meaningful way. William Nelson was deputy director, Division of Monetary Affairs, at the Federal Reserve Board during the Global Financial Crisis of 2007–09 (GFC). As the nation’s central bank, chief financial regulator, and lender of last resort, the Federal Reserve Board took the lead in setting monetary policy and stabilizing the financial system during the crisis.

Nelson’s responsibilities at the Fed during the crisis included analysis of monetary policy and discount window policy as well as financial institution supervision, and he regularly briefed the board and the Federal Open Market Committee. Successful modern diplomacy and private sector engagements require being physically present. Based on the experience of the authors in diplomacy and corporate government affairs, this article argues that the trust that forms the basis of effective diplomacy and corporate engagement with the communities in which they operate is established best through direct physical interaction. With examples from Latin America and the Caribbean, the article explores how both diplomacy and corporate government affairs have evolved into a model of being present that emphasizes seeking to empower local populations.
