The investment funds sector has always been a major player in the financial industry globally. As such, many countries with mature financial markets have enacted regulations to govern the activity and management of investment funds. The U.S. Securities and Exchange Commission (SEC) enacted the Investment Company Act of 1940(the Act) as an effort to restore investor confidence in investment funds and safeguard investors from future abuses after the market crash in 1929. A creditor who asks for stronger enforcement rights upon its debtor’s default will rationally accept a lower interest rate reflecting the greater expected recovery the exercise of those rights provides. Over a dozen studies, however, have failed to document this basic relationship in the context of the collective action clause, a key provision in sovereign bonds. We conjecture that this failure is because enforcing the rights in question requires collective decision-making among anonymous creditors with different interests, impeding market predictions regarding future price effects. Cryptocurrencies are electronically generated and stored currencies by which users can trade either real or virtual objects with one another. As these digital assets gain popularity, the issue of how to regulate them becomes more pressing. Cryptocurrencies are attractive due in part to their decentralized, peer-to-peer structure. New York State bank regulator urged banks to manage
the “reputation risk” posed by doing business with the
National Rifle Association (a gun rights advocacy
group). As part of Operation Choke Point, a federal
regulator told banks to end relationships with payday
lenders because those activities posed “reputation risk.”
Another federal regulator warns banks their reputations
might be damaged by lending to oil and gas companies
that are perceived to cause environmental harm.

รายงานเอกัตศึกษาเล่นนี้ มีวัตถุประสงค์ เพื่อศึกษาหาแนวทางในแก้ปัญหาความขัดหรือแย้งของพระราชบัญญัติจัดตั้งศาลภาษีอากรและวิธีพิจารณาคดีภาษีอากร พ.ศ.2528 มาตรา 7(1) ประกอบมาตรา 8 กับพระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562, พระราชบัญญัติภาษีสรรพสามิตพ.ศ. 2560, พระราชบัญญัติกรมศุลกากร พ.ศ.2560 และพระราชบัญญัติภาษีการรับมรดก พ.ศ.2558 ในคดีอุทธรณ์คำวินิจฉัยของเจ้าพนักงานหรือคณะกรรมการตามกฎหมายเกี่ยวกับภาษีอากรโดยเทียบเคียงกับพระราชบัญญัติจัดตั้งศาลปกครองและวิธีพิจารณาคดีปกครอง พ.ศ. 2542 และพระราชบัญญัติวิธีปฏิบัติราชการทางปกครอง พ.ศ. 2539 โดยวิธีการศึกษาวิจัยทางเอกสารในการค้นคว้าและรวบรวมข้อมูลวิเคราะห์จากบทบัญญัติตามพระราชบัญญัติ คำพิพากษาของศาลหนังสือกฎหมาย ตลอดจนเอกสารอื่นๆ ที่เกี่ยวข้องในเรื่องดังกล่าว จากการศึกษาพบว่า ขั้นตอนในการดำเนินการต่างๆ เกี่ยวกับประเมินภาษีอากรและการคัดค้านหรืออุทธรณ์การประเมินภาษีอากร เป็นกระบวนการพิจารณาทางปกครองทั้งสิ้น และกฎหมายภาษีอากรที่ได้มีการปรับปรุง แก้ไขฉบับใหม่มีการให้สิทธิผู้อุทธรณ์สามารถฟ้องคดีต่อศาลภาษีอากรได้ ถึงแม้ว่าคณะกรรมการพิจารณาอุทธรณ์ยังไม่มีคำวินิจฉัยก็ตาม ซึ่งคล้ายคลึงกับเงื่อนไขในการฟ้องคดีทางปกครอง แต่ในปัจจุบันสิทธิตามกฎหมายภาษีอากรดังกล่าวยังไม่สามารถกระทำได้อย่างเต็มที่เนื่องจากเงื่อนขในการฟ้องคดีต่อศาลภาษีอากรต้องมีคำวินิจฉัยของคณะกรรมการพิจารณาอุทธรณ์ก่อน ด้วยเหตุนี้ จึงควรปรับปรุง แก้ไข เงื่อนไขในการฟ้องคดีตามมาตรา 7(1) ประกอบมาตรา 8 แห่งพระราชบัญญัติจัดตั้งศาลภาษีอากรและวิธีพิจารณาคดีภาษีอากร พ.ศ.2528 ให้คล้ายคลึงกับหลักเกณฑ์ของกฎหมายปกครอง เพื่อทำให้สิทธิในการฟ้องคดีต่อศาลภาษีอากรสามารถกระทำได้ตามอย่างถูกต้อง และยังเป็นการทำให้การฟ้องคดีมีมาตรฐานในรูปแบบเดียวกัน อันเป็นการประกันมาตรฐานวิธีการดำเนินงานของเจ้าหน้าที่ของรัฐให้กับประชาชนอีกทางหนึ่งด้วย

วิจัยนี้มีวัตถุประสงค์ในการศึกษาปัญหาของกระบวนการในการบังคับหลักประกันทางธุรกิจตามพระราชบัญญัติหลักประกันทางธุรกิจ พ.ศ. 2558 ซึ่งกระบวนการในการบังคับหลักประกันทางธุรกิจยังมีความไม่ ชัดเจนในบางเรื่อง บางเรื่องกฎหมายมิได้กำหนดไว้ ทำให้เกิดปัญหาในการปรับใช้และตีความเกี่ยวกับกระบวนการ ในการบังคับหลักประกัน เอกัตศึกษานี้ทำการศึกษาโดยการสัมภาษณ์ เก็บรวบรวมข้อมูลถึงสภาพปัญหาของกระบวนการบังคับ หลักประกันทางธุรกิจ โดยศึกษาค้นคว้ารวบรวมข้อมูลจากกฎหมายที่เกี่ยวข้อง บทความและหนังสือต่างๆ ซึ่ง นำมาวิเคราะห์กับหลักกฎหมาย Uniform Commercial Code ของประเทศสหรัฐอเมริกาและหลัก Floating Charge ของประเทศอังกฤษ วิจัยนี้พบว่ามีปัญหาในการบังคับหลักประกันทางธุรกิจในเรื่องการใช้สิทธิของผู้รับหลักประกันในการ บังคับหลักประกันทางธุรกิจ ขั้นตอนการบังคับหลักประกัน การใช้สิทธิทางศาลเกี่ยวกับการขอบังคับหลักประกัน และการขอเปลี่ยนแปลงข้อมูลทางทะเบียนกับหน่วยงานของรัฐ ทำให้ผู้รับหลักประกันบังคับหลักประกันได้ช้าลง ซึ่งไม่สอดคล้องกับวัตถุประสงค์ของการบัญญัติกฎหมายฉบับนี้ เอกัตศึกษานี้ได้เสนอแนวทางการปรับปรุงแก้ไขพระราชบัญญัติหลักประกันทางธุรกิจ พ.ศ. 2558 โดย การตัดเงื่อนไขในการบังคับหลักประกันออกบางส่วน เพื่อให้ผู้รับหลักประกันมีสิทธิในการบังคับหลักประกันได้ อย่างมีประสิทธิภาพ และกำหนดขั้นตอนในการบังคับหลักประกันไว้เป็นการเฉพาะ โดยไม่ต้องอาศัยการตีความ จากบทบัญญัติกฎหมายฉบับอื่น และกำหนดอำนาจในการใช้สิทธิทางศาลเพิ่มเติม เพื่อลดโอกาสในการยักย้าย ถ่ายเททรัพย์สิน และกำหนดเอกสารให้มีรูปแบบมาตรฐานและขั้นตอนในการติดต่อกับหน่วยงานของรัฐให้ชัดเจน ยิ่งขึ้น

เอกัตศึกษาฉบับนี้ มุ่งศึกษาประเด็นปัญหาความไม่ชัดเจนของกฎหมายในการกำหนดประเภทและขอบเขตของหนังสือหรือหนังสืออิเล็กทรอนิกส์ที่ได้รับยกเว้นภาษีมูลค่าเพิ่ม รวมถึงรูปแบบของการให้บริการหนังสืออิเล็กทรอนิกส์ และแนวทางการคำนวณภาษีกรณีธุรกรรมที่ไม่สามารถแบ่งแยกราคาได้ อีกทั้งได้เสนอให้มีการจัดเก็บภาษีอัตราศูนย์สำหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ประเภทตำราเรียน เนื่องจากประมวลรัษฎากรกำหนดให้มีการยกเว้นภาษีมูลค่าเพิ่ม สำหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ประเภทหนังสือพิมพ์ นิตยสาร และตำราเรียน แต่อย่างไรก็ดี กฎหมายดังกล่าวไม่มีความชัดเจนแต่อย่างใด ทั้งกรณีการกำหนดประเภทและขอบเขตของหนังสือหรือหนังสืออิเล็กทรอนิกส์และรูปแบบการให้บริการหนังสืออิเล็กทรอนิกส์ที่จะได้รับยกว้นภาษีมูลค่าเพิ่ม รวมถึงวิธีการคำนวณภาษีกรณีการทำธุรกรรมที่ไม่สามารถแบ่งแยกราคาได้ ก็มิได้มีการกำหนดแนวทางในการคำนวณภาษีไว้ อันทำให้รัฐอาจสูญเสียรายได้จากการจัดเก็บภาษี นอกจากนี้ ควรกำหนดให้มีการจัดเก็บภาษีมูลค่าเพิ่มในอัตราศูนย์สำหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ประเภทตำราเรียน เพื่อให้ปลอดภาระภาษีโดยสิ้นเชิง ผู้เขียนจึงได้ศึกษาแนวคิดและกฎหมาย โดยพิจารณาเปรียบเทียบกับแนวทางการจัดเก็บภาษีหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ในสหราชอาณาจักร เพื่อเสนอแนะแนวทางอันทำให้กฎหมายมีความชัดเจนมากยิ่งขึ้น

Shadow credit is trending. Shadow credit has all the essential attributes of regular credit except that it is unregulated. It operates in a world in which products and services that look, act, and feel like credit products are deemed to be something that is not actually credit. This legal sidestep is accomplished either by passing industry-friendly legislation or by tweaking the shadow credit product just enough to not be defined as credit, but “something else.” That “something else” is often called a “lease,” an “advance,” or in the case of After- pay, simply a “service.” At its essence, however, it …

As technology continues to advance at a break-neck speed, legislatures often find themselves scrambling to write laws to keep up with these advances. Prosecutors are frequently faced with the prospect of charging a defendant with a crime based on an existing law that does not quite fit the circumstances of the defendant’s actions. Judges, cognizant of the fact that legislatures, and not the judiciary, have the primary responsibility for creating crimes, have pushed back. The United States has been suffering from a housing crisis that existed long before the proliferation of sub-prime loans and the Great Recession of 2008-2009. For decades, millions of gainfully employed workers have been institutionally excluded from homeownership, simply because they work in the informal economy. In the spring of 1974, the 31-year-old junior Senator from Delaware, Joseph R. Biden, Jr., published a law review article in which he decried the traditional system of privately financed election campaigns. Today, some hedge funds attack public companies for the sole purpose of inducing a short-lived panic which they can exploit for profit. This sort of market manipulation harms average investors who entrust financial markets with their retirement savings. While short selling serves a critical function in the capital markets, some short sellers disseminate negative opinion about a company, inducing a panic and sharp decline in the stock price, and rapidly close that position for a profit prior to the price partially or fully rebounding. We urge the SEC to enact two rules which will discourage manipulative short selling. The petition …

The textbook model of commercial contracts between sophisticated parties holds that terms are proposed, negotiated and ultimately priced by the parties. Parties reach agreement on contract provisions that best suit their transaction with the goal of maximizing the joint surplus from the contract. The reality, of course, is that the majority of the provisions in contemporary commercial contracts are boilerplate terms derived from prior transactions and even the most sophisticated contracting parties pay little attention to these standard terms, focusing instead on the price of the transaction.
