The Fair Housing Act and the Equal Credit Opportunity Act prohibit banks from discriminating based on race, gender, national origin, and other protected categories. Are these laws enough to mitigate the multigenerational impacts of discrimination experienced by these communities? To address this question, this project examined whether unequal access to credit persists in communities on or adjacent to Indian reservations, communities with high levels of racial diversity, and communities where women are a greater percentage of the population than men.

The audit profession has repeatedly failed in its obligation to accurately opine on financial statements prepared by companies that trade in U.S. markets. The list of entities that have contributed to the quest for effective regulation of these auditors is long; it includes the American Institute of Certified Public Accountants (AICPA), the U.S. Securities and Exchange Commission (SEC), Congress, outside directors of public companies, and the Public Company Accounting Oversight Board (PCAOB), a recent congressional creation. Yet, despite 50 years of effort, the formula for efficacious oversight of the audit profession remains elusive.

This Article examines a fundamental failure of process in lawmaking: the overreliance of lawmakers on economists and economic scholarship when designing and implementing financial regulation, to the virtual exclusion of lawyers and legal scholarship. This overreliance leads to regulation that often is based on theoretical models and assumptions that are poorly informed by experience and may not withstand real-world testing. The Article examines how to improve financial regulation by better integrating legal scholarship and lawyerly insights into the lawmaking process. The role of private enforcement of public law is an uneven one among financial regulators. Private litigation has played an important role in the enforcement of the federal securities laws since the Supreme Court recognized an implied private cause of action for violations of the anti-fraud provisions. In contrast, courts have been unwilling to establish an implied private right of action under the federal banking laws. Private litigation, however, played a significant role in the enforcement of the Glass-Steagall Act, the New-Deal-era restrictions that separated the financial industry into its three traditional roles: commercial banking, investment banking, and insurance underwriting. …

This note examines the current state of private equity and venture capital activity and investment in Germany, and specifically in Berlin, in relation to the state of such activity and investment that existed in the San Francisco Bay Area prior to and following its tech explosion in the late twentieth century. Providers of “Environmental, Social, and Governance” (ESG) ratings have emerged as prominent informational intermediaries in the sustainable finance ecosystem. The key players are familiar names such as Moody’s, Morningstar, MSCI and S&P. In recent years, investors, financial markets observers and academics have raised serious doubts about the value and integrity of ESG ratings, pointing to lack of reliability and comparability and risks of conflicts of interest and abuse, including the potential for “greenwashing.”

This Article explores the phenomenon of the NDNBs in home purchase and finance that has gained a growing presence in the mortgage marketplace since the 2008 crisis. Part II offers a deeper discussion of the risk-prone practices leading to the 2008 housing crisis and the regulatory and industry responses for recovery. Parts III and IV describe the emerging new models of home purchase. Part IV explores some of the apparent and hidden risks in these transactions. The 2008 financial crisis exposed a longstanding problem in financial regulation: traditional regulatory strategies tend to be procyclical. That is, regulatory tools—most notably, bank capital requirements—incentivize excessive credit growth during economic expansions and insufficient lending during contractions. The procyclicality of U.S. financial regulation was a key driver of the housing bubble in the mid-2000s and the massive credit crunch that followed. To combat this phenomenon, Congress and the federal banking agencies attempted to mitigate procyclical boom-and-bust cycles by implementing regulatory approaches that were explicitly countercyclical. The Dodd-Frank Act and related post-crisis reforms included several countercyclical features that were designed to …

ห้างหุ้นส่วนจดทะเบียนเป็นธุรกิจที่มีความสำคัญต่อระบบเศรษฐกิจ แต่ด้วยข้อจำกัดสามประการ อันประกอบไปด้วย ข้อจำกัดในการกำหนดคุณสมบัติของห้างหุ้นส่วน ข้อจำกัดในการสนับสนุนทางการเงิน และข้อจำกัดด้านความน่าเชื่อถือ ทำให้ห้างหุ้นส่วนจดทะเบียนไม่สามารถเข้าสู่กระบวนการฟื้นฟูกิจการได้ สร้างความสูญเสียต่อระบบเศรษฐกิจของประเทศไทย จากการศึกษาพบว่า กฎหมายของประเทศไทยยังมีข้อจำกัดด้านคุณสมบัติคือลูกหนี้ต้องเป็นบริษัทจำกัด บริษัทมหาชนจำกัด และนิติบุคคลอื่นที่กฎกระทรวงประกาศไว้เท่านั้น ทำให้ห้างหุ้นส่วน จดทะเบียนไม่ได้เข้าสู่กระบวนการฟื้นฟูกิจการ ซึ่งแตกต่างกับประเทศสหรัฐอเมริกา ประเทศสหราชอาณาจักรและประเทศสหพันธ์รัฐเยอรมัน ที่ไม่มีการกำหนดเงื่อนไขดังกล่าวไว้ จึงควรแก้ไขบทบัญญัติตามมาตรา 90/1 และคุณสมบัติของจำนวนหนี้ที่กำหนดไว้เพื่อแก้ไขข้อจำกัดในด้านคุณสมบัติของการเข้าสู่การฟื้นฟูกิจการให้เปิดกว้างมากขึ้น ในส่วนของข้อจำกัด ด้านการสนับสนุนทางการเงินเนื่องจากประเทศไทยยังไม่มีแนวทางที่ชัดเจนในการให้สิทธิต่อเจ้าหนี้รายใหม่ จึงควรระบุเรื่องดังกล่าวในการฟื้นฟูกิจการให้ชัดเจน และในส่วนข้อจำกัดในด้านความน่าเชื่อถือ เพื่อให้เกิดความต่อเนื่องในกระบวนการฟื้นฟูกิจการควรมีการกำหนดไว้ในแผนฟื้นฟูกิจการให้ชัดเจนในประเด็นความต่อเนื่องหากหุ้นส่วนผู้จัดการถึงแก่ความตายไป โดยนำหลักความคิดจากกฎหมายต่างประเทศมาปรับใช้เพื่อกำหนดกรอบคุณสมบัติและแก้ไขข้อจำกัดให้กับห้างหุ้นส่วนจดทะเบียนเข้าสู่กระบวนการฟื้นฟูกิจการได้ต่อไป

การจัดเก็บภาษีที่ดินและสิ่งปลูกสร้างแก่ทรัพย์สินของสถานศึกษาเอกชน ยังคงมีปัญหาบางประการ กล่าวคือ พระราชกฤษฎีกาลดภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ.2563 มาตรา 4 (6) และ (7) ซึ่งเป็นบทบัญญัติที่เป็นการลดอัตราภาษีให้แก่สถานศึกษาเอกชน ไม่ได้มีการกำหนดขอบเขตของการใช้ประโยชน์ในทรัพย์สินของสถานศึกษาเอกชน และประเภทของทรัพย์สินที่จะได้รับประโยชน์จากบทบัญญัติดังกล่าว ทำให้ไม่ทราบถึงขอบเขตของการใช้ประโยชน์ในที่ดินและสิ่งปลูกสร้างของสถานศึกษาเอกชน ที่จะได้รับประโยชน์จากการลดอัตราภาษีที่แน่ชัด กล่าวคือ กฎหมายมีเจตนาที่จะลดอัตราภาษีเฉพาะที่ดินและสิ่งปลูกสร้างที่ใช้เพื่อการศึกษาเท่านั้น หรือจะรวมถึงการใช้ที่ดินและสิ่งปลูกสร้างเพื่อวัตถุประสงค์อื่นนอกจากการศึกษาด้วย การที่บทบัญญัติดังกล่าวไม่มีขอบเขตของการใช้ประโยชน์ในทรัพย์สินดังกล่าว ทำให้เกิดปัญหาการตีความทรัพย์สินประเภทต่างๆ ของสถานศึกษาเอกชน และเกิดปัญหาการตีความกฎหมาย จึงเห็นได้ว่าบทบัญญัติว่าด้วยการลดอัตราภาษีที่ดินและสิ่งปลูกสร้างแก่สถานศึกษาเอกชนจึงยังมีปัญหาความไม่ชัดเจน ไม่แน่นอน ก่อให้เกิดปัญหาการตีความบทบัญญัติแห่งกฎหมาย และปัญหาข้อพิพาททางภาษี ซึ่งนำไปสู่การเป็นคดีขึ้นสู่ชั้นศาล ทั้งหมดล้วนเป็นปัญหา และขัดต่อหลักการจัดเก็บภาษีที่ดี อย่างไรก็ตาม จากปัญหาดังกล่าว สามารถนำหลักเกณฑ์ และแนวคิด ของกฎหมายภาษีที่ดินและสิ่งปลูกสร้าง ของมลรัฐอิลลินอยส์ ประเทศสหรัฐอเมริกาซึ่งมีรูปแบบการให้สิทธิประโยชน์ทางภาษีแก่สถานศึกษาเอกชนที่ชัดเจน มาเป็นหนึ่งในรูปแบบเพื่อศึกษาแนวทางในการปรับปรุงแก้ไขบทบัญญัติแห่งกฎหมายให้ดียิ่งขึ้นได้ เช่น การนำหลักเกณฑ์ในการกำหนดรูปแบบ ขอบเขตการใช้ประโยชน์ในทรัพย์สินของสถานศึกษาเอกชน และการกำหนดประเภททรัพย์สินที่จะได้รับการบรรเทาภาระภาษีที่ดินและสิ่งปลูกสร้าง เพื่อให้บทบัญญัติแห่งกฎหมายของประเทศไทย มีความชัดเจน มีความแน่นอน สอดคล้องกับหลักความแน่นอน ลดปัญหาการตีความกฎหมาย และ ปัญหาข้อพิพาททางภาษี ระหว่างผู้จัดเก็บภาษีและผู้เสียภาษีที่จะตามมาในอนาคต

เอกัตศึกษานี้มีวัตถุประสงค์เพื่อวิเคราะห์การใช้เครื่องมือทางเศรษฐศาสตร์ในการจัดการปัญหามลพิษที่เกิดจากการกำจัดขยะมูลฝอยด้วยวิธีการฝังกลบ เนื่องจากสภาพสังคมและเศรษฐกิจที่ขยายตัว ส่งผลให้เกิดการใช้ทรัพยากรธรรมชาติโดยปราศจากความรับผิดชอบและสร้างขยะมูลฝอยเพิ่มขึ้นในทุกๆปี และขยะส่วนใหญ่จะถูกส่งไปกำจัดด้วยวิธีการฝังกลบซึ่งเป็นวิธีการกำจัดขยะที่ก่อมลพิษต่อสิ่งแวดล้อมมากที่สุดและส่งผลกระทบต่อผู้ที่อาศัยอยู่ในชุมชนบริเวณใกล้เคียง แต่เครื่องมือทางเศรษฐศาสตร์ที่ใช้ในการจัดการกับปัญหาขยะมูลฝอยเหล่านี้ยังไม่สามารถทำให้เกิดการเปลี่ยนแปลงพฤติกรรมของผู้คนในสังคมได้ กล่าวคือ การเก็บค่าธรรมเนียมเก็บ ขน และกำจัดขยะ มีลักษณะเป็นการเก็บที่ครอบคลุมในส่วนของต้นทุนการให้บริการเท่านั้น ไม่ได้สะท้อนถึงต้นทุนทางสิ่งแวดล้อมที่เป็นการใช้ประโยชน์รวมถึงความเสียหายที่เกิดกับสิ่งแวดล้อมซึ่งเกิดจากการกำจัดขยะ จากการศึกษาจะเห็นว่าประเทศไทยมีการจัดเก็บค่าธรรมเนียมมาเป็นเวลานานแต่กลับมีปริมาณขยะเพิ่มขึ้นทุกปี และการจัดการขยะที่เกิดขึ้นส่วนใหญ่จะใช้วิธีการกำจัดด้วยการฝังกลบมากกว่าการนำกลับมาใช้ประโยชน์หรือกำจัดด้วยวิธีอื่นที่เป็นมิตรกับสิ่งแวดล้อมมากกว่า จึงสะท้อนให้เห็นว่าการจัดเก็บค่าธรรมเนียมยังไม่สามารถจูงใจให้เกิดการเปลี่ยนแปลงพฤติกรรมในการจัดการขยะ อีกทั้งรายได้ค่าธรรมเนียมการเก็บ ขน และกำจัดขยะที่เก็บได้ยังไม่สอดคล้องกับรายจ่ายที่ภาครัฐต้องแบกรับในการจัดการขยะมูลฝอย เครื่องมือทางเศรษฐศาสตร์ประเภทค่าธรรมเนียมจึงไม่สอดคล้องกับหลักการผู้ก่อมลพิษเป็นผู้จ่าย จึงขอเสนอให้มีการจัดเก็บภาษีสิ่งแวดล้อม คือ ภาษีการฝังกลบ(Landfill Tax) ซึ่งมีลักษณะเป็นภาษีสิ่งแวดล้อมทางอ้อมเพื่อสร้างแรงจูงใจให้เกิดการเปลี่ยนแปลงพฤติกรรมการจัดการขยะของคนในสังคม สร้างรายได้ให้กับรัฐ และสอดคล้องกับหลักการจัดการสิ่งแวดล้อมโดยเฉพาะอย่างยิ่งหลักการผู้ก่อมลพิษเป็นผู้จ่าย
