Shareholder proposals attract attention from scholars in finance and economics because they present an opportunity to study both quasidemocratic decision-making at the corporate level and the impact of this decision-making on firm outcomes. These studies capture the effect of various proposals but rarely address whether regulations should allow many of them in the first place due to the possibility of stock price manipulation. Recent changes to shareholder proposal rules, adopted in September 2020, sought to address the potential for exploitation that some proposals create (but ultimately failed to do so). Key to the constitutional design of the federal government is the separation of powers. An important support for that separation is the Appointments Clause, which governs how officers of the United States are installed in their positions. Although the separation of powers generally, and the Appointments Clause specifically, support democratically accountable government, they also protect individual citizens against abusive government power. But without a judicial remedy, such protection is ineffectual—a mere parchment barrier.

The social value of risk reduction (SVRR) is the marginal social value of reducing an individual’s fatality risk, as measured by some social welfare function (SWF). This Article investigates SVRR, using a lifetime utility model in which individuals are differentiated by age, lifetime income profile, and lifetime risk profile. We consider both the utilitarian SWF and a “prioritarian” SWF, which applies a strictly increasing and strictly concave transformation to individual utility.
We show that the prioritarian SVRR provides a rigorous basis in economic theory for the “fair innings” concept, proposed in the public health literature: as between an older individual …

Property law has traditionally relied on tangible boundaries to delineate legal thinghood and to inform the bounds of in rem rights and duties. Unfortunately, property doctrines have fossilized around tangibility, causing fragmentation in the legal treatment of digital assets. In the United States, for example, cryptocurrencies and non-fungible tokens (NFTs) may simultaneously be classified as commodities, securities, currencies, assets, or not property at all, depending on the jurisdiction, domain, or specific asset in question. This fragmented system of overlapping legal treatments increases the information cost of using digital assets, decreases efficiency, and ultimately hinders future innovation.

Society’s perception of a type of work and the people who engage in money-generating activities has an impact on whether and how the law protects (or does not protect) the people who perform those activities. Work can be legitimized or delegitimized. Workers are protected or left out to dry depending upon their particular “hustle.” This Article argues that gig workers and sex workers face similar challenges within the legal system and that these groups can and should collaborate to their collective advantage when seeking reforms. The economic analysis of law enforcement holds that greater expected sanctions lead to greater compliance. The literature on positive and negative incentives holds that rewards and sanctions – or carrots and sticks – have identical first-order incentive effects. We extend the basic model of law enforcement in three ways. We allow agents to opt out of the regulatory regime, we allow for enforcement errors, and we model agents who vary in at least one trait in addition to their cost of compliance. เอกัตศึกษานี้มีวัตถุประสงค์เพื่อศึกษาปัญหาของแนวทางการปรับเปลี่ยนพิกัดและการจัดเก็บภาษีสําหรับ เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ เพื่อหาแนวทางที่เหมาะสมในการนํามาปรับใช้ในการจัดเก็บภาษีสําหรับเครื่องดื่ม มอลต์ไม่มีแอลกอฮอล์ของประเทศไทยได้ อันเนื่องมาจากกรมสรรพสามิตพิจารณาที่จะเพิ่มพิกัดทางภาษีของ เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ให้สูงกว่าปกติที่มีพิกัดภาษีอัตราร้อยละ 14 แต่จะไม่ปรับเพิ่มเกินร้อยละ 22 จาก มุมมองว่าเครื่องดื่มมอลต์ไม์มีแอลกอฮอล์นี้อาจเป็นสาเหตุให้เยาวชนหรือผู้บริโภคทั่วไปมีแรงจูงใจในการบริโภค เครื่องดื่มแอลกอฮอล์มากขึ้น ซึ่งปัจจุบันเครื่องดื่มประเภทดังกล่าวเสียภาษีในอัตราร้อยละ 14 เช่นเดียวกับกลุ่ม เครื่องดื่มที่ให้ความหวานและเครื่องดื่มประเภทน้ําอัดลม เนื่องจากเครื่องดื่มดังกล่าวไม่มีแอลกอฮอล์ หรือมีแต่ไม่ ถึงร้อยละ 0.5 จึงจัดเป็นประเภทเครื่องดื่มตามคํานิยามตามพระราชบัญญัติภาษีสรรพสามิต พ.ศ. 2560 ดังนั้นจะเห็นได้ว่าการจะปรับพิกัดอัตราภาษีสรรพสามิตเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ให้เพิ่มขึ้น จะเป็น การขัดแย้งกับคํานิยามตามพระราชบัญญัติภาษีสรรพสามิต พ.ศ. 2560 อีกทั้งจะส่งผลให้ราคาสินค้าเพิ่มขึ้น ถือ เป็นการตัดทางเลือกของผู้บริโภคที่ในปัจจุบันหันมาใส่ใจในสุขภาพมากขึ้น การบริโภคเครื่องดื่มมอลต์ไม่มี แอลกอฮอล์จะสามารถทดแทนการดื่มเครื่องดื่มแอลกอฮอล์ได้และจะช่วยลดการเกิดอุบัติเหตุจากการเมาแล้วขับ และช่วยแก้ปัญหาการดื่มแอลกอฮอล์ในสังคมไทยให้ลดลงได้ จากการศึกษาผู้เขียนได้นําหลักการของภาษีสรรพสามิตสําหรับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ของ ประเทศเยอรมนีมาประยุกต์ใช้เพื่อให้เป็นแนวทางแก้ไขการจัดเก็บภาษีเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ในประเทศ ไทย ซึ่งมีทั้งแนวทางที่สามารถนํามาประยุกต์ใช้ได้และไม่สามารถประยุกต์ใช้ได้ โดยแนวทางที่สามารถนํามา ประยุกต์ใช้ได้ คือ การกําหนดคํานิยามที่ชัดเจนในส่วนของปริมาณแอลกอฮอล์ที่หากมีปริมาณแอลกอฮอล์น้อย กว่าร้อยละ 0.5 ก็จะไม่จัดว่าอยู่ในนิยามของเครื่องดื่มแอลกอฮอล์ที่ต้องจัดเก็บภาษีตามอัตราภาษีของเครื่องดื่ม แอลกอฮอล์ แต่ในทางกลับกันแนวทางที่ไม่สามารถประยุกต้ใช้ได้ คือ การที่เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ใน ประเทศเยอรมนีไม่ถูกจัดเก็บภาษีสรรพสามิตในส่วนของประเภทเครื่องดื่ม ซึ่งอาจทําให้เป็นการส่งเสริมให้ ผู้บริโภคบริโภคเครื่องดื่มที่ฟุ่มเฟือย โดยจะขัดต่อวัตถุประสงค์ของการจัดเก็บภาษีสรรพสามิตที่จะจํากัดการ บริโภคสินค้าฟุ่มเฟือยทําให้เกิดความยุติธรรมในระบบภาษี จึงไม่สามารถนําหลักการของประเทศเยอรมนีในส่วนนี้ มาประยุกต์ใช้ในประเทศไทยได้ในการจัดเก็บภาษีสรรพสามิตของเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์สําหรับประเทศไทยนั้น ผู้เขียนขอเสนอแนะแนวทางให้มีการปรับปรุงพัฒนาการจัดเก็บภาษีสําหรับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์และให้มี มาตรการรองรับเกี่ยวกับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ คือ ส่วนของพิกัดอัตราภาษีที่หากจะเปิดพิกัดภาษีใหม่ สําหรับเครื่องดื่มที่มีปริมาณแอลกอฮอล์ต่ํากว่า 0.5 ดีกรีหรือเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์นี้ อาจทําให้มี ผลกระทบต่อสินค้าประเภทอื่น เช่น ยารักษาโรคบางชนิดที่มีปริมาณแอลกอฮอล์ผสมอยู่ เป็นต้น และส่วนของ นโยบายเพื่อควบคุมเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ ซึ่งควรมีความร่วมมือกันระหว่างหน่วยงานที่เกี่ยวข้อง เพื่อ กําหนดมาตรการการควบคุมเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ที่ชัดเจน ทั้งในด้านฉลากสินค้า ด้านการโฆษณา และ ด้านการควบคุมการเข้าถึง เพื่อให้เกิดประโยชน์สูงสุดต่อผู้บริโภคและสังคมไทย

กรุงเทพมหานคร เป็นศูนย์กลางความเจริญและเป็นศูนย์รวมของประชากรจํานวนมาก จึงส่งผล ให้เกิดปัญหาการจราจรบนท้องถนนมาอย่างยาวนาน ปัญหานี้เกิดขึ้นจากหลายปัจจัยแต่ปัจจัยหลักคงหนี ไม่พ้นเรื่องอุบัติเหตุบนท้องถนน ซี่งอุบัติเหตุส่วนมากเกิดขึ้นจากพฤติกรรมของผู้ขับขี่ที่ไม่ยอมปฏิบัติตาม กฎหมายและบ่อยครั้งที่พบว่าผู้ขับขี่รถโดยสารประจําทางก็มีพฤติกรรมการขับขี่ที่เสี่ยงต่อการเกิด อุบัติเหตุด้วยเช่นกัน จากสถิติการรับเรื่องร้องเรียนที่เกี่ยวกับพฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสาร ประจําทางในกรุงเทพมหานครที่มีการร้องเรียนเป็นจํานวนมาก เช่น ขับแทรกและปาดหน้ารถร่วมทาง ขับรถเร็ว ขับรถกระชาก กลับรถในที่ห้ามกลับ และใช้โทรศัพท์ขณะขับรถ เป็นต้น ซึ่งพฤติกรรมเหล่านี้ถือ ว่าเป็นพฤติกรรมที่ผู้ขับขี่รถโดยสารประจําทางไม่ควรกระทําเป็นอย่างยิ่ง เนื่องจากผู้ขับขี่รถโดยสาร ประจําทางควรมีจิตสํานึกที่ดีในการให้บริการและควรตระหนักถึงความปลอดภัยของผู้โดยสารเป็นสําคัญ จากการศึกษาข้อมูลเกี่ยวกับประเด็นปัญหาดังกล่าวพบว่ากฎหมายที่ใช้ในการกํากับดูแล พฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทางในกรุงเทพมหานครมีการบัญญัติบทลงโทษผู้กระทําผิด ไว้ค่อนข้างเบาและกฎหมายมีช่องว่างให้ผู้กระทําผิดมีโอกาสในการกระทําผิดซ้ำ จึงส่งผลให้ผู้ขับขี่รถ โดยสารประจําทางในกรุงเทพมหานครไม่เกรงกลัวต่อมาตรการที่ใช้ในการลงโทษตามที่กฎหมายได้บัญญัติ ไว้ เมื่อเปรียบเทียบกับกฎหมายที่ใช้ในการกํากับดูแลพฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทาง ในประเทศสิงคโปร์ที่มีการบัญญัติบทลงโทษผู้กระทําผิดไว้ค่อนข้างสูงอีกทั้งยังมีการเพิ่มโทษในกรณีที่มี การกระทําผิดซ้ํ้ำในความผิดเดิม จึงส่งผลให้พฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทางของ ประเทศสิงคโปร์มีมาตราฐานที่ดี ดังนั้นจึงควรปรับปรุงแนวทางการกํากับดูแลพฤติกรรมการขับขี่ของผู้ขับ ขี่รถโดยสารประจําทางในกรุงเทพมหานคร โดยผู้เขียนขอเสนอให้มีการพิจารณาแก้ไขระเบียบกรมการขนส่งทางบก ว่าด้วยการพักใช้หรือ เพิกถอนใบอนุญาตเป็นผู้ขับรถตามกฎหมายว่าด้วยการขนส่งทางบก พ.ศ. 2564 ในข้อ 12 และข้อ 16 คือขอให้พิจารณาเพิ่มโทษในกรณีที่มีการกระทําผิดซ้ำในความผิดเดิมและกำหนดระยะเวลาในการกระทํา ผิดซ้ำห้แคบลง ทั้งนี้เพื่อเพิ่มประสิทธิภาพในกํากับดูแลให้มีมาตรฐานที่ดียิ่งขึ้น

In the wake of COVID-19, pharmaceutical companies rushed to produce vaccinations and continue to work on developing treatments, while the tension caused by reverse payments intensifies between patent and antitrust law. Lawmakers must address this tension, and the current pandemic should serve as a catalyst to prompt reform at the legislative level. By amending the Hatch-Waxman Act, lawmakers can ease the increasing strain between patent and antitrust policy concerns. In 2013, the U.S. Supreme Court attempted to resolve this tension in its landmark decision, F.T.C. v. Actavis, but the tension remains as lower courts struggle to produce a uniform standard …
