Financial benchmarks estimate market values or reference rates used in a wide variety of contexts, but are often calculated from data generated by parties who have incentives to manipulate these benchmarks. Since the London Interbank Offered Rate (LIBOR) scandal in 2011, market participants, scholars, and regulators have scrutinized financial benchmarks and the ability of traders to manipulate them.
We study the impact on market welfare of manipulating transaction-based benchmarks in a simulated market environment. Our market consists of a single benchmark manipulator with external holdings dependent on the benchmark, and numerous background traders unaffected by the benchmark. We explore two …

Members of legislatures often do not have equal opportunities to participate in legislative negotiations. The lack of inclusiveness in legislative negotiations may result in suboptimal policy outcomes and undermine representative democracy. Legislatures face two categories of barriers to conducting inclusive negotiations: (1) the scope and complexity of legislative negotiations and (2) members' lack of incentives and capacity to engage in inclusive negotiations. Legislatures may be able to overcome these barriers by synthesizing and applying insights from agile project management, design thinking, collective intelligence, social choice theory, and interest-based negotiation. สินเชื่อมีผลต่อเสถียรภาพระบบการเงินของประเทศ ธนาคารแห่งประเทศไทยเป็นผู้มีอำนาจตามกฎหมายในการกำกับดูแลระบบการเงินและความมั่นคงของสถาบันการเงิน ในการเปลี่ยนแปลงเข้าสู่ตลาดการเงินดิจิทัลนั้น ได้สนับสนุนให้นำเทคโนโลยีมาใช้ในผลิตภัณฑ์และบริการทางการเงินอย่างแพร่หลายตามแผนยุทธศาสตร์ธปท. ฉบับพ.ศ.2563-2565 โดยธนาคารแห่งประเทศไทยได้อนุมัติให้ผู้ประกอบธุรกิจให้สินเชื่อสามารถปล่อยสินเชื่อส่วนบุคคลดิจิทัล (Digital Personal Loan) พร้อมทั้งออกประกาศฉบับที่ ธปท.ฝกส.(01) ว.977/2563 เรื่องหลักเกณฑ์ วิธีการและเงื่อนไขในการประกอบธุรกิจสินเชื่อส่วนบุคคลดิจิทัลไปยังสถาบันการเงินและผู้ประกอบธุรกิจสินเชื่อส่วนบุคคลภายใต้การกำกับที่มิใช่สถาบันการเงิน โดยมีวัตถุประสงค์เพื่อสนับสนุนให้ผู้บริโภคเข้าถึงบริการทางการเงินได้มากขึ้นและลดการพึ่งพาหนี้นอกระบบ อีกทั้งช่วยลดต้นทุนและความเสี่ยงในการประกอบธุรกิจให้แก่ผู้ให้ประกอบธุรกิจ การศึกษาวิจัยนี้ มีวัตถุประสงค์มุ่งเน้นศึกษาการควบคุมความเสี่ยงในตลาดสินเชื่อส่วนบุคคลดิจิทัลของประกาศธนาคารแห่งประเทศไทยฉบับที่ 977/2563 จากการศึกษาพบว่าประกาศฉบับดังกล่าวมีการควบคุมความเสี่ยงในการปล่อยสินเชื่อส่วนบุคคลดิจิทัลที่ไม่เพียงพอ ส่งผลกระทบต่อผู้บริโภคทางการเงินที่ใช้บริการสินเชื่อส่วนบุคคลดิจิทัล เนื่องจากมีการผ่อนปรนหลักเกณฑ์ที่มากเกินไปในส่วนของการประเมินความน่าเชื่อถือของผู้ขอสินเชื่อและเรื่องการกำหนดให้ใช้เฉพาะข้อมูลทางเลือก (Alternative Data) ดังนั้น เพื่อให้ผู้บริโภคทางการเงินที่ใช้บริการสินเชื่อส่วนบุคคลดิจิทัลได้รับความคุ้มครองมากขึ้น จึงควรมีการแก้ไขเนื้อหาของประกาศธนาคารแห่งประเทศไทยฉบับที่ 977/2563 ในส่วนที่มีการผ่อนปรนหลักเกณฑ์การให้สินเชื่อและการต้องใช้เฉพาะข้อมูลทางเลือก ให้มีการบริหารความเสี่ยงที่เข้มข้นขึ้นเพื่อมิให้ผู้บริโภคก่อหนี้เกินตัว โดยกำหนดให้การให้สินเชื่อแก่ผู้บริโภคบนพื้นฐานของการบริหารความเสี่ยงตามหลักการพิจารณาให้สินเชื่อที่คำนึงถึงสถานะทางการเงิน ภาระหนี้สิน หรือความสามารถในการชำระหนี้ของผู้บริโภคเป็นหลักร่วมกับการใช้ข้อมูลทางเลือก อีกทั้งควรเพิ่มแนวทางการคุ้มครองผู้บริโภคทางการเงินจากการถูกฉ้อโกงหรือหลอกลวงจากผู้ประกอบการสินเชื่อดิจิทัลนอกระบบด้วย

In 2017, Congress created the Opportunity Zone (“OZ”) program to stimulate economic growth in low-income communities. The program was characterized by its unprecedented scale relative to previous place-based development efforts and was described as “perhaps the most ambitious economic development tool to come out of Congress in a generation.” However, the program was quickly criticized on numerous grounds, and its design flaws are so severe that several legislators have called for its reform or repeal.

Restructuring support agreements (RSAs), or contracts that commit bankruptcy parties to supporting a plan of reorganization that will conform to certain requirements, are now a common feature of Chapter 11. Parties utilize these agreements in nearly half of all large cases. While prior literature has debated the normative value of RSAs, we take an empirical approach to look at what provisions the parties include in these agreements and how those provisions have changed over time.

Although “fake news” is as old as mass media itself, concerns over disinformation have reached a fever pitch in our current media environment. Online media outlets’ heavy reliance on user-generated content has altered the traditional gatekeeping functions and professional standards associated with traditional news organizations. รายงานเอกัตศึกษาฉบับนี้มีวัตถุประสงค์เพื่อศึกษาและวิเคราะห์ถึงปัญหาในการจัดเก็บภาษี เงินได้บุคคลธรรมดาและภาษีมูลค่าเพิ่มสำหรับโทเคนที่ไม่สามารถทดแทนกันได้ (NFT) ใน 4 ด้านหลัก ๆ ได้แก่ (1) การจัดประเภทเงินได้ (2) ค่าใช้จ่ายที่ถือเป็นรายจ่ายทางภาษี (3) หลักการจัดเก็บภาษีเงินได้ (4) การพิจารณาสถานะทางกฎหมายของ NFT ภายใต้กฎหมายภาษีีมูลค่าเพิ่ม โดยได้ทำการศึกษาเปรียบเทียบกับกฎหมายประเทศสหรัฐอเมริกาและประเทศออสเตรเลีย เพื่อนำมาวิเคราะห์และหาข้อเสนอแนะในการกำหนดแนวทางการจัดเก็บภาษีข้างต้นให้เหมาะสมกับประเทศไทยต่อไป สำหรับประเทศไทยพบว่า กรณีที่ NFT ไม่เข้าลักษณะตามคำนิยาม พ.ร.ก. สินทรัพย์ดิจิทัลฯและมีเงินได้จากการซื้อขาย NFT ดังกล่าว ไม่ว่าจะเป็นเงินได้ฝั่งผู้สร้าง NFT หรือนักลงทุน ถือเป็นเงินได้พึงประเมินตามมาตรา 40 (8) โดยสามารถหักค่าใช้จ่ายที่เกิดขึ้นตามความจำเป็นและสมควร ในขณะที่ผลประโยชน์ที่ได้รับจากการโอนคริปโทเคอร์เรนซีขณะทำธุรกรรมซื้อขาย NFT ถือเป็นเงินได้ตามมาตรา 40 (4) (ฌ) ส่วนหลักการจัดเก็บภาษีเงินได้สำหรับ NFT ถือว่าเป็นแหล่งเงินได้ในประเทศไทยหรือในต่างประเทศให้ใช้หลักพิจารณาจาก Wallet ที่ใช้ในการซื้อขาย NFT อีกทั้งการพิิจารณาสถานะทางกฎหมายของ NFT ภายใต้กฎหมายภาษีมูลค่าเพิ่ม สรุปได้ว่า NFT เข้าลักษณะเป็นสินค้าอยู่ในบังคับต้องเสียภาษีมูลค่าเพิ่ม อย่างไรก็ตาม ยังไม่ได้มีการกำหนดแนวทางในการจัดเก็บภาษีมูลค่าเพิ่มไว้อย่างชัดเจน ทั้งนี้ จากการศึกษาแนวทางการจัดเก็บภาษีเงินได้บุคคลธรรมดาเกี่ยวกับ NFT ในประเทศสหรัฐอเมริกาและประเทศออสเตรเลียพบว่า แนวทางการจัดเก็บภาษี NFT นั้นเหมือนกับแนวทางการจัดเก็บภาษีในสินทรัพย์ดิจิทัลอื่น ๆ จึงส่งผลให้เกิดแตกต่างกับประเทศไทย เนื่องจากประเทศสหรัฐอเมริกาและประเทศออสเตรเลียมองว่า เงินได้ที่เกิดจากการซื้อขาย NFT ของนักลงทุนควรเสียภาษีจากส่วนเกินทุน (Capital Gain) แทนเงินได้ปกติ (Ordinary Income) และกรณีในส่วนของการพิจารณาหลักการจัดเก็บภาษีเงินได้จากการซื้อขาย NFT จะมุ่งพิจารณาถิ่นที่อยู่หรือสัญชาติของผู้มีหน้าที่เสียภาษีเป็นสำคัญ นอกจากนี้ แนวทางการจัดเก็บภาษีมูลค่าเพิ่มของ NFT ทั้ง 2 ประเทศนั้นมีแนวทางให้ NFT อยู่ภายใต้บังคับการเสียภาษีมูลค่าเพิ่มเหมือนเช่นกับประเทศไทย แต่จะมีการกำหนดหน้าที่และวิธีการในการจัดเก็บภาษีมูลค่าเพิ่มไว้อย่างชัดเจน โดยให้ NFT Marketplace ทำการหน้าที่จัดเก็บภาษีขายหรือภาษีสินค้าและบริการและนำส่งให้แก่ภาครัฐ ดังนั้น ประเทศไทยจึงควรนำหลักการทางภาษีที่มีแนวทางอย่างชัดเจนในต่างประเทศมาปรับใช้ให้เกิดความเหมาะสมต่อไป
