The lifecycle sustainment costs for complex and expensive systems (e.g., aircraft, ships, or manufacturing equipment) often exceed their purchase costs. Reducing sustainment costs, even by a fraction, can create competitive advantages for the system owner. The operations and supply chain management (O&SCM) field asserts that this competitive advantage in life cycle sustainment operations is achievable through performance-based contracts. However, empirical validation of this assertion is required. This research investigates performance-based contracts to validate their asserted impact on sustainment operations and develops a branch of research to understand their role in organizational and supply chain resilience. Emergency management involves a complex interplay of logistical, social, and ethical considerations, with legal frameworks guiding actions at every stage. This research investigates the ethical and legal challenges inherent in the four phases of emergency management: mitigation, preparedness, response, and recovery. Through a multi-method approach including literature review, case studies with comparative analysis, this study aims to clarify the intersection of ethical and legal issues in emergency management and propose practical strategies for addressing these challenges.

The manual extraction of meaningful insights and conversion of content into structured forms to enhance document processing require substantial resources and are susceptible to errors. Despite numerous applications of various Natural Language Processing (NLP) models to streamline the manual process, challenges persist due to domain-specific data constraints and the deficiency of annotated data. This study attempts to address these challenges by leveraging a Large Language Model (LLM) to analyze government contracts. Through rigorous evaluation, we demonstrate the LLM’s effectiveness in information extraction and mitigating hallucinations, achieving a 87.86% accuracy in metadata extraction.

Every year the United States invests $3.2B in the Small Business Innovation Research (SBIR) Program. The program seeks to promote innovation among the nation’s small businesses. This research considers challenges faced by small businesses working with the DoD, which accounts for half of the annual SBIR investment. We surveyed participating businesses with open-ended questions to understand their perspectives. Our data consists of 286 responses from firms that have held Air Force SBIR contracts. Using Qualitative Content Analysis, we identified five categories of challenges: SolverSeeker Disconnect, Funding, Engagement, Processes, and Seeker Education. This Article describes the emergence of corporate law federalism across a long twentieth century. The period begins with New Jersey’s successful initiation of charter competition in 1888 and ends with the enactment of the Sarbanes-Oxley Act in 2002. The federalism in question describes the interrelation of state and federal regulation of corporate internal affairs. This Article takes a positive approach, pursuing no normative bottom line. The Berle XIV: Developing a 21st Century Corporate Governance Model Conference asks whether there is a viable 21st Century Stakeholder Governance model. In our conference keynote article, we argue that to answer that question yes requires restoring—to use Berle’s term—a “public consensus” throughout the global economy in favor of the balanced model of New Deal capitalism, within which corporations could operate in a way good for all their stakeholders and society, that Berle himself supported.

On June 29, 2023, the Supreme Court of the United States decided Students for Fair Admissions v. President & Fellows of Harvard College, which struck down race-conscious admissions policies. Within just a year after its ruling, Students for Fair Admissions has already had a sweeping impact, reaching beyond higher education. Although the Supreme Court did not indicate whether Students for Fair Admissions applies to sectors beyond higher education, law firms, and other employers have already modified their diversity policies and initiatives, erasing race and company diversity considerations. The United States has the highest incarceration rate of any country in the world. The American obsession with crime and punishment can be tracked over the last half-century, as the nation’s incarceration rate has risen astronomically. Since 1970, the number of incarcerated people in the United States has increased more than sevenfold to over 2.3 million, outpacing both crime and population growth considerably. While the rise itself is undoubtedly bleak, a more troubling truth lies just below the surface. Not all states contribute equally to American mass incarceration. The National Security Agency (NSA) reportedly paid and pressured technology companies to trick their customers into using vulnerable encryption products. This Article examines whether any of three theories removed the Fourth Amendment’s requirement that this be reasonable. The first is that a challenge to the encryption backdoor might fail for want of a search or seizure. The Article rejects this both because the Amendment reaches some vulnerabilities apart from the searches and seizures they enable and because the creation of this vulnerability was itself a search or seizure. This Article explores the malleability of agency theory by showing that it could be used to justify a “public primacy” standard for corporate law that would direct fiduciaries to promote the value of the corporation for the benefit of the public. Employing agency theory to describe the relationship between corporate management and the broader public sheds light on aspects of firm behavior, as well as the nature of state contracting with corporations. Much debate within corporate governance today centers on the proper role of corporate stakeholders, such as employees, customers, creditors, suppliers, and local communities. Scholars and reformers advocate for greater attention to stakeholder interests under a variety of banners, including ESG, sustainability, corporate social responsibility, and stakeholder governance. So far, that advocacy focuses almost entirely on arguing for an expanded understanding of corporate purpose. It argues that corporate governance should be for various stakeholders, not shareholders alone.
This Article examines and approves of that broadened understanding of corporate purpose. However, it argues that we should understand stakeholder governance as extending well …
