Reconciling Disjunct Cryptocurrency Securities Enforcement With Purchaser Expectations, Jacob E. Simmons

The Southern District of New York’s July 2023 decision in SEC v. Ripple Labs, Inc. has been touted as a monumental win for cryptocurrency purchasers and related businesses. The Ripple court held that, except institutional investor transactions, all sales of Ripple’s XRP token were not investment contracts, a class of security subject to federal securities law. The court’s ruling meant that Ripple could not be held liable for the unregistered trading of XRP beyond its sales to institutional investors. Sixty years ago, on Wednesday, April 8, 1964, Professor Harry Kalven, Jr., gave the second of three lectures at The Ohio State University College of Law Forum. These lectures were published two years later in a book entitled The Negro & the 1st Amendment. In the second lecture, Kalven distinguished between direct and indirect threats to the associational freedom of the National Association for the Advancement of Colored People (NAACP). Kalven categorized the 1958 decision in NAACP v. Alabama ex rel. Patterson as an indirect effort to control the NAACP.

The U.S. News & World Report (U.S. News) law school rankings have impacted the perceptions and behaviors of everyone in the rankings ecosystem for decades. Commentators have almost universally condemned these ordinal rankings, yet they continue to influence the legal education market, often in highly detrimental ways.

When an appellate court finds an error to have occurred during a proceeding, the error is not yet subject to correction. In order to merit a remedy, the error must have been sufficiently prejudicial to the aggrieved party’s case. Drawing the line between correctable and non-correctable errors is not an easy task, for it often requires guessing at what was in the minds of jurors and trial judges. To cope with this task, courts have devised various rules and tests for deciding whether an error was likely prejudicial or not. These standards often go by names such as “harmless error,” …

This Note argues for expanding employers’ access to legal remedies that allow them to recoup the costs of protecting their employees from swatting, doxing, and other online harassment arising from their employees’ professional activity. Part I provides a brief description and history of the online harassment problem and its potentially deadly dangers. Washington negligence law is a confusing labyrinth of foreseeability that not even Ariadne’s string could guide plaintiffs out of. Foreseeability is implicated in four distinct analyses, several of which overlap considerably. Doctrines that were once questions of law are now questions of fact, and vice versa. Something needs to change.

Washington has taken the novel approach of bifurcating the duty element into two parts—duty’s mere existence, which is a question of law for the court to determine; and duty’s scope, which is a question of fact handed off to the jury to determine. Wealth inequality remains as wide, and as troubling, as it was a half-century ago. While scholars have offered various explanations, there is a contributor that has escaped serious scrutiny: state monopoly power. It is not just that there is a long history of states and municipalities using their monopoly power to protect dominant interests, from enacting Black Codes to shuttering Chinese laundries to barring women, immigrants, and minorities from certain professions. Market Versus Policy Responses To Novel Occupational Risks, Robert J. Kramer, Elissa Philip Gentry, W Kip Viscusi

The unprecedented occupational risks posed by the COVID-19 pandemic prompted employers to boost wages and federal authorities to propose hazard pay policies. This article estimates a market-based compensating differential for workers facing elevated risks through contact with the public using CPS employment data for 2019–2020 and occupational characteristic data from the US Department of Labor’s Occupational Information Network. The estimated premium for exposure was roughly $820 overall and $1000 for essential workers. These premiums fall short of those proposed—but not enacted—by the federal government and are more commensurate with estimates of the value of a statistical life than were the …

In the aftermath of the 2007-08 Global Financial Crisis, regulators encouraged many of the world’s largest banks to hold a new type of regulatory instrument with the goal of improving their safety and soundness. The regulatory instrument was known as a “CoCo,” short for contingent convertible bond. CoCos are neither debt nor equity. They are something in between, designed to give the bank a shot in the arm during times of stress. Many of the largest international banks have issued CoCos worth hundreds of billions of dollars. The dismal and declining state of local news has motivated bipartisan efforts to “save” this important aspect of a strong civic sphere. A full review of these efforts is beyond the scope of this paper, but an initial review suggests that recent legislative proposals will fall short of reviving local news, if enacted. It follows that other means of assisting the generation and distribution of local news must be considered. In 2019, the United States Patent and Trademark Office received almost half a million trademark applications. This was the tenth year in a row in which the number of applications received broke the record from the previous year. Since 2015 there has been a marked increase in the number of applications for trademarks that are unusual. These applications are for trademarks that consist of an apparently random string of letters unpronounceable in English and with no meaning in another language. This paper focuses on the interpretive framework embodied in copyright law and its application to art-producing technologies, how this framework has been applied to new technologies in the past, and the issues surrounding the adaption of these old frameworks to the modern concern of AI-created art. The paper also considers how the application of copyright law to modern AI issues reflects the law’s capability, or inability, to evolve and address novel situations, specifically in relation to AI-based technology. มาตรการทางภาษีเพื่อส่งเสริมโปรแกรมบัญชีสำเร็จรูปออนไลน์, ชิดชนก เดชทองพงษ์

ซอฟต์แวร์โปรแกรมบัญชีสำเร็จรูปออนไลน์หลังจากผ่านช่วงโควิด-19 ก็ได้รับความนิยมและใช้งานกันมากขึ้นอย่างต่อเนื่องโดยเฉพาะในกลุ่มธุรกิจขนาดกลางและขนาดย่อม (SMEs) ซึ่งสัดส่วนการใช้งานที่เพิ่มมากขึ้นนั้นส่วนใหญ่เป็นการใช้ซอฟต์แวร์ของผู้ผลิตต่างประเทศ เนื่องจากมีฟังก์ชั่นที่ตอบสนองตรงตามความต้องการมากกว่า และถึงแม้รัฐบาลไทยจะมีการออกมาตรการยกเว้นภาษีเงินได้นิติบุคคล และมาตรการค่าใช้จ่ายซอฟต์แวร์ลดหย่อนภาษีได้ 2 เท่าแล้ว แต่ก็มีเงื่อนไขการเข้าร่วมรับการส่งเสริมบางประการที่เป็นข้อจำกัดในการเข้าถึงสิทธิประโยชน์ทางภาษีสำหรับผู้ประกอบการในกลุ่มธุรกิจโปรแกรมบัญชีสำเร็จรูปออนไลน์บางรายจากการศึกษาพบว่า มาตรการยกเว้นภาษีเงินได้นิติบุคคลเงินได้นิติบุคคลสูงสุด 8 ปี ซึ่งธุรกิจพัฒนาซอฟต์แวร์ในช่วงแรกจะยังไม่มีกำไรเพื่อเสียภาษีทำให้ไม่ได้รับสิทธิประโยชน์จากมาตรการนี้เท่าที่ควร ซึ่งเงื่อนไขที่เป็นข้อจำกัดคือ การกำหนดเงินทุนเงินลงทุนขั้นต่ำจากค่าจ้างสะสม 1,500,000 บาทต่อปีนับจากหลังยื่นของการส่งเสริม และมาตรการค่าใช้จ่ายซอฟต์แวร์ลดหย่อนภาษีได้ 2 เท่า ส่วนนี้ก็เป็นมาตรการแต่ละช่วงเท่านั้นมีการกำหนดอายุ ซึ่งล่าสุดจะต้องซื้อช่วงปี 2564 – ปี 2565 เท่านั้น จึงทำให้การสนับสนุนดังกล่าวไม่ต่อเนื่องดังนั้น ประเทศไทยควรมีการปรับปรุงมาตรการและประโยชน์ทางภาษีให้เหมาะสมและมีประสิทธิภาพในการภาษี โดยการนำมาตรการต่างประเทศมาปรับใช้เพื่อช่วยลดความเสี่ยง ลดต้นทุนการพัฒนา ซอฟต์แวร์โปรแกรมบัญชีสำเร็จรูปออนไลน์ของประเทศไทยให้ตรงตามความต้องการต่อการใช้งานได้มากขึ้น ซึ่งจะนำไปสู่การพัฒนาเศรษฐกิจดิจิทัลอย่างยั่งยืนในอนาคต

การศึกษาแนวทางในการกำหนดหน้าที่ผู้ประกอบวิชาชีพบัญชีให้มีหน้าที่รายงานธุรกรรมต้องสงสัยในร่างพระราชบัญญัติป้องกันและปราบปรามการฟอกเงิน พ.ศ. 2542 : ศึกษาเปรียบเทียบประเทศนิวซีแลนด์และประเทศสิงคโปร์, ถวิกา สุภาษิต

เอกัตศึกษาฉบับนี้มีวัตถุประสงค์เพื่อศึกษาแนวทางในการกำหนดให้ผู้ประกอบวิชาชีพบัญชีมีหน้าที่ในการรายงานธุรกรรมที่มีเหตุอันควรสงสัย ซึ่งเป็นมาตรฐานของ FATF ที่ประเทศไทยยังไม่มีบทบัญญัติในเรื่องดังกล่าวและจากการประเมินตามมาตรฐานของ FATF โดย APG ที่ประเทศไทยเป็นสมาชิกนั้นแนะนำให้ประเทศไทยจำเป็นที่จะต้องมีการกำหนดหน้าที่ดังกล่าวให้กับผู้ประกอบวิชาชีพบัญชี เพื่อให้เป็นไปตามมาตรฐานสากล ด้วยเหตุดังกล่าวทำให้ทางสำนักงานป้องกันและปราบปรามการฟอกเงินได้มีการจัดทำร่างพระราชบัญญัติป้องกันและปราบปรามการฟอกเงิน ฉบับแก้ไขเพิ่มเติม กำหนดให้ผู้ประกอบวิชาชีพบัญชีเป็นผู้มีหน้าที่รายงานธุรกรรมที่มีเหตุอันควรสงสัยขึ้นมาและได้มีการให้ทางสภาวิชาชีพบัญชีให้ความเห็นต่อร่างพระราชบัญญัติดังกล่าวว่าการกำหนดหน้าที่ให้เป็นผู้มีหน้าที่รายงานธุรกรรมที่มีเหตุอันควรสงสัยของผู้ประกอบวิชาชีพบัญชีนั้นยังคงมีปัญหาและอุปสรรคในการปฏิบัติหน้าที่ดังกล่าวของผู้ประกอบวิชาชีพบัญชี ไม่ว่าจะเป็นการเพิ่มภาระที่เกินขอบเขต การไม่มีแนวทางในการพิจารณาลักษณะธุรกรรมที่มีเหตุอันควรสงสัย การขัดต่อจรรยาบรรณทางวิชาชีพในเรื่องการรักษาความลับของลูกค้า และการปฏิบัติหน้าที่ตามบทบัญญัติมาตรา 89/25 ของพระราชบัญญัติหลักทรัพย์และตลาดหลักทรัพย์ พ.ศ. 2535 ทำให้การกำหนดหน้าที่ดังกล่าวยังไม่สามารถบังคับใช้ในประเทศไทย จากปัญหาและอุปสรรคดังกล่าวทำให้มีการศึกษาแนวทางจาก FATF รวมทั้งแนวทางในต่างประเทศ โดยเอกัตศึกษาฉบับนี้ได้ศึกษาแนวทางจากประเทศนิวซีแลนด์และประเทศสิงคโปร์ที่มีการบังคับใช้กฎหมายในเรื่องนี้แล้ว และทั้งสองประเทศดังกล่าวเป็นสมาชิกทั้ง FATF และ APG จึงมีแนวทางที่เป็นตามมาตรฐานสากลที่สามารถนำมาศึกษาเพื่อปรับใช้กับการกำหนดหน้าที่ให้ผู้ประกอบวิชาชีพบัญชีเป็นผู้มีหน้าที่รายงานธุรกรรมที่มีเหตุอันควรสงสัยที่เหมาะสมกับประเทศไทย จากผลการศึกษาจากแนวทางในต่างประเทศพบว่า หน่วยงานกำกับดูแลได้มีการจัดทำแนวทางในการปฏิบัติตามกฎหมายการฟอกเงินสำหรับผู้ประกอบวิชาชีพบัญชี จึงเสนอให้ทางสำนักงานป้องกันและปราบปรามการฟอกเงินควรมีการจัดทำแนวทางปฏิบัติในการทำหน้าที่เป็นผู้มีหน้าที่รายงานธุรกรรมที่มีเหตุอันควรสงสัยและหน้าที่อื่น ๆ ที่เกี่ยวข้องสำหรับผู้ประกอบวิชาชีพบัญชี โดยมีการกำหนดลักษณะธุรกรรมที่มีเหตุอันควรสงสัยเพื่อให้ผู้ประกอบวิชาชีพบัญชีเป็นแนวทางในการพิจารณาลักษณะธุรกรรมที่ต้องมีการรายงานกับทางสำนักงานป้องกันและปราบปรามการฟอกเงิน นอกจากนี้เสนอให้มีมาตรการอื่น ๆ เพิ่มเติมเพื่อช่วยลดอุปสรรคในการปฏิบัติหน้าที่ดังกล่าว ไม่ว่าจะเป็นการรวมกลุ่มธุรกิจเพื่อแบ่งปันข้อมูลในการตรวจสอบเพื่อทราบข้อเท็จจริงของลูกค้า การจัดอบรมให้กับผู้ประกอบวิชาชีพบัญชี และการนำเทคโนโลยีมาใช้โดยมีการพัฒนาเครื่องมือที่สามารถตรวจสอบธุรกรรมต้องสงสัย โดยข้อเสนอแนะดังกล่าวสามารถเป็นแนวทางสำนักงานป้องกันและปราบปรามการฟอกเงินใช้ในการปรับปรุงการกำหนดหน้าให้ผู้ประกอบวิชาชีพบัญชีเป็นผู้มีหน้าที่ในการรายงานธุรกรรมที่มีเหตุอันควรสงสัยที่เหมาะสมกับประเทศไทย
