The Governance Of Director Compensation, Lily Fang, Sterling Huang

Research Collection School Of Accountancy

The average total compensation of directors in U.S.-listed companies was $342,030 in 2020, 5.06 times the median household income. Directors set their own pay, giving rise to potential self-dealing. We argue and document that in the presence of self-dealing, external mechanisms such as legal standards act as effective means of governance. Following a landmark Delaware court ruling that subjected director pay to a more stringent legal standard, Delaware-incorporated firms reduced director compensation relative to non-Delaware firms and experienced positive and non-transient stock price reactions. Our results indicate that proper governance of director compensation enhances firm value.

By interviewing city managers, we have identified some of the unique factors and challenges that city officials face when considering their community’s local food systems. This thesis project focuses on exploring and elucidating how businesses in crowded markets achieve their respective success. Markets include personal care, skin products, cosmetics, perfume, and others, to name just a few relevant to this work. I argue that by focusing on customers' intangible needs and engaging them through experiential means, businesses can create a substantial, sustainable, and compelling niche, differentiating themselves from the crowd. I propose an original model, EIND (experiential and needs-based differentiation), and a working structure to implement, analyze, and design using EIND principles.

This research offers an in-depth analysis of vehicular traffic within San Bernardino County, California, aiming to spotlight congestion areas and suggest improvements for more efficient and sustainable transportation. Leveraging 2021 data from StreetLight Data, traffic patterns in 15 key cities were examined based on their population sizes, covering various vehicle types to dissect dynamics and flow. The methodology focused on analyzing trip purposes and metrics to calculate Vehicle Miles Traveled (VMT) and its influence on congestion and environmental factors.
