There is a dearth of decision-support models or frameworks to aid managers in the Information and Communications Technology (ICT) industry in uniformly assessing the key factors in the decision to standardize innovative technologies. Making the proper decision is consequential and potentially fraught with risks for the firm such as competitive exposure, high expenditures with inadequate returns, restrictive inbound or outbound patent licensing obligations, and related complications.

This paper explains a type of knowledge-supported design thinking related to systems in organizations. It shows how work system theory (WST) provides the basis for the work system method (WSM), various versions of which have been used by many hundreds of MBA and Executive MBA students. Design thinking occurs throughout WSM and is especially prominent at the point where WST/WSM users apply their analysis and develop recommendations for improving an existing work system or creating a new work system. In today's global political and media climate, the stakes are high for corporations, local or otherwise, to create and maintain an `ethical' perception of not only their daily business activities and how they can benefit society or protect the environment, but also their enduring characteristics or `corporate identity' (Conrad, 2011) for numerous, sometimes conflicting stakeholder audiences (Cheney, 1983). This dissertation examines how such forms of `socially responsible' corporate identities are created and maintained through the use of persuasive language. Fiduciary Discretion, D. Gordon Smith, Jordan C. Lee

Faculty Scholarship

Discretion is an important feature of all contractual relationships. In this Article, we rely on incomplete contract theory to motivate our study of discretion, with particular attention to fiduciary relationships. We make two contributions to the substantial literature on fiduciary law. First, we describe the role of fiduciary law as “boundary enforcement,” and we urge courts to honor the appropriate exercise of discretion by fiduciaries, even when the beneficiary or the judge might perceive a preferable action after the fact. Second, we answer the question, how should a court define the boundaries of fiduciary discretion? We observe that courts often …

Essays On Corporate Finance, Hari Prasad Adhikari

We compare acquisition activity, method of payment choice, and the long-run value implications of acquisitions by newly public single-class and dual-class US companies. Our results show that dual-class IPO firms make relatively more acquisitions in innovative industries and are less likely to pay with stock as compared to single-class IPO firms. We provide evidence that the reluctance of dual-class firms to pay with stock is not related to the insiders' cash-flow rights but it is significantly positively related to the insiders' voting rights and wedge between the insiders' voting rights and cash-flow rights. Our process of repairing damaged items had no clear ownership and an ever growing amorphous backlog consisting of approximately 2,800 items at the start of the process review. This backlog continues to hinder access to materials in the collection. We are currently in multistage process review which incorporates Lean methodologies to improve workflow across a number of departments. At the core of these improvements is gathering data to measure current levels of work. Corporate Governance In Microfinance Institutions: Board Composition And The Ability To Face Institutional Voids, Subrata Chakrabarty, A. Erin Bass

Research Question/Issue: We utilize institutional theory to examine corporate governance in microfinance institutions (MFIs). Many MFIs operate at the bottom of the economic pyramid (BOP), which is usually agrarian, impoverished, and plagued with institutional voids. We investigate the link between the composition of the boards of MFIs and the ability of the MFIs to face institutional voids to ensure organizational viability.

Research Findings/Insights: We find that MFIs with boards that have more socio-economic expertise and female representation are better able to lower the MFI’s costs of operating at the BOP. However, this relationship weakens when the effectiveness …
