Regulatory Competition And State Capacity, Martin W. Sybblis

This Article explores an underlying tension in the regulatory competition literature regarding why some jurisdictions are more attractive to firms than others. It pays special attention to offshore financial centers (OFCs). OFCs court the business of nonresidents, offer business friendly regulatory environments, and provide for minimal, if any, taxation on their customers. On the one extreme, OFCs are theorized as merely products of legislative capture— thereby lacking any meaningful agency of their own. On the other hand, OFCs are conceptualized as well-governed jurisdictions that attract investment because of the high quality of their laws and legal institutions—indicating some ability to …

The COVID-19 pandemic is currently ravaging the world, and the United States has been largely unsuccessful at containing the coronavirus. One long-standing policy failure stands out as having exacerbated the pandemic in our country: the lack of a national mandate of paid sick leaves, without which workers face financial and workplace-cultural pressures to attend work while sick, thus spreading the virus to their fellow employees and the public at large.
This Article provides the blueprint for a national, subsidized mandate of paid sick leaves and two additional insights about our tax institutions as mechanisms of effectuating broader societal goals. It …

การวิจัยแบบผสมผสานนี้มีวัตถุประสงค์ 4 ข้อ ประกอบด้วย ศึกษาวิธีการประเมินความพร้อม และปัจจัยที่ส่งผลต่อความพร้อมในการยอมรับเทคโนโลยี SaaS ของ SMEs สร้างกรอบ (Framework) ในการประเมินความพร้อมในการยอมรับเทคโนโลยี SaaS สำหรับ SMEs พัฒนาและทดสอบประสิทธิภาพนวัตกรรมต้นแบบระบบประเมินความพร้อมในการยอมรับเทคโนโลยี SaaS สำหรับ SMEs และศึกษาการยอมรับและความเป็นไปได้เชิงพาณิชยกรรมของต้นแบบระบบประเมินความพร้อมในการยอมรับเทคโนโลยี SaaS สำหรับ SMEs การวิจัยเชิงคุณภาพใช้การสัมภาษณ์เชิงลึกแหล่งข้อมูลจาก 3 แหล่ง (Triangulation of Source) ประกอบด้วย ผู้เชี่ยวชาญและผู้ทรงคุณวุฒิ ผู้ให้บริการ SaaS Accounting และเจ้าของกิจการ SMEs จำนวนรวม 17 คน โดยคัดเลือกกลุ่มตัวอย่างด้วยวิธีแนะนำต่อกันเป็นลูกโซ่ (Snowball Sampling) ร่วมกับการกำหนดโควตาของแหล่งข้อมูล และวิเคราะห์เนื้อหา (Content Analysis) อย่างเป็นระบบ การวิจัยเชิงปริมาณใช้การเก็บข้อมูลผ่านแบบสอบถามจากเจ้าของกิจการ SMEs จำนวน 317 คน โดยคัดเลือกกลุ่มตัวอย่างด้วยวิธีแนะนำต่อกันเป็นลูกโซ่ (Snowball Sampling) และวิเคราะห์องค์ประกอบเชิงยืนยัน (Confirmatory Factor Analysis : CFA) การพัฒนาและทดสอบระบบประเมินความพร้อมในการยอมรับเทคโนโลยีสำหรับ SaaS อิงกับแนวคิดทางทฤษฎีในด้าน New Service Development และหลักการเรียนรู้ของเครื่อง (Machine Learning) โดยใช้อัลกอริธึมการเรียนรู้แบบมีผู้สอน (Supervised Learning) ประเภทต้นไม้ตัดสินใจ ประกอบเป็นนวัตกรรมต้นแบบ SaaSAdvice แผนงานความเป็นไปได้เชิงพาณิชย์ประกอบด้วยการทดสอบและสำรวจความคิดเห็นเจ้าของกิจการ SMEs ต่อต้นแบบนวัตกรรม SaaSAdvice ตามแบบจำลองการยอมรับเทคโนโลยี Technology Acceptance Model (TAM) จำนวน 63 ราย อยู่ในระดับเห็นด้วยอย่างยิ่ง ค่าเฉลี่ยเท่ากับ 4.34 และวิเคราะห์ความเป็นไปได้ในการนำต้นแบบนวัตกรรม SaaSAdvice ไปใช้ประโยชน์ตามแนวคิด Business Model Canvas โดยประโยชน์ที่ได้รับจากการวิจัยในเชิงวิชาการ ได้แก่ กรอบแนวคิดเทคโนโลยี …

The introduction of quality management Internet of things (QM IoT) can help food supply chain members to enhance real-time visibility, quality, safety, and efficiency of products and processes. วิตามินซี เป็นวิตามินที่สำคัญต่อการทำงานอันเป็นปกติของร่างกายของสิ่งมีชีวิตหลายชนิด รวมถึงปลาสวยงาม หากปลาไม่ได้รับการเสริมวิตามินซีจะส่งผลต่อสุขภาพของปลาอย่างหลีกเลี่ยงไม่ได้ แต่การเสริมวิตามินซีให้กับปลาสวยงามมีข้อจำกัดคือการเสื่อมสลายของวิตามินในน้ำก่อนที่สัตว์น้ำจะบริโภคเข้าไป ผู้ทำสารนิพนธ์จึงนำหลักการเทคโนโลยีห่อหุ้มอนุภาคนาโนมาประยุกต์ใช้ในการเสริมวิตามินซีสำหรับปลาสวยงาม เพื่อให้ปลาสวยงามได้รับวิตามินซีได้อย่างมีประสิทธิภาพ ไม่เกิดการสูญสลายระหว่างการให้ ทำให้เกิดการพัฒนาผลิตภัณฑ์ใหม่ โดยเน้นการศึกษาความเป็นไปได้ในเชิงพาณิชย์ในการยอมรับของกลุ่มเป้าหมาย ตั้งแต่การทบทวนวรรณที่เกี่ยวข้อง การศึกษาทางการตลาด การศึกษาวิจัยเชิงปริมาณต่อกลุ่มเป้าหมาย แผนธุรกิจ แผนการเงิน ตลอดจนการวิเคราะห์ความเสี่ยงในการดำเนินงานของกิจการบริษัท วีมาร์ค เว็นเจอร์ จำกัด ผลการศึกษาเชิงปริมาณพบว่า ราคาของผลิตภัณฑ์ที่ยอมรับได้จากกลุ่มเป้าหมายอยู่ที่ 269 บาท ค่าเฉลี่ยในการซื้อผลิตภัณฑ์อยู่ที่ 55.39 วัน การลงทุนในธุรกิจดังกล่าวมีมูลค่าปัจจุบันสุทธิ (NPV) เท่ากับ 8,887,602.20 มีค่าผลตอบแทนจากการลงทุน (IRR) ที่ 154% และมีระยะเวลาคืนทุน (Payback period) ที่ 3.73 เดือน โดยปัจจัยที่มีความอ่อนไหวในการดำเนินธุรกิจคือ ราคาขาย และจำนวนสินค้าขาย

กีฬาที่จำเป็นต้องออกกำลังกายติดต่อกันเป็นระยะเวลานาน เช่น การแข่งขันวิ่งมาราธอน กำลังได้รับความนิยมเป็นอย่างมาก แม้ว่าอัตราผู้เสียชีวิตจะไม่สูงมากนัก หากแต่อาการบาดเจ็บอื่นๆ เกิดขึ้นบ่อยครั้ง แม้ว่าสามารถบรรเทาได้ด้วยการเตรียมตัวอย่างดี และการฝึกซ้อมที่ถูกต้อง แต่อาการบาดเจ็บก็สามารถเกิดขึ้นได้ทุกเมื่อทั้งระหว่างซ้อมวิ่งมาราธอน ระหว่างแข่งขันวิ่งมาราธอน และหลังจบการแข่งขันไปแล้ว โดยเกิดจากหลายปัจจัย เช่นการเตรียมตัวฝึกซ้อมก่อนแข่งขัน การพักผ่อน การได้รับน้ำและเกลือแร่ที่เพียงพอตลอดระยะเวลาที่แข่งขัน การวิจัยนี้จัดทำขึ้นเพื่อศึกษา คุณสมบัติ และข้อจำกัดของการพัฒนา ผลิต Business model ปัจจัยทางธุรกิจ และการตลาด พฤติกรรมผู้บริโภค และสำรวจทัศนคติในการยอมรับลูกอมเกลือแร่ เพื่อทดแทนน้ำและเกลือแร่สำหรับผู้ที่ออกกำลังกายติดต่อกันเป็นระยะเวลานาน ทำการศึกษาด้วยการศึกษาวิจัยเชิงคุณภาพ (Qualitative Research) และการศึกษาวิจัยเชิงปริมาณ (Quantitative Research) โดยทำทั้ง 2 อย่างควบคู่กันไป ส่วนของการศึกษาวิจัยเชิงคุณภาพ ทำโดยการศึกษาข้อมูล งานวิจัย วรรณกรรมที่เกี่ยวข้อง และสัมภาษณ์เชิงลึก ส่วนของการศึกษาวิจัยเชิงปริมาณ ทำโดยการจัดทำแบบสอบถาม ให้กลุ่มเป้าหมายเพื่อเก็บรวบรวมข้อมูล และความคิดเห็นของผู้ได้รับแบบสอบถาม จากอาสาสมัคร โดยเป็นกลุ่มคนที่ออกกำลังกาย อยู่ในกรุงเทพมหานคร และปริมณฑล จำนวน 100 คน ผลการศึกษาพบว่า การที่จะยอมรับเทคโนโลยีได้ จำเป็นต้องมีผลงานการวิจัยรองรับ และต้องมีความปลอดภัยการแนะนำบอกต่อจากผู้ชำนาญการ แนวทางการนำเทคโนโลยีไปใช้ประโยชน์ในเชิงพาณิชย์ เห็นคนให้นำลูกอมเกลือแร่เพื่อทดแทนน้ำและเกลือแร่สำหรับผู้ที่ออกกำลังกายติดต่อกันเป็นระยะเวลานานไปใช้ประโยชน์ในลักษณะของการจัดตั้งบริษัทใหม่ เนื่องจากลูกอมเกลือแร่เพื่อทดแทนน้ำและเกลือแร่สำหรับผู้ที่ออกกำลังกายติดต่อกันเป็นระยะเวลานานเป็นเทคโนโลยีที่ใช้ต้นทุนในการผลิตที่ต่ำ เนื่องจากว่าใช้เครื่องจักร และวัตถุดิบที่ หาได้ง่ายในท้องตลาด และมีต้นทุนต่ำ และการวิเคราะห์ความเป็นไปได้ในการดำเนินงาน และการลงทุนผลิต มีระยะเวลาคืนทุนประมาณ 10 เดือน มูลค่าปัจจุบันสิทธิ (NPV) จากการลุงทุนประมาณ 5,5579,747 บาท และมีอัตราผลตอบแทนที่แท้จริง (IRR) เท่ากับ 15.09 %

This paper identifies three stages in the radical technological innovation process, namely formation process in niches, breaking out of niches and entering regimes, and new regime formation. It then adopts Multi-level Perspective (MLP) to explore the formation process, operating mechanism, breakthrough path, and impact factors of radical technological innovation. A three-phase model, which includes formation of radical innovation, breakout of radical innovation, and new regimes construction, is proposed to analyze radical technological innovation. To identify the key challenges, issues and opportunities affecting individuals, organizations, and society on coping with COVID-19, we reviewed extant research related to the COVID-19 pandemic in the leading information systems journals. Six major research themes and representative literature for each theme are identified by content analysis. The six major research themes include digital transformation, data visualization and artificial intelligence, infodemic and cybersecurity, IT governance, digital divide, and IS research direction in the post-pandemic period. One of the most written-about and important topics in corporate law is the fiduciary obligations of corporate directors. Increasingly, critics of American capitalism have urged that corporations, and implicitly, corporate directors, act in a more socially responsible fashion and thus eschew the notion that shareholder primacy is the exclusive guide to a director’s fiduciary duty. Under this view, directors must consider the effect of their actions on “stakeholders” other than shareholders and be guided by morality—doing the right thing—when making business judgments.
When directors move away from shareholder primacy, however, decision-making becomes more difficult and problematic. This article analyzes the …

The Investment Advisers Act of 1940 (“IAA”) and its regulatory purview have changed dramatically over the life of the statute. The statute began as a simple registration scheme with barebones conduct integrity prohibitions for wealth managers and purveyors of investment newsletters. Although the statute’s original minimalist cast was deficient, the IAA’s regulatory scope has undergone a fundamental transformation, both in terms of the expanding class of advisers covered by the statute’s substantive provisions and the statute’s expansive structural integrity requirements. This article considers whether the values contained within the idea of human rights have normative priority over economic values as they are inscribed in shareholder-oriented interpretations of the duty of loyalty in corporate law. While stakeholder theorists have sought to expand the ambit of the fiduciary duty—arguing generally that corporate fiduciary law permits managers to take into account a broad range of stakeholder interests—this article shifts the frame of analysis: It proposes that the range of corporate fiduciary loyalty is constrained by human rights as normative values that are distinct from the strictly economic values that are given primacy in …

The Insider Trading Prohibition Act: A Small Step Towards A Codified Insider Trading Law, Kayla Quigley

Many have called for reform to insider trading law, as the current judge-made doctrine is ambiguous, complicated, and ultimately permissive of many instances of trading on nonpublic information. Indeed, Congress has attempted several times to pass a uniform insider trading statute. Most recently, in December 2019, the House of Representatives passed the Insider Trading Prohibition Act (“ITPA”). The legislation codifies many current principles of insider trading jurisprudence while also expanding potential insider trading liability. Moreover, it attempts to fix gaps in the law that various cases, such as United States v. Newman, have declined to address.

The structure of agency relationships in a transaction should have no bearing on the outcome when the only difference between two hypothetical transactions is solely the facial structure. In the same vein, investor protection is at the forefront of the securities laws; commonly used limiting language for market announcements should not be enough to absolve a company from fraudulent disclosures, e.g., “preliminary results.”

Start-ups are institutionally fragile companies that deal with high degrees of risk and uncertainty, especially during short-term shocks, such as COVID-19. This policy brief attempts to identify the needed development in the start-up supporting ecosystem under COVID-19 pandemic, with a special focus on human capital management (HCM), decent work, and labor resilience in start-ups in Egypt. The core question of the paper is: How did COVID-19 pandemic affect the HCM practices in Egyptian start-ups and what is needed for start-ups in Egypt to recover from the crisis and sustain decent jobs and labor resilience?

Studies indicate correlations between personal goal-setting behaviors, performance and attitude in professional roles. An online study was developed and conducted in 2016 with academic library employees to better understand the goal-setting behavior of library employees in a particular context, via setting New Year’s resolutions, which is defined as "a decision to do something or to behave in a certain manner". Results show that nearly half (49.6 percent) of all respondents set New Year’s resolutions in 2016. Goals related to health and fitness topped the list of goals that were set, followed by occupational goals. Of those who felt unclear about …

Purpose
The purpose of this paper is to examine the impact of common ownership on corporate innovation, including innovation input, innovation output and postgrant patents.
Design/methodology/approach
This paper uses the ordinary least square model and the difference-in-differences technique to evaluate the effect of institutional interlocking shareholdings on the life cycle of corporate innovation.
Findings
The results show that common ownership impedes innovation measured by patent grants and citations through reduced R&D expenditures. However, common ownership protects postgrant patents by lowering the likelihood that a co-owned firm gets involved in patent litigation and by accelerating the settlement of lawsuits between co-owned …

Academic models grounded in market efficiency and reputational principles argue that market firms value suffer investors punishment as consequence of international bribery allegations. However, there are indicators of potential mispricing when authorities reveal the details of the allegations. To reconcile this phenomenon, this research theorizes the influence of analysts revised expectations as moderators and/or mediators of the relationship between the reputational and economic penalties, and investors’ response. When lawmakers sought to reshape the financial industry through the passage of the Dodd-Frank Act in 2010, they specifically attacked the “moral hazard” in the asset-backed securities market that they believed was partly responsible for the collapse of global financial markets. Congress identified several practices in asset-backed securitizations that posed a risk to the world economy. This Note provides an overview of the debate around the current state of ESG disclosure practices, and the perceived need for the SEC to establish a system of mandatory ESG disclosures. Part I explores the inherent difficulty of defining ESG, the problematic nature of quantifying and measuring ESG factors, and the tools currently being used by market-leading ratings firms and investment vehicles. In particular, this part addresses the inconsistencies of ESG self-reporting, the influence of this practice on the ensuing ratings, and the potential for investors to be misled as a result.
