Greenfield Or M&A? An Institutional And Learning Perspective On The Establishment Mode Choice Of Chinese Outward Investments, Ilan Alon, Stefano Elia, Shaomin Li

We develop and test a model of Chinese greenfield investments using institutional and learning theories. Both the host country institutional context and the firm's international characteristics affect the establishment mode. Using 152 Chinese emerging market multinationals (EMNEs) with 401 subsidiaries distributed in 26 countries from 2003 to 2013, we build a database of 284 pairs of host country/Chinese firms to test two hypotheses. We find that, first, governance environment affects the establishment mode: greenfield investments are preferred over acquisitions in relation-based host markets, and M&As are preferred in rule-based countries. This article aims to bridge the concept of Plithogenic n-Super Hypergraph in the vicinity of optimal decision making. FDI research has presented consistent evidence that firm experience moderates the effect of risk on entry in a new foreign market. This conclusion is contested by recent research. By revisiting the conceptualisation of risk by economists and behaviourists, we show that the proposed learning mechanism only applies to endogenous risk, not exogenous risk. As assessing endogenous risk involves self-evaluation of risk-reducing capability, it is posited that firms have differential tendencies to take such risks even when experience and ownership are accounted for. We find both observed and unobserved variations in firms' responses to endogenous risk, as opposed to exogenous risk.

Objective: In the Philippines during recent months, a neurosurgical center that caters primarily to socioeconomically disadvantaged patients has encountered unprecedented changes in practice patterns brought about by the COVID-19 pandemic. In particular, the usual task of outpatient care has shifted to the telemedicine format, bringing along all of its attendant advantages and gargantuan challenges. We contribute to the organizational aspirations and corporate venturing literature by theorizing and testing (a) the influence of a firm’s idiosyncratic strategic posture on behavioral responses to performance attainment discrepancies, and (b) that performance feedback may influence multifaceted yet thematically related forms of search. Specifically, we examine the influence of performance feedback on equity-based external corporate venturing. We then propose that a firm’s entrepreneurial orientation (EO) is a critical contingency when theorizing about how firms respond to attainment discrepancies. Our findings indicate that a firm’s EO is an important contingency when considering behavioral responses to attainment discrepancies.

While previous studies focus on differences between family and nonfamily firms regarding CEO selection and executive compensation, this study investigates differences among family firms with different types of kinship ties. We find that, compared with family firms with close kinship ties, those with distant kinship ties are more likely to appoint a nonfamily CEO and to pay nonfamily executives lower salaries. This relationship is moderated by firm performance and family ownership. Based on evolutionary psychology, we propose that family firms with close versus distant kinships have different motivation levels to preserve socioemotional wealth.

Why do some boards refuse to take serious action against CEOs who have committed financial misconduct? Past work has directed attention to the antecedents of misconduct while largely overlooking this question. The relatively few studies to examine it have typically revolved around the capacity of boards to take action, or their relationships to their CEOs. This study instead examines how the beliefs and values held by board members can influence their actions following financial misconduct. Focusing on political ideology, we argue and find that politically conservative boards are more likely to respond by dismissing the CEO than are liberal boards. …

To account for previously ignored, yet widely observed uncertainty in nature's capability to replenish the natural environment in ways that should inform ideal design of ecological compensation (EC) regimes, this study constructs a stochastic differential game (SDG) model to analyze transboundary pollution control options between a compensating and compensated region. Equilibrium strategies in the stochastic, two player game inform optimal control theory and reveal a welfare distribution mechanism to form the basis of an improved cooperative game contract. We consider the applicability to digital platforms of extant international business scholarship. The organization of digital platforms has been seen to such an extent as predicated upon the bundling of external resources for collective value creation that their expansion may follow the logic of externalization. We further that literature contrasting the governance of network multinationals with that of platform-centric ecosystems. Building on and extending the theory of the ecosystem, we propose the concept of ecosystem-specific advantages. 本稿では，日本版スチュワードシップコードの改訂により始まった機関投資家 による議決権行使の結果について，投資家のタイプごとに分析し，どのような投 資家がどのような会社提案議案についてより多くの反対票を投じているかについ て検討した。先行研究に従えば，資産運用会社のように投資先企業とアームズレ ングスの関係を持つ投資家は，保険会社のように投資先企業とビジネス上の関係 を持つ投資家と比較すると，会社側提案に対して異議を唱える可能性が高いとさ れる。また，株式持ち合いなど日本的背景を考慮すると，日本においては，外資 系投資家の方が国内の投資家に比べて，会社提案に対して反対票を投じる可能性 が高いことも予想される。2018年度の議決権行使の結果を分析したところ，ほぼ 先行研究と同じ結果が得られ，業種で分類した場合，資産運用会社の方が生損保 のような保険会社より反対票の比率が高いこと，資本国籍で分類すると，外資投 資家の方が買収防衛策の導入や退任役員への退職慰労金の支給など特定の項目に ついて，日系の投資家に比べて反対率が高いことが確認された。

This paper demonstrates a new way of seeing and theorizing about the dynamics of organizational routines through the concept of paths – time-ordered sequences of actions or events in performing work. Empirically and conceptually, paths provide the missing link between specific actions and patterns of action. When routines are represented as a narrative network, tracing the formation and dissolution of action paths can generate new insights about the dynamic patterning of actions in routine performances. Through this study, we hope to increase understanding of the context, considerations and practices to leverage the amazing diversity of our region. We hope to learn more about what makes a strong workplace culture, particularly in Asia. We turn our attention to the topic of diversity and inclusion, with a focus on gender diversity in the Asian workplace. This is one of the largest studies in Asia to highlight gender differences and evaluate how psychological safety, inclusion and belonging result in strong teamwork which in turn contributes to building high performing great workplaces.
