Another Lochner Era?, Wilson Huhn
Another Lochner Era?, Wilson Huhn
Duquesne Law Review
Many legal scholars have observed that the current Supreme Court is returning to the doctrines, values, and methods of reasoning that were employed between 1873 and 1937-the Lochner era and the era immediately preceding it.1 As it did during the Lochner era, the current Supreme Court elevates property rights over personal rights;2 strikes down major civil rights legislation;3 arrogates power to itself by ignoring legislative intent and administrative expertise;4 and relies on tradition instead evidence-based reasoning to interpret the law.5
The Nineteenth Amendment And Dobbs, Paula A. Monopoli
The Nineteenth Amendment And Dobbs, Paula A. Monopoli
Faculty Scholarship
There was a surge in legal scholarship around the Nineteenth Amendment to the United States Constitution—the Woman Suffrage Amendment—leading up to its centennial in August 2020. But this scholarly interest around the Nineteenth peaked two years before the U.S. Supreme Court’s historic decision in Dobbs v. Jackson Women’s Health Organization in June 2022. This paper revisits the Nineteenth Amendment in light of the Court’s decision in Dobbs. It argues that the Nineteenth should be understood as a ban on sex discrimination that extends beyond the right to vote. The Amendment expands the scope of women’s citizenship as a matter of …

Purpose
This report describes a multifaceted, trauma-informed initiative developed to address racial/ethnic maternal and infant health inequities in Washington, D.C.
Description
Structural racism and systemic oppression of marginalized communities have played a critical role in maternal and infant health inequities in the United States. Black birthing individuals are exponentially more likely to experience adverse birth outcomes, including preterm birth, low birth weight and maternal mortality. In response to these statistics, the Safe Babies Safe Moms (SBSM) initiative was developed to support patients of marginalized identities and improve health outcomes. SBSM Women’s and Infants’ Services Specialty Care (WIS-SC) is one component …
Shareholder Primacy Versus Shareholder Accountability, William Wilson Bratton
Shareholder Primacy Versus Shareholder Accountability, William Wilson Bratton
Articles
When corporations inflict injuries in the course of business, shareholders wielding environmental, social, and governance ("ESG") principles can, and now sometimes do, intervene to correct the matter. In the emerging fact pattern, corporate social accountability expands out of its historic collectivized frame to become an internal subject matter-a corporate governance topic. As a result, shareholder accountability surfaces as a policy question for the first time. The Big Three index fund managers, BlackRock, Vanguard, and State Street, responded to the accountability question with ESG activism. In so doing, they defected against corporate legal theory's central tenet, shareholder primacy. Shareholder primacy builds …

About the Buildings
There is a certain timelessness to the sensory experience of the Reading Room: the scratching and shuffling of paperwork, the muffled thump of a closing book, the dull hum of fans in the warmer months. But in recent years, something decidedly more modern has joined in the chorus: the quiet staccato of laptop keyboards.
The emergence of computers and the internet has reshaped nearly every aspect of how libraries operate. At the same time, trends in legal education and the profession have led to changes in collections management, research-based curriculum, scholarship, the student experience, and other aspects of how law …

Are Illinois Courts Still Champions Of Fiduciary Duties?, Charles W. Murdock, Michael Huiras
Are Illinois Courts Still Champions Of Fiduciary Duties?, Charles W. Murdock, Michael Huiras
Loyola University Chicago Law Journal
Illinois courts have departed from the corporate-law jurisprudence that traditionally served as a champion of fiduciary duties. Historically, Illinois courts have consistently protected minority shareholders and punished directors and those in control for engaging in unfaithful, abusive, and deceitful behavior. In recent years, however, the Illinois Supreme Court has taken a technical approach to fiduciary duties, resulting in wrongdoers getting away with unconscionable conduct. First, this Article will demonstrate why Illinois has historically been characterized as a “shareholder” state by comparing the Illinois and Delaware corporate statutes and examining Illinois courts’ favorable fiduciary duty jurisprudence. In the latter half of …

What's The Use? The Structural Flaw Undermining Warhol V. Goldsmith, Peter J. Karol
Law Faculty Scholarship
This article argues that the Supreme Court’s recent and significant ruling in Warhol v. Goldsmith suffers from a foundational error that jeopardizes its value as precedent. Namely, the Court conceptualized the fair use defense at issue as arising from the alleged infringer’s “commercial licensing” of an Andy Warhol silkscreen to a non-party magazine publisher. But commercial licensing is neither a copyright use nor an act of infringement. It is the passive grant of permission to another to use the licensed work and a promise not to sue. It is incoherent to raise or evaluate fair use as a defense to …

Zero Progress On Zero-Days: How The Last Ten Years Created The Modern Spyware Market, Mailyn Fidler
Law Faculty Scholarship
Spyware makes surveillance simple. The last ten years have seen a global market emerge for ready-made software that lets governments surveil their citizens and foreign adversaries alike and to do so more easily than when such work required tradecraft. The last ten years have also been marked by stark failures to control spyware and its precursors and components. This Article accounts for and critiques these failures, providing a socio-technical history since 2014, particularly focusing on the conversation about trade in zero-day vulnerabilities and exploits. Second, this Article applies lessons from these failures to guide regulatory efforts going forward. While recognizing …

In Unreasonable: Black Lives, Police Power, and the Fourth Amendment, Devon W. Carbado illuminates how both the spectacular and quotidian forms of racialized terror, brutality, and surveillance—characteristic of enslavement—have shaped the construction of our constitutional order. He argues that the combined social normalization and legal naturalization of racial hierarchy paved the way for the development of slave patrols and other early iterations of policing where incredible acts of violence against Black bodies were made ordinary and essential. He explains how this legacy continues today with Fourth Amendment jurisprudence not simply failing to protect rights but rather licensing police violence …

How The Legal Rights Of Brazilian Indigenous People Are Inextricable From The Preservation Of Brazil’S Environment, Elizabeth Walsh
International Program Papers
The rights of Brazil’s Indigenous peoples have changed over time. Indigenous tribes went from original landowners, to enslaved people, to people protected by Brazil’s constitution but persistently marginalized. Through it all, Indigenous groups have protected Brazil’s Amazon Rainforest and Atlantic Forest, leading to healthy vegetation, biodiversity, and benefits to the global climate. This paper tracks how the rights of Indigenous groups correlate to the preservation of Brazil’s environment. Specifically, when Indigenous groups have more legally recognized land rights—as is deserved by their history, occupation of the land, and Brazil’s 1988 constitution—not only does the surrounding environment thrive, but also the …

Pop culture can teach us a lot about the law: almost everyone knows the Miranda warnings and can recite them by heart, thanks to Law and Order and other crime dramas, the concept of a “conservatorship” is familiar to many because of Brittany Spears, and the notorious RBG has become a household name, recognizable in a crown and jabot, partly due to Kate McKinnon’s portrayal on SNL.
Commercials, and the pop culture icons featured in them, can also teach students about the art of persuasive advocacy. At the start of the spring semester, when I segue from objective analysis to …

Ownership Of Social Media Accounts In Bankruptcy Cases, Garrity Kuester

Section 541(a) of title 11 of the United States Code (the "Bankruptcy Code") defines "property of the estate" broadly to include "all legal or equitable interests of the debtor in property as of the commencement of the [bankruptcy] case." Congress did not identify social media accounts as property of the estate under section 541(a)(1) of the Bankruptcy Code. Bankruptcy courts have generally concluded that business social media accounts constitute property interests. As such, these accounts often fall under the purview of the bankruptcy estate.
This memorandum discusses the courts’ analysis of the classification and ownership of social media accounts …

Claims Agents’ Duties And Rights To Compensation May Be Restricted, Giuseppina Mammoliti

In large chapter 11 cases, the number of creditors or claimants may exceed two hundred. Under the Federal Rules of Bankruptcy Procedure, creditors are entitled to notice. It is the role of the Clerk of Court to manage claims and provide notice to creditors. However, due to the notice requirement’s twenty-one-day deadline, it may become burdensome on the Clerk of Court to process claims and provide notice in a timely manner. Therefore, in these large chapter 11 cases, a Claims and Noticing Agent ("Claims Agent") is retained to relieve the clerk of court from claims-management work.
Claims Agents are …

Chapter 5 Avoidance Actions Can Be Sold As Property Of The Estate, Enrica Brook
Bankruptcy Research Library
(Excerpt)
Many courts, including the Fifth, Seventh and Ninth Circuits, have found that avoidance actions, under Chapter 5 of the Bankruptcy Code, are property of the estate. Section 541(a)(1) of the Bankruptcy Code defines property of the estate as "all legal or equitable interests of the debtor in property as of the commencement of the case," and section 541(a)(7) states that "[a]ny interest in property that the estate acquires after the commencement of the case" is estate property. The Supreme Court has interpreted the definition of "property of the estate" broadly, finding section 541(a)(1) can be read "to include in …

Some people today view free speech as a threat to emotional safety and well-being. Cancel culture attempts to silence authors who express “unapproved” opinions by removing access to their works, publicly shaming them, and making attempts to destroy their livelihood. Restorative Justice For International Traditional Cultural Expression Ownership Disputes, Sandra H. Sulzer
Restorative Justice For International Traditional Cultural Expression Ownership Disputes, Sandra H. Sulzer
Michigan Journal of International Law
Traditional cultural expressions (“TCE”), which include dances, songs, and pottery, and traditional knowledge (“TK”), which includes plant properties, agricultural practices, and artistic techniques, are inarguably valuable both to the groups that create them and to outsiders who wish to use or sell them. International law broadly, and intellectual property (“IP”) law more specifically, are not well-suited to protect the interests of creators of TCE and TK. A persistent pattern of exploitation of traditional expressions and knowledge has been well-documented. But responses have been dissatisfying, and sometimes begin from a place of disregarding the value of these contributions. At present, when …
