What if shareholders controlled every decision their company made? This seemingly simple idea threatens to upend the modern corporation.
Shareholders own the corporation and directors and officers manage the corporation—a “separation of ownership and control” that has become a defining characteristic of our modern economy. Per conventional wisdom, the law enables separation of ownership and control by not prohibiting owners and employees from exercising their contractual freedom to hire and work for one another. It is well established that an agent’s act binds the principal only if the agent has actual or apparent authority, or if the principal ratifies the unauthorized act. But the legal status of the unauthorized agreement between the agent (purporting to act for the principal) and the third party remains unclear. Courts confusingly refer to it almost interchangeably as a “void” contract, as a “voidable” contract, and as a nonexistent or unformed contract. All three categories appear to fit uneasily, though: voidable contracts are presumptively valid and enforceable, void contracts cannot be ratified, and assent through ratification relates back to …

Federalizing Ncii Regulation: The Take It Down Act’S Approach To Criminalization, Platform Liability, And Threats To Disseminate, Trudi K. Sundberg

For years, legal scholars, advocates, and victims have pushed for the federal criminalization of the nonconsensual publication of intimate imagery. Until now, regulation has been inconsistent across jurisdictions, often leaving victims without meaningful remedies or mechanisms for image removal.
The recent passage of the Take It Down Act has finally realized the goal of federal criminalization of nonconsensual intimate image distribution, including that of artificially generated images. The Act further initiates a framework for victim-led takedown procedures and engages with § 230 liability. Additionally, the Act addresses threats to disseminate such content, which is crucial to curb the spread of …

State Constitutional Rights To Privacy, Tiffany C. Li

This article examines state constitutional rights to privacy, presenting a comprehensive survey of all states that have explicit rights to privacy enumerated in their constitutions. Understanding state constitutional rights to privacy is particularly critical now in the wake of the 2022 U.S. Supreme Court decision Dobbs v. Jackson Women’s Health Organization, which significantly restricted the scope of federal constitutional privacy rights. As states have the authority to independently interpret their constitutions, state constitutional law may provide a path forward for privacy.

Questions about which rights, liberties, and guarantees are included in the U.S. Constitution’s protections, and how they are protected, have long produced animated debate among scholars, judges, and advocates. Yet, while today’s debates may seem familiar, they take place at a perilous time in our country’s trajectory. We are six decades removed from the Warren Court’s criminal procedure revolution, and just a few years into the Roberts Court’s full-throated embrace of originalist jurisprudence. Whether many of the protections we have come to know and recognize from the Warren Court—the exclusionary rule, Miranda warnings, and Gideon’s mandate—are subjected to re-evaluation …

Rescuing State Punishment Clauses From The Deferential Doctrine, William W. Berry Iii

A number of state appellate courts read any sentencing decisions by lower courts that are “within the statutory sentencing limits” as constitutional or presumptively constitutional under both the Eighth Amendment and the punishment clause in their state constitutions. This “deferential doctrine” ignores both the individual rights of criminal defendants and the role of state courts in placing some constitutional limit on the sentencing schemes adopted by state legislatures.
In an age of mass incarceration and excessive spending on punishment, this blind deference state courts show state legislatures should end. This article demonstrates how and why state courts should use the …

As some federal constitutional protections contract, state constitutions are becoming an increasingly important source of individual rights. But state constitutional development involves either amendment or litigation, processes both slow and costly. Ten states offer a third path: They empower governors to request advisory opinions from their supreme courts. These governors, however, have rarely exercised this power.
This article argues that a governor’s refusal to seek such advice violates the constitutional duty to faithfully execute the law; specifically, the law respecting the separation of powers. Drawing on an empirical analysis, I first show that governors are generally shy to ask for …

Purpose: Americans frequently turn to online social networking sites (OSNs) as a source of news and information. Yet the role of OSNs in knowledge formation about local public schools remains underexamined. This study explores how public knowledge about local schools is constructed on Facebook. Research Methods/Approach: This ethnographic case study centers on a large “private” Facebook group in the community of Oldtown (pseudonym). Drawing on digital public sphere theory, this study examines who posts about the schools on Facebook, what they post, and how interaction shapes the collective knowledge about local schools on Facebook and beyond. This thesis examines the strengths that Afghan students and their families bring to U.S. schools and how these strengths are often overlooked. Drawing on my experience as an Afghan immigrant, math teacher, and bilingual instructional aide, I explore how Afghan students, parents, and teachers describe these cultural, linguistic, and relational assets that shape students’ learning and sense of belonging. I use the Community Cultural Wealth (CCW) and Funds of Knowledge (FoK) as guiding frameworks to understand the aspirational, linguistic, familial, social, navigational, and resistant capital present in participants’ experiences (Moll et al., 1992; Yosso, 2005).

Kelp forests are declining globally under warming seas, altered predator–prey dynamics, and intensified herbivory, with sea urchins often driving shifts from canopy-dominated forests to persistent urchin barrens. Management commonly relies on labor-intensive urchin removals, with variable success, underscoring the need for complementary, ecosystem-based tools that directly reduce urchin grazing pressure. Focusing on far northern California kelp forests, we combined subtidal surveys, field experiments, and laboratory feeding assays to assess whether the understory alga Desmarestia cf. herbacea can provide associational defense for bull kelp (Nereocystis luetkeana) by physically deterring purple sea urchin (Strongylocentrotus purpuratus) grazing and offering low …

Public information that provides an estimate of reproductive success, in addition to information gained through direct environmental sampling, may provide an efficient way for individuals to assess future breeding site quality. I investigated the hypothesis that prospecting Western Bluebirds (Sialia mexicana) use post-breeding public information to select nest sites the following year across winegrape vineyards in Napa Valley. In late summer of 2023, I installed 200 nest boxes across 10 vineyards without prior box history. Glioblastoma (GBM), the most aggressive and treatment-resistant subtype of glioma, accounts for the majority of brain tumor–related mortality. A defining feature of GBM is its ability to invade healthy brain tissue through extensive cell migration, which severely limits the effectiveness of surgical and pharmacological treatments. Increasing evidence suggests that GBM cells activate gene programs known to drive normal neural stem and progenitor cell (NSPC) migration; however, the precise molecular mechanisms shared between NSPCs and GBM cells remain poorly understood. Training for a cross-country season requires athletes to accumulate a high volume of training miles at different intensities. Over a period of months and years, consistent high training volumes have been shown to contribute to overuse injuries in cross country athletes. Injuries have been shown to negatively impact athlete’s mental health; this is especially true in student athletes. The purpose of this research is to explore the mediating effect of injuries on the relationship between training volume and mental health in collegiate cross-country runners. Artificial Intelligence (AI) is crucial to numerous functions required for driving automation systems, including the computer vision techniques used to detect the roadway environment and make real-time decisions. However, the images used as inputs to the AI system may be maliciously perturbed, or manipulated, causing the AI system to make an incorrect classification. In this study, we examined humans’ perception of the AI’s computer vision capability of classifying various road sign images, including the original images, images with two different types of malicious attacks, and images that are scrambled randomly at the pixel level. This study examines the relationship between encounters with the criminal justice system and psychological well-being in a large U.S. sample. This project builds upon previous research about the negative outcomes tied to such encounters by examining potential long term negative effects on people’s subjective well-being and sense of meaning and purpose in life. Panel study participants indicated their lifetime exposure to the criminal justice system, and then, about two years later, indicated their current subjective well-being and sense of meaning and purpose in life. Our findings reveal that the number of past police arrests is associated with reductions in well-being, …

This article presents a case study examining whether the creation and use of research plans enhance the effectiveness of legal research by law students. Despite their emphasized role in legal research pedagogy, research plans are often underutilized by students in their summer jobs, clinical work, and post-graduate employment. Through a three-part study, the authors surveyed upper-level students about their use and impressions of research plans, analyzed performance outcomes from a research simulation involving a legal hypothetical, and evaluated five years of assessment data from a 1L Legal Research course. Joseph Smith Jr. As A Translator: The Book Of Abraham As A Case Study, Stephen O. Smoot
Interpreter: A Journal of Latter-day Saint Faith and Scholarship
This paper examines Joseph Smith’s approach to translation, using the Book of Abraham as a case study to explore the interplay between divine revelation and human participation in scriptural production. While the Book of Abraham incorporates both ancient and modern elements, its unique synthesis resists simple categorization as either an unblemished Abrahamic autograph or a purely nineteenth-century pseudepigraphon. Drawing on historical evidence and textual analysis, this paper aims to illuminate Joseph Smith’s role as both translator and revelator, offering insights into how Latter-day Saints might understand the complex process of producing sacred texts.

From Revolution To Restraint: The Domestic Origins Of France's Foreign Policy Of Non-Intervention In 1830, Annabelle Crawford

Many prominent theories of international conflict would predict that in the aftermath of the 1830 revolutions, France should have gone to war with the conservative powers of Europe on behalf of Belgium. However, despite military and political opportunities for war, incentives to spread or counter France’s new liberal ideology, and misunderstandings between France and the other European powers, French leaders and leaders of the conservative great powers alike actively pursued a European peace. This presents a theoretical puzzle: why wasn’t there a conflict between the French revolutionary state and other European states in the aftermath of the July Revolution?
