This Article identifies problems and opportunities at the intersection of mergers and acquisitions (M&A) and corporate crime and compliance. In M&A, criminal successor liability is of particular importance, because it is quantitatively less predictable and qualitatively more threatening to buyers than successor liability in tort or contract. Private successor liability requires a buyer to bear bounded economic costs, which can in turn be reallocated to sellers via the contracting process. Criminal successor liability, however, threatens a buyer with non-indemnifiable and potentially ruinous punishment for another firm’s wrongful acts.

The acronym SWERF, or Sex Work(er) Exclusive Radical Feminism, and its attendant ideologies brings up a number of questions and potential schisms for the enterprise of feminist thought more broadly. This inquiry examines what it means for feminism to exclude, what the excluders believe is gained by protecting certain boundaries around which identities and practices are included, and the ideological foundations and consequences of this thinking. Despite the beneficial impacts of drug court participation, access to these programs may not be equitable across racial groups. The reasons behind racial disparities in access to these programs are not well-documented in the current literature. This study investigates disparities in access to drug court and the possible reasons they occur. Chi-square tests are used to assess for disparities in admissions between Black and White individuals referred to drug court. This dissertation examines select key factors that influence voter choices in state trial court judicial elections in three large, cosmopolitan counties in California and Texas. These include ballot designations (i.e., professional titles of candidates), “evaluations” of candidates by local bar associations, newspaper endorsements, political party affiliation, and gender. Focus here is on ballot designations and local bar association evaluations; the subjective opinions issued by local bar associations as official-sounding, objective and qualitative evaluations. In turn, local bar associations are private, voluntary associations consisting of fee-paying members and not overseeing state bar associations as many laypeople believe. As health officials asserted their public health authority to stop the pandemic and promote health equity, elected officials moved to limit their ability to do so. From the perspective of patent industry innovation chain, this paper analyzed the regional differences of the patent technology innovation efficiency and industrial technology innovation efficiency in Beijing-Tianjin-Hebei, the Yangtze River Delta and the Pearl River Delta, as well as the spatial patterns and industrial characteristics of cities with various types of technological innovation efficiency. It is found that there are significant differences in patent and industrial technology innovation efficiency among the three urban agglomerations. Constructing innovation networks and cultivating innovation corridors are important to realize regional innovation development. Based on the data of patent transfer from 1987 to 2018, this paper analyzes the spatial-temporal evolution of technology transfer network at different scales in the Yellow River Basin, and proposes the cultivation path of Zhengzhou-Luoyang-Xi’an innovation corridor. Firstly, it is found that a majority of technology transfer within the basin is switching from inter-provincial transfer to intra-provincial transfer, with provincial capitals being the main source of technology. Digitalized industrial cluster is the new development trend of China’s digital economy. This study estimates the extent of digitalization of national industrial clusters in China, by using spatial statistics, visualization techniques, and cluster-belt matching, with data on clusters promoted by the National Development and Reform Commission, Ministry of Industry and Informalization Technology, and Ministry of Science and Technology, and on-line industrial belts (2021) developed by Alibaba Group. Under financial capitalism, ordinary people are increasingly becoming 'unwilling gamblers' of a risky and unstable system. This paper explores the social and institutional change behind the neoliberal movement and considers how the politics and policies of neoliberalism have contributed to a certain environment of financial instability. Looking at the changing nature of the economy, the rapid expansion of the financial sector, and the persisting issue of moral hazard underlying risky and speculative behaviors among other items, reveals a financial system in which recessions and crises can be considered a natural, although not inevitable, effect.

In New York City, all workers regardless of citizenship status are granted the same rights under New York State labor laws. But in the construction industry, undocumented immigrant workers who are reluctant to report violations are at risk of being exploited by their employers and often fall victim to wage theft.
