Cardozo Law News Archive

David Rudenstine, published an opinion piece in The Hill on January 10, 2025 about crisis at the Supreme Court. He argues that much of the distrust that the public feels for the court is warranted, and in order to fix this problem, Chief Justice John Roberts should implement an enforcable code of ethics for him and his fellow justices to follow.

100th Henry M. Campbell Moot Court Competition: Final Round, University Of Michigan Law School Jan 2025

100th Henry M. Campbell Moot Court Competition: Final Round, University Of Michigan Law School

Event Materials

Nearly a century has passed since Henry Munroe Campbell’s law partners met with the dean of the University of Michigan Law School to establish a memorial for their friend and colleague. As a result, the Law School’s nascent “case club competition” was named in Mr. Campbell’s honor, a fitting way to combine his love for Michigan Law, oral advocacy, and the training of young lawyers.

I do not know what Mr. Campbell’s law partners envisioned when they met with the dean. They couldn’t have envisioned this beautiful room we are in today for the Final Round—Hutchins Hall didn’t even exist …

Who Teaches Consumer Law?, Jeff Sovern

Faculty Scholarship

This paper reports on a survey of 31 law professors teaching consumer protection law conducted in connection with the Center for Consumer Law & Economic Justice at the UC Berkeley School of Law and the Center for Consumer Law at the University of Houston Law Center’s 2024 Teaching Consumer Law Conference. Surveys posed at previous editions of the Teaching Consumer Law Conference focused largely on what topics are covered in consumer law courses. The 2024 iteration of the survey instead explored responding professors’ goals in consumer law courses and experiences with and views on consumer law matters. Among the findings: …

Through A Glass Darkly: How Securities Disclosures Give A Distorted View Of The Economy, Gerald F. Davis Jan 2025

Through A Glass Darkly: How Securities Disclosures Give A Distorted View Of The Economy, Gerald F. Davis

Seattle University Law Review

Our understanding of the American economy often relies on stylized facts derived from mandatory disclosures by listed corporations. Data vendors like Standard & Poor’s vacuum up 10Ks and proxy statements into databases, and scholars distill these into tentative maps. This may have been adequate for a postwar economy centered on asset-heavy manufacturers, but it is increasingly out of step with an information-based economy. Companies listed on the stock market are fewer in number and less representative than they were, light in tangible assets and people, and heavy on IP. Basic facts such as what industry they are in are increasingly …

Straight From The Students: The Impact Of Law School Experiences On Professional Identity Formation, Megan Bess Jan 2025

Straight From The Students: The Impact Of Law School Experiences On Professional Identity Formation, Megan Bess

Marquette Law Review

Unlike other professions, there exists little research about the professional identity formation of law students. This process is key to professional socialization as they transition from student to lawyer. Research from other fields (notably medicine) and limited research on first-year law students suggest that authentic, real-world experiences have a significant impact on professional identity formation. With this hypothesis in mind, this Article presents data gathered from graduating law students about the impact of law school experiences on their ability to think and act like a lawyer. This research was conducted with a goal to aid law schools in directing professional …

Legal Deserts Or Mirages? Lawyers, Legal Services, And Respect For Law In Rural Wisconsin And Rural America, Joseph A. Ranney Jan 2025

Legal Deserts Or Mirages? Lawyers, Legal Services, And Respect For Law In Rural Wisconsin And Rural America, Joseph A. Ranney

Marquette Law Review

In recent years the legal profession has raised alarms about a perceived shortage of lawyers in rural America. State legislatures, courts, and bar associations have created rural lawyer recruitment (RLR) programs to address the perceived shortage, which include stipends, logistical support, and training for law students and lawyers willing to make a commitment to rural practice. Is there really a crisis? If so, are current RLR programs an effective means of stemming the crisis?

This Article examines these questions from several different angles, singling out rural Wisconsin for particular attention. It concludes that although lawyer density ratios (the proportion …

Corporate Scenarios: Drawing Lessons From History, Madison Condon Jan 2025

Corporate Scenarios: Drawing Lessons From History, Madison Condon

Seattle University Law Review

As corporations are increasingly pressed to reveal information about their exposure to climate-related risks, they are often asked to undertake and disclose the outcome of “scenario analysis.” In this exercise, corporations, including financial institutions, examine how their business would fare under different pathways the future may take. One oft-used scenario, for example, is the International Energy Agency’s “Net-Zero by 2050: A Roadmap for the Energy Sector.” This Essay presents a history of the use of scenarios as a corporate planning tool, particularly in the oil industry, arguing that it is key for understanding our present moment and the role of …

Shareholder Expression In A Time Of Heightened Political Tension, Aaron A. Dhir Jan 2025

Shareholder Expression In A Time Of Heightened Political Tension, Aaron A. Dhir

Seattle University Law Review

In this article, I provide context for my forthcoming research project on shareholder proposals and racial equity audits. Since the murder of George Floyd in May of 2020, progressive shareholder actors have increasingly used the proposal mechanism to advance diversity, equity, inclusion, and justice-related goals. These proposals have frequently gone beyond requesting the usual corporate fare of diversity trainings, intersectionality workshops, affinity groups, etc. Instead, a more ambitious type of proposal asks corporate America to conduct racial equity audits, defined as “an independent, objective and holistic analysis of a company’s policies, practices, products, services and efforts to combat systemic racism …

Corporate Governance Speech, Sarah C. Haan Jan 2025

Corporate Governance Speech, Sarah C. Haan

Seattle University Law Review

The State has always regulated the intra-firm communications that make corporate governance possible, most commonly by mandating disclosures of information by a corporation to its shareholders. Some such laws are labeled “securities regulation,” but securities regulation is a broad category that extends to speech by actors who are outside the corporate enterprise as well. Also, the conventional securities regulation category does not capture all such laws; other examples, including informationforcing mandates, can be found in state corporate law. This Article uses the term “corporate governance speech” to describe the communications among shareholders, directors, and officers through which corporate governance is …

Dark Accounting Matter, Colleen Honigsberg Jan 2025

Dark Accounting Matter, Colleen Honigsberg

Seattle University Law Review

Physicists calculate that approximately 85% of the matter in the universe is composed of “dark matter” that “does not absorb, reflect, or emit electromagnetic radiation and is therefore difficult to detect.” The S&P 500 currently trades at a price-to-book value of 4.2, suggesting that book value accounts for less than 20% of the S&P 500’s market value. The remaining 80% appears nowhere in these firms’ balance sheets—it is invisible to contemporary accounting techniques and constitutes “dark accounting matter.”

Some “dark accounting matter” is composed of factors commonly described as components of “ESG.” Human capital, for example, is an intangible asset …

The Employees’ Dilemma: Balancing Internal Reporting, Whistleblowing, And Insider Trading Risks, Geeyoung Min Jan 2025

The Employees’ Dilemma: Balancing Internal Reporting, Whistleblowing, And Insider Trading Risks, Geeyoung Min

Seattle University Law Review

The Essay examines how recent developments in insider trading regulations and whistleblower reward programs can lead to unintended and counterproductive results of discouraging employees from using internal reporting channels within corporate compliance programs. While the presence of a robust and well-functioning corporate compliance program is a critical factor both in mitigating the level of public enforcement actions against companies and in protecting corporate managers from liability in private litigation, these programs often provide little incentive for employees to report potential misconduct internally.

Corporate compliance programs are designed to promote the upward information flow within the company, which is essential for …

How The Antidiscrimination Law Of Commercial Transactions Really Works, Helen Norton Jan 2025

How The Antidiscrimination Law Of Commercial Transactions Really Works, Helen Norton

Seattle University Law Review

A variety of businesses now cite 303 Creative when seeking First Amendment protection for their refusal to serve certain customers based on those customers’ protected class status. How this litigation will play out remains to be seen. But future courts need not, and should not, repeat the 303 Creative Court’s misunderstanding of how the antidiscrimination law of commercial transactions actually works.

Part I of this Essay explains the Court’s longstanding understanding of the antidiscrimination law of commercial transactions, and then describes the Court’s failure to engage with this precedent in 303 Creative. Part II then identifies the 303 Creative decision’s …

When Lsat Doesn't Matter And Other Surprising Finds From A Deep Dive Into Academic Probation In Law School, Kari Milligan, Ryan Jerome Lecount Jan 2025

When Lsat Doesn't Matter And Other Surprising Finds From A Deep Dive Into Academic Probation In Law School, Kari Milligan, Ryan Jerome Lecount

Faculty Scholarship

Numerous students nationwide are placed on academic probation and ultimately dismissed from law school each year. While students often carefully conceal their probationary status, their lack of visibility within legal communities should not be mistaken for an absence of need. These students are frequently uniquely vulnerable—facing unexpected family emergencies or entering law school unprepared. The consequences of dismissal are dire, with students experiencing adverse mental health effects and financial exigencies. During the 2023–2024 academic year alone, tuition and fees for a single year of law school ranged from $30,000 to $48,000. Yet, little research—particularly quantitative—has been conducted in service of …

Why Academic Law Librarians Quit: Results Of The Law Librarian Exit Survey, Laura J. Ax-Fultz Jan 2025

Why Academic Law Librarians Quit: Results Of The Law Librarian Exit Survey, Laura J. Ax-Fultz

Faculty Scholarly Works

The pandemic exposed the struggles of workers everywhere. The complexity of handling family, work, illness, and a host of other issues led many to reconsider their employment. The phrase “The Great Resignation” summed up the zeitgeist of the early pandemic. Concurrently, open positions for academic law librarians were increasing. I sought to unravel the apparent surge in open positions by surveying academic law librarians to discover why they resigned from their positions or considered leaving them during the period of January 2020 through June 2023.

These findings were evaluated within the context of a high volume of job postings in …

Effectiveness Of Research Plans: A Case Study, Thomas "Tj" Striepe, Savanna L. Nolan

Faculty Datasets

This article presents a case study examining whether the creation and use of research plans enhance the effectiveness of legal research by law students. Despite their emphasized role in legal research pedagogy, research plans are often underutilized by students in their summer jobs, clinical work, and post-graduate employment. Through a three-part study, the authors surveyed upper-level students about their use and impressions of research plans, analyzed performance outcomes from a research simulation involving a legal hypothetical, and evaluated five years of assessment data from a 1L Legal Research course. While the experimental study did not yield statistically significant results, students …

Flexibility And Resilience Are Essential Legal Skills, Margie Alsbrook Jan 2025

Flexibility And Resilience Are Essential Legal Skills, Margie Alsbrook

Articles

The legal profession is facing an era of change driven by technological advancements, environmental crises, shifting client expectations, and evolving societal norms. This article argues that flexibility and resilience are not just positive personality traits but essential legal skills that should be intentionally cultivated in law school curricula. By integrating adaptability into legal education—through emphasizing the evolving nature of law, incorporating interdisciplinary approaches, reshaping assessments, and fostering collaborative learning—law schools can better equip students to navigate an unpredictable future. Encouraging law students to embrace flexibility and resilience as a professional skill will not only enhance their long-term success but also …

Technique With Ideals: An Essay On Professional Identity And Cause Lawyering, Patrick Longan, Mark Brown Jan 2025

Technique With Ideals: An Essay On Professional Identity And Cause Lawyering, Patrick Longan, Mark Brown

Articles

The accreditation standards of the American Bar Association Section on Legal Education and Admission require every school to "provide substantial opportunities to students for . .. the development of a professional identity." The standards include Interpretation 303-5, which provides guidance about what professional identity means for lawyers and how law schools should seek to shape the professional identities of their students: "Professional identity focuses on what it means to be a lawyer and the special obligations lawyers have to their clients and society. The development of professional identity should involve an intentional exploration of the values, guiding principles, and well-being …
