Jumpstart Regulation Crowdfunding: What Is Wrong And How To Fix It, Jo Won
Jumpstart Regulation Crowdfunding: What Is Wrong And How To Fix It, Jo Won
Lewis & Clark Law Review
In 2015, the Securities and Exchange Commission adopted Regulation Crowdfunding, which permitted small businesses and startups to raise capital from the general public online. Unfortunately, Regulation Crowdfunding failed its essential purpose to facilitate capital formation for small businesses and startups due to its high transaction costs and low offering limit. But it turns out that equity crowdfunding in other countries—especially in Great Britain—is highly successful, and in some cases, exceeds venture capital funding. In these countries, equity crowdfunding’s transaction costs and disclosure requirements are much lower than, and issuers may raise more money than, offerings under Regulation Crowdfunding. Furthermore, the …
The Ambivalent Effect Of Complexity On Firm Performance: A Study In The Global Service Provider Industry, Marcus M. Larsen, Stephan Manning, Torben Pedersen
The Ambivalent Effect Of Complexity On Firm Performance: A Study In The Global Service Provider Industry, Marcus M. Larsen, Stephan Manning, Torben Pedersen
Management and Marketing Faculty Publication Series
Prior literature is ambivalent about whether organizational complexity has positive or negative effects on firm performance. Using rich data on global service providers, we explore this ambivalence by disentangling performance consequences of different types of organizational complexity. We show that complexity arising from the coordination of different services and operations negatively influences profit margins through increased coordination costs, whereas complexity coming from the sophistication of particular services may positively influence margins through informational advantages. We also investigate the moderating effects of process commoditization and client-specific investments. Our findings point to critical performance dilemmas facing global service providers in a highly …

Unbundling Freedom In The Sharing Economy, Deepa Das Acevedo
Unbundling Freedom In The Sharing Economy, Deepa Das Acevedo
Faculty Articles
Courts and scholars point to the sharing economy as proof that our labor and employment infrastructure is obsolete because it rests on a narrow and outmoded idea that only workers subjected to direct, personalized control by their employers need work-related protections and benefits. Since they diagnose the problem as being our system’s emphasis on control, these critics have long called for reducing or eliminating the primacy of the “control test” in classifying workers as either protected employees or unprotected independent contractors. Despite these persistent criticisms, however, the concept of control has been remarkably sticky in scholarly and judicial circles.

Us Equity Crowdfunding: A Review Of Current Legislation And A Conceptual Model Of The Implications For Equity Funding, Lynda Y. De La Viña, Stephanie L. Black
Management Faculty Publications (Archived)
Recently developed SEC guidelines provide the regulatory framework for Title II of the Jump Start our Business (JOBS) Act of 2012, which legalizes interstate equity crowdfunding in the United States. Concurrently, eighteen states have passed legislation or promulgated regulations that allow intrastate equity crowdfunding. At present, the literature has not addressed what this nascent funding mechanism will offer to investors, as well as, those seeking funding for entrepreneurial projects within the U.S. Therefore, this paper provides a review of current U.S. legislation, discusses the anticipated implications of equity crowdfunding, and develops a conceptual model that demonstrates potential outcomes.

Leaders of minority-owned businesses earn less revenue on average than their nonminority counterparts, even when both sets of leaders operate in the same industries. The purpose of this multiple case study was to explore the strategies that some leaders of minority-owned small businesses use to compete for contracts in high-revenue industries. The study population comprised 3 owners of minority-owned small marketing consultancy firms headquartered in the Southeastern United States. Teece and Pisano’s dynamic capabilities view served as the …

University-Based Technology Start-Up Incubators – Evaluating Their Contribution To The Co-Production Of Knowledge, Innovation And Growth. Experience From The Edge, Anthony Paul Buckley, Stephen Davis
Articles
Policy makers in developed economies see merit in supporting the innovative abilities of technology entrepreneurs. It is hoped that from these highly–educated entrepreneur(s), new technology and service–based firms (NTBFs) can emerge. Indeed empirical evidence suggests that it is fast-growing young innovative firms which provide the bulk of new employment growth (Henrekson & Johansson, 2010; Storey & Greene, 2010). Start-up incubators are one of a number of micro-policy interventions with which states attempt – primarily through publically funded higher education Institutions - to support technology entrepreneurs to develop and commercialise their innovations. Incubator numbers have grown globally from their first appearance …

Thus, the usefulness of the proposed framework was confirmed. Implications and future research opportunities are presented.

Since 2000, the number of incubators in the United States has almost trebled while that in Europe has more than doubled. This article outlines the challenges involved in attempting to evaluate the contribution of the higher education technology start-up incubator process. It advocates theory-based evaluation (TBE) methodology as a possible solution for effective evaluation (and policy learning) in complex research settings such as this, where a study is unable, for myriad reasons, to meet the stringent requirements of experimental research design. In explaining the 2015 survey findings that the Philippines has the second to the lowest existing business rate in the ASEAN region, the Philippine Entrepreneurship Report, 2015-16 stated that “business operations become more burdensome as they grow due to the more restrictive regulations on large enterprises” (Velasco et al., 2017, p. 40). Established businesses, particularly firms operating in the formal sector, shoulder higher taxes and are subject to social security contributions, minimum wage, and industry-specific regulations (Velasco et al., 2017; Auriol, 2014).
