To the question : “Are the Lebanese banks in cessation of payment ?”, the answer is obviously yes according to both the special definition of the cessation of payment of banks in the Intra law no. 2/1967, and the general definition of the “cessation of payment” in the Code of commerce (article 489). The legal scrutiny so confirms the common “feeling” of obvious bankruptcy of the banks for almost three years. This study dealt, initially in 2018, with a long-running controversial issue in doctrine and case law, namely the determining criterion in civil liability of board members in a joint-stock company allowing to differentiate between the company’s claim that the shareholder can exercise alone (known as ut singuli claim) and the shareholder’s claim to request compensation for his "individual" damage. The new 2015 UAE law for commercial companies has confused, in the wording used in Article 166, between the damage suffered by the company and the "individual" damage suffered by the shareholder. Except for specific limited amendments, the Lebanese corporate law has remained unchanged for many years. Several drafts aiming to reform and modernize such law have been prepared since the 1990s. But it is only in 2019 that a new draft has been voted hastily by the parliament, and has entered into effect on the 1st of July 2019. Private businesses increasingly face copyright liability and burdensome licensing fees under the Public Display Provision of the Copyright Act of 1976, despite engaging in activities that cannot be truly considered public. This Note examines the historical development of the Public Display Provision, analyzes case law involving public accommodations and semi-private entities, and explores the intersection between copyright enforcement and U.S. antitrust principles. It argues that Congress did not intend for private, employee-only business settings to fall within the scope of the Public Display Provision and that the current enforcement regime enables anticompetitive licensing practices by performing rights organizations. Disproportionate Influence: Rethinking Control In American Corporate Governance, Dhruv Aggarwal, Ofer Eldar

Northwestern University Law Review

Corporate law has undergone a gradual transformation. Founding chief executive officers (“founder-CEOs”) and activist hedge funds increasingly dominate leading American corporations despite owning well short of a majority of shares. Founder-CEOs, through personal brands or dual-class voting structures, control firms despite having minority stakes; activist hedge funds, with single-digit holdings, press for major governance changes. We argue that these two types of shareholders, often treated as opposites, both dominate corporations through disproportionate influence rather than majority ownership. We describe these investors who dictate corporate policy through disproportionate influence as high-influence shareholders.

Contractualizing Corporate Governance, Jonathan C. Lipson, Eli Alexander Evans

The relationship between fiduciary duty and contract has never been clear. The law of fiduciaries has long constrained discretionary control of other people’s property, notably in corporate governance, where directors owe a corporation duties of care and loyalty. Yet, contract has also had the capacity to modify these duties in important—but uncertain—ways because neither body of law contains a meta-rule specifying which would “trump” in the event of conflict. Uncertainty was rarely problematic, however, because directors lacked the power to fully contract away their control of the corporation or their concomitant fiduciary duties.

Selective Flexibility: The Hidden Evolution Of Startup Corporate Law, Alvaro Pereira

This Article challenges the longstanding assumption that corporate law is largely irrelevant to non-listed companies and venture capital ( “VC”). Through a novel cross-country legal index covering twenty years and twelve jurisdictions, this Article shows that corporate laws have evolved through a process of “selective flexibility,” where certain legal barriers to VC deals are lifted, while others are stealthily preserved. For example, numerous reforms have enabled multiple-vote shares, but few have authorized the customization of board powers, limiting the universe of founder-investor agreements—and, ultimately, the development of startup ecosystems and VC markets.

Delaware has long dominated the American market for corporate charters, supported by its flexible corporate statute, specialized Court of Chancery, deep body of precedent, and strong network effects. Recent developments, however, suggest that Delaware’s dominance is facing more serious pressure than it has in decades. High-profile reincorporations, growing concern over Delaware litigation, and new statutory and judicial developments in other states have created a more active market for corporate law.

This first-of-its-kind Article uses a novel hypothetical to explore the expanding role of compelled arbitration. The hypothetical involves numerous large corporations agreeing to cross-reference each other in their arbitration agreements, thus attempting to create a massive arbitration web ensnaring nearly every American and allowing corporations to compel arbitration against parties with whom they never interacted. Corporate governance structures have proven fundamentally inadequate for managing the unprecedented challenges of artificial intelligence development, as demonstrated by OpenAI's dramatic 2023 governance crisis and the broader failure of both traditional and hybrid corporate forms to balance massive capital requirements with public safety concerns. Current approaches create three critical failures: structural accountability gaps between boards and management, distorted power dynamics from concentrated capital needs, and an inability to enforce safety commitments against commercial pressure. The modern Environmental, Social, and Governance (ESG) movement promotes diversion of corporate assets from shareholders to “stakeholders.” This is done in the name of a corporate duty to society. But “successful” ESG efforts threaten the success of the corporate form by inviting rent-seeking. This conflict between ESG principles and established theories and norms of corporate law is difficult to resolve because corporate law lacks the tools needed to understand the type of collective decision-making that occurs in the corporate setting.
