In 1855, representatives for the United States traveled to the Great Plains with orders to seek peace with Blackfoot Nation so the westward expansion of “civilized” white settlers could continue without interruption. After weeks of negotiations, the United States plan materialized. The terms of these promises were memorialized on October 17, 1855, in a treaty between the United States government and Blackfoot Nation.

Service members in the armed forces are bound by a different set of rules when compared to other U.S. citizens. Some of the normal safeguards and protections that civilians enjoy are much more restrictive for military service members, and this is generally for a good reason. Such restrictions are partly due to the complex demands and needs of the United States military. Congress and the President have entrusted military commanders with special powers that enable them to handle minor violations of law without needing to go through a full judicial proceeding. Streetcars were the greatest American tortfeasors of the early twentieth century, injuring approximately one in 331 urban Americans in 1907. This empirical study presents never-before-assembled data concerning litigation involving streetcar companies in California during the early twentieth century.
This Article demonstrates the methodological folly of relying upon appellate cases to describe the world of trial court litigation. Few cases went to trial. Plaintiffs lost about half their lawsuits. When plaintiffs did win, they won very little money. Regarding the bite taken out of the street railway company, the Superior Court was a flea.

All Stick And No Carrot? Reforming Public Offerings, Stephen J. Choi, Adam C. Pritchard

The SEC heavily regulates the traditional initial public offering (IPO). Those regulatory burdens fuel interest in alternative paths for private companies to go public, “regulatory arbitrage.” The SEC’s response to the emergence of alternatives, most recently SPACs and direct listings, has been to re-assert the regulatory protections in a traditional IPO, including heightened liability under Section 11 of the Securities Act. The SEC’s treatment of the traditional IPO regulatory process as a one-size fits-all regime ignores the weaknesses of this process, in particular the informational inefficiency of the book-building process. ISDS stands alone in empowering shareholders to bring claims for reflective loss (SRL) – meaning claims over harms allegedly inflicted upon the company, but which somehow affect share value. National systems of corporate law and public international law regimes generally bar SRL claims for strong policy reasons bearing on the efficiency and fairness of the corporate form. Though not necessitated by treaty text, nor beneficial in policy terms, ISDS tribunals nevertheless allow shareholders broad and regular access to seek relief for reflective loss. Behavioral law and economics has achieved notable policy influence promoting soft paternalism—using nudges to encourage better choices without limiting options. Recently, some behavioral scholars have suggested that positive behavioral models actually support hard paternalism—imposing mandates. The creation of the Inspection Panel at the World Bank has led to the emergence of a norm that international financial institutions (IFIs) must hold themselves accountable to project-affected people through independent accountability mechanisms (IAMs). AIIB as a 21st century bank reflects this normalization of IAMs. As a new MDB, AIIB’s charter mandates creation of an oversight body that includes the independent accountability mechanism or the Project-affected People’s mechanism (PPM). The PPM is aligned with many features of IFI’s IAMs while incorporating some innovations.

The resurgence of Special Purpose Acquisition Companies (“SPACs”) in the U.S. securities market has demonstrated potential as an alternative to the traditional initial public offering (“IPO”). However, the evolution of SPACs from their fraudulent “blank check” ancestors has left the Securities and Exchange Commission (“SEC”) weary of SPACs’ continued presence in the market. เอกัตศึกษาฉบับนี้มีวัตถุประสงค์เพื่อศึกษาแนวคิด และหลักการรับรู้รายการรายได้ธุรกิจให้บริการการประมวลผลแบบคลาวด์ตามมาตรฐานการบัญชี และตามประมวลรัษฎากรของประเทศไทย และเปรียบเทียบกับกฎหมายภาษีอากรของต่างประเทศ รวมทั้งมาตรฐานการรายงานทางการเงินที่ถูกใช้ในการอ้างอิง และเพื่อการวิเคราะห์ประเด็นปัญหา หรืออุปสรรคในการรับรู้รายการรายได้ของธุรกิจให้บริการการประมวลผลแบบคลาวด์ตามประมวลรัษฎากรในการจัดเก็บภาษีเงินได้นิติบุคคลในประเทศไทย รวมทั้งเพื่อศึกษา และเสนอแนะแนวทางในการปรับปรุง กฎเกณฑ์ ข้อบังคับ ระเบียบ หรือแนวทางในการปฏิบัติการรับรู้รายการรายได้ของธุรกิจให้บริการการประมวลผลแบบคลาวด์เพื่อใช้ในการจัดเก็บภาษีเงินได้นิติบุคคลให้สอดคล้องกับแนวคิดการจัดเก็บภาษีอากรที่ดีซึ่งจะช่วยให้กรมสรรพากรสามารถจัดเก็บภาษีได้อย่างถูกต้อง และเป็นธรรมกับผู้เสียภาษี และเพื่อให้สอดคล้องกับการรับรู้รายได้ตามมาตรฐานการบัญชี ซึ่งถือเป็นส่วนหนึ่งของพระราชบัญญัติการบัญชี พ.ศ. 2543 จากการศึกษาพบว่าการรับรู้รายการรายได้ธุรกิจให้บริการการประมวลผลแบบคลาวด์ โดยใช้เกณฑ์สิทธิของธุรกิจให้บริการการประมวลผลแบบคลาวด์ตามประมวลรัษฎากรไม่สอดคล้องกับพระราชบัญญัติการบัญชี พ.ศ.2543 มาตรฐานการรายงานทางการเงิน และลักษณะภาษีอากรที่ดี ก่อให้เกิดความไม่เป็นธรรมต่อผู้เสียภาษี และขัดต่อหลักความแน่นอนตามแนวคิดการจัดเก็บภาษีอากรที่ดี จึงจำเป็นต้องได้รับการแก้ไขให้สอดคล้องหลักการบัญชีที่รับรองทั่วไป ดังนั้น บทสรุปของการศึกษานี้ ผู้ศึกษาวิจัยจึงเสนอแนะโดยนำหลักการรับรู้รายการรายได้เพื่อการคำนวณภาษีเงินได้นิติบุคคลของประเทศสหรัฐอเมริกามาเป็นแนวทางในการแก้ไข โดยให้มีการแก้ไขหลักเกณฑ์โดยการออกคำสั่งสรรพากรเพื่อแก้ไขแนวปฏิบัติในการรับรู้รายการรายได้ในการคำนวณกำไรสุทธิเพื่อเสียภาษีเงินได้นิติบุคคลในส่วนที่เกี่ยวข้องกับรายได้ค่าบริการที่มีการเรียกเก็บเงินล่วงหน้า ข้อ 2 (1) แห่งคำสั่งกรมสรรพากรที่ ป.73/2541 การให้เช่าทรัพย์สิน หรือการให้บริการอื่น ในส่วนของหลักการรับรู้รายการรายได้ธุรกิจให้บริการให้เป็นไปตามมาตรฐานการบัญชีที่รับรองทั่วไป และก่อให้เกิดความเป็นธรรมต่อผู้เสียภาษี และหลักความแน่นอนตามแนวคิดการจัดเก็บภาษีอากรที่ดี รวมทั้งไม่ทำให้เกิดปัญหาความไม่สอดคล้องกันระหว่างการรับรู้รายการรายได้ และรายจ่ายตามมาตรฐานการบัญชี ซึ่งถือเป็นส่วนหนึ่งของพระราชบัญญัติการบัญชี พ.ศ.2543 กับการรับรู้รายการรายได้เพื่อเสียภาษีเงินได้ตามประมวลรัษฎากรอันจะช่วยทำให้ภาครัฐได้รับรายได้ภาษีอากรที่ถูกต้อง ครบถ้วน สามารถจัดเก็บภาษีได้อย่างมีประสิทธิภาพ และลดข้อพิพาทระหว่างรัฐ และผู้เสียภาษีอีกด้วย

แนวทางการกำหนดหลักการเสียภาษีนำเข้าของจักรยานสองล้อชนิดที่ใช้แข่งขันตามกฎหมายศุลกากรไทย, สรัช เพิ่มยงค์

ปัจจุบันการนำเข้าจักรยานสองล้อเข้ามาในประเทศไทยมีพิกัดศุลกากรที่ต้องสำแดงแบ่งออกเป็น 4 พิกัด คือ รถจักรยานสองล้อชนิดที่ใช้แข่งขัน (8712.00.10) อัตราอากรร้อยละ 1 รถจักรยานสองล้อที่ออกแบบเพื่อให้เด็กขับขี่ (8712.00.20) อัตราอากรร้อยละ 30 รถจักรยานสองล้ออื่นๆ (8712.00.30) อัตราอากรร้อยละ 30 และ อื่นๆ (8712.00.90) อัตราอากรร้อยละ 30 ซึ่งเห็นได้ว่า อัตราอากรของจักรยานชนิดที่ใช้แข่งขันมีอัตราที่ต่ำที่สุด โดยการนำเข้าจักรยานชนิดนี้เป็นที่นิยมมาก แต่ในพิกัดดังกล่าวมีการกำหนดคำนิยามของจักรยานสองล้อดังกล่าวเพียงว่า “ชนิดที่ใช้แข่งขัน" ในกฎหมายศุลกากร แต่เดิมการนำเข้าจักรยานสองล้อในประเทศไทยมีเพียงพิกัดเดียวคือจักรยานสองล้อที่ไม่มีมอเตอร์ขับเคลื่อน (8712.00) อัตราอากรร้อยละ 40 ต่อมาเกิดการรวมตัวของกลุ่มผู้นำเข้า คณะวิศวกรรมศาสตร์ สาขาสิ่งแวดล้อม จุฬาลงกรณ์มหาวิทยาลัย ชมรมจักรยานเพื่อสุขภาพแห่งประเทศไทย และการท่องเที่ยวแห่งประเทศไทย แล้วมาร้องขอต่อกระทรวงการคลัง ให้มีการพิจารณาปรับลดอากรนำเข้าของจักรยานสองล้อ เพื่อส่งเสริมการใช้จักรยานเป็นพาหนะเดินทาง เพราะนอกจากจะช่วยให้สุขภาพแข็งแรงแล้ว ยังช่วยลดมลภาวะ รักษาสิ่งแวดล้อม ลดปัญหาการจราจรติดขัด และส่งเสริมการท่องเที่ยวเชิงอนุรักษ์ ซึ่งผลการพิจารณาคือมีการปรับลดอากรนำเข้าจักรยานสองล้อ โดยยังคงพิกัดจักรยานอื่นๆไว้ เนื่องจากต้องการปกป้องอุตสาหกรรมจักรยานสองล้อที่ผลิตในประเทศไว้ และเพิ่มพิกัดจักรยานชนิดที่ใช้แข่งขันขึ้นอีกหนึ่งพิกัด หลังมีการเพิ่มพิกัดจักรยานสองล้อชนิดที่ใช้แข่งขัน (8712.00.10) แล้ว ในช่วงแรกยังไม่มีอุปสรรคในการนำเข้า เพราะเจ้าหน้าที่ที่มีหน้าที่พิจารณายังเข้าใจถึงเจตนารมณ์ของการลดอากรดังกล่าวเป็นอย่างดี แต่ภายหลังความเข้าใจดังกล่าวก็เปลี่ยนแปลงไปตามการเปลี่ยนหน้าที่รับผิดชอบของเจ้าหน้าที่ จึงเกิดการใช้ดุลยพินิจพิจารณาความเป็นจักรยานชนิดที่ใช้แข่งขันหรือไม่ จึงเป็นปัญหาขึ้นระหว่างศุลกากรกับผู้นำเข้าเรื่อยมา ต่อมาสำนักพิกัดกรมศุลกากรได้มีแนวทางการแก้ปัญหาการแบ่งแยกระหว่างพิกัดจักรยานทั่วไปกับจักรยานชนิดที่ใช้แข่งขัน โดยการขอให้สมาคมจักรยานแห่งประเทศไทยในพระบรมราชูปถัมภ์เป็นผู้พิจารณารับรองรายละเอียดจักรยานชนิดที่ใช้แข่งขัน ดังกล่าว อย่างไรก็ตามการให้สมาคมจักรยานฯ รับรองพิกัดจักรยานสองล้อชนิดที่ใช้แข่งขันก็ยังประสบปัญหาในทางปฏิบัติอีก เพราะสมาคมฯจะยึดถือเฉพาะจักรยานชนิดที่ใช้แข่งขันในแบบของ UCIเท่านั้น แท้ที่จริงจักรยานที่มีคุณภาพดี ที่ใช้อะไหล่ อุปกรณ์ ทันสมัย เช่นเดียวกับจักรยานชนิดที่ใช้แข่งขันก็มีอยู่อีกมาก แต่กลับไม่ได้รับการรับรอง และกระบวนการการนำเข้าเกิดความล่าช้า มีความซ้ำซ้อน มีค่าใช้จ่ายสูง และอาจเกิดความไม่เป็นธรรมต่อผู้นำเข้าบางรายที่ต่างก็นำเข้าจักรยานชนิดเดียวกันที่สมาคมฯไม่ยอมรับรอง ดังนั้นการนำเข้าจักรยานสองล้อชนิดที่ใช้แข่งขันตามกฎหมายศุลกากรไทย จึงประสบปัญหา ส่งผลให้เกิดความผิดพลาดในการตีความและใช้ดุลยพินิจ นำไปสู่การจัดเก็บอากรที่ผิดพลาด อีกทั้งการไม่มีคำนิยาม คำอธิบาย ดังกล่าว ส่งผลให้เกิดปัญหาการตีความที่ไม่ตรงกับเจตนารมณ์ของการปรับลดอากรที่แท้จริง เอกัตศึกษาฉบับนี้ได้ใช้วิธีการศึกษาหาแนวทางแก้ปัญหาการไม่มีคำนิยามของจักรยานสองล้อชนิดที่ใช้แข่งขัน ซึ่งส่งผลต่อการนำเข้าจักรยานสองล้อชนิดที่ใช้แข่งขันตามกฎหมายศุลกากรไทย โดยการวิเคราะห์และเปรียบเทียบระหว่างการนำเข้าจักรยานสองล้อชนิดที่ใช้แข่งขันของประเทศไทยกับต่างประเทศ ซึ่งได้แก่ กลุ่มประเทศสหภาพยุโรป (ประเทศเนเธอร์แลนด์และประเทศฝรั่งเศส) และประเทศเวียดนาม จากการศึกษาพบว่ากฎหมายศุลกากรของประเทศเนเธอร์แลนด์และฝรั่งเศส ซึ่งมีการนำเข้าจักรยานที่มีลักษณะและคุณภาพที่หลากหลายเป็นจำนวนมาก จะมีพิกัดศุลกากรของจักรยานสองล้อเพียงพิกัดเดียว แม้จะมีผู้ผลิตจักรยานคุณภาพสูงภายในประเทศ เพื่อส่งเสริมการใช้จักรยานที่เกิดประโยชน์อย่างแท้จริง ขณะที่การนำเข้าจักรยานสองล้อตามกฎหมายศุลกากรประเทศเวียดนาม ซึ่งเป็นประเทศที่มีการผลิตจักรยานสองล้อทั่วไปเพื่อใช้เป็นพาหนะรวมถึงมีการนำเข้าจักรยานสองล้อจากประเทศจีนเป็นจำนวนมาก อีกทั้งเริ่มมีการนำเข้าจักรยานคุณภาพสูงตามตลาดที่เติบโตมากขึ้น มีการแยกพิกัดชนิดที่ใช้แข่งขัน โดยเจ้าหน้าที่ศุลกากรใช้ดุลยพินิจพิจารณาในการเสียภาษีนำเข้ารถจักรยานสองล้อชนิดที่ใช้แข่งขัน คือ …

Contemporary academic corporate governance narratives have a blind spot. They focus on institutions, rules, regulations, processes, procedures, intermediaries, and market forces. Yet, missing in this narrative, is the impact of corporate leadership. Ignoring the “black box” of corporate leadership, particularly individual actors, renders an incomplete descriptive assessment as well as potential miscalculations. The examination of key historical figures and their corporate activism provides an important lens through which to identify potential challenges and opportunities related to the contemporary ESG movement.

Two developments are having an impact on corporate decisions. One is the increased engagement by institutional intermediaries and a shift in the focus of that engagement from corporate governance to environmental and social issues. The other is a heightened societal awareness of diversity, equity, and inclusion (DEI) issues, particularly the importance of diversity in corporate leadership. Part I of this Comment will provide an overview of HIPAA and the legal impacts of Dobbs. Part II will discuss the anticipatory response to the impacts of Dobbs on PHI by addressing the response from (1) the states, (2) the Biden Administration, and (3) the medical field. Recently, Congress has debated measures to provide some relief to taxpayers negatively impacted by the Internal Revenue Code’s State and Local Tax (SALT) deductibility limit. The structure of this contribution is as follows. First, we provide a theoretical framework concerning the need to regulate football agents and the appropriate instruments. This Article reconsiders the jurisprudence of fair value under Delaware's appraisal remedy, placing recent cases in historical perspective and offering a novel account. Its central observation is that appraisal has developed into a process jurisprudence rather than jurisprudence devoted to the articulation of an entitlement. As such it defies expectations and excites the wrath of academic commentators looking for a more conventional, rights-based evolution. There is a nominal entitlement: the cases at all times announce that shareholder dissenters may pursue going concern value (as opposed to third party sale value) as the measure of fair value. Whether the activities of lawyers might hamper economic growth has been hotly contested over the past three decades. Contradictory conclusions have flowed from evidence that typically has focused on the impact of lawyers on the growth rates of countries. Disputes over definitions and samples that vary among countries have colored portions of these debates. Whereas emergencies used to be the exception to the rule, they now seem to be the norm. Wildfires, hurricanes, flooding, and contagious diseases dominate our daily lives. Although these are not the traditional types of military emergencies of our past, these non-wartime emergencies can trigger some of the same emergency powers. And with their use comes some of the same concerns about abuses of such emergency powers. Much ink has been spilled analyzing the tradeoffs associated with necessary emergency powers and frequent abuses in the context of foreign threats—resulting in reduced privacy, civil liberties, and freedoms.

Technology companies such as Facebook have long been criticized for abusing customers’ personal information and monetizing user data in a manner contrary to customer expectations. Some commentators suggest fiduciary law could be used to restrict how these companies use their customers’ data.1 Under this framework, a new member of the fiduciary family called the “information fiduciary” was born.
