#MeToo’s initial virtual explosion in the fall of 2017 was very much about Hollywood, with famous actresses speaking out against famous producers, media moguls and celebrities, exposing the ubiquity of sexual harassment and sexual violence in and around the entertainment industry. Since then, #MeToo has made its way into Hollywood representations without much irony. Films and television shows have explicitly taken up the #MeToo themes, exploring issues of sexual harassment and violence and its afterlives. A Synthesis Of The Science And Law Relating To Eyewitness Misidentifications And Recommendations For How Police And Courts Can Reduce Wrongful Convictions Based On Them, Henry F. Fradella

The empirical literature on perception and memory consistently demonstrates the pitfalls of eyewitness identifications. Exoneration data lend external validity to these studies. With the goal of informing law enforcement officers, prosecutors, criminal defense attorneys, judges, and judicial law clerks about what they can do to reduce wrongful convictions based on misidentifications, this Article presents a synthesis of the scientific knowledge relevant to how perception and memory affect the (un)reliability of eyewitness identifications. The Article situates that body of knowledge within the context of leading case law. The Article then summarizes the most current recommendations for how law enforcement personnel should—and …

เอกัตศึกษาเล่มนี้มีวัตถุประสงค์เพื่อศึกษากฎหมายของไทยและเวียดนาม ตลอดจนปัจจัยอื่น ๆ ที่ส่งเสริมการลงทุนทางตรงจากต่างประเทศในอุตสาหกรรมเครื่องใช้ไฟฟ้าและอิเล็กทรอนิกส์ และเพื่อวิเคราะห์เปรียบเทียบความแตกต่างของกฎหมายของไทยและเวียดนาม ตลอดจนปัจจัยอื่น ๆ ที่ส่งเสริมการลงทุนทางตรงจากต่างประเทศในอุตสาหกรรมเครื่องใช้ไฟฟ้าและอิเล็กทรอนิกส์ ผู้ศึกษาได้เปรียบเทียบสิทธิประโยชน์ตามพระราชบัญญัติส่งเสริมการลงทุน พ.ศ. 2520 กับกฎหมายการลงทุน ปี พ.ศ. 2563 (The Law on Investment 2020) ของเวียดนาม รวมถึงปัจจัยอื่น ๆ ที่ส่งเสริมการลงทุนทางตรงจากต่างประเทศในอุตสาหกรรมเครื่องใช้ไฟฟ้าและอิเล็กทรอนิกส์ของไทยและเวียดนาม ได้แก่ ความตกลงการค้าเสรี สัญญาว่าด้วยการเก็บภาษีซ้อน อัตราค่าจ้างขั้นต่ำ ผลิตภัณฑ์มวลรวมในประเทศ เสถียรภาพทางการเมือง ประชากร และภูมิศาสตร์ เพื่อทราบความแตกต่างของกฎหมายของไทยและเวียดนาม ตลอดจนปัจจัยอื่น ๆ ที่ส่งเสริมการลงทุนทางตรงต่างประเทศของไทยในอุตสาหกรรมเครื่องใช้ไฟฟ้าและอิเล็กทรอนิกส์ เพื่อได้แนวทางในการส่งเสริมการลงทุนทางตรงจากต่างประเทศในอุตสาหกรรมเครื่องใช้ไฟฟ้าและอิเล็กทรอนิกส์ของประเทศไทย จากการศึกษาพบว่า มาตรการส่งเสริมการลงทุนตามกฎหมายส่งเสริมการลงทุนของประเทศไทยและประเทศเวียดนามในอุตสาหกรรมเครื่องใช้ไฟฟ้าและอิเล็กทรอนิกส์ มีความแตกต่างกัน โดยมาตรการส่งเสริมการลงทุนของเวียดนามในบางเรื่องให้สิทธิประโยชน์มากกว่ามาตรการส่งเสริมการลงทุนของไทย นอกจากนี้ เวียดนามยังมีความได้เปรียบในปัจจัยอื่น ๆ ที่ส่งเสริมการลงทุนทางตรงจากต่างประเทศในอุตสาหกรรมเครื่องใช้ไฟฟ้าและอิเล็กทรอนิกส์เมื่อเปรียบเทียบกับประเทศไทย ปัจจัยเหล่านั้นได้แก่ การจัดทำความตกลงการค้าเสรี อัตราค่าจ้างขั้นต่ำ ผลิตภัณฑ์มวลรวมในประเทศ เสถียรภาพทางการเมือง และประชากร

This essay makes three claims. First, that the central role of race in international economic law has been erased and much more needs to be done to recover its large footprints in the discipline as well as in the policies and practices that constitute it. Second, that rules of international economic law formally embed racially constructed hierarchies, such as those that subordinate the status of former and current colonies. Trademarks are increasingly valuable assets, and some companies aggressively enforce and protect these assets. Such aggressive tactics can harm small businesses and chill creativity and speech, but trademark owners are routinely told that the law requires them to stop all similar third-party trademark usage or risk abandonment of their rights. While prior scholarship has discussed how the risk of trademark abandonment is quite low, incentives built into trademark law still push companies to court. Nestlé V. Doe: A Death Knell To Corporate Human Rights Accountability?, Phillip Ayers

The Supreme Court in Nestlé v. Doe held that foreign plaintiffs who claimed to be victims of overseas tortious conduct by corporate defendants had no jurisdiction to sue in federal courts using the Alien Tort Statute. This Comment looks at the history of the Alien Tort Statute, from its inspiration, long dormancy, and recent reinvigoration beginning in the 1980s. The Comment then explores the background of Nestlé and its issues with child slavery in its cocoa supply chain. From there, the Comment analyzes the Nestlé v. Intellectual property is understood to have an economic rationale: supplying incentives for innovation and for the creation and dissemination of knowledge and information. In the modern era, questions of how best to accomplish this have been explored with reference to economic efficiency and other concepts from microeconomics. But why not macroeconomics? In the microeconomic view, the intangibles of innovation, knowledge, and information are ordinary economic goods, albeit ones whose easy reproducibility leads to special problems. In the macroeconomic view, however, innovation, knowledge, and information are extraordinary goods with special virtues. Indeed, modern macroeconomics puts these intangibles at the center of …

Unemployment rates soared when COVID-19 hit the U.S. While pandemic relief programs allowed millions to meet their basic needs, a new problem emerged: overpayments. Overpayments occur when state agencies give claimants benefits they were not entitled to. While most claimants were not at fault for these mistakes, millions are now expected to repay benefits they spent months ago. Thus far, the U.S. has prioritized fraud detection over this overpayment crisis. This misguided effort is representative of the destructive, individualistic American welfare culture at large. Judges For Sale: The Effect Of Campaign Contributions On State Criminal Courts, Arturo Romero Yáñez, Neel U. Sukhatme

Do campaign contributions impact democratic processes? Using donation data from Texas, we show that criminal defense attorneys who contribute to a district judge’s electoral campaign are preferentially assigned by that judge to indigent defense cases, i.e., public contracts in which the state pays private attorneys to represent poor defendants.
We estimate that attorney donors receive twice as many cases as non-donors during the month of their campaign contribution. Nearly two-thirds of this increase is explained by the contribution itself, with the remainder attributable to shared preferences within attorney-judge pairs, such as those based on professional, ideological, political, or personal ties. …

This Essay considers the allocation of state authority to enforce the legal obligations particular to charities and their leaders among state officials, including attorneys general, judges, and legislators, and private parties. It first describes the existing allocation. It then reviews the most common criticisms of this allocation, which primarily focus on two concerns: politicization and lack of sufficient enforcement. Finally, it evaluates the most notable proposals for reallocating this authority, including the reallocation of this authority in part to private parties.

การลงทุนในหุ้น เป็นหนึ่งในวิธีการลงทุนที่ได้รับความนิยมสูง เนื่องจากเป็นสินทรัพย์ที่ซื้อง่ายขายคล่องและมักได้รับผลตอบแทนในระดับที่น่าพึงพอใจ ในการลงทุนใดๆ ทุกคนย่อมคาดหวังกำไรจากการลงทุนเป็นปกติ แต่ในหลายๆสถานการณ์ การขาดทุนก็เป็นสิ่งที่ไม่สามารถหลีกเลี่ยงได้ อย่างไรก็ตาม หากพิจารณาถึงหลักเกณฑ์ในการจัดเก็บภาษีจากการขายหุ้นในประเทศไทยในปัจจุบัน บุคคลธรรมดาอาจต้องเสียภาษีมากกว่าความมั่งคั่งที่เกิดขึ้นจริง เอกัตศึกษาฉบับนี้ มีวัตถุประสงค์เพื่อศึกษาหลักเกณฑ์ในการจัดเก็บภาษีเงินได้จากการขายหุ้นสำหรับการขายหุ้นที่อยู่ในตลาดหลักทรัพย์และนอกตลาดหลักทรัพย์ในกรณีที่มีผลขาดทุนของบุคคลธรรมดาตามกฎหมายไทย ศึกษาหลักเกณฑ์ในการจัดเก็บภาษีเงินได้จากการขายหุ้นในกรณีที่มีผลขาดทุนของบุคคลธรรมดาตามกฎหมายต่างประเทศและแนวทางในการนำผลขาดทุนมาหักลบผลกำไร วิเคราะห์ปัญหาและเสนอแนะแนวทางที่เหมาะสมสำหรับประเทศไทยในกำหนดแนวทางในการนำผลขาดทุนมาหักลบผลกำไรในการจัดเก็บภาษีจากการขายหุ้น จากการศึกษาเปรียบเทียบ พบว่าประเทศไทยไม่อนุญาตให้บุคคลธรรมดานำผลขาดทุนมาหักลบออกจากผลกำไรได้ ในขณะที่ประเทศสหรัฐอเมริกาและประเทศญี่ปุ่นกำหนดให้บุคคลธรรมดาสามารถนำผลขาดทุนที่เกิดขึ้นมาหักลบออกจากผลกำไรได้ อีกทั้งยังมีการกำหนดหลักเกณฑ์ในการนำผลขาดทุนสะสมไปปีถัดไปและข้อห้ามในการนำผลขาดทุนมาหักลบกำไรบางประการ ผู้เขียนจึงมีข้อเสนอแนะว่า ประเทศไทยควรพิจารณาปรับแก้กฎหมายภาษีเกี่ยวกับการกำหนดหลักเกณฑ์ในการจัดเก็บภาษีเงินได้จากการขายหุ้นในกรณีที่มีผลขาดทุนสำหรับการขายหุ้นที่อยู่ในตลาดหลักทรัพย์และนอกตลาดหลักทรัพย์ ให้สามารถนำผลขาดทุนที่เกิดขึ้นมาหักลบออกจากผลกำไรและนำผลขาดทุนสะสมไปปีถัดไปได้โดยมีหลักเกณฑ์ที่แตกต่างกันไประหว่างหุ้นสองประเภท แต่เพื่อไม่ให้เกิดการใช้ประโยชน์จากการนำผลขาดทุนมาหักลบผลกำไรในทางที่ผิด จึงควรพิจารณาถึงข้อห้ามในการนำผลขาดทุนมาหักลบผลกำไร ตลอดจนอำนาจในการตรวจสอบและประเมินโทษปรับของเจ้าหน้าที่ เพื่อให้เกิดความเป็นธรรมและสอดคล้องกับความมั่งคั่งที่เกิดขึ้นจริง

เอกัตศึกษาฉบับนี้ ได้ทำการศึกษาผลกระทบของข้อจำกัดการกู้ยืมเงินของกองทรัสต์อสังหาริมทรัพย์ในประเทศไทย เฉพาะในบทบัญญัติ ข้อ 14 ของประกาศคณะกรรมการกำกับตลาดทุน (กตท.) ที่ ทจ.49/2555 เรื่อง การออกและเสนอขายหน่วยทรัสต์ของทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์ สำหรับกรณีศึกษาถึงผลกระทบต่อการดำเนินกิจการของกองทรัสต์ SHREIT ในช่วงที่เกิดวิกฤตการแพร่ระบาดของโรค Covid-19 ซึ่งทำให้หลักเกณฑ์การกู้ยืมเงินสำหรับกองทรัสต์ที่บังคับใช้ในปัจจุบันเป็นอุปสรรคต่อการบริหารจัดการกองทรัสต์ ผู้ศึกษาได้นำเอาหลักการและแนวคิดทางกฎหมาย ความเป็นมาของทรัสต์ที่มีจุดเริ่มต้นจากระบบคอมมอนลอว์ (Common law) ของประเทศอังกฤษ ความเป็นมาของทรัสต์และทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์ในประเทศไทย รวมถึงความเป็นมาของหลักเกณฑ์ข้อจำกัดการกู้ยืมเงินของกองทรัสต์ และได้นำหลักการความรู้ทางการเงินที่เกี่ยวข้อง เช่น หลักการบริหารความเสี่ยง เครื่องมือชี้วัดทางการเงิน หลักการจัดอันดับความน่าเชื่อถือ (Credit Rating) เป็นต้น เพื่อนำมาบูรณาการให้มีความสอดคล้องกับหลักเกณฑ์ทางกฎหมายที่ใช้บังคับกับกองทรัสต์ นอกจากนี้ ผู้ศึกษาได้รวบรวมข้อมูลที่เกี่ยวข้องกับข้อจำกัดของการกู้ยืมเงินจากต่างประเทศ ซึ่งมีรายละเอียดในบทที่ 3 ทั้งหมด 10 ประเทศ จาก 4 ภูมิภาค ได้แก่ กลุ่มภูมิภาคในแถบยุโรป ภูมิภาคเอเชียแปซิฟิก กลุ่มภูมิภาคแอฟริกาและตะวันออกกลาง และภูมิภาคอเมริกา และได้นำหลักเกณฑ์ของต่างประเทศที่ทำการศึกษานั้น มาพิจารณาเพื่อจำแนกหลักเกณฑ์การกู้ยืมเงินของประเทศและพบว่าหลักเกณฑ์การกู้ยืมเงินประกอบด้วย 4 หลักเกณฑ์ที่แตกต่างกัน ซึ่งผู้ศึกษาได้นำหลักเกณฑ์ที่จำแนกมาใช้เพื่อเป็นหลักในการวิเคราะห์ในบทที่ 4 ต่อไป ทั้งนี้ ผู้ศึกษาได้วิเคราะห์ถึงประเด็นปัญหาของข้อจำกัดการกู้ยืมเงินของกองทรัสต์ในปัจจุบัน และวิเคราะห์ถึงต้นทุน-ผลประโยชน์ (Cost-Benefit Analysis) ของหลักเกณฑ์จากต่างประเทศแต่ละรูปแบบ เพื่อให้สามารถพิจารณาในประเด็นปัญหาและผลกระทบของหลักเกณฑ์ที่บังคับใช้ในปัจจุบันได้อย่างชัดเจน และนำข้อสังเกตของแต่ละหลักเกณฑ์จากต่างประเทศที่จำแนกไว้มาใช้ในการเทียบเคียงกับหลักเกณฑ์ของประเทศไทย เพื่อนำไปสู่แนวทางในการปรับปรุงหลักเกณฑ์การกู้ยืมเงินของกองทรัสต์ในประเทศไทย ให้มีความทันต่อยุคสมัย และเหมาะกับบริบทของประเทศไทย ตามวัตถุประสงค์และประโยชน์ที่จะได้รับของเอกัตศึกษาฉบับนี้ ดังนั้น ในบทที่ 5 ได้มีเนื้อหาเกี่ยวกับบทสรุปและข้อเสนอแนะในการปรับปรุงกฎหมาย โดยผู้ศึกษาจึงได้เสนอให้มีการแก้ไขปรับปรุงหลักเกณฑ์ของการกู้ยืมเงิน เนื่องจากหลักเกณฑ์ข้อจำกัดการกู้ยืมเงินของกองทรัสต์ในประเทศไทยที่มีความเข้มงวดและยังขาดความยืดหยุ่น โดยเสนอให้แก้ไขปรับปรุงหลักเกณฑ์ใน ข้อ 14 ของประกาศคณะกรรมการกำกับตลาดทุนที่ ทจ. 49/2555 เรื่อง การออกและเสนอขายหน่วยทรัสต์ของทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์

We rely upon a 50-state, 20-year panel to find that the number of Law School Admissions Test (LSAT) takers is only loosely related to economic conditions—although slightly more for men than for women, who in 2020 accounted for 58% of all LSAT takers. The number of test takers rose more than 35% between 2014 and 2020. This wave accentuated an already existing downtrend in the median real income of lawyers, and thus provides support for the hypothesis that most states have more lawyers than they need.

This article reflects on the Association for the Promotion of Political Economy and Law (APPEAL), formed in 2012 as the first contemporary scholarly group named for the emerging field of Law and Political Economy (LPE). APPEAL organizes academics and allies to address urgent social problems by exploring possibilities for reorienting the economy toward justice, equality, and democracy. The Small Business Administration (“SBA”) has been providing disaster relief in the form of Economic Injury Disaster Loans (“EIDLs”) since its inception in 1953. In the context of the COVID-19 pandemic, the CARES Act charged the SBA with issuing forgivable loans through the Paycheck Protection Program (“PPP”) to small businesses which would otherwise face permanent closure. In 2020, the Nasdaq Stock Market filed a proposal with the U.S. Securities and Exchange Commission seeking permission to adopt a board diversity-related disclosure requirement for its listed companies. In 2021, the SEC approved the proposal, thus entrenching Nasdaq’s position as the most significant stock exchange to date to mandate listing rules that reflect the intention of diversifying corporate boardrooms. Nasdaq’s movement into the diversity space is not the first attempt to address homogeneous boards in the U.S. In 2009, the SEC adopted a rule requiring publicly traded firms to report on whether they consider diversity in identifying director nominees. …

In 2020, the Washington Supreme Court entrusted the legal community with working to eradicate racism from its legal system. Soon after, Washington’s Commission on Judicial Conduct (hereinafter the Commission) received a complaint about a bus ad for North Seattle College featuring King County Superior Court Judge David Keenan. Along with a photo of Judge Keenan’s face, the ad included the following language: “A Superior Court Judge, David Keenan got into law in part to advocate for marginalized communities. Corporate boardrooms sit at the heart of most of society’s most consequential decisions but fall far short of the diversity of our society. The current movement toward board diversification aims to remedy the underrepresentation of marginalized groups on corporate boards. More recently, some efforts have included LGBTQ+ people, even though the basis for their inclusion on corporate boards remains largely unstated. This Article examines both the normative and instrumental bases for LGBTQ+ inclusion in board diversity initiatives, articulating unspoken assumptions and linking LGBTQ+ people to the broader inclusion effort. Digital nudges—that is, significantly behavioral interventions that use software and its user-interface design elements—are an increasingly pervasive feature of online environments that shapes behavior both online (e.g., changing online privacy settings) and offline (e.g., taking a flu vaccine due to a text message reminder). Since its publication in 1973, Economic Analysis of Law (the Treatise) by Richard Posner has been recognized as the canonical treatise in the field. Given this status, observing changes over time in the different editions of the book can highlight substantial and methodological shifts in the area. On this backdrop, this brief essay will highlight Posner's change of attitude towards behavioral analysis of law over the years, culminating with the incorporation of behavioral insights into the las edition of this book, published in 2024.

Alliance politics have always been a complicating factor in corporate restructurings. Negotiations between and among large groups of corporate stakeholders naturally require that parties expend time and resources on building coalitions, overcoming holdouts, and fleshing out their collective action. But recent trends suggest that alliance politics—rather than sound financial and economic decisions—may be driving restructuring outcomes, introducing new risks and inefficiencies in the financial markets. This article revisits the debate between James Buchanan and Warren Samuels over Miller v. Schoene (1928). The initial court case—concerning the rights of government in the face of conflicting private interests—and subsequent debate between Buchanan and Samuels have important implications for the interrelations between legal and economic processes, the difference between a normative and positive theory of public choice, and the nature of public choice more generally. In published papers and private correspondence, the writings of Samuels reveal an alternative conception of public choice theory as a positive endeavor divorced from the free market normative implications of Buchanan’s work.
