The Proxy Rules And Restrictions On Sharegolder Voting Rights, J. Robert Brown Jr. Oct 2016

The Proxy Rules And Restrictions On Sharegolder Voting Rights, J. Robert Brown Jr.

Sturm College of Law: Faculty Scholarship

Shareholders in public companies vote not by attending the meeting but by exercising their rights under the federal proxy rules. Recognizing this, the Securities and Exchange Commission has at times described the proxy rules as neutral in effect, designed only to provide shareholders with the same rights accorded under state law. In fact, this has often not been the case. Over their eighty-year development, the rules have often reduced rather than complemented the rights otherwise available to shareholders at these meetings.

This can be seen with particular clarity in connection with the erosion of shareholder voting rights. Under the proxy …

Inefficient Inequality, Shi-Ling Hsu Oct 2016

Inefficient Inequality, Shi-Ling Hsu

Indiana Journal of Law and Social Equality

For the past several decades, much American lawmaking has been animated by a concern for economic efficiency. At the same time, broad concerns over wealth and income inequality have roiled American politics, and still loom over lawmakers. It can be reasonably argued that a tension exists between efficiency and equality, but that argument has had too much purchase over the past few decades of lawmaking. What has been overlooked is that inequality itself can be allocatively inefficient when it gives rise to collectively inefficient behavior. Worse still, some lawmaking only masquerades as being efficiency-promoting; upon closer inspection, some of this …

Perry V. Terrible Herbst, Inc., Nev. Adv. Op. 75 (Oct. 27, 2016), Wesley Lemay Jr. Oct 2016

Perry V. Terrible Herbst, Inc., Nev. Adv. Op. 75 (Oct. 27, 2016), Wesley Lemay Jr.

Nevada Supreme Court Summaries

The Minimum Wage Amendment (MWA) of the Nevada Constitution does not have a specific statute of limitations provision. Because the MWA is closely analogous to recovery for back pay under NRS 608.260, the two-year statute of limitations provision in NRS 608.260 applies, and not the catch-all four-year period from NRS 11.220.

Nevada Supreme Court Summaries

To “provide” health benefits under the Minimum Wage Amendment, an employer need only offer to employees (rather than enroll them in) a qualifying health benefit plan. Tips are not included in an employee’s gross taxable income for calculating maximum health benefit plan premiums.

Nev. Yellow Cab, Et Al., V. Eighth Jud. Dist. Ct., 132 Nev. Adv. Op. 77 (Oct. 27, 2016)., Beatriz Aguirre

Nevada Supreme Court Summaries

The Court, sitting en banc, considered a writ of mandamus challenging a district court order denying a motion dismiss and motion for summary judgment. The Court held that its previous decision in Thomas v. Nevada Yellow Cab Corp. applied retroactively. As a result, the Minimum Wage Amendment (the “Amendment”) to the Nevada Constitution passed by Nevada voters in 2006 included taxicab driver wages.

The Duty Of Good Faith Taken To A New Level:An Analysis Of Disloyal Behavior, Thiago Luís Sombra Oct 2016

The Duty Of Good Faith Taken To A New Level:An Analysis Of Disloyal Behavior, Thiago Luís Sombra

Journal of Civil Law Studies

By focusing on improving the role of certain mechanisms for controlling private autonomy under a crisis of liberal values, contract law has reached an objective and straight dimension. The prohibition of disloyal or inconsistent behavior, also known as venire contra factum proprium in Roman Law, constitutes one of the concepts that is renowned for protecting the trust relationship. The prohibition of disloyal behavior lies in avoiding contradictory behaviors regarding previous manifestations of will that are based on good faith and that can cause damages. This article aims to challenge the main reason why disloyal behavior should be limited by good …

International Trade V. Intellectual Property Lawyers:Globalization And The Brazilian Legal Profession, Vitor Martins Dias Oct 2016

International Trade V. Intellectual Property Lawyers:Globalization And The Brazilian Legal Profession, Vitor Martins Dias

Journal of Civil Law Studies

In the context of globalization, this work analyzes a distinctive characteristic of the Brazilian legal profession. Namely, intellectual property (IP) lawyers, who played important roles in opening the Brazilian economy and who were key players in cross-border transactions, are now losing ground to their peers with respect to expertise in international trade. The thesis of this article is that the manner in which Brazilian lawyers are being educated is problematic. Generally, Brazilian legal education has become degraded and provincial. Yet, Brazilian international trade lawyers, unlike Brazilian IP lawyers, have overcome their deficient legal training by seeking legal education abroad. By …

The Louisiana Civil Code In French:Translation And Retranslation, Olivier Moréteau Oct 2016

The Louisiana Civil Code In French:Translation And Retranslation, Olivier Moréteau

Journal of Civil Law Studies

The first codes of Louisiana (1808 and 1825) were written in French and translated into English. When the Civil Code was revised in 1870, it was written in English only. Recent revisions, all in English, aim at promoting a civilian vocabulary that differs from that of the common law. This article discusses the translation of the Louisiana Civil Code from English to French in the context of the steep decline and limited revival of the French language usage in Louisiana. It explores the purpose and the implementation process of the translation project, detailing every step, and identifying linguistic and legal …

Québec, Canada - Loyalty In Québec Private Law, Caroline Le Breton-Prévost Oct 2016

Québec, Canada - Loyalty In Québec Private Law, Caroline Le Breton-Prévost

Journal of Civil Law Studies

This paper provides an overview of the duty of loyalty in Québec private law. It dispels uncertainty regarding the duty’s nature and then analyzes the duty of loyalty in the Civil Code of Québec. In doing so, this paper takes into account the mixed origins of the duty by establishing certain parallels with the common law. Ultimately, this paper suggests that the duty of loyalty arises when a legal actor has the power to act within the legal sphere of another
