Three Essays On Merger Outcomes: Corporate Strategy, Bargaining Power, And Valuation Waves, Stephen N. Jurich

This dissertation consists of three essays on merger outcomes. In the first essay I classify mergers as value-increasing, neutral, or value-decreasing by measuring the change in the combined wealth of acquiring- and target-firm shareholders at the merger announcement date. I then test the role that strategic objectives and negotiation procedures play in driving value-increasing mergers. The results indicate that geographic expansion creates the largest combined increase in wealth. One-on-one negotiations correspond to greater increases in combined wealth, when compared to mergers that begin with auctions, third-party bids, or mutual discussions. In Part 1, we study the costs associated with firm illiquidity. We specifically examine the impact of illiquidity on the costs of financing, financial distress, underinvestment, and competitiveness in product markets. We focus on a comprehensive definition of liquidity that expands upon the typical measure of liquidity, cash and marketable securities, commonly used in the management literature. Our liquidity index, derived from existing cash and marketable securities, available credit lines and cash volatility, measures the likelihood that a firm will become illiquid. This thesis analyzes the rhetoric of Muhammad Yunus as an articulation of a new governing logic, one that reconstitutes the concept of poverty and binds the poor to the apparatus of global capitalism through a new logic of micro-enterprise. Working within a Foucauldian critical framework informed by the rhetorical scholarship of Ronald W. Greene and Joshua Hanan, the argument proceeds by first paying careful attention to Yunus' work as constitutive of a new grid of intelligibility through which to view the poor and then demonstrating the application of this reformed discourse on "creditworthiness" in articulating a novel regime of commensuration. …

For as long as the institution of bankruptcy has existed, legal commentators have debated whether it is appropriate for debtors to experience some social stigma upon filing for personal bankruptcy--that is, whether it serves the goals of bankruptcy law for debtors to feel shame. While this issue has been extensively discussed as a theoretical matter, to date no legal commentator or scholar has examined the question as an empirical matter: do debtors in fact associate feelings of shame with filing for bankruptcy, and, if so, why (or why not)? The first essay investigates the relationship between diversification strategy and firm performance in the U.S. property-liability insurance industry. Prior literature has evaluated the effect of total diversification on insurer performance; however, there is an absence of evidence on the effect of diversification strategy for multi-line insurers. Theory suggests that related diversifiers should benefit from economies of scope while unrelated diversifiers should benefit from uncorrelated earnings streams. We test for the net effect of diversification strategy and find that relatedness negatively impacts accounting performance. However, we find that the relatedness penalty is confined to stock insurers while mutual insurers' profitability appears …

Modern portfolio theory states that investments with greater beta, a common measure of risk, require greater returns from investors in order to compensate them for taking greater risk. Therefore, under the premise that market participants act rationally and therefore markets run efficiently, investments with higher beta should generate higher returns vis-à-vis investments with lower beta over the long run. In fact, many studies suggest that investments with lower beta actually generate equal to or higher returns relative to investments with higher beta. There is an increasing need for a more comprehensive instrument to measure risk tolerance in human financial decision making studies. The traditional economic method and the more recent psychometric method of examining risk tolerance were both reviewed in the study. The purpose of this thesis was the initial development and validation of the Risky Financial Behavior Scale (RFBS), with items taken from four different domains noted in previous studies. This dissertation consists of three essays on cancelling liquidity, information generation and learning by holding private placements, and information generation, learning and the trading dynamics of institutional traders during the 2007-2008 financial crisis. The first essay examines cancellation activity of limit orders. We document a two-fold increase in limit order cancellation activity over the last decade, and study the determinants of cancellations and the change in cancellation activity through time. We also examine the impact of order cancellation on market quality. We use an instrumental variable approach and estimate a simultaneous equations model to overcome simultaneity in the trading process. …

This dissertation consists of three essays on odd-lot transactions. The first essay investigates the role odd lot trades play in equity markets, as well as how this role has changed over three distinct time periods- 2010, 2007, and 2005. In each of these time periods, we document the determinants of the proportions of odd lot transactions, the price contribution of odd lot trades, and the characteristics of odd lot trading on an intraday and intraweek basis. By applying common financial risk assessment models to the network economy formalized in Delli Gatti et al. (2006), and by contextualizing both in the broader literature on complexity in economic systems, the question of convergence in economic models is addressed. Critically, a formal state condition is identified which can contribute to the emergence of periods of extreme divergence from expected conditions even in a model characterized by restrictive assumptions regarding agent choice and market structure. Three Essays On Quote Stuffing, Dealer Liquidity And Stub Quoting, Jared Frank Egginton

This dissertation consists of three essays on quote stuffing, dealer provided liquidity, and stub quoting. The first essay examines the impact that intense episodic spikes in quoting activity (frequently referred to as "quote stuffing") has on market conditions. We find that quote stuffing is pervasive with several hundred events occurring each trading day and that over 74% of US exchange traded securities experience at least one episode during 2010. We find that during periods of intense quoting activity stocks experience decreased liquidity, higher trading cost, and increased short term volatility. This dissertation is comprised of three essays that focus on the interaction between exchange-mandated trading halts and short selling activity in the financial markets. In the first essay, the behavior of short sellers is examined surrounding interruptions in trading to determine if informed short sellers alter their trading patterns prior to and/or following a trading halt. This dissertation consists of three essays. The first essay, Short Sales in the NYSE Batch Open and NASDAQ Opening Cross, examines opening-trade short volume's relation to short volume for the rest of the trading day and to overnight, previous-day, and same-day price changes. We find that short volume in the batch open and opening cross increases with short volume for the rest of the day, with previous-day, open-to-close price changes, and with overnight price changes for S&P 500 stocks. Batch-open short volume increases with overnight price changes, and it increases (does not decrease) for firms making positive (negative) overnight earnings …

This dissertation consists of three essays on the information and transparency in firms. In the first essay, we provide some of the first evidence regarding the impact of safety expenditures on moral hazard induced by increases in workers' compensation benefits. Prior studies have inferred the effect of safety incentives by testing the relation between claims frequency and benefit increases. However, these studies have not explicitly modeled the impact of actual safety expenditures. Using a proprietary dataset containing policy-level data for several thousand policies over a 13-year period we show that safety expenditures play a positive role in reducing the moral …

Colorado's constitutional Taxpayer Bill of Rights (TABOR) is a product of the citizen initiative process, a mechanism of direct democracy that allows citizens to circumvent legislatures and enact laws themselves. A prominent argument against this process is that such a mode of lawmaking can generate conflicts within state constitutions and bring about unintended consequences. This paper considers the Colorado state budget difficulties that arose during the 2001 recession, the relationship of TABOR and those difficulties, and finds that TABOR resulted in unintended consequences that were unforeseen by voters who approved the measure. Through in-depth interviews with 21 participants, this thesis investigates how graduate students at East Tennessee State University feel about their finances. Although all adults, by necessity, have everyday money concerns, this study explores the unique experiences that post-baccalaureate students have with debt, how they talk about it, and what meanings they attach to student loans in their daily lives. This study is novel in that little research to date has examined how graduate students' perceptions of adulthood are connected to their financial situations and their stage in life.
