No New Tax Cuts? Examining The Rescue Plan's New State Tax Limits, Conor Clarke, Edward G. Fox

In this article, Clarke and Fox examine the American Rescue Plan Act’s restrictions on state tax cuts, arguing that the restrictions are a variation on more familiar maintenance-of-effort provisions. These provisions are common, and are designed to help ensure that federal grants supplement rather than supplant state spending by requiring the state to maintain its level of spending on a program. Clarke and Fox conclude that the Rescue Plan’s requirements create similar incentives, and argue that the similarity makes it more likely that the act’s tax provisions are consonant with the Constitution’s spending clause.

Banking organizations in the United States have long been subject to two broad categories of regulatory requirements. The first is permissive: a “positive” grant of rights and privileges, typically via a charter for a corporate entity, to engage in the business of banking. The second is restrictive: a “negative” set of conditions on those rights and privileges, limiting conduct and imposing a program of oversight and enforcement, by which the holder of that charter must abide. Together, these requirements form a legal cordon, or “regulatory perimeter,” around the U.S. banking sector.

The Agreement Establishing the African Continental Free Trade Area (AfCFTA) presents an unprecedented opportunity for African integration and is projected to spur unprecedented levels of job growth and productivity, and to drive sustainable economic development. This Note explores China’s repressive actions against the Uyghur population and calls upon the U.S. to address these human rights violations. Part I discusses the background and human rights violations in Xinjiang, also known as the Xinjiang Uyghur Autonomous Region (XUAR). Part II addresses U.S. economic regulations and sanctions imposed against actors involved in Xinjiang’s forced labor industry. This Article examines a fundamental failure of process in lawmaking: the overreliance of lawmakers on economists and economic scholarship when designing and implementing financial regulation, to the virtual exclusion of lawyers and legal scholarship. This overreliance leads to regulation that often is based on theoretical models and assumptions that are poorly informed by experience and may not withstand real-world testing. The Article examines how to improve financial regulation by better integrating legal scholarship and lawyerly insights into the lawmaking process. The United States acquired its first overseas territory—Navassa Island, near Haiti—by conceptualizing it as a kind of property to be owned, rather than a piece of sovereign territory to be governed. The story of Navassa shows how competing conceptions of property and sovereignty are an important and underappreciated part of the law of the territories—a story that continued fifty years later in the Insular Cases, which described Puerto Rico as “belonging to” but not “part of” the United States.

เอกัตศึกษาฉบับนี้มีวัตถุประสงค์เพื่อทำการศึกษาปัญหาภาระหน้าที่และความรับผิดชอบค่าใช้จ่ายในการรื้อถอนสิ่งติดตั้งและสิ่งอำนวยความสะดวกในกิจการปิโตรเลียม ซึ่งกิจกรรมการรื้อถอนดังกล่าวเป็นกิจกรรมที่มีค่าใช้จ่ายเป็นจำนวนมากและควรเป็นหน้าที่และรับผิดชอบของใครจึงจะเหมาะสมและไม่เป็นการสร้างภาระต้นทุนแก่ฝ่ายใดฝ่ายหนึ่งเกินความจำเป็น ตามพระราชบัญญัติปิโตรเลียม พ.ศ.2514 ได้รับการแก้ไขครั้งที่ 5 (ฉบับที่ 6) พ.ศ. 2550 โดยแก้ไขเพิ่มเติมมาตรา 80/1 และ 80/2 เพื่อวางหลักเกณฑ์หน้าที่ของผู้รับสัมปทานหรือผู้รับสัญญาแบ่งปันผลผลิตมีภาระหน้าที่ความรับผิดชอบค่าใช้จ่ายในการรื้อถอนสิ่งติดตั้งและสิ่งอำนวยความสะดวกในกิจการปิโตรเลียม และการวางหลักประกันการรื้อถอน ในกรณีที่สิ่งติดตั้งในกิจการปิโตรเลียมที่ผู้รับสัมปทานได้ส่งมอบสิ่งติดตั้งในกิจการปิโตรเลียมให้แก่รัฐและรัฐเห็นสมควรนำสิ่งติดตั้งนั้นไปใช้ประโยชน์ต่อนั้น กฎกระทรวง กำหนดแผนงาน ประมาณการค่าใช้จ่ายและหลักประกันในการรื้อถอนสิ่งติดตั้งที่ใช้ในกิจการปิโตรเลียม พ.ศ. 2559 ข้อ 22 ได้กำหนดให้ผู้รับสัมปทานรายเดิมมีภาระหน้าที่และความรับผิดชอบค่าใช้จ่ายในการรื้อถอนสิ่งติดตั้งดังกล่าว ซึ่งทำให้เกิดปัญหาข้อพิพาทระหว่างผู้รับสัมปทานกับรัฐและเป็นการสร้างภาระที่เกินความจำเป็นแก่ผู้รับสัมปทานรายเดิม จากการศึกษากฎหมายประเทศไทยโดยเปรียบเทียบกับกฎหมายสหราชอาณาจักรและกฎหมายประเทศสหรัฐอเมริกา พบว่าในกรณีที่สิ่งติดตั้งในกิจการปิโตรเลียมที่ผู้รับสัมปทานได้ส่งมอบสิ่งติดตั้งในกิจการปิโตรเลียมให้แก่รัฐและรัฐเห็นสมควรนำสิ่งติดตั้งนั้นไปใช้ประโยชน์ต่อนั้น กฎหมายสหราชอาณาจักรและกฎหมายประเทศสหรัฐอเมริกามีแนวทางที่ไม่เป็นการสร้างภาระที่เกินความจำเป็นแก่ผู้รับสัมปทานซึ่งสามารถนำมาใช้ในการแก้ไขกฎหมายประเทศไทยได้ 2 แนวทางดังนี้ แนวทางแรก กำหนดให้ผู้โอนสิทธิ์และผู้รับโอนสิทธิ์ในสัญญาสัมปทานมีภาระเกี่ยวกับหน้าที่และความรับผิดชอบค่าใช้จ่ายในการรื้อถอนสิ่งติดตั้งที่ในช่วงที่ผู้โอนสิทธิ์เป็นผู้ถือครองสิทธิผลประโยชน์และพันธะในสัญญาสัมปทาน และกำหนดให้ผู้โอนสิทธิและผู้รับโอนสิทธิ์ในสัญญาสัมปทานต้องมีหน้าที่และความรับผิดชอบค่าใช้จ่ายในการรื้อถอนตามสัดส่วนการถือครองสิทธิผลประโยชน์และพันธะในสิ่งติดตั้งนั้นในสัญญาสัมปทานหรือตามสัดส่วนการใช้งาน ซึ่งคำนวณตามสัดส่วนปริมาณการผลิตปิโตรเลียมสะสมเทียบกับปริมาณปิโตรเลียมทั้งหมด แนวทางที่สอง กำหนดให้ผู้รับโอนสิทธิ์สัญญาสัมปทานมีภาระเกี่ยวกับหน้าที่และความรับผิดชอบค่าใช้จ่ายในการรื้อถอนสิ่งติดตั้งในกรณีดังกล่าว ผู้รับโอนต้องได้รับการประเมินความแข็งแกร่งทางการเงิน โดยคำนึงถึงความสามารถในการรับผิดชอบค่าใช้จ่ายในการดำเนินการรื้อถอนให้สอดคล้องกับมูลค่าสุทธิของผู้รับโอนสิทธิ์สัญญาสัมปทาน มีการประเมินความเสี่ยงทางการเงินและทำความเข้าใจถึงแผนงานในอนาคตเพื่อให้มีความมั่นใจได้ว่าผู้รับโอนที่เข้ามานั้นสามารถรับผิดชอบค่าใช้จ่ายในการรื้อถอนสิ่งติดตั้งได้

เอกัตศึกษาเรื่องนี้มีวัตถุประสงค์ในการวิเคราะห์และการศึกษาหน้าที่แห่งความซื่อสัตย์สุจริต(Duty of loyalty)ของกรรมการภายใต้กฎหมายบริษัทแห่งสาธารณรัฐประชาชนจีน เพื่อทำความเข้าใจกับหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการจีนและกฎหมายที่เกี่ยวข้อง ซึ่งเป็นสาเหตุของปัญหาทางกฎหมายต่อผู้ถือหุ้นและนักลงทุน และเพื่อให้ทราบถึง ความรับผิดของกรรมการ หน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการในทางกฎหมาย ผลบังคับใช้ทางกฎหมาย และหน้าที่ในการรับผิดชดเชย หวังว่าเอกัตศึกษานี้จะสามารถให้คำแนะนำและแนวทางในการบริหารกรรมการและบริษัท และหวังว่าจะมีความสำคัญในการอ้างอิงสำหรับนักลงทุนหรือผู้ประกอบธุรกิจ โดยเฉพาะนักลงทุนหรือผู้ประกอบธุรกิจของไทย เมื่อกฎหมายข้อกำหนดต่างๆที่ใช้ควบคู่กับการดำเนินธุรกิจของบริษัทนั้นได้ค่อยๆ พัฒนามาจนมีความสมบูรณ์มากขึ้น อำนาจในการควบคุมบริษัทโดยรวมและอำนาจในการบริหารกิจการนั้นได้แบ่งแยกออกจากกัน ซึ่งเรื่องนี้กลายเป็นเรื่องธรรมาภิบาลของบริษัทไปแล้ว ในที่นี้หมายถึงอำนาจของผู้ที่ออกเงินทุนให้กับบริษัทและที่ประชุมผู้ถือหุ้นนั้นแยกส่วนออกจากที่ประชุมคณะกรรมการอันเป็นผู้บริหารบริษัทและชั้นผู้จัดการด้วย ดังนั้น เรื่องหน้าที่ของกรรมการและอำนาจบริหารจึงเป็นหัวข้อที่ควรค่าแก่การวิเคราะห์และขบคิดอย่างลึกซึ้ง เพื่อการควบคุมหน้าที่ของกรรมการเพื่อให้บริษัทได้ประโยชน์สูงสุด กฎหมายบริษัทจีนได้อ้างอิง“หลักการผลประโยชน์ทับซ้อน”จากประเทศอังกฤษเพื่อนำมาปรับใช้กับกฎหมายบริษัทจีน และตั้งหลักการหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการ หลักการนี้มาจากกฎหมายทรัสต์อันเก่าแก่ของประเทศอังกฤษ ซึ่งหมายความว่าผู้รับมอบหมายนั้นไม่อาจจะแสวงหาประโยชน์จากผู้มอบหมาย ให้กระทำการใด เขาจะกระทำการได้แค่เพื่อผลประโยชน์ของผู้รับประโยชน์และตัวแทนของผู้รับประโยชน์เท่านั้น หากว่าผู้รับมอบหมายนั้นละเมิดกฎก็ต้องรับผิดชอบตามกฎหมาย ซึ่งถือเป็นความก้าวหน้าสำหรับกฎหมายบริษัทจีน บทสรุป หน้าที่แห่งความซื่อสัตย์สุจริตเป็นข้อกำหนดของจรรยาบรรณของกรรมการ เมื่อกรรมการมีความขัดแย้งกับผลประโยชน์ของบริษัท ผลประโยชน์ของบริษัทต้องมาก่อนเสมอ งานวิจัยฉบับนี้ศึกษากฎหมายที่เกี่ยวข้องกับหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการบริษัทจีน หลังจากการวิเคราะห์และการศึกษากฎหมายเกี่ยวกับหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการในประเทศจีนแล้ว สรุปได้ว่า กฎหมายที่เกี่ยวข้องกับหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการในประเทศจีนยังมีข้อบกพร่องอยู่ ข้อบกพร่องอยู่หลักสามารุสรุปได้ดังต่อไปนี้ (1) กฎบางประการขาดผลทางกฎหมายหากมีการฝ่าฝืนกฎหมาย กฎหมายมีโครงสร้างและลำดับชั้นที่เข้มงวด และกฎหมายที่ครอบคลุมควรประกอบด้วยสันนิษฐาน การปฏิบัติ และการลงโทษ สามประการนี้ขาดไม่ได้ หากขาดส่วนใดไป ผลของกฎหมายจะลดลงอย่างมาก จนไม่สามารถบรรลุบทบาทเชิงบรรทัดฐานในอุดมคติได้ หากกฎหมายมีเพียงข้อกำหนดที่ห้ามเท่านั้นและขาดข้อกำหนดในเชิงปฏิบัติจริง กฎหมายนั้นย่อมไม่สมบูรณ์และสามารถถือเป็นผลิตภัณฑ์กึ่งสำเร็จรูปได้เท่านั้น (2) กฎหมายบางประการกำหนดไม่ชัดเจน ซึ่งส่งผลให้ศาลสามารถตัดสินคดีด้วยดุลพินิจและไม่มีข้อกฎหมายมารับรอง แต่ละศาลอาจมีการตีความกฎหมายที่แตกต่างกันในคดีเดียวกัน ซึ่งอาจนำไปสู่การพิจารณาคดีที่ไม่เป็นธรรมและเกิดความวุ่นวายในสังคมได้ พร้อมกันนี้ควรเรียนรู้จากมาตรการกฎหมายที่มีประสิทธิภาพจากต่างประเทศเพื่อเสริมสร้างการจัดหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการ ออลิเวอร์ เวนเดล โฮล์มส์ (Oliver Wendell Holmes ) ผู้พิพากษาที่มีเชื่อเสียงของสหรัฐอเมริกาเคยกล่าวไว้ว่า "ชีวิตของกฎหมายไม่ได้อยู่ที่ตรรกะ แต่ปรากฏอยู่ที่ประสบการณ์ต่างหาก" (the life of the law has not been logic, it has been experience) ในกระบวนการแก้ไขและปรับปรุงกฎหมายบริษัทอย่างต่อเนื่อง กฎหมายบริษัทไม่เพียงแต่อยู่ในระดับทฤษฎีและบทบัญญัติทางกฎหมายเท่านั้น แต่ที่สำคัญกว่านั้นคือ การตีความ พัฒนา และสร้างสรรค์ "กฎหมายบนกระดาษ" ตามสถานการณ์จริงระหว่างการพิจารณาคดี เพื่อให้กลายเป็น”กฎหมายที่ใช้ในชีวิตประจำวัน” ดังนั้น ประเทศจีนจึงต้องใช้ความพยายามมากขึ้นในการปรับปรุงกฎหมายเกี่ยวกับหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการ เพื่อให้กฎหมายบริษัท มีความสอดคล้องและใช้งานได้อย่างต่อเนื่อง ในขณะเดียวกันก็ยังทำให้การพัฒนาเศรษฐกิจราบรื่นขึ้น แม้ว่ากฎหมายปัจจุบันที่เกี่ยวกับหน้าที่แห่งความซื่อสัตย์สุจริตของกรรมการยังไม่สมบูรณ์แบบ แต่เชื่อว่ากฎหมายนั้นจะสมบูรณ์ยิ่งขึ้นได้ในอนาคต ผลที่ตามมาก็คือ ผู้พิพากษาจะเกิดความซับซ้อนเมื่อพิจารณาคดี และจำเป็นต้องพิจารณาคดีตามดุลพินิจของตนเอง จึงสมควรที่จะแก้ไขเพิ่มเติมกฎหมายที่เกี่ยวข้องต่อไป

อุตสาหกรรมเคมีและการล้างถังนั้นมีความสำคัญอย่างมากในโลกปัจจุบัน ด้วยการพัฒนาเหล่านี้ทำให้มนุษย์มีคุณภาพความเป็นอยู่ที่ดีขึ้นด้วยราคาที่ไม่แพงเช่นบรรจุภัณฑ์สินค้า อุปโภค บริโภคที่ทำมาพลาสติกซึ่งเป็นวัตถุดิบที่ได้มากจากกระบวนการผลิตที่ทำมาจากน้ำมัน โดยถังบรรจุเคมีนั้นจะต้องมีการทำความสะอาดอยู่เป็นประจำ โดยการทำความสะอาดนั้นส่วนมากจะเป็นการส่งแรงงานลงไปเพื่อปฏิบัติการล้างถัง โดยในประเทศไทยนั้นยังมีรายงานเรื่องอุบัติเหตุในที่อับอากาศอยู่เป็นประจำ อิงจากข้อมูลสถิติตั้งแต่ปี 2546 จนถึง 2561 นั้น ประเทศไทยมีรายงานผู้ประสพอันตรายเกี่ยวกับที่อับอากาศจำนวน 210 ราย จึงเกิดเป็นประเด็นที่ควรพิจารณาว่า พระราชบัญญัติ ความปลอดภัย อาชีวอนามัย และสภาพแวดล้อมในการทำงาน พ.ศ. 2554 และ กฎกระทรวง การจัดการความปลอดภัยอาชีวอนามัยและสภาพแวดล้อมในการทํางานในที่อับอากาศ พ.ศ. 2562 ที่ออกมาเพื่อเพิ่มความปลอดภัยให้แก่แรงงานในที่อับอากาศนั้นมีประสิทธิภาพหรือไม่ การวิจัยเล่มนี้จึงจัดทำขึ้นเพื่อศึกษาหลักกฎหมายเรื่องการควบคุม ดูแล และป้องกันอันตรายต่อแรงงานจากการปฏิบัติงานในที่อับอากาศในประเทศอเมริกาและประเทศออสเตรเลียเพื่อวิเคราะห์และหาข้อแนะนำเพื่อนำมาประยุกต์ใช้ในประเทศไทยตามอิริยาบทที่เหมาะสมเพื่อไม่ให้เป็นการเพิ่มภาระให้แก่ฝ่ายใดฝ่ายหนึ่งมากจนเกินไปจนผิดหลักความไม่ได้สัดส่วน จากการศึกษาค้นขว้าวิจัยจึงพบว่ากฎหมายเรื่องเกี่ยวกับความปลอดภัยในที่อับอากาศของประเทศไทยนั้นเป็นหลักการที่เขียนไว้อย่างกว้างและไม่มีความละเอียดมากพอจนเป็นต้นเหตุให้ไม่สามารถบังคับใช้ได้อย่างมีประสิทธิภาพ อีกทั้งกฎหมายของประเทศไทยนั้นมีบทลงโทษแล้ว แต่ก็ไม่สามารถนำเอาผู้กระทำความผิดที่ละเลยการปฏิบัติตามหลักข้อบังคับที่มีมาลงโทษได้เพียงเพราะกฎหมายนั้นมีความกว้างเกินไป เมื่อนำมาเทียบกับประเทศไทยแล้วนั้น มีหลายหลักที่ประเทศไทยสามารถนำมาปรับใช้เช่น หลักการแยกและปิดกั้นพลังงานหรือสารเคมีในที่อับอากาศที่มีการระบุอย่างชัดเจนในสองประเทศว่าจะต้องมีการใช้อุปกรณ์ Lock Out Tag Out ในข้อกฎหมาย หรือหลักเฉพาะในประเทศอเมริกาเช่นแรงงานจะต้องได้รับข้อมูลเกี่ยวกับประเภทของสารเคมีอันตรายที่จะพบในที่อับอากาศนั้น ๆ และหลักอุปกรณ์เครื่องมือสื่อสารที่นายจ้างจะต้องเตรียม ส่วนหลักพิเศษในประเทศออสเตรเลียที่คือหลักความรับผิดชอบของผู้ผลิตถังอับอากาศและหลักความรับผิดชอบของผู้คุมงานที่จะต้องดูแลแค่กิจกรรมในที่อับอากาศเดียวเท่านั้น หากมีการแก้ไขกฎกระทรวงและหลักในพระราชบัญญัติตามนี้ ประเทศไทยก็จะสามารถลดจำนวนอุบัติเหตุที่เกี่ยวข้องกับที่อับอากาศได้อย่างน้อย 50,000 รายและลดการเสียชีวิตอย่างน้อย 120 คนต่อปีหากอิงจากสถิติของประเทศอเมริกา เพื่อนำพาประเทศไทยสู่มาตรฐานอุตสาหกรรมในระดับโลกและลดภาระให้แก่ภาครัฐในระยะยาว

ตลาดหลักทรัพย์แห่งประเทศไทยเล็งเห็นความสำคัญของภาคธุรกิจระดับ SMEs และ Startups ให้สามารถระดมทุนผ่านตลาดทุนเพื่อสร้างการเติบโตต่อไปเป็นบริษัทจดทะเบียนในตลาดหลักทรัพย์ขนาดใหญ่ใน SET และ mai โดยสำนักงานคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์ (ก.ล.ต.) กำหนดหลักเกณฑ์การเสนอขายหุ้นเพื่อเป็นบริษัทจดทะเบียนในตลาดหลักทรัพย์ไลฟ์เอ็กซ์เช้นจ์ (LiVEx) และตลาดหลักทรัพย์แห่งประเทศไทยกำหนดหลักเกณฑ์การจดทะเบียนและการซื้อขายหลักทรัพย์ในไลฟ์เอ็กซ์เช้นจ์ ด้วยแนวคิดผ่อนปรนคุณสมบัติสำหรับบริษัท (Light-Touch Supervision) กำหนดประเภทผู้ลงทุนให้เหมาะสมกับการกำกับดูแลและความเสี่ยง (Investor Protection) รวมทั้งเน้นการเปิดเผยข้อมูลที่สำคัญของบริษัทต่อผู้ลงทุน (Information-Base) สำหรับการกำหนดหลักเกณฑ์ดังกล่าว ผู้ศึกษาเห็นว่าเป็นอุปสรรคในการเข้าถึงแหล่งระดมทุนของภาคธุรกิจระดับ SMEs และ Startups ผู้ศึกษาได้ศึกษากฎหมายและหลักเกณฑ์เกี่ยวกับการเข้าจดทะเบียนและการซื้อขายในตลาดหลักทรัพย์ LiVEx เปรียบเทียบกับตลาดหลักทรัพย์ LEAP Market ซึ่งเป็นตลาดหลักทรัพย์กระดานเล็กของมาเลเซีย และการสัมภาษณ์เชิงลึก (In-depth Interview) จากผู้บริหารของตลาดหลักทรัพย์แห่งประเทศไทย และผู้ประกอบการ รวมทั้งการเข้าฝึกอบรมหลักสูตร LiVEx จากนั้นจึงนำข้อมูลที่รวบรวมได้มาวิเคราะห์เปรียบเทียบ (Analysis) และสังเคราะห์ (Synthesis) เป็นข้อสรุปเพื่อนำเสนอแนวทางมาพัฒนาหลักเกณฑ์ดังกล่าวต่อไป ผลการศึกษา แบ่งเป็น 2 ประเด็นทางกฎหมายที่สำคัญ ได้แก่ (1) คุณสมบัติของผู้ยื่นคำขอเข้าจดทะเบียนในตลาดหลักทรัพย์ LiVEx (2) การยื่นคำขอและการเสนอขาย โดยมีประเด็นแนวทางพัฒนาหลักเกณฑ์ที่สำคัญ ดังนี้ (1) ด้านคุณสมบัติของผู้ยื่นคำขอเข้าตลาดหลักทรัพย์ LiVEx 1.1 เพิ่มทางเลือกคุณสมบัติด้านผลการดำเนินงาน จากเดิมกำหนดให้บริษัทมีรายได้จากกิจการผลิตตาม รง.4 ไม่ต่ำกว่า 100 ล้านบาท และมีรายได้จากกิจการบริการที่มีรายได้ไม่ต่ำกว่า 50 ล้านบาท ควรเพิ่มหลักเกณฑ์พิจารณาผลกำไรจากการดำเนินงาน 1 ปีเต็ม เช่นเดียวกับ LEAP Market ของประเทศมาเลเซีย 1.2 ทุกบริษัทต้องมีทุนจดทะเบียนที่ชำระแล้วขั้นต่ำ 5 ล้านบาท เพื่อให้เกิดความมั่นใจว่าบริษัทมีเงินทุนจริง ตามแนวทางการจดทะเบียนจัดตั้งและเพิ่มทุนจดทะเบียนของห้างหุ้นส่วนและบริษัทจํากัดซึ่งมีทุนที่ขอจดทะเบียนหรือทำให้ทุนจดทะเบียนเกินกว่า 5 ล้านบาท ตามคำสั่งสำนักงานทะเบียนหุ้นส่วนบริษัทกลาง ที่ 66/2558 ลงวันที่ 24 มี.ค. 2558 (2) การยื่นคำขอและการเสนอขาย บริษัทต้องจัดหาที่ปรึกษาทางการเงิน (Finance Adviser : FA) เช่นเดียวกับ LEAP …

ปัจจุบันในประเทศไทยมีการใช้บรรจุภัณฑ์อย่างแพร่หลายก่อให้เกิดขยะจากบรรจุภัณฑ์จำนวนมหาศาล ในขณะที่ประเทศไทยยังไม่มีมาตรการการจัดการขยะจากบรรจุภัณฑ์ที่ดีเท่าที่ควร ทำให้ไม่สามารถกำจัดขยะบรรจุภัณฑ์ได้อย่างถูกวิธี เนื่องจากไม่ได้มีการแยกขยะตั้งแต่ต้นทางจึงไม่สามารถนำไปรีไซเคิลได้ ส่งผลให้เกิดปัญหาขยะบรรจุภัณฑ์ที่ตกค้างอยู่ในสิ่งแวดล้อมจำนวนมาก ซึ่งขยะบรรจุภัณฑ์ส่วนมากที่พบล้วนเป็นขยะที่ย่อยสลายยากไม่ว่าจะเป็น ขวดน้ำพลาสติก ขวดโลหะ หรือแม้แต่ขวดแก้ว และปัญหาการทิ้งขยะบรรจุภัณฑ์ที่กระจัดกระจายนั้นยังนำไปสู่ปัญหาการ อุดตันตามท่อระบายน้ำทำให้เกิดปัญหาน้ำท่วม ปัญหาขยะลอยในแม่น้ำและไหลลงทะเลในที่สุด ในปัจจุบันพระราชบัญญัติภาษีสรรพสามิต พ.ศ. 2560 ไม่มีการจัดเก็บภาษีสรรพสามิตจากบรรจุภัณฑ์ โดยไม่ได้บัญญัติให้บรรจุภัณฑ์เป็นสินค้าที่อยู่ในข่ายต้องเสียภาษีสรรพสามิตจึงไม่ได้กำหนดประเภทของบรรจุภัณฑ์ที่ต้องเสียภาษี และไม่ได้กำหนดอัตราภาษีของบรรจุภัณฑ์แต่ละชนิดประเภทไว้เป็นอย่างเฉพาะ รวมทั้งไม่มีมาตรการทางภาษีเพื่อกระตุ้นให้ผู้ประกอบการต้องมีระบบการกู้คืนบรรจุภัณฑ์ของตนเองกลับคืนมาเพื่อประโยชน์ในการใช้ซ้ำและนำกลับมาใช้ใหม่ เพื่อลดขยะบรรจุภัณฑ์และเพื่อแก้ไขปัญหาสิ่งแวดล้อมจากขยะบรรจุภัณฑ์ตกค้างสะสมในประเทศไทย ซึ่งจากการศึกษาหลักเกณฑ์การจัดเก็บภาษีสรรพสามิตบรรจุภัณฑ์จากผู้ผลิตและนำเข้ารวมถึงการบังคับใช้มาตรการยกเว้นทางภาษีจากการกู้คืนบรรจุภัณฑ์ของสาธารณรัฐเอสโตเนีย ที่มีการจัดเก็บภาษีสรรพสามิตบรรจุภัณฑ์ในอัตราที่แตกต่างกันในแต่ละประเภทของวัสดุบรรจุภัณฑ์ ขึ้นอยู่กับความเป็นมิตรกับสิ่งแวดล้อมและความยากง่ายในการนำกลับมาใช้ใหม่หรือรีไซเคิล รวมถึงให้สิทธิประโยชน์ในการยกเว้นภาษีสรรพสามิตกับผู้ประกอบการที่ทำการกู้คืนบรรจุภัณฑ์ได้ตามเป้าหมายที่กำหนด อีกทั้งยังมีการใช้ระบบวางมัดจำเพื่อให้ประชาชนมีส่วนร่วมในการกู้คืนขยะ และเพื่อให้มาตรการทางภาษีมีประสิทธิภาพมากยิ่งขึ้น โดยผลลัพธ์ที่ได้จากการบังคับใช้มาตรการทางภาษีและการกู้คืนของสาธารณรัฐเอสโตเนีย พบว่าอัตราการกู้คืนขยะเพิ่มขึ้นอย่างมีนัยสำคัญเมื่อเปรียบเทียบกับปริมาณขยะของประเทศ และยังทำให้สาธารณรัฐเอสโตเนียสามารถบรรลุเป้าหมายการกู้คืนบรรจุภัณฑ์ตามที่สหภาพยุโรปกำหนดไว้ ดังนั้นประเทศไทยจึงควรมีมาตรการทางกฎหมายเพื่อใช้ในการจัดเก็บภาษีสรรพสามิตบรรจุภัณฑ์จากผู้ผลิตและนำเข้า รวมถึงการบังคับใช้มาตรการยกเว้นทางภาษีจากการกู้คืนบรรจุภัณฑ์มาบังคับใช้ โดยให้จัดเก็บภาษีสรรพสามิตบรรจุภัณฑ์จากผู้ผลิตและนำเข้าในอัตราที่แตกต่างกันขึ้นอยู่กับประเภทของวัสดุบรรจุภัณฑ์และจัดให้มีการยกเว้นภาษีให้กับผู้ผลิตและผู้นำเข้าที่สามารถกู้คืนบรรจุภัณฑ์ได้ตามเป้าหมายการกู้คืนที่กำหนด โดยภาครัฐต้องกำหนดอัตราการ กู้คืนที่เหมาะสม อีกทั้งควรมีการจัดตั้งองค์กรกู้คืนเพื่อช่วยกลุ่มธุรกิจขนาดย่อยในการจัดการกู้คืนขยะ ควรให้มีการนำระบบการวางมัดจำมาใช้เพื่อให้ประชาชนมีส่วนร่วม และควรมีการกำหนดบทลงโทษสำหรับผู้ผลิต ผู้นำเข้า และองค์กรกู้คืนที่ไม่ปฏิบัติตามข้อกำหนดในการกู้คืนและไม่สามารถกู้คืนบรรจุภัณฑ์ได้ตามอัตราที่กฎหมายกำหนด เพื่อให้การบังคับใช้เกิดประสิทธิภาพสูงสุด

ภาษีความมั่งคั่ง ถือเป็นภาษีทางตรงที่เรียกเก็บจากบุคคลที่มีฐานะร่ำรวยและถือเป็นภาษีทรัพย์สินชนิดหนึ่ง ซึ่งภาษีทรัพย์สินนั้นเป็นภาษีที่มีความสำคัญในการพัฒนาประเทศ โดยเฉพาะอย่างยิ่งการพัฒนาส่วนท้องถิ่น เนื่องจากหลักการการจัดเก็บภาษีทรัพย์สินโดยทั่วไปนั้น จะจัดเก็บจากอสังหาริมทรัพย์ที่ตั้งอยู่ในแต่ละท้องถิ่นเพื่อนำเงินรายได้ไปใช้จ่ายในการจัดหาบริการสาธารณะให้แก่ประชาชนและพัฒนาท้องถิ่นนั้น ๆ ให้มีความเจริญมากยิ่งขึ้น หากประเทศใดมีระบบการจัดเก็บภาษีทรัพย์สินที่ดีก็จะมีรายได้เพียงพอที่จะพัฒนาท้องถิ่นและลดภาระของรัฐบาลกลางที่จะต้องให้เงินอุดหนุนแก่ท้องถิ่นลงได้ จากการศึกษาพบว่าประเทศไทยมีกฎหมายที่เกี่ยวกับภาษีทรัพย์สินหลายฉบับ ซึ่งบางฉบับนั้นยังมีข้อบกพร่องหลายประการทั้งในด้านโครงสร้างภาษีและการบริหารจัดเก็บภาษี โดยเฉพาะอย่างยิ่ง พระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562 ส่งผลให้เงินรายได้จากภาษีที่ดินและสิ่งปลูกสร้างไม่เพียงพอที่จะนำไปพัฒนาบริหารท้องถิ่น กล่าวคือ ในด้านโครงสร้างภาษีของกฎหมายที่ดินและสิ่งปลูกสร้างมีวิธีการบรรเทาภาระภาษีในส่วนของการลดอัตราภาษีและการยกเว้นภาษีสำหรับที่อยู่อาศัยและเกษตรกรรม โดยไม่ได้คำนึงถึงมูลค่าของทรัพย์สินที่ถือครอง ทำให้ผู้ถือครองที่ดินและสิ่งปลูกสร้างที่มีมูลค่าน้อยมีภาระภาษีมากกว่าผู้ที่ถือครองที่ดินและสิ่งปลูกสร้างที่มีมูลค่าสูง ประกอบกับอัตราภาษีที่ต่ำเกินไปจนกระทั่งไม่เป็นภาระแก่ผู้ถือครองทรัพย์สินทำให้ไม่มีการใช้ประโยชน์ในทรัพย์สินและกระจายทรัพย์สินที่ถือครอง ซึ่งขัดกับหลักประโยชน์ที่ได้รับและขัดกับวัตถุประสงค์ในการประกาศใช้พระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562 สำหรับในด้านการบริหารจัดเก็บภาษีนั้น มีการจัดเก็บภาษีในลักษณะที่เอื้อประโยชน์ให้แก่คนรวยและก่อให้เกิดการเลี่ยงภาษีได้ง่าย อีกทั้ง การประเมินมูลค่าทรัพย์สินซึ่งกำหนดให้ใช้มูลค่าประเมินโดยกรมธนารักษ์ที่เกิดขึ้นจากประเภทของทรัพย์สินและการใช้ประโยชน์จากทรัพย์สินนั้น ยังขาดประสิทธิภาพและไม่มีความเป็นธรรม ดังนั้น ผู้เขียนเอกัตศึกษาฉบับนี้จึงมุ่งเน้นศึกษาและค้นคว้าข้อมูลต่าง ๆ ที่เกี่ยวข้องกับปัญหาภาษีทรัพย์สินของประเทศไทยในส่วนพระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562 และการนำหลักเกณฑ์และวิธีการการจัดเก็บภาษีความมั่งคั่งของประเทศมาปรับใช้ให้เหมาะสมกับประเทศไทยเป็นหลัก โดยเฉพาะการขยายฐานภาษีทรัพย์สินเพื่อให้รัฐบาลมีรายได้ที่เพียงพอต่อการบริหารพัฒนาประเทศซึ่งเป็นการเพิ่มประสิทธิภาพให้แก่การจัดเก็บภาษีทรัพย์สินของประเทศไทย ประกอบกับสร้างความเป็นธรรมให้แก่สังคมและลดความเหลื่อมล้ำในประเทศได้

ในปัจจุบันสระว่ายน้ำในประเทศไทยได้รับความนิยมเป็นอย่างมาก เดิมสระว่ายน้ำมักมีวัตถุประสงค์เพื่อการสันทนาการ เพื่อการกีฬา หรือเพื่อการรักษาบำบัด แต่เมื่อยุคสมัยเปลี่ยนไปสระว่ายน้ำกลายเป็นสิ่งที่แสดงให้เห็นถึงความหรูหราฟุ่มเฟือย สังเกตได้จากโครงการบ้านที่อยู่อาศัยต่าง ๆ ที่ได้มีการขายบ้านพร้อมสระว่ายน้ำส่วนตัวหรือแม้กระทั่งโรงแรมที่มีการสร้างสระว่ายน้ำส่วนตัวภายในห้องพักหรือพูลวิลล่า ส่งผลให้สระว่ายน้ำมีจำนวนมากขึ้นทำให้เกิดการใช้ทรัพยากรน้ำที่มากขึ้นเช่นกันโดยก่อให้เกิดปัญหาการขาดแคลนน้ำและการแย่งใช้น้ำจากทรัพยากรน้ำที่มีอยู่อย่างจำกัด เอกัตศึกษาจึงมีวัตถุประสงค์ในการศึกษาแนวทางในการกำหนดมาตรการทางภาษีจากการใช้ทรัพยากรน้ำของสระว่ายน้ำ โดยศึกษากฎหมายไทยที่เกี่ยวข้อง เปรียบเทียบกับกฎหมายต่างประเทศได้แก่กฎหมายของประเทศฝรั่งเศสและประเทศกรีซ จากการศึกษาผู้เขียนพบว่า ประเทศไทยไม่มีกฎหมายเฉพาะสำหรับการจัดเก็บภาษีจากการใช้ทรัพยากรน้ำของสระว่ายน้ำ ในขณะที่ประเทศฝรั่งเศสมีการจัดเก็บภาษีการพัฒนา และประเทศกรีซมีการจัดเก็บภาษีฟุ่มเฟือย จึงเสนอให้นำกฎหมายของประเทศฝรั่งเศสและประเทศกรีซเป็นแบบอย่างในการกำหนดมาตรการทางภาษีการใช้ทรัพยากรน้ำของสระว่ายน้ำที่เหมาะสมสำหรับประเทศไทย

This Article will attempt to untangle the complicated web of providing telehealth to those populations it is potentially capable of further alienating from access to healthcare including: 1) race/minority populations, 2) aging adults, 3) individuals with disabilities, 4) non-English speakers, 5) individuals living in rural areas, 6) socioeconomic class, and 7) children, in order to advance the argument that telehealth can be successful in providing healthcare access to these populations. Rather than suggesting that telehealth simply "cannot work" for these populations, instead consideration can and must meet these individuals through technology, access, and policy developments.

A defendant who obtained an undeserved benefit at the plaintiff’s expense must make restitution of that benefit. This is the fundamental maxim of the law of unjust enrichment, allowing recovery based on the defendant’s gain rather than on the plaintiff’s loss. Unfortunately, liability in unjust enrichment is notoriously unprincipled. The key problem is that scholars and courts cannot agree on the correct manner for distinguishing meritorious claims from non-meritorious ones in this important area of the law.

Corporate law’s most important development is founded on a misunderstanding of the channels and consequences of shareholder empowerment. The Article’s title references the seminal Delaware Supreme Court decision that ruled that a positive shareholder vote effectively insulates a friendly sale from judicial oversight. Central to Corwin’s reasoning is the notion that the shareholder vote provides an effective restraint against insider overreaching. Yet every deal that includes a premium over the market price is assured of shareholder approval. A new category of retail stock trader has emerged: the “expressive” trader. An expressive trader is not motivated by profit alone, but trades as a form of social protest, political speech, or aesthetic expression. GameStop’s meteoric surge in price in January 2021 revealed the power expressive traders can exert on the market. This Essay explores the phenomenon of expressive trading and its implications for issuers, markets, and regulators. The Essay sets forth potential defensive measures available to issuers against the consequences of expressive trading, and cautions regulators against hasty action to address expressive trading.

Restrictive zoning limits housing supply, which (according to the law of supply and demand) increases housing costs. But some commentators argue that more permissive zoning would actually increase housing costs by increasing land costs. This article points out that if the latter claim was true, land costs would have risen in places that allowed lots of new housing and fallen in more restrictive regions such as San Francisco. In fact, land costs increased in both types of metro areas. More importantly, overall housing costs increased more rapidly in more restrictive metros.

The U.S. income tax system is broken. Due to the realization doctrine and taxpayers’ consequent ability to defer taxation of gains, taxpayers can easily minimize or avoid the taxation of investment income, a failure that is magnified many times over when considering the ultra-wealthy. As a result, this small group of taxpayers commands an enormous share of national wealth yet pays paltry taxes relative to the economic income their wealth produces—a predicament that this Article condemns as being economically, politically, and socially harmful.

Born to combat the market effects of the Great Depression, the Securities Exchange Act of 1934 protects American investors and maintains American confidence in the U.S. securities market. These objectives are largely accomplished through the imposition of liability from Section 10(b) of the Securities Exchange Act and the SEC’s Rule 10b-5. These federal laws impose civil and criminal penalties for domestic insider trading and securities fraud violations. A growing body of literature evaluates the impact of antitrust laws on economic growth. Most of these empirical studies identify a positive impact; however, the existing literature only studies the effect of the existence of antitrust laws, but not their enforcement. To fill this gap in the literature, this Article uses private antitrust case filing numbers to examine the growth effect. The concept of possession is currently considered inapplicable to intangible assets, whether data, cryptocurrency, or NFTs. Under this view, intangible assets categorically fall outside the purview of property law’s foundational doctrines. Such sweeping conclusions stem from a misunderstanding of the role of possession in property law. Throughout most of 2020, state and local governments faced severe budget crises as a result of the COVID-19 pandemic. Increased demand for state welfare services and rising state expenses related to controlling the spread of COVID-19 stretched state and local budgets to their breaking points.
