In planning for the closely held corporation, counsel should give consideration to the flexibility afforded by a shareholders' agreement. Such an agreement is not, however, without its pitfalls. The author examines the advantages and problems inherent in the use of a shareholders' agreement.

When pre-death estate planning is absent or ineffective, the executor of an estate consisting primarily of stock of a closely held corporation faces a problem in deriving the liquidity necessary to pay estate taxes. The problem is aggravated if the beneficiaries wish to maintain the current balance of control in the closely held corporation. As a practical guide to executors in this situation, the author discusses the provisions of the Internal Revenue Code which can help mitigate the problem.

A Practitioner's Guide To The Statutes Of Limitations In Product Liability Suits, Francis B. Burch Jr.

The requirements of the statutes of limitations applicable to each theory of recovery that might provide the basis for a product liability suit are outlined in this article. Differences among these statutes are highlighted and the author identifies the problems that may result from a multi-count declaration when a different statute of limitations applies to each count.

The author discusses the recent imposition of a duty on automobile manufacturers to design a product that is "crashworthy. " He concludes that the courts will use a "balancing test" to determine the scope of that duty, and discusses the application of this test. Various attendant problems, such as the seat belt defense and the relevance of uniform federal safety standards, are also considered.

The authors discuss the practical and legal problems involved in proving a defect in a product liability case. The essential differences between design defects and construction defects are characterized in terms of the requisites of proof of each. Primary emphasis is placed upon the effective and efficient discovery and utilization of evidence concerning design and construction standards and the extent to which these standards were considered and implemented in the design or construction process.

Subsequent to incorporation of a business, the question arises as to how the stockholders are to maintain control of the business. Among those devices available to counsel is the voting trust. The author reviews the history of the voting trust, its treatment by the courts and legislatures, and examines several types of provisions which should be employed in drafting the voting trust agreement.

The corporate form is often superior to other business structures because of the financial flexibility available to the corporation under the corporate income tax provisions of the Internal Revenue Code. The author reviews these sections of the Code and discusses how they affect the decision of a small business to incorporate.

This is a tentative draft of proposed pattern jury instructions prepared by The Section of Judicial Administration, Committee on Pattern Jury Instructions of the Maryland State Bar Association. The Committee emphasizes that the pattern jury instructions are suggestions for the courts' consideration and are not intended to be mandatory. Comments and suggestions are invited by the Committee with respect to the draft product liability instructions.

Warranty Law In Maryland Product Liability Cases: Strict Liability Incognito?, Martin H. Freeman, Delverne A. Dressel

The authors consider the question of whether warranty law in Maryland now provides the plaintiff in a product liability case with a cause of action similar to that which would be available wider the doctrine of strict liability in tort. The development of the strict liability doctrine is traced and its current scope and requirements for recovery are compared with those of the action for breach of the implied warranty provided in the Uniform Commercial Code.
