Fiduciary Duty Or Loyalty? Evidence From Co-Opted Boards And Corporate Misconduct, Rashid Zaman, Nader Atawnah, Ghasan A. Baghdadi, Jia Liu

We examine the effect of co-opted boards on corporate misconduct and document a significant positive relationship. Utilising a large sample of public U.S. companies from the period 2001 to 2015, we find that a one standard deviation increase in the proportion of co-opted directors on a board leads to a 4.3% rise in corporate misconduct. This outcome is robust to a series of sensitivity tests and continues to hold after accounting for potential endogeneity concerns. Further analyses indicate that co-opted directors propose fewer board agenda items, exhibit lower attendance at board meetings, and receive compensation packages in excess of industry …

We test the impact of stock split rule changes on liquidity behavior in Bursa Malaysia during 2004–2020. Using event study methodology, this study examines stock liquidity on and around stock split days through three subperiods of study, including the first (2004–2006), second (2007–2009), and third (2010–2020) period. We find that liquidity improvement is short-lived in the first and second periods, while it is a long-lived phenomenon in the third period. This article explores an examination of industry clusters from a systems perspective. We analyze Russia’s pharmaceutical clusters and India’s automobile clusters in terms of the systems concepts of holism, emergence, and open systems. We further consider the aspects of human capital investment and the availability of professional labor, infrastructure, private–public sector collaboration, support for funding and commercialization, as well as innovation corporate culture, when examining the institutional pillars supporting the development and growth of industry clusters within the national innovation ecosystems. Most state rules of substantive law, whether legislative or judicial, ordinarily adjust rights and obligations among local parties with respect to local events. Conventional choice of law methodologies for adjudicating disputes with multistate connections all start from an explicit or implicit assumption of a choice between such locally oriented substantive rules. As educators we strive to facilitate knowledge and ways of learning that serve students throughout their lives, but we also recognize their sometimes short retention span. The innovation we present in this article consists of the use of digital storytelling as a conduit for students to construct a narrative of their experience in a marketing simulation throughout the semester. We explain the innovation’s implementation as well as the results observed throughout the years in the digital stories developed by students. Finally, we discuss further applications of this innovation in other courses and future research avenues.

The goal of corporate spin-offs, as a corporate restructuring technique, is to create better value for both the divesting firm and its subsidiary/ division. These corporate transactions lead to the creation of independent, publicly traded entities, which are called spun-off subsidiaries. In this study, we examine the effect of board independence and directors’ industry experience on the market performance of spun-off subsidiaries by setting two main hypotheses. Our sample includes 123 completed U.S.-based spin-off events during a 14-year long time frame. Gossip is a behavior that has been traditionally viewed as harmful in organizations. However, a more balanced perspective has emerged in recent years that suggests gossip can have important benefits. We propose that one way to uncover potential benefits of gossip in teams is to focus on the valence (positive or negative nature) of the gossip. Drawing on expectancy theory, we propose team gossip indirectly influences team performance through social loafing because it plays a key role in shaping beliefs about effort in team contexts; effects determined by team gossip valence. The purpose of this non-experimental, quantitative study was to examine organizational identity dissonance experienced by an organization's social actors in the context of organizational decline and turnaround utilizing factor structures from five years of pre-existing, employee surveys to determine whether differences in factor scores occurred over the 5-year time frame. Current theoretical approaches to territoriality rely heavily on a psychological ownership perspective; however, there is a wealth of theory organizational scholars can integrate from other disciplines (Altman, 1975; Ardrey, 1965; Brown, Lawrence, & Robinson, 2005). The purpose of this dissertation is to integrate an evolutionary perspective into organizational scholarship to explore new antecedents of territoriality. In this paper, we look at the supply chain for PPE during the COVID-19 pandemic of 2020. We look at the way the supply chain has responded to the pandemic, the coordination of the supply chain relative to the needs of primary users, and the consequences of its use. The demand for mental health services around the world has risen dramatically. Many researchers and practitioners are looking for alternative mental health treatments, including nature-based recreation. However, reviews examining nature-based recreation’s therapeutic effectiveness are limited. The purpose of this study was to conduct a systematic review of available research regarding the potential mental-health benefits of nature-based recreation. Following the preferred reporting items for systematic review and meta-analysis protocols (PRISMA-P) guidelines, a global standard established to ensure consistency and quality in literature reviews, a systematic search generated 51 articles for review. Reputation research often employs rankings which combine both the prominence and perceived quality dimensions of reputation. Though this approach has merit, it neglects nuances in the formation of perceived firm quality – i.e., how stakeholders perceive a firm’s capabilities. Since perceptions are influenced by how information is presented, we posit that the patterns of a firm’s performances – their order and interval – explain variance in perceived quality beyond valence (absolute performance level), alone. Businesses and consumers need to have a robust Application Programming Interface (API) management and security program in place to ensure they are using the most updated policies to certify that these transactions are adequately secure. Technology vendors do provide API Management tools for Customers, and there are established API security standards for securing API transactions. Given the effort to keep APIs open and easy to implement for Business to Business (B2B) and Business to Consumer (B2C) communications, security standards must be part of API management.
