The Enron case plays on many different dimensions, but its prominence is not merely part of popular culture's obsession with scandal du jour. Rather, the Enron situation challenges some of the core beliefs and practices that have underpinned the academic analysis of corporate law and governance, including mergers and acquisitions, since the 1980s. These amount to an interlocking set of institutions that constitute "shareholder capitalism," American-style, 2001, that we have been aggressively promoting throughout the world. Kant tells us in the Groundwork of the Metaphysics of Morals that rational nature is an end in itself; that it is the only thing which is unconditionally valuable; and that it is the ultimate condition of all value.1 A striking trend in recent Kant scholarship is to regard these value claims, rather than the formalism of universalizability, as the ultimate foundation of Kant’s theory.2 But does rational nature as Kant conceives it deserve such veneration? Some commentators defend limited shareholder liability for torts and statutory violations as efficient, even though it encourages corporations to overinvest in and to externalize the costs of risky activity. Others propose pro rata unlimited shareholder liability for corporate torts. Both approaches, however, fail to account fully for qualitative differences among shareholders. Controlling shareholders, in particular, may have lower information costs, greater influence over managerial decisionmaking, and greater ability to benefit from corporate activity. This Article develops a control-based approach to shareholder liability. It first explores several differences among shareholders. For all of its value as a critical mechanism of human rights protection, international refugee law is not an all-encompassing remedy. In at least two ways, the category of persons of concern to refugee law is significantly more narrow than the universe of victims of human rights abuse. First, only persons able somehow to leave their own country can be refugees. Alienage is a requirement for refugee status because of concerns about the limits of international resources and the potential for responsibility-shifting, as well as in recognition of the fundamental constraints which sovereignty still places on meaningful intervention by the …

In his famous Stanford Law Review article, When Worlds Collide,' Professor Marc Franklin foretold the troubles for American law in the impending collision of the tort of strict liability with the warranty of merchantability.2 We daily suffer the reverberations from that collision as courts struggle with the proper application of strict tort liability and breach of warranty in products liability cases. The first time I met Gary, he fell asleep. This was in the spring of 1969. Gary and I were working as lawyers in Washington, D.C., and each of us had recently accepted offers to join the faculty of the UCLA School of Law. When I learned of our current shared location and future destination, I called Gary and invited him to dinner at my apartment in Georgetown. We ate and drank and talked long into the night, until Gary checked out. Later he woke up and left.

After browsing through many volumes of the Michigan Law Review, searching for the article I would discuss on the occasion of the law review's 100th anniversary, I wound up with two "finalists": a 1955 article by Professor John Barker Waite on the law of arrest search and seizure (on further reflection, four Michigan Law Review commentaries on the general subject written by Waite between 1933 and 1955)' and a monumental 200-page article (surely one of the longest articles ever to appear in the Michigan Law Review) by Thomas Davies on the "original Fourth Amendment. 2

This essay begins with a prediction: that electronic real estate documents will soon begin to replace paper documents in many, if not all, phases of residential real estate transactions. It describes the costs and benefits of electronic documents, and the many forces supporting and impeding their widespread adoption. It concludes by urging all those participating in the process to use their best efforts to address the obstacles and to work towards a successful transition to a world of electronic real estate transactions and electronic recording.

Despite the fact that African-Americans suffer from a variety of health problems at disproportionately higher rates than whites, inequities in the medical system make access to care more difficult for minorities. The problem of racial disparities in health care encompasses more than problems of access or payment, however. Communication difficulties between physician and patient and disparate provision of services covered by insurance also may contribute substantially to health disparities between the races. This review canvasses some of the evidence of differential medical treatment and offers some suggestions that may improve the quality of communication between physicians and patients. In addition …

To develop a well-trained global work force, public health workers must take advantage of new opportunities to provide public health training and education. Distance education delivered via the Internet holds particular promise, especially for public health workers in developing countries. Because of the need to travel to the United States, Europe, or elsewhere, public health workers in developing countries have limited access to traditional public health training and education. Even short-courses are not cost-effective or efficient in terms of time and travel. The primary goals of nutrition rehabilitation centers (NRCs) are to recuperate malnourished children and improve caretakers' child feeding practices. Children ( N = 116) and caretakers ( N = 108) newly enrolled in four NRCs in Accra, Ghana were recruited and studied longitudinally at four time points: admission, interim, exit and postexit . Data collection included observations of activities at the NRCs, anthropometry, interviews, dietary assessments, and weighing of NRC foods. Caretaker/child pairs attended the NRCs 33% ± 21% of their total stay, and the majority (78%) discontinued participation before being officially discharged. At exit , ≥60% of children had …

Generalizability of possible seasonality of cardiovascular disease risk factors has not been demonstrated, and, if present, biologic mechanisms remain uncertain. This was addressed by examining cross-sectional seasonal variation in cardiovascular disease risk factors among Coronary Artery Risk Development in Young Adults (CARDIA) subjects, and cross-sectional and longitudinal seasonal variation in and interrelationships between lipids and thyroid hormone levels in a Lipid Variation Influence of Stress (LVIS) study subsample. Although crude analyses identified some significant seasonal variation in low density lipoprotein (LDL) cholesterol, physical activity, maximum heart rate, caloric intake, triglycerides, body weight and blood pressure overall and/or among race/gender strata …

Human immunodeficiency virus/acquired immune deficiency syndrome (HIV/AIDS) is a rapidly growing problem in India, with a 2002 estimate of over four million infected persons. The magnitude of the epidemic varies widely among the different Indian states but is predominantly from heterosexual transmission nationwide. In Tamil Nadu, the infection rates among the general population are now above 1%. Most prevention and control activities are restricted to mass information, education, and communication and targeted programs for the highest risk groups. With an increasingly generalized HIV epidemic, the need to respond to the HIV risk faced by lower risk populations assumes more importance. …

A retrospective cohort study was conducted to assess the association between congenital malformations and proximity to hazardous waste sites in Florida. All children whose mother lived within 10 miles of a hazardous waste site during gestation during the years 1996–1998 were in the study. Cases were children with birth defects whose mothers lived within 10 miles of a hazardous waste site during gestation. Controls were children whose mothers also lived within 10 miles of a hazardous waste site during gestation but did not have birth defects. The Hispanic population in Alabama has rapidly increased in recent years, raising public health officials' concern about their health status and use of health care services. This study examined health services' utilization by first-generation Hispanic mothers and children in greater Birmingham. Constructs from the Health Belief Model and the Behavioral Model of Health Services Utilization were integrated to form the study's theoretical framework. Differences Of Opinion And The Cross Section Of Stock Returns, Karl B. Diether, Christopher J. Malloy, Anna Scherbina

We provide evidence that stocks with higher dispersion in analysts' earnings forecasts earn lower future returns than otherwise similar stocks. This effect is most pronounced in small stocks and stocks that have performed poorly over the past year. Interpreting dispersion in analysts' forecasts as a proxy for differences in opinion about a stock, we show that this evidence is consistent with the hypothesis that prices will reflect the optimistic view whenever investors with the lowest valuations do not trade. By contrast, our evidence is inconsistent with a view that dispersion in analysts' forecasts proxies for risk.

The voltage-dependent and Ca(2+)-activated K(+) channel (MaxiK, BK) and the cellular proto-oncogene pp60(c-Src) (c-Src) are abundant proteins in vascular smooth muscle. The role of MaxiK channels as a vasorelaxing force is well established, but their role in vasoconstriction is unclear. Because Src participates in regulating vasoconstriction, we investigated whether c-Src inhibits MaxiK as a mechanism for agonist-induced vasoconstriction. Functional experiments in human and rat show that inhibitors of Src (Lavendustin A, PP2) but not inactive compounds (Lavendustin B, PP3) induce a pronounced relaxation of coronary or aortic smooth muscle precontracted with 5-hydroxytriptamine, phenylephrine, or Angiotensin II. An annually dated ice core recovered from South Pole (2850 m a.s.l.) in 1995, that covers the period 1487–1992, was analyzed for the marine biogenic sulfur species methanesulfonate (MS). Empirical orthogonal function analysis is used to calibrate the high-resolution MS series with associated environmental series for the period of overlap (1973–92). Utilizing this calibration we present a ~500 year long proxy record of the polar expression of the El Niño–Southern Oscillation (ENSO) and southeastern Pacific sea-ice extent variations. These records reveal short-term periods of increased (1800–50, 1900–40) and decreased sea-ice extent (1550–1610, 1660–1710, 1760–1800). In general, increased (decreased) sea-ice extent …
