This position is well-deserved-the casebook is thorough, comprehensive, well-written, error free, and, a significant feature for new teachers, has the best teacher's manual I have encountered for any casebook in any subject. Corporate directors have a fiduciary duty to make decisions in the best interests of the shareholders. This aspect of fiduciary duty is often called the shareholder primacy norm. Legal scholars generally assume that the shareholder primacy norm is a major factor considered by boards of directors of publicly traded corporations in making ordinary business decisions and that changing the shareholder primacy norm would have an effect on the substance of those decisions. Although it has been well established for years that discounts could be claimed on corporate stock (and some other ownership interests) for minority interest and nonmarketability, the courts until this year have resisted efforts to obtain a deduction for potential capital gains tax liability. However, two 1998 cases have been responsible for a break-through and have allowed discounts for potential income tax liability from liquidation in valuing corporate stock. Both Eisenberg v. Commissioner, and Estate of Davis v. Commissioner, involved stock valuation for federal gift tax purposes.

SEQRA, the New York State Environmental Quality Review Act, creates a process whereby public actions are reviewed with the intent to mitigate adverse environmental impacts. The SEQRA process has several flexible time constraints, which through negotiation, may be extended. Issues often arise due to the discrepancies between SEQRA’s imposed time limits and the time limits imposed on land use boards to make determinations about proposed projects. In late September, the Iowa Supreme Court declared unanimously that an Iowa statute providing protection against nuisance suits for agricultural operations is "flagrantly" unconstitutional. The lawsuit involved the Iowa agricultural areas statute that allows counties to designate agricultural areas of at least 300 contiguous acres. Farming operations conducted within such a designated area are not subject to nuisance lawsuits if they are operated properly.

The hedge-to-arrive saga took another turn on November 6, 1998, with release of the Agricultural Law Judge's opinion in the Grain Land Coop case. The hedge-to arrive controversy arose in 1995-96 when grain and soybean prices rose sharply and caught many producers with multi-year contracts hedged on a nearby futures contract month. The old crop-new crop spread between the 1995 and 1996 crops widened to unprecedented proportions in the early summer of 1996 and caused huge losses to elevators which were holding the futures obligation.
