การวิจัยนี้มีวัตถุประสงค์เพื่อศึกษาแนวทางการกำกับดูแลบริษัทโฮลดิ้งภายใต้พระราชบัญญัติการแข่งขันทางการค้า พ.ศ. 2560 โดยเปรียบเทียบกับกฎหมายและแนวปฏิบัติของต่างประเทศ เพื่อเสนอแนะแนวทางการปรับปรุงกฎหมายที่เหมาะสมสำหรับประเทศไทย การวิจัยใช้วิธีการศึกษาเชิงเอกสาร โดยวิเคราะห์เปรียบเทียบบทบัญญัติของกฎหมาย แนวปฏิบัติ และคำพิพากษาที่เกี่ยวข้องกับการกำกับดูแลบริษัทโฮลดิ้งตามกฎหมายการแข่งขันทางการค้าของสหรัฐอเมริกา สหภาพยุโรป และสาธารณรัฐเกาหลี ผลการศึกษาพบว่า กฎหมายการแข่งขันทางการค้าของไทยมีข้อจำกัดสำคัญในการกำกับดูแลบริษัทโฮลดิ้ง เนื่องจากนิยาม “ผู้ประกอบธุรกิจ” มีขอบเขตจำกัดเฉพาะผู้ที่ประกอบธุรกิจโดยตรง ทำให้ไม่ครอบคลุมถึงบริษัทโฮลดิ้งที่แม้จะมีอำนาจควบคุมบริษัทในเครือแต่มิได้ประกอบธุรกิจด้วยตนเอง ในขณะที่กฎหมายต่างประเทศมีการตีความอย่างกว้างให้ครอบคลุมถึงบริษัทที่มีอิทธิพลต่อการดำเนินธุรกิจของบริษัทอื่น หรือมีบทบัญญัติเฉพาะในการกำกับดูแลบริษัทโฮลดิ้ง การวิจัยนี้จึงเสนอให้แก้ไขนิยาม “ผู้ประกอบธุรกิจ” ให้ครอบคลุมถึงบริษัทที่มีอำนาจควบคุมหรือมีอิทธิพลอย่างมีนัยสำคัญต่อผู้ประกอบธุรกิจอื่น ปรับปรุงประกาศเกี่ยวกับหลักเกณฑ์การพิจารณาความสัมพันธ์ทางนโยบายหรืออำนาจสั่งการ และออกแนวปฏิบัติที่ชัดเจนในการพิจารณาอำนาจควบคุมและความรับผิดของบริษัทโฮลดิ้ง เพื่อให้การกำกับดูแลมีประสิทธิภาพและสอดคล้องกับมาตรฐานสากล

การวิจัยนี้เป็นงานวิจัยเอกสารซึ่งมีวัตถุประสงค์เพื่อศึกษาประเด็นหลักดังต่อไปนี้ 1) บทบัญญัติกฎเกณฑ์ว่าด้วยการขัดกันแห่งกฎหมายสามารถเป็นวัตถุแห่งการควบคุมความชอบด้วยรัฐธรรมนูญของไทยได้หรือไม่ 2) บทบัญญัติกฎเกณฑ์ว่าด้วยการขัดกันแห่งกฎหมายซึ่งกำหนดให้ใช้สัญชาติของสามีเป็นจุดเกาะเกี่ยวในความสัมพันธ์ระหว่างคู่สมรสและให้ใช้สัญชาติของบิดาในความสัมพันธ์ระหว่างบิดามารดาและบุตรขัดหรือแย้งกับหลักความเสมอภาคระหว่างเพศตามรัฐธรรมนูญของไทยหรือไม่ จากการศึกษาพบว่า พระราชบัญญัติว่าด้วยการขัดกันแห่งกฎหมาย พุทธศักราช 2481 ไม่ควรอยู่นอกขอบเขตของการควบคุมความชอบด้วยรัฐธรรมนูญ เนื่องจากการเลือกกำหนดจุดเกาะเกี่ยวของแต่ละลักษณะข้อกฎหมายล้วนได้รับอิทธิพลจากข้อความคิดที่ปรากฏอยู่ในกฎหมายแพ่งและระบบคุณค่าของสังคมในขณะที่ตรากฎหมาย นอกจากนี้ ยังไม่เคยปรากฏในคำวินิจฉัยของศาลรัฐธรรมนูญไทยที่เกี่ยวกับหลักความเสมอภาคระหว่างเพศว่า ศาลอาศัยเหตุผลที่ว่าระบบคุณค่าที่อยู่เบื้องหลังบทบัญญัติของกฎหมายขัดต่อหลักความเสมอภาคระหว่างเพศเพื่อวินิจฉัยว่าบทบัญญัติกฎหมายใดขัดต่อหลักการดังกล่าว แต่จะต้องเป็นกรณีซึ่งกฎหมายบัญญัติให้ปฏิบัติแตกต่างกันและส่งผลให้บุคคลเสียไปซึ่งสิทธิบางประการอย่างเป็นรูปธรรมด้วยเหตุแห่งเพศ ดังนั้น ผู้วิจัยเห็นว่าการวินิจฉัยความชอบด้วยรัฐธรรมนูญของบทบัญญัติกฎเกณฑ์ว่าด้วยการขัดกันแห่งกฎหมาย ควรนำระบบคุณค่าที่อยู่เบื้องหลังการบัญญัติกฎหมายมาพิจารณาประกอบด้วย นอกจากนี้ ควรแก้ไขจุดเกาะเกี่ยวในกฎหมายขัดกันของไทยให้เป็นกลางทางเพศโดยให้สามารถรองรับการก่อตั้งครอบครัวในบริบทของความหลากหลายทางเพศ

This policy paper shall highlight the need for COP30 negotiators to adopt a Transboundary Adaptation Compact (TAA), a rights-based framework meant to coordinate climate adaptation across shared resources, mobilize finance, and manage the growing challenges of ecocide risks/cross-border migration. This policy paper explores how the growing international controversy over deep-sea mining (DSM) can be addressed under the considerations of climate justice, through analyzing two case studies, Nauru and Kiribati, of Pacific islands. Both states are highly vulnerable to climate change and economic instability, yet have adopted different strategies. Nauru has improved and enhanced its DSM plans in the Clarion–Clipperton Zone to ensure its sovereign development rights and economic needs. This policy paper interrogates the structural injustices embedded in the COP negotiation system, arguing that global climate governance remains constrained by colonial legacies, epistemic hierarchies, and an anthropocentric diplomatic model. Despite its stated goals of inclusivity, the UNFCCC process continues to marginalise Indigenous, Global South, and alternative voices, reinforcing power asymmetries that shape both participation and outcomes. The international governance of climate change has historically been led by political institutions operating under multilateral frameworks, such as the UNFCCC and the Paris Agreement. Under these frameworks, the mitigation ambition and implementation of NDCs remain subject to state discretion, with no binding consequences for non-compliance, creating an enduring enforcement deficit. The Invisible Chains: Framing Abuse Of Dominant Position In Labor Markets, Giulia Mangiafico

This paper examines how the concept of abuse of dominant position can be applied to the labour markets, where demand-side concentration and supply-side fragmentation generate monopsonistic dynamics that suppress wages, limit mobility, and reduce job security. It argues that traditional antitrust tools can be adapted to labour-specific contexts by redefining market boundaries through commuting zones, occupational substitutability, and recognition of artificial fragmentation. The study also addresses how exploitative practices such as non-compete agreements illustrate the concrete impact of employer power, and it highlights the need for a more coherent regulatory approach. Beyond Personal Responsibility: Government Support For The Substantive Human Condition, Martha T. Mccluskey

Government protection against systemic harm to human well-being is stymied by the liberal idea that power is most legitimately wielded by autonomous individuals taking personal responsibility for their substantive well-being. Instead, a robust vision of democracy and socioeconomic justice requires grounding legitimate power in institutional responsibility, replacing the formal individual actor of liberal theory with the universally embodied, embedded human subject developed in Martha Fineman’s Vulnerability Theory. This chapter connects the message of personal responsibility in neoliberal US welfare reform policies to rationales defending the government’s failure to alleviate systemic human harm in the 2008 financial crisis and the accelerating …

This report documents attacks on civilians and objects essential for their survival in Sudan. It concludes that both parties to the conflict violated international human rights and humanitarian law, with most violations amounting to war crimes. The Rapid Support Forces’ conduct may also constitute crimes against humanity, including persecution and extermination. The report calls for accountability and sets out a roadmap for justice.

The first, “A Case for Military Proportionality: Disabling Nuclear Plants” by Henry Sokolski, offers practical ways in which military planners can disable civilian targets, such as nuclear infrastructure, without undermining operational goals, alliance cohesion, or long-term political objectives. Our second commentary, “The Consequences of Declining Patriotism in the United States” by Neil N. The Consequences Of Declining Patriotism In The United States, Neil N. Snyder
The US Army War College Quarterly: Parameters
Patriotism, an important determinant of American civil-military relations, is in decline among many Americans. This article analyzes the results of an extensive national survey fielded to assess Americans’ attitudes and finds that more veterans value patriotism than Generation Z nonveterans, that Americans’ trust in their military is correlated with their value for patriotism, and that members of Generation Z are more likely to consider serving in the US military if they value patriotism. Although patriotism is normally a source of national unity, it may now be a source of division between veterans, nonveterans, and Generation Z.

This article argues that Russia’s Arctic land forces have been weakened by the Russia-Ukraine War and NATO’s northern expansion, creating a strategic window for Western militaries to bolster their Arctic capabilities. Unlike existing studies that focus on maritime operations and the Northern Sea Route, it integrates technical assessments of ground-based Arctic platforms with analysis of military-district reforms. Using a mixed methodology that incorporates equipment specifications, Russian government documents, media reports, and NATO strategic-response evaluations, this article constructs a comprehensive baseline understanding of Russia’s Arctic land-force potential and readiness. "Little is known about the content of conspiratorial posts on social media, specifically regarding active shooter events. This study explores the content of conspiracy theory tweets during the six months following the active shooter event at Robb Elementary School in Uvalde, Texas. 194 tweets were analyzed. The analysis resulted in two main themes: False Flag and Hypothesized Reasoning. These themes represent the similarities and variations in content among the tweets. In line with research suggesting that people are most vulnerable to conspiratorial thinking when trying to explain unusual and unsettling events, results indicate that many posts were attempting to provide …

"Studies demonstrate that LGBTQ+ college students experience explicit and covert discrimination with research documenting various microaggressions reported by university students whose gender and/or sex identities are minoritized. Building off existing models of LGBTQ microaggressions, the current study adds to this literature by utilizing focus groups to explore campus safety perceptions among a sample of U.S. undergraduate students who identify as LGBTQ+. "Community based participatory research (CBPR) centers the voices of community members in the research process. Long used in the field of healthcare, criminal justice researchers have employed CBPR only in limited contexts, and never in the context of prosecution research. This paper reports on findings from a CBPR study that employed focus groups with justice-involved individuals to identify their perceptions of the pre-trial process, prosecutors’ priorities, and recommended directions for research. "Community partnerships between police departments, social services, and healthcare providers continue to struggle in various ways, with mental health crisis response remaining a primary yet fragmented service delivery. Using the nodal governance perspective, this paper provides qualitative insight into the existing communication and resource barriers between law enforcement personnel and social service providers in a large urban county in Texas. Four key themes are presented: staff and resource availability, continuity of care, staff personnel and characteristics, and communication efficiency. This study aimed to explore the impact of public relations strategies on the effectiveness of epidemic management in Jordan, using the COVID-19 pandemic as a case study. The study employed the descriptive-analytical method, which is based on the systematic description and interpretation of social and media phenomena.
