Resolving Self-Driving Car Patent Conflicts: Arbitration In Waymo V. Uber And Future Autonomous Vehicle Patent Disputes, Ilya Gorelik

Waymo and Uber should have entered into a mutually agreed upon arbitration agreement to resolve their patent claims, and future conflicting self-driving car developers should consider doing the same. Uber was already willing to enter arbitration, and while Waymo resisted being forced into arbitration in the past, it would have the opportunity to influence the terms of the arrangement. Arbitration would benefit both Waymo and future patent holders, as well as Uber and future parties accused of patent infringement, as it would provide a cheaper alternative to litigating those claims while also keeping the procedure more confidential, providing Waymo a …

In 1926 John Maurice Clark published a seminal text in institutionalist economics, Social Control of Business, surveying the ways in which business was subject to control by a variety of formal and informal constraints. 1 The text rejected mainstream ideas in neoclassical political economy by explaining how individual self-interest and competition could be manipulated not only through legal rules but also by custom, habit, codes of ethics, and morals. Representative of the institutionalist movement, Clark discarded presumptions of an individualistic economy based on market competition. Every dynamic social system’s adaptive capacity is finite. Eventually, the ability of the system’s legal and institutional arrangements to adapt to the changing operational context is exhausted. The G-20 and the broader world community has committed to ambitious goals to close global infrastructure gaps, mitigate climate change, and advance the 2030 Agenda for development. We call on G20 leaders to task development finance institutions (DFIs) such as the development banks in member countries and the Multilateral Development Banks (MDBs) of which G-20 countries are members, to commit to scaling up resources by 25 percent, to calibrate new financing to international commitments to mitigate climate change and the 2030 agenda, and to work together as an inclusive system toward achieving those shared goals.

This paper’s hypothesis is that the international standard setting bodies (SSBs) could improve the quality of their international standards by incorporating a human rights analysis. It focuses on five SSBs and seven of their international standards and its findings include the following: First, the standards all implicate the right of non-discrimination, and the rights to information, privacy and an effective remedy. This note examines some issues involved in an attempt to go beyond the assumption, long-made by most economists, that people’s preferences are simply to be treated as “given” and that the principle of consumer sovereignty entails a refusal to consider some (or some people’s) revealed preferences as more authoritative than others. The most important break with that assumption has been the development of behavioral economics, which shows that people may not always know what they really want, and that economists have to develop a more critical approach, distinguishing people’s true preferences from those that are merely apparent. Charitable Subsidies And Nonprofit Governance: Comparing The Charitable Deduction With The Exemption For Endowment Income, David M. Schizer

Charitable subsidies are supposed to encourage positive externalities from charity. In principle, the government can pursue this goal by evaluating specific charitable initiatives and deciding how much each should receive. Although the government sometimes makes this sort of fine-grained judgment, this Article focuses on two income tax rules that leave the government essentially no discretion about which charities to fund: the deduction for donations to charity ("the deduction") and the exemption of a charity's investment income ("the exemption"). With each subsidy, federal dollars flow automatically as long as charities satisfy very general criteria.

As Parts I and II of this Essay elaborate, the examination yields three observations of relevance to constitutional law more generally: First, judge-made constitutional doctrine, though by no means the primary cause of rising inequality, has played an important role in reinforcing and exacerbating it. Judges have acquiesced to legislatively structured economic inequality, while also restricting the ability of legislatures to remedy it. Second, while economic inequality has become a cause célèbre only in the last few years, much of the constitutional doctrine that has contributed to its flourishing is longstanding. Contracts often include language excluding compensation for consequential damages. However, the boundary between consequential and direct damages is a blurry one. Courts have used concepts like foreseeability, natural result of the breach, and collateral business in their attempts to define the boundary. Those categories, I argue, are not particularly helpful. I consider three classes of cases: wrongful termination, delay, and breach of warranty. EU policy-makers have focused on the creation of a “Capital Market Union” to advance the economic vitality of the EU in the aftermath of the Global Financial Crisis of 2007-09 and the Eurozone crisis of 2011-13. The hope is that EU-wide capital markets will help remedy the limitations in the EU’s pattern of bank-centered finance, which, despite the launch of the Banking Union, remains tied to Member States. The business judgment rule, as it has been traditionally understood, seems to be based on three underlying assumptions that make this rule economically desirable. First, directors are subject to a credible threat of being sued for a breach of the duty of care. Second, the primary role of the corporation is to maximise shareholder value. Third, shareholders want the directors to pursue those investment projects with the highest net present value regardless of their volatility. The sharing economy is grounded — situated in place — in ways that many other recent technological transformations have not been. And, as we have argued in prior work, the sharing economy is a particularly urban phenomenon. Appreciating the place of the sharing economy sheds light not only on the nature of this phenomenon, but also on the regulatory landscape it has engendered.

The rule of law and religion can act as commercial substitutes. Both can create the trust required for material prosperity. The rule of law simplifies social interactions, turning people into formal legal agents and generating a map of society that the state can observe and control, thus credibly committing to the enforcement of the legal rights demanded by impersonal markets. Religion, in contrast, embraces complex social identities. Within these communities, economic actors can monitor and sanction misbehavior. Both approaches have benefits and problems. There has been an explosion in new types of startup finance instruments. Whereas twenty years ago preferred stock dominated the field, startup companies and investors now use at least eight different instruments—six of which have only become widely used in the last decade. Legal scholars have yet to reflect upon the proliferation of instrument types in the aggregate. Notably missing is a way to organize instruments into a common framework that highlights their similarities and differences.

This article explores the activities of George Soros and his charitable organization, Open Society Foundations (OSF), in advocating for the full decriminalization of the sex trade industry. Research finds that OSF spends only a small amount of money on grass roots “sex worker” groups around the world advocating for full decriminalization, but the foundation awards larger amounts of funds to large human rights groups whose reports and policies have a wider reach. OSF’s rationale for full decriminalization fails to consider violence and coercion in the sex trade industry, misreads research, and does not include research from venues where full decriminalization …

Beyond Brooke Group: Bringing Reality To The Law Of Predatory Pricing, C. Scott Hemphill, Philip J. Weiser

This Feature offers a roadmap for bringing and deciding predatory pricing cases under the Supreme Court’s restrictive Brooke Group decision. Brooke Group requires a plaintiff to show that the defendant set a price below cost and had a sufficient likelihood of recouping its investment in predation. This framework, which was adopted without any contested presentation of its merits, has endured despite its flaws. Beyond this framework, the Court opined in dicta that predation is implausible.

We identify points of flexibility within the Court’s framework that permit an empirically grounded evaluation of the predation claim. Under the price-cost test, a plaintiff …

One would expect the fields of ‘law and economics’ and ‘remedies’ to have substantial interaction, but scholars in each field largely ignore those in the other. Thus, law and economics scholars blunder in their description of the law of remedies, and remedies scholars are cut off from economic insights. For scholars who are in these fields, this article offers a critique, as well as suggestions for cooperation. For all legal scholars interested in melding conceptual and economic analysis, it offers a cautionary tale of disciplinary fragmentation.

This Article examines how insights into limited human rationality can improve financial regulation. The Article identifies four categories of limitations—herd behavior, cognitive biases, overreliance on heuristics, and a proclivity to panic—that undermine the perfect-market regulatory assumptions that parties have full information and will act in their rational self-interest. The Article then analyzes how insights into these limitations can be used to correct resulting market failures. Requiring more robust disclosure and due diligence, for example, can help to reduce reliance on misleading information cascades that motivate herd behavior. ธุรกิจเกี่ยวกับการให้เช่าซื้อหรือให้เช่าแบบลีสซิ่งเป็นทางเลือกของประชาชนส่วนใหญ่ในการที่จะสามารถเข้าถึงทรัพย์สินต่าง ๆ เช่น รถยนต์ยานพาหนะ เครื่องจักรที่มีราคาสูงเพื่อใช้ในการประกอบกิจการหรือใช้เพื่ออำนวยความสะดวกในชีวิตประจำวัน ซึ่งภาคเอกชนที่ประกอบธุรกิจเกี่ยวกับการให้เช่าซื้อหรรือให้เช่าแบบลีสซิ่งหลัก ๆ มีสองส่วนคือ กิจการให้เช่าซื้อหรือให้เช่าแบบลีสซิ่งที่ดำเนินการโดยสถาบันการเงิน เช่น บริษัท ธนาคารธนชาต จำกัด (มหาชน), ธนาคารกรุงศรีอยุธยา จำกัด (มหาชน), ธนาคารทิสโก้ ฯลฯ และกิจการให้เช่าซื้อหรือให้เช่าแบบลีสซิ่งที่ดำเนินการบริษัทเอกชนที่ไม่ใช่สถาบันการเงิน เช่น บริษัทโตโยต้า ลิสซิ่ง (ประเทศไทย) จำกัด, บริษัท เมอร์เซเดส-เบนซ์ ลิสซิ่ง (ประเทศไทย) จำกัด ฯลฯ โดยทั้งสองประเภทนั้นจะมีลักษณะการประกอบธุรกิจเช่นเดียวกัน เนื่องจากธุรกิจการให้เช่าซื้อหรือให้เช่าแบบลีสซิ่งเป็นธุรกิจที่กระทบต่อประชาชนส่วนใหญ่ในหลาย ๆ ด้าน ดังนั้นจึงมีหน่วยงานที่กำกับดูแลในเรื่องต่าง ๆ เข้ามากำกับดูแลเพื่อเป็นการป้องกันไม่ให้เกิดความเสียหายทั้งต่อประชาชนผู้บริโภคและต่อสภาพเศรษฐกิจในภาพรวมของประเทศไทย จากการศึกษาพบว่าธุรกิจการให้เช่าซื้อหรือให้เช่าแบบลีสซิ่งมีลักษณะเป็นการให้สินเชื่อรายย่อยแก่ลูกหนี้ โดยลูกหนี้จะทำการผ่อนชำระให้แก่ผู้ให้สินเชื่อเป็นรายงวด ซึ่งปกติผู้ให้สินเชื่อแต่ละรายก็ย่อมมีหลักเกณฑ์ในการพิจารณาปล่อยสินเชื่ออย่างระมัดระวังครอบครอง แต่อย่างไรก็ตามความสามารถในการชำระหนี้ของลูกหนี้ก็มีอิทธิพลมาจากหลายปัจจัย ธุรกิจประเภทนี้จึงต้องมีการประมาณเงินสำรองที่ไว้เป็นค่าเผื่อหนี้สงสัยจะสูญ ซึ่งในทางภาษีถือเป็นค่าใช้จ่ายต้องห้ามตามมาตรา 65 ตรี (1) แต่เนื่องจากมีพระราชกำหนดแก้ไขประมวลรัษฎากร ฉบับที่ 17 ที่มีการยกเว้นเงินสำรองสำหรับหนี้จากการให้สินเชื่อที่ธนาคารพาณิชย์หรือกฎหมายว่าด้วยการประกอบธุรกิจเงินทุน ธุรกิจหลักทรัพย์และธุรกิจเครดิตฟองซิเอร์ (“สถาบันการเงิน”) ให้สามารถนำมาเป็นรายจ่ายในการคำนวณกำไรสุทธิได้ จึงก่อให้เกิดความไม่เป็นธรรมและเป็นการเพิ่มภาระให้แก่ผู้ประกอบการที่มีลักษณะธุรกิจเดียวกัน แต่ไม่สามารถนำเงินสำรองดังกล่าวมาเป็นรายจ่ายในการคำนวณกำไรสุทธิได้ เมื่อเปรียบเทียบกฎหมายของประเทศสิงคโปร์ พบว่าสำหรับกิจการให้เช่าซื้อหรือให้เช่าแบบลีสซิ่งทุกประเภทไม่ว่าเป็นสถาบันการเงินหรือไม่ ถ้ามีการปฏิบัติตามกฎเกณฑ์ที่กำหนดโดยหน่วยงานกำกับดูแลที่เกี่ยวข้องแล้ว สามารถนำเงินสำรองที่กันไว้เป็นค่าเผื่อหนี้สงสัยจะสูญมาหักเป็นรายจ่ายในการคำนวณภาษีเงินได้นิติบุคคลได้ทั้งสิ้นซึ่งเป็นแนวทางที่จะก่อให้เกิดความเป็นธรรมอย่างแท้จริงต่อผู้ประกอบการ

ประกาศกระทรวงดิจิทัลเพื่อเศรษฐกิจและสังคม เรื่อง ขั้นตอนการแจ้งเตือน การระงับ การทำให้แพร่หลายของข้อมูลคอมพิวเตอร์ และการนำข้อมูลออกจากระบบคอมพิวเตอร์ พ.ศ. 2561 ที่ออกตามมาตรา 15 แห่งพระราชบัญญัติว่าด้วยการกระทำผิดเกี่ยวกับคอมพิวเตอร์ พ.ศ. 2550 ซึ่งแก้ไขเพิ่มเติมโดยพระราชบัญญัติว่าด้วยการกระทำผิดเกี่ยวกับคอมพิวเตอร์ (ฉบับที่ 2) พ.ศ. 2560 ยังไม่มีการกำหนดการยกเว้นความรับผิดของผู้ให้บริการในแต่ละประเภท อีกทั้ง ผู้ให้บริการในแต่ละประเภทมีลักษณะของการให้บริการที่แตกต่างกัน แต่กลับต้องใช้มาตรการแจ้งเตือน การระงับการทำให้แพร่หลายของข้อมูลทางคอมพิวเตอร์ หรือการนำข้อมูลออกจากระบบคอมพิวเตอร์ในรูปแบบเดียวกัน โดยมิได้คำนึงถึงสภาพความเป็นจริงของแต่ละบริการหรือความเกี่ยวข้องเชื่อมโยงกับเนื้อหา ซึ่งผู้ให้บริการเนื้อหาควรมีความรับผิดชอบต่อเนื้อหา ในขณะที่ผู้ให้บริการทางด้านเทคนิคโดยแท้ไม่ควรมีความรับผิดใด ๆ ต่อเนื้อหา ประกาศกระทรวงดิจิทัลเพื่อเศรษฐกิจและสังคมดังกล่าว อาจทำให้ผู้ให้บริการต้องแบกรับภาระมากเกินไป ทั้งในแง่งบประมาณ บุคลากร รวมถึงความเสี่ยงที่เกี่ยวกับความรับผิด ซึ่งเรื่องเหล่านี้อาจจะไม่เป็นอุปสรรคสำหรับสื่อขนาดใหญ่ แต่เป็นอุปสรรคสำคัญสำหรับเว็บไซต์ประเภทที่ผู้ใช้บริการเป็นผู้สร้างเนื้อหา (user generated content) และเว็บไซต์ขนาดเล็ก ซึ่งผลกระทบที่เกิดขึ้นอาจทำให้ ผู้ให้บริการดังกล่าวเกิดการเซ็นเซอร์ตัวเอง (Self-censorship) ยิ่งขึ้น มิเช่นนั้นก็ต้องใช้วิธีการอื่นใด เพื่อหลบเลี่ยงกฎหมาย การดำเนินการดังกล่าวอาจจะส่งผลกระทบต่อพัฒนาการทางเทคโนโลยีสารสนเทศในภาพรวมของประเทศได้ เพราะแรงจูงใจในการประกอบการในประเทศไทยมีน้อยลง เอกัตศึกษานี้จึงมีวัตถุประสงค์ในการศึกษามาตรการทางกฎหมายของ Communications Decency Act (CDA), Digital Millennium Copyright Act (DMCA) ของสหรัฐอเมริกา และ EU Directive on Electronic Commerce ของสหภาพยุโรป พร้อมนำมาปรับใช้กับประเทศไทยเพื่อให้เกิดความเชื่อมั่นในการบังคับใช้กฎหมายต่อนักลงทุนด้านอิเล็กทรอนิกส์

เอกัตศึกษานี้มีวัตถุประสงค์เพื่อศึกษามาตรการทางกฎหมายและนโยบายที่เกี่ยวข้องกับการจัดการขยะอาหารของประเทศไทย และศึกษามาตรการทางภาษีเพื่อลดปริมาณการสูญเสียอาหารหรือการเกิดขยะอาหารของประเทศสหรัฐอเมริกาและประเทศแคนาดา ซึ่งเป็นประเทศที่มีปริมาณอาหารส่วนเกิน การบริโภคที่กลายเป็นขยะอาหารมากเป็นอันดับต้น ๆ ของโลก และมีการให้สิทธิประโยชน์ทางภาษีแก่ ผู้บริจาคอาหารที่เป็นส่วนเกินการบริโภค จากการศึกษา พบว่า ปริมาณขยะมูลฝอยในประเทศไทยเพิ่มขึ้นอย่างต่อเนื่องและมีปริมาณของขยะอาหารเป็นสัดส่วนมากกว่าร้อยละ 60 ของปริมาณขยะมูลฝอยที่เกิดขึ้น ขณะที่มาตรการทางกฎหมายที่ใช้บังคับในประเทศไทยปัจจุบันยังไม่ครอบคลุมการจัดการปัญหาขยะมูลฝอยทั้งระบบ ขาดความชัดเจนในการจัดการขยะมูลฝอยแต่ละประเภทซึ่งรวมถึงขยะอาหาร และมุ่งเน้นการจัดการ ขยะมูลฝอยที่ปลายทาง คือ การกำจัดขยะ มากกว่าการจัดการขยะที่ต้นทาง หรือการลดปริมาณ การเกิดขยะ แม้ว่าในภายหลัง รัฐบาลจะมีการกำหนดให้การจัดการขยะมูลฝอยเป็นวาระแห่งชาติ และมีการกำหนดนโยบายการจัดการขยะที่ครอบคลุมการจัดการขยะแบบครบวงจรโดยอาศัยหลักการ 3Rs เน้นการลดการเกิดขยะตั้งแต่ต้นทาง การนำขยะกลับไปใช้ซ้ำ และการใช้ประโยชน์จากขยะด้วยการนำกลับมาใช้ประโยชน์ใหม่ แต่ปริมาณการเกิดขยะมูลฝอยของประเทศไทยยังคงมีแนวโน้มเพิ่มขึ้นเรื่อย ๆ แสดงให้เห็นถึงการขาดความมีส่วนร่วมของภาคเอกชนและประชาชนในการลดปริมาณขยะ นอกจากนี้ รัฐยังไม่มีการกำหนดนโยบายสำหรับการจัดการขยะอาหารโดยเฉพาะ แม้ว่าปริมาณขยะอาหารจะมีสัดส่วนมากที่สุดจากปริมาณขยะมูลฝอยที่จัดเก็บได้ก็ตาม ในขณะที่ประเทศสหรัฐอเมริกาและประเทศแคนาดามีการออกกฎหมายเฉพาะเพื่อใช้บังคับในการจัดการปัญหาขยะอาหาร รวมถึงมีการนำมาตรการทางภาษีมาใช้สร้างแรงจูงใจให้ประชาชนและภาคเอกชนเข้ามามีส่วนร่วมในการลดปริมาณอาหารส่วนเกินการบริโภค เพื่อไม่ให้อาหารเหล่านั้นกลายเป็นขยะอาหาร ดังนั้น ผู้เขียนจึงเสนอแนะให้มีการนำแนวทางมาตรการทางภาษีของประเทศสหรัฐอเมริกาและประเทศแคนาดามาปรับใช้กับการจัดการขยะอาหารของประเทศไทย เพื่อเพิ่มความมีส่วนร่วมของภาคเอกชนและประชาชนในการลดปริมาณอาหารส่วนเกินการบริโภค ที่จะก่อให้เกิดเป็นขยะอาหาร อันจะส่งผลถึงการลดปริมาณขยะมูลฝอยของประเทศไทยอย่างมีประสิทธิภาพมากขึ้น

ปัจจุบันประเทศไทยได้ลงนามอนุสัญญาระหว่างประเทศเพื่อการเว้นการเก็บภาษีซ้อนและป้องกันการเลี่ยงการรัษฎากรในส่วนที่เกี่ยวกับภาษีเก็บจากเงินได้ และจากทุน (อนุสัญญาภาษีซ้อน) กับรัฐต่าง ๆ โดยละเว้นหลักวัตถุประสงค์สำคัญ (Principal Purpose Test) ซึ่งเป็นกลไกสำคัญที่ช่วยตรวจสอบกำไรของธุรกรรมข้ามชาติ ให้ประเทศแหล่งเงินได้ไม่สูญเสียผลประโยชน์จากการจัดเก็บภาษีจากการค้าระหว่างประเทศ เอกัตศึกษาเล่มนี้จัดทำขึ้นเพื่อศึกษาหาจุดสมดุลสำหรับการนำหลักการ Principal Purpose Test มาประยุกต์ใช้ในประเทศไทย ในอนุสัญญาภาษีซ้อนที่ร่วมลงนามกับรัฐต่าง ๆ ให้มากขึ้น รวมถึงการเตรียมความพร้อมสำหรับการเข้าร่วมเป็นภาคีในความตกลงระหว่างรัฐเรื่องของเครื่องมือพหุภาคี (MLI) โดยทำการศึกษาที่มาและความสำคัญของหลักการ Principal Purpose Test สำหรับกฎหมายภาษีระหว่างรัฐ ศึกษาหลักการ Principal Purpose Test ที่บังคับใช้ในต่างประเทศ วิเคราะห์ผลกระทบเชิงบวกและเชิงลบในการนำหลักการ Principal Purpose Test มาบังคับใช้ในประเทศไทย และศึกษามาตรฐานการบัญชีและการตรวจสอบบัญชีของประเทศไทยที่จะมารองรับให้การตรวจสอบกำไรของนิติบุคคลให้เป็นไปตามหลักการ Principal Purpose Test จากการศึกษาหลักการ Principal Purpose Test สามารถสรุปผลได้ว่าประเทศไทยสมควรพิจารณาความเป็นไปได้ในการปรับใช้หลักการ Principal Purpose Test เพื่อลดช่องโหว่การหลบเลี่ยงภาษีของนักลงทุนต่างประเทศ ป้องกันการใช้อนุสัญญาภาษีซ้อนในทางที่ไม่ถูกต้อง (The Prevention of Treaty Abuse) และป้องกันการบิดเบือนการแข่งขันระหว่างธุรกิจภายในประเทศและธุรกิจบริษัทข้ามชาติ เพื่อความเป็นธรรมในการจัดเก็บภาษีในประเทศไทยโดยยึดถือวัตถุประสงค์ในการเข้าทำธุรกรรมเป็นสาระสำคัญ เพื่อป้องกันและจำกัดสิทธิประโยชน์ภายใต้อนุสัญญาภาษีซ้อน โดยผู้เสียภาษีต้องสามารถชี้แจงและแสดงหลักฐานว่าการได้รับประโยชน์จากอนุสัญญาภาษีซ้อนนั้นสอดคล้องกับวัตถุประสงค์ของอนุสัญญาภาษีซ้อนอย่างแท้จริง

ผลกระทบของผู้ประกอบการและผู้บริโภคจากการออกประกาศกระทรวงสาธารณสุขกำหนดอาหารที่ห้ามผลิต นำเข้า หรือจำหน่าย ไขมันทรานส์, ศุทธินี เสนีวงศ์ ณ อยุธยา

ด้วยประกาศกระทรวงสาธารณสุข เลขที่ 388 พ.ศ. 2561 เรื่อง กำหนดอาหารที่ห้ามผลิตนำเข้าหรือจำหน่าย กำหนดให้น้ำมันที่ผ่านกระบวนการเติมไฮโดรเจนบางส่วน (ใขมันทรานส์) และอาหารที่มีไขมันทรานส์เป็นส่วนประกอบ เป็นอาหารห้ามผลิต นำเข้า หรือจำหน่าย ได้ให้เวลาแก่ผู้ประกอบการร้านอาหารและเบเกอรี่ เตรียมตัวเพื่อบังคับใช้กฎหมายกังกล่าวน้อยมาก กล่าวคือ เพียง 180 วัน นับแต่วันที่ประกาศในราชกิจจานุเบกษา เป็นต้นไป ทำให้เกิดผลกระทบต่อผู้ประกอบการดังกล่าว เป็นอันมากกล่าวคือ ผู้ประกอบการรายย่อยและผู้ผลิตรายเล็ก ๆ อีกจำนวนมากที่อาจปรับตัวไม่ทันในการปฏิบัติตามกฎหมายเพราะต้องใช้เวลาในการปรับสูตรอาหารและกระบวนการผลิต การเปลี่ยนฉลากบรรจุภัณฑ์อาหาร และยังทำให้ต้นทุนอาหารเพิ่มสูงขึ้นทำให้ผู้บริโภคได้รับผลกระทบอย่างหลีกเลี่ยงไม่ได้ในการต้องซื้ออาหารในราคาที่แพงขึ้น รวมทั้งการที่ผู้ประกอบการบางส่วนได้เปลี่ยนกระบวนการผลิตเป็นวิธีอินเตอร์เอสเทอริฟิเคชัน (interesterification) เพื่อลดกรดไขมันทรานส์ให้เหลือในปริมาณที่ต่ำมากซึ่งก็ส่งผลกระทบต่อสุขภาพของผู้บริโภคเช่นกัน เมื่อได้มีการศึกษาวิเคราะห์ประเด็นปัญหาและผลกระทบจากการออกประกาศของกระทรวงสาธารณสุขดังกล่าวข้างต้นแล้ว ผู้ศึกษาจึงเป็นสมควรให้มีการแก้ไขเพิ่มเติมประกาศกระทรวงสาธารณสุขดังกล่าว โดยขยายระยะเวลาเพื่อบังคับใช้กฎหมายออกไปเป็น 3 ปี ทำนองเดียวกับกฎหมายของประเทศสหรัฐอเมริกา และควรมีมาตรการให้ความช่วยเหลือผู้ประกอบการดังกล่าวและมาตรการในการคุ้มครองผู้บริโภคด้านราคาเพื่อให้เกิดความเป็นธรรมแก่ผู้เกี่ยวข้องทุกฝ่าย

ประเทศไทยมีการตรวจพระราชบัญญัติแก้ไขเพิ่มเติมประมวลรัษฎากร (ฉบับที่ 40) พ.ศ. 2558 ในการยกเว้นภาษีเงินได้บุคคลธรรมดาสำหรับเงินได้จากการโอนกรรมสิทธิ์หรือสิทธิครอบครองในอสังหาริมทรัพย์โดยไม่มีค่าตอบแทนให้แก่บุตรชอบด้วยกฎหมายซึ่งไม่รวมถึงบุตรบุญธรรม และเงินได้ที่ได้รับจากการอุปการะโดยหน้าที่ธรรมจรรยาหรือจากการให้โดยเสน่หาเนื่องในพิธีหรือตามโอกาสแห่งขนบธรรมเนียมประเพณี เพื่อให้สอดคล้องกับการจัดเก็บภาษีการรับมรดกและภาษีการให้ อย่างไรก็ตามหลักเกณฑ์ในการยกเว้นภาษีการให้ดังกล่าวนั้นยังมีความไม่เหมาะสมและไม่เป็นธรรมตามหลักความสามารถในการเสียภาษี รวมถึงหลักความเสมอภาคทางภาษี เอกัตศึกษาเล่มนี้จัดทำขึ้นเพื่อศึกษาความเหมาะสมและเป็นธรรมในการกำหนดเพดานการยกเว้นภาษีการให้ตามประมวลรัษฎากรของประเทศไทย ตลอดจนศึกษากฎหมายของประเทศญี่ปุ่นและประเทศไต้หวันที่มีการจัดเก็บภาษีการให้ เพื่อนำแนวทางของประเทศญี่ปุ่นและประเทศไต้หวันมาปรับใช้ โดยงานศึกษาเล่มนี้จัดทำขึ้นอาศัยการวิจัยเชิงเอกสาร (Docomentary Research) ทั้งในประเทศและต่างประเทศเป็นสำคัญ จากการศึกษาพบว่าการกำหนดเพดานการยกเว้นภาษีการให้ตามประมวลรัษฎากรของประเทศไทย ยังขาดความเหมาะสมและเป็นธรรม เนื่องจากการกำหนดเพดานในการยกเว้นภาษีการให้ตามประมวลรัษฎากรจำนวน 20 ล้านบาท หรือ 10 ล้านบาท ตลอดปีภาษีแล้วแต่กรณีของการให้ถือว่าเป็นจำนวนที่สูง นอกจากนี้ยังให้สิทธิในการเลือกเสืยภาษีในอัตราคงที่ หรือนำไปรวมกับเงินได้ประเภทอื่นเพื่อเสียภาษีอีกด้วย ซึ่งปัญหาในการกำหนดเพดานการยกเว้นภาษีการให้ดังกล่าวถือว่าไม่เหมาะสมและยังส่งผลกระทบต่อความไม่เป็นธรรมในสังคมกับผู้มีเงินได้ประเภทแรงงาน และผู้มีเงินได้จากทุน ซึ่งต้องเสียภาษีตามประมวลรัษฎากรในอัตราก้าวหน้า ทำให้เกิดความไม่เป็นธรรมขัดต่อหลักความสามารถในการเสียภาษีและหลักผลประโยชน์ที่ได้รับ และความไม่เสมอภาคทางภาษีนอกจากนี้ยังทำให้เกิดช่องทางหลีกเลี่ยงภาษีจากการใช้ช่องโหว่ของกฎหมาย อย่างไรก็ตาม จากประเด็นปัญหาที่เกิดขึ้น ประเทศไทยควรมีการกำหนดเพดานการยกเว้นภาษีการให้อย่างเหมาะสมโดยใช้หลักเกณฑ์รายได้เฉลี่ยของคนในประเทศเป็นตัวกำหนดเพดานการยกเว้น และควรยกเลิกการให้สิทธิเลือกเสียภาษีในอัตราคงที่หรือนำไปรวมกับเงินได้ประเภทอื่นเพื่อให้เกิดความเหมาะสมและเป็นธรรมในสังคมโดยนำแนวทางในการจัดเก็บภาษีการให้ของประเทศญี่ปุ่นและประเทศไต้หวันปรับใช้

การเข้ารับบริการทางการแพทย์ที่โรงพยาบาลเอกชนในปัจจุบัน ในกรณีของผู้ป่วยนอกหากจำเป็นต้องใช้ยาและเวชภัณฑ์เกี่ยวกับยา แพทย์ผู้ทำการรักษาจะส่งใบสั่งยาผ่านระบบออนไลน์ไปที่แผนกเภสัชกรรมของโรงพยาบาล ซึ่งส่งผลให้ผู้เข้ารับบริการมีภาระผูกพันที่จะต้องรับยาที่โรงพยาบาลระบบดังกล่าว นอกจากจะส่งผลให้ผู้บริโภคไม่มีสิทธิเลือกชื่อทางการค้าของยา ในกรณีที่ยาชนิดหนึ่งผลิตขึ้นโดยมีชื่อทางการค้ามากกว่า 1 ชื่อ ยังนำมาซึ่งปัญหาร้องเรียนเกี่ยวกับยากในโรงพยาบาลเอกชนราคาสูงเกินจริง และเกิดข้อถกเถียงเกี่ยวกับสิทธิของผู้บริโภคในการไปซื้อยานอกสถานพยาบาล จากการศึกษาพบว่า แม้พระราชบัญญัติคุ้มครองผู้บริโภค พ.ศ.2522 จะให้การรับรองสิทธิในการได้รับข้อมูลข่าวสารเกี่ยวกับสินค้าและบริการ และสิทธิที่จะมีอิสระในการเลือกหาสินค้าและบริการ แต่เนื่องจากยารักษาโรคเป็นสินค้าที่มีลักษณะแตกต่างจากสินค้าเศรษฐกิจชนิดอื่น คือ ยารักษาโรคเป็นสินค้าที่จำเป็น และเกี่ยวข้องกับชีวิตของมนุษย์ สามารถต่อชีวิตให้ยืนยาวได้ ในขณะเดียวกันหากบริโภคในปริมาณที่ไม่เหมาะสมก็เกิดโทษได้เช่นกัน ประกอบกับผู้บริโภคอยู่ในสถานะที่ไม่สามารถกำหนดชนิด และปริมาณที่จะควรจะได้รับยารักษาโรคได้ การตัดสินใจขึ้นอยู่กับแพทย์ผู้สั่งจ่ายยา ดังนั้นการออกไปซื้อยานอกสถานพยาบาล ซึ่งเป็นสิทธิในการเลือกซื้อสินค้า จะเกิดขึ้นได้ก็ต่อเมื่อ ผู้บริโภคได้รับใบสั่งยา ที่มีลักษระเป็นคำสั่งหรือรายละเอียดในการให้ยาที่ออก และลงชื่อรับรองโดยแพทย์ผู้ตรวจรักษาบทบัญญัติแห่งกฎหมายคุ้มครองผู้บริโภคที่มีอยู่ในปัจจุบันจึงยังไมเพียงพอที่จะนำมารับรองสิทธิของผู้บริโภคในการไปซื้อยานอกสถานพยาบาลได้ ดังนั้นการศึกษาในครั้งนี้ ผู้เขียนจึงมีข้อเสนอแนะว่า ควรมีบทบัญญัติเกี่ยวกับใบสั่งยา ผู้ประกอบวิชาชีพที่สามารถออกใบสั่งยา ผู้ประกอบวิชาชีพที่สามารถส่งมอบยาได้ รวมถึงรายละเอียดอื่นที่สำคัญและจำเป็นสำหรับการออกใบสั่งยา และมีบทบัญญัติที่ให้การรับรองสิทธิของผู้บริโภคในการได้รับใบสั่งยาเพื่อไปซื้อยานอกสถานพยาบาลไว้อย่างชัดเจน นอกจากนี้ภาครัฐควรมีมาตรการเข้ามากำกับดูแลร้านขายยาให้มีคุณภาพ มาตรฐาน มีระบบการจัดทำบันทึกเกี่ยวกับการจ่ายยาตามใบสั่งยา ทั้งนี้ เพื่อความปลอดภัยและประโยชน์สูงสุดของผู้บริโภค
