What does the Constitution mean when it says that “The Congress shall have Power To lay and collect Taxes, Duties, Imposts and Excises, to pay the Debts and provide for the common Defence and general Welfare of the United States” (US Const. Article I, Section 8, Clause 1)? The definition of “tax” for constitutional purposes has become important in light of the Supreme Court’s 2012 decision in NFIB v. President Biden’s health platform is ambitious, encompassing a public insurance option, a reduced age of eligibility for Medicare, and expanded tax credits to subsidize premiums. Yet, with divided government, he may be unable to achieve bold health reforms. However, his administration can substantially improve health care access through executive action. In this Viewpoint, we propose a series of measures that could increase access to insurance coverage and health care that are achievable under the Affordable Care Act (ACA) and Medicaid.

Coca Cola v. Commissioner (Tax Court, Nov. 18, 2020) is the first decisive IRS victory in a major transfer pricing case since 1979. If the outcome is not reversed on appeal, this will mark an important shift in transfer pricing litigation in the US, and perhaps indicate that the IRS could win some of the other major pending cases, like the one against Facebook.

Dissatisfaction with drug prices has prompted a flurry of recent legislation and academic research. But while pharmaceutical policy often regards fair pricing as a goal, the concept of fairness itself frequently goes undefined. Legal scholarship—even work ostensibly focused on fairness—has not defined and defended an account of fair pricing. Recent legislative proposals passed by the House and proposed by Sens. Ron Wyden and Chuck Grassley have similarly avoided a determinate position on fairness. States around the world are ceding authority to international institutions, devolving powers to lower-level political subdivisions, and granting forms of autonomy to Indigenous peoples and other minority groups. At the same time, states are increasingly offering groups and individuals “participation rights”: opportunities to participate in sovereign prerogatives without exercising control. These opportunities range from providing input into environmental decision-making, to collaborating with law enforcement in community policing programs, to receiving a share of natural-resource revenues. This Article contends that all of these developments represent a dividing up of the collection of rights known as sovereignty, and that participation rights reflect …

A Feminist Economic Perspective On Contract Law: Promissory Estoppel As An Example, Orit Gan

Economic analysis is a highly influential theoretical approach to contract law. At the same time, feminist analysis of contract law offers an important critical approach to the field. However, feminist economics, a prominent alternative approach to mainstream neo-classical economics drawing from both economic theory and feminist theory, has only been applied scarcely and sporadically to contract law. This Article seeks to bridge this gap and to apply the key features of feminist economics to an analysis of the doctrine of promissory estoppel. This Article uses promissory estoppel as an example to demonstrate a feminist economic analysis of contract law.

Artificial intelligence, the technology that is currently shaping our world, relies on the data that each individual supplies. In 2017, the Economist magazine asserted that “the world’s most valuable resource is no longer oil, but data.” This assertion is supported by the current data market, which became a hundred-billion-dollar industry in the data broker market alone. Shareholder proposals attract attention from scholars in finance and economics because they present an opportunity to study both quasidemocratic decision-making at the corporate level and the impact of this decision-making on firm outcomes. These studies capture the effect of various proposals but rarely address whether regulations should allow many of them in the first place due to the possibility of stock price manipulation. Key to the constitutional design of the federal government is the separation of powers. An important support for that separation is the Appointments Clause, which governs how officers of the United States are installed in their positions. Although the separation of powers generally, and the Appointments Clause specifically, support democratically accountable government, they also protect individual citizens against abusive government power. But without a judicial remedy, such protection is ineffectual—a mere parchment barrier.

Blockchain technology—popularized by cryptocurrency—is slowly making its debut in the agricultural supply chain. Implementing a blockchain requirement for suppliers would be beneficial because it would allow agricultural suppliers and distributors to track their products in a more efficient manner. This Essay begins with the realignment of religion and secularity in seventeenth-century America, then looks to the religious antecedents of corporate organization in ancient Rome and medieval Europe, and then looks forward to the modern history of corporate organization. The social value of risk reduction (SVRR) is the marginal social value of reducing an individual’s fatality risk, as measured by some social welfare function (SWF). This Article investigates SVRR, using a lifetime utility model in which individuals are differentiated by age, lifetime income profile, and lifetime risk profile. We consider both the utilitarian SWF and a “prioritarian” SWF, which applies a strictly increasing and strictly concave transformation to individual utility.
We show that the prioritarian SVRR provides a rigorous basis in economic theory for the “fair innings” concept, proposed in the public health literature: as between an older individual …

Property law has traditionally relied on tangible boundaries to delineate legal thinghood and to inform the bounds of in rem rights and duties. Unfortunately, property doctrines have fossilized around tangibility, causing fragmentation in the legal treatment of digital assets. In the United States, for example, cryptocurrencies and non-fungible tokens (NFTs) may simultaneously be classified as commodities, securities, currencies, assets, or not property at all, depending on the jurisdiction, domain, or specific asset in question. This fragmented system of overlapping legal treatments increases the information cost of using digital assets, decreases efficiency, and ultimately hinders future innovation.

In particular, commentators stringently criticize the continuous nature of modern trading for baking in a wasteful arms race for speed among high-frequency traders. In most treatises, International Economic Law (IEL) is presented as a neutral set of doctrines, principles, and rules. Actors may compete against one another and vie for economic success, but the rules are indifferent towards the outcome. It is this notion of an apolitical IEL that we challenge throughout this article. Society’s perception of a type of work and the people who engage in money-generating activities has an impact on whether and how the law protects (or does not protect) the people who perform those activities. Work can be legitimized or delegitimized. Workers are protected or left out to dry depending upon their particular “hustle.” This Article argues that gig workers and sex workers face similar challenges within the legal system and that these groups can and should collaborate to their collective advantage when seeking reforms. เอกัตศึกษานี้มีวัตถุประสงค์เพื่อศึกษาปัญหาของแนวทางการปรับเปลี่ยนพิกัดและการจัดเก็บภาษีสําหรับ เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ เพื่อหาแนวทางที่เหมาะสมในการนํามาปรับใช้ในการจัดเก็บภาษีสําหรับเครื่องดื่ม มอลต์ไม่มีแอลกอฮอล์ของประเทศไทยได้ อันเนื่องมาจากกรมสรรพสามิตพิจารณาที่จะเพิ่มพิกัดทางภาษีของ เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ให้สูงกว่าปกติที่มีพิกัดภาษีอัตราร้อยละ 14 แต่จะไม่ปรับเพิ่มเกินร้อยละ 22 จาก มุมมองว่าเครื่องดื่มมอลต์ไม์มีแอลกอฮอล์นี้อาจเป็นสาเหตุให้เยาวชนหรือผู้บริโภคทั่วไปมีแรงจูงใจในการบริโภค เครื่องดื่มแอลกอฮอล์มากขึ้น ซึ่งปัจจุบันเครื่องดื่มประเภทดังกล่าวเสียภาษีในอัตราร้อยละ 14 เช่นเดียวกับกลุ่ม เครื่องดื่มที่ให้ความหวานและเครื่องดื่มประเภทน้ําอัดลม เนื่องจากเครื่องดื่มดังกล่าวไม่มีแอลกอฮอล์ หรือมีแต่ไม่ ถึงร้อยละ 0.5 จึงจัดเป็นประเภทเครื่องดื่มตามคํานิยามตามพระราชบัญญัติภาษีสรรพสามิต พ.ศ. 2560 ดังนั้นจะเห็นได้ว่าการจะปรับพิกัดอัตราภาษีสรรพสามิตเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ให้เพิ่มขึ้น จะเป็น การขัดแย้งกับคํานิยามตามพระราชบัญญัติภาษีสรรพสามิต พ.ศ. 2560 อีกทั้งจะส่งผลให้ราคาสินค้าเพิ่มขึ้น ถือ เป็นการตัดทางเลือกของผู้บริโภคที่ในปัจจุบันหันมาใส่ใจในสุขภาพมากขึ้น การบริโภคเครื่องดื่มมอลต์ไม่มี แอลกอฮอล์จะสามารถทดแทนการดื่มเครื่องดื่มแอลกอฮอล์ได้และจะช่วยลดการเกิดอุบัติเหตุจากการเมาแล้วขับ และช่วยแก้ปัญหาการดื่มแอลกอฮอล์ในสังคมไทยให้ลดลงได้ จากการศึกษาผู้เขียนได้นําหลักการของภาษีสรรพสามิตสําหรับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ของ ประเทศเยอรมนีมาประยุกต์ใช้เพื่อให้เป็นแนวทางแก้ไขการจัดเก็บภาษีเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ในประเทศ ไทย ซึ่งมีทั้งแนวทางที่สามารถนํามาประยุกต์ใช้ได้และไม่สามารถประยุกต์ใช้ได้ โดยแนวทางที่สามารถนํามา ประยุกต์ใช้ได้ คือ การกําหนดคํานิยามที่ชัดเจนในส่วนของปริมาณแอลกอฮอล์ที่หากมีปริมาณแอลกอฮอล์น้อย กว่าร้อยละ 0.5 ก็จะไม่จัดว่าอยู่ในนิยามของเครื่องดื่มแอลกอฮอล์ที่ต้องจัดเก็บภาษีตามอัตราภาษีของเครื่องดื่ม แอลกอฮอล์ แต่ในทางกลับกันแนวทางที่ไม่สามารถประยุกต้ใช้ได้ คือ การที่เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ใน ประเทศเยอรมนีไม่ถูกจัดเก็บภาษีสรรพสามิตในส่วนของประเภทเครื่องดื่ม ซึ่งอาจทําให้เป็นการส่งเสริมให้ ผู้บริโภคบริโภคเครื่องดื่มที่ฟุ่มเฟือย โดยจะขัดต่อวัตถุประสงค์ของการจัดเก็บภาษีสรรพสามิตที่จะจํากัดการ บริโภคสินค้าฟุ่มเฟือยทําให้เกิดความยุติธรรมในระบบภาษี จึงไม่สามารถนําหลักการของประเทศเยอรมนีในส่วนนี้ มาประยุกต์ใช้ในประเทศไทยได้ในการจัดเก็บภาษีสรรพสามิตของเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์สําหรับประเทศไทยนั้น ผู้เขียนขอเสนอแนะแนวทางให้มีการปรับปรุงพัฒนาการจัดเก็บภาษีสําหรับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์และให้มี มาตรการรองรับเกี่ยวกับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ คือ ส่วนของพิกัดอัตราภาษีที่หากจะเปิดพิกัดภาษีใหม่ สําหรับเครื่องดื่มที่มีปริมาณแอลกอฮอล์ต่ํากว่า 0.5 ดีกรีหรือเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์นี้ อาจทําให้มี ผลกระทบต่อสินค้าประเภทอื่น เช่น ยารักษาโรคบางชนิดที่มีปริมาณแอลกอฮอล์ผสมอยู่ เป็นต้น และส่วนของ นโยบายเพื่อควบคุมเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ ซึ่งควรมีความร่วมมือกันระหว่างหน่วยงานที่เกี่ยวข้อง เพื่อ กําหนดมาตรการการควบคุมเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ที่ชัดเจน ทั้งในด้านฉลากสินค้า ด้านการโฆษณา และ ด้านการควบคุมการเข้าถึง เพื่อให้เกิดประโยชน์สูงสุดต่อผู้บริโภคและสังคมไทย

กรุงเทพมหานคร เป็นศูนย์กลางความเจริญและเป็นศูนย์รวมของประชากรจํานวนมาก จึงส่งผล ให้เกิดปัญหาการจราจรบนท้องถนนมาอย่างยาวนาน ปัญหานี้เกิดขึ้นจากหลายปัจจัยแต่ปัจจัยหลักคงหนี ไม่พ้นเรื่องอุบัติเหตุบนท้องถนน ซี่งอุบัติเหตุส่วนมากเกิดขึ้นจากพฤติกรรมของผู้ขับขี่ที่ไม่ยอมปฏิบัติตาม กฎหมายและบ่อยครั้งที่พบว่าผู้ขับขี่รถโดยสารประจําทางก็มีพฤติกรรมการขับขี่ที่เสี่ยงต่อการเกิด อุบัติเหตุด้วยเช่นกัน จากสถิติการรับเรื่องร้องเรียนที่เกี่ยวกับพฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสาร ประจําทางในกรุงเทพมหานครที่มีการร้องเรียนเป็นจํานวนมาก เช่น ขับแทรกและปาดหน้ารถร่วมทาง ขับรถเร็ว ขับรถกระชาก กลับรถในที่ห้ามกลับ และใช้โทรศัพท์ขณะขับรถ เป็นต้น ซึ่งพฤติกรรมเหล่านี้ถือ ว่าเป็นพฤติกรรมที่ผู้ขับขี่รถโดยสารประจําทางไม่ควรกระทําเป็นอย่างยิ่ง เนื่องจากผู้ขับขี่รถโดยสาร ประจําทางควรมีจิตสํานึกที่ดีในการให้บริการและควรตระหนักถึงความปลอดภัยของผู้โดยสารเป็นสําคัญ จากการศึกษาข้อมูลเกี่ยวกับประเด็นปัญหาดังกล่าวพบว่ากฎหมายที่ใช้ในการกํากับดูแล พฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทางในกรุงเทพมหานครมีการบัญญัติบทลงโทษผู้กระทําผิด ไว้ค่อนข้างเบาและกฎหมายมีช่องว่างให้ผู้กระทําผิดมีโอกาสในการกระทําผิดซ้ำ จึงส่งผลให้ผู้ขับขี่รถ โดยสารประจําทางในกรุงเทพมหานครไม่เกรงกลัวต่อมาตรการที่ใช้ในการลงโทษตามที่กฎหมายได้บัญญัติ ไว้ เมื่อเปรียบเทียบกับกฎหมายที่ใช้ในการกํากับดูแลพฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทาง ในประเทศสิงคโปร์ที่มีการบัญญัติบทลงโทษผู้กระทําผิดไว้ค่อนข้างสูงอีกทั้งยังมีการเพิ่มโทษในกรณีที่มี การกระทําผิดซ้ํ้ำในความผิดเดิม จึงส่งผลให้พฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทางของ ประเทศสิงคโปร์มีมาตราฐานที่ดี ดังนั้นจึงควรปรับปรุงแนวทางการกํากับดูแลพฤติกรรมการขับขี่ของผู้ขับ ขี่รถโดยสารประจําทางในกรุงเทพมหานคร โดยผู้เขียนขอเสนอให้มีการพิจารณาแก้ไขระเบียบกรมการขนส่งทางบก ว่าด้วยการพักใช้หรือ เพิกถอนใบอนุญาตเป็นผู้ขับรถตามกฎหมายว่าด้วยการขนส่งทางบก พ.ศ. 2564 ในข้อ 12 และข้อ 16 คือขอให้พิจารณาเพิ่มโทษในกรณีที่มีการกระทําผิดซ้ำในความผิดเดิมและกำหนดระยะเวลาในการกระทํา ผิดซ้ำห้แคบลง ทั้งนี้เพื่อเพิ่มประสิทธิภาพในกํากับดูแลให้มีมาตรฐานที่ดียิ่งขึ้น

เอกัตศึกษานี้มีวัตถุประสงค์ เพื่อที่จะสนับสนุนให้ประชาชนมีส่วนร่วมในการพัฒนาเมือง กรุงเทพฯ ให้น่าอยู่อย่างยั่งยืน ผ่านรูปแบบการแจ้งเบาะแส เมื่อพบผู้กระทําความผิด บนทางเท้าของ เขตกรุงเทพฯ ผ่านวิธีการศึกษาและวิจัยเชิงคุณภาพ และการวิจัยทางเอกสาร ผ่านการค้นคว้า ศึกษา สืบค้น รวบรวมข้อมูล จาก หนังสือ บทความที่เกี่ยวข้อง วิทยานิพนธ์ กฎหมายที่เกี่ยวข้องทั้งในและ ต่างประเทศ และข้อมูลอิเล็กทรอนิกส์ อีกทั้งยังศึกษาถึงข้อจํากัดภายใต้กฎหมายและแนวทางปฏิบัติ ของประเทศไทย ตลอดจนข้อจํากัดต่าง ๆ ที่สามารถเพิ่มประสิทธิภาพในการแจ้งเบาะแสให้ดียิ่งขึ้น การที่ผู้แจ้งเบาะแส ได้รับเงินรางวัล จากการแจ้งเบาะแส นั้น จะเป็นส่วนหนึ่งในมาตรการกระตุ้นให้ ประชาชนเข้ามามีส่วนร่วม เพื่อพัฒนาเมืองให้เติบโตไปอย่างยั่งยืน จากการศึกษาพบว่า ปัจจุบันประเทศไทยยังมีการปฏิบัติที่ไม่มีประสิทธิภาพที่ดีพอและยังไม่มี กฎหมายคุ้มครองผู้แจ้งเบาะแสโดยตรง ซึ่งผู้วิจัย เห็นว่าการดําเนินการของผู้แจ้งเบาะแส ในปัจจุบัน ยังมี ช่องว่างที่จะสามารถทําให้เกิดพัฒนาการที่ดีขึ้นได้ผ่านมิติของกฎหมาย ดังนี้บทสรุปของการศึกษานี้ พิจารณาได้ว่าเพื่อให้เกิดแรงจูงใจในการแจ้งเบาะแสมากขึ้น การให้เงินรางวัล กับผู้แจ้งเบาะแส จึงเป็น ช่องทางหนึ่ง ที่สามารถให้กลไกทางการมีส่วนร่วมและการร่วมกันตรวจสอบของทุกภาคส่วน ไปขับเคลื่อน ให้สังคมดีขึ้นได้
