This article examines four areas in which the SEC, for more than a decade, resisted reform or impeded shareholders’ access to sought-after environmental, social, and governance (ESG) information. These areas are: (1) the SEC’s refusal to act on several rulemaking petitions submitted during the years 2009 to 2018, which called for expanded ESG disclosure; (2) the SEC’s grudging promulgation of rules concerning social disclosures as required by Congress in the Dodd-Frank Act of 2010; (3) the SEC’s 2020 revisions to SEC Rule 14a-8, which make the submission of shareholder proposals more difficult, thereby thwarting investor efforts to raise ESG concerns; …

Society’s perception of a type of work and the people who engage in money-generating activities has an impact on whether and how the law protects (or does not protect) the people who perform those activities. Work can be legitimized or delegitimized. Workers are protected or left out to dry depending upon their particular “hustle.” This Article argues that gig workers and sex workers face similar challenges within the legal system and that these groups can and should collaborate to their collective advantage when seeking reforms. This paper addresses the question, “What would economic justice look like within the framework of Gross National Happiness (GNH)?” The paper begins by discussing the underlying philosophical justification behind GNH and how it differs from the justification underlying Gross National Product (GNP). It explains why, as a historical and theoretical matter, so many economists (especially in the West) believe in wealth-based measures and why happiness-based measures are better choices on both theoretical and practical grounds. Climate change presents a global commons problem: Emissions reductions on the scale needed to meet global targets do not pass a domestic cost-benefit test in most countries. To give national governments ample incentive to pursue deep decarbonization, mutual interstate coercion will be necessary. Many proposed tools of coercive climate diplomacy would require a onedimensional metric for comparing the stringency of climate change mitigation policy packages across jurisdictions. This article proposes and defends such a metric: the carbon price equivalent. Patents and crowdfunding both attempt to foster early stage innovations. In theory, patents signal quality and value to attract investment and buyers and ultimately facilitate commercialization. Crowdfunding allows multiple individuals to make small contributions to finance start-up ventures. This Article reports on two related studies investigating the interaction between these two innovation tools by determining the impact of a crowdfunding campaign’s patent status on the campaign’s success and delivery. We examine the role of private information on the impact of vertical mergers. A vertical merger can improve the information that is available to an upstream monopolist because, after the merger, the monopolist can observe the cost of its downstream merger partner. In the pre-merger world, because the costs of the downstream firms are private information, the monopolist has incomplete information and cannot implement the monopoly outcome: The expected pre-merger equilibrium price of the downstream product is lower than the monopoly price. Most state rules of substantive law, whether legislative or judicial, ordinarily adjust rights and obligations among local parties with respect to local events. Conventional choice of law methodologies for adjudicating disputes with multistate connections all start from an explicit or implicit assumption of a choice between such locally oriented substantive rules. This article reveals, for the first time, that some state rules of substantive law ordinarily adjust rights and obligations with respect to parties and events connected to more than one state and only occasionally apply to wholly local matters. The wealth disparity in the United States is nothing new. Many have proposed wealth taxes and higher tax rates for large corporations to address income inequality; however, these proposals have been criticized as tax programs that are difficult to administer. Congress passed the Tax Cut and Jobs Act (TCJA) in 2017 and created a new investment vehicle known as the Qualified Opportunity Zone (QOZ). The QOZ program incentivizes private investors to invest their capital gains in exchange for a reduction in capital gains tax. แรงงานถือเป็นปัจจัยสําคัญในการขับเคลื่อนการพัฒนาประเทศ หากแรงงานมีความรู้ มี ทักษะสูงย่อมส่งผลให้มีประสิทธิภาพในการทํางาน ซึ่งจะส่งผลต่อการพัฒนาเศรษฐกิจของประเทศใน ภาพรวม ทั้งนี้มีบางประเทศที่มีความต้องการแรงงานจากประเทศต่างๆเข้ามาทํางานในประเทศตน เพื่อทําให้เศรษฐกิจในประเทศเจริญเติบโตก้าวหน้าต่อไป ทําให้แรงงานในบางประเทศมีความประสงค์ จะย้ายถิ่นในการทํามาหากิน โดยปัจจัยต่างๆนั้นมาจากการที่ประเทศต้นทางไม่ตอบสนองต่อความ ต้องการเท่ากับประเทศปลายทางที่แรงงานย้ายถิ่นจะไปประกอบอาชีพ ในการเคลื่อนย้ายแรงงานนั้น จะต้องมีบริบทที่เป็นมาตรฐานที่ทําให้เกิดการเคลื่อนย้ายแรงงานเป็นไปตามหลักการรวมกลุ่มทาง ภูมิภาค ซึ่งตามหลักการทางการรวมกลุ่มทางภูมิภาคนั้น ประสิทธิภาพในการเคลื่อนย้ายแรงงานจะ เกิดขึ้นได้จริงก็ต่อเมื่อมีการกําหนดหลักประกันที่สําคัญและนํามาใช้ได้จริง เช่น การมีหลักประกันทาง สังคมและความมั่นคง เป็นต้น การรวมกลุ่มทางภูมิภาคนั้นไม่ใช่แค่เป็นการรวมกลุ่มแค่ในประเทศที่ พัฒนาแล้ว ในฝั่งเอเชียก็มีการรวมกลุ่มทางภูมิภาคขึ้นนั้นคือ การเกิดประชาคมเศรษฐกิจอาเซียน ซึ่ง เป็นการรวมกลุ่มของสิบประเทศสมาชิก เพื่อเป็นการพัฒนา เสริมสร้างการค้า การเคลื่อนย้ายแรงงาน ได้อย่างเสรี ในการเคลื่อนย้ายแรงงานของกลุ่มประเทศสมาชิกอาเซียนจากประเทศต้นทางไปยังประเทศ ปลายทาง เมื่อแรงงานมีการย้ายถิ่นไปทํางานที่ประเทศปลายทาง แรงงานย้ายถิ่นย่อมต้องเผชิญกับ ความไม่มั่นคงทางสังคม ต้องเผชิญกับความเสี่ยงทางด้านวัฒนธรรมและความเสี่ยงภัยต่าง ๆ ใน ระหว่างทํางาน การคุ้มครองทางสังคมจึงเป็นสิ่งจําเป็นสําหรับการย้ายถิ่น เพื่อให้แรงงานย้ายถิ่นมี ความคุ้มครอง เป็นการสร้างความมั่นคงทางสังคมให้แก่แรงงานเมื่อต้องย้ายไปทํางานในต่างประเทศ การคุ้มครองทางสังคมที่สําคัญแก่แรงงาน คือ เรื่องของการประกันสังคม จากการศึกษาพบว่าระบบประกันสังคมของสมาชิกในกลุ่มประเทศอาเซียนให้สิทธิแรงงาน ข้ามชาติไม่เท่าเทียมกับแรงงานในประเทศของตน หรือบางประเทศไม่ให้สิทธิประโยชน์กับแรงงาน ข้ามชาติเลย ซึ่งไม่สอดคล้องกับข้อกําหนดขององค์การแรงงานระหว่างประเทศ (ILO) ตามอนุสัญญา ฉบับที่ 102 ซึ่งเป็นมาตรฐานขั้นต่ําที่แรงงานควรได้รับ และตามอนุสัญญาฉบับที่ 118 ว่าด้วยการ ปฏิบัติที่เท่าเทียม (ประกันสังคม) และอนุสัญญาฉบับที่ 157 ว่าด้วยสิทธิประโยชน์ประกันสังคม ดังนั้นการที่จะทําให้การเคลื่อนย้ายแรงงานเสรีในกลุ่มประเทศสมาชิกอาเซียนมีประสิทธิภาพ มากขึ้น จําเป็นต้องมีการร่วมกันพัฒนา ทบทวน ปรับปรุงระบบความมั่นคงให้มีความชัดเจน

This chapter reviews the key findings of the optimal deterrence theory and discusses the remaining challenges. Some of these challenges reflect current modeling choices and limitations. These include the treatment of the offender’s gains in the social welfare function; the design of the damages multiplier in a realistic, multi-period framework; the effects of different types of uncertainty on behavior; and the study of optional, imperfectly enforced, threshold-based regimes – that is, regimes that reflect the most common real-world regulatory setting. Other challenges arise because several key regulatory features and enforcement outcomes are inconsistent with the deterrence theory’s predictions and prescriptions. …

The COVID-19 pandemic forced the world to re-think systems that have been in place for decades, quickly adapting—at least temporarily— to the new normal. Among those systems was the credit reporting system. In response to the pandemic, Congress passed the Coronavirus Aid, Relief, and Economic Security (CARES) Act; an act that, among other things, amends the Fair Credit Reporting Act in regard to how credit reporting agencies should respond to delinquencies resulting from the pandemic.

Incentivized Torts: An Empirical Analysis, John Shahar Dillbary, Cherie Metcalf, Brock Stoddard

Courts and scholars assume that group causation theories deter wrongdoers. This Article empirically tests, and rejects, this assumption, using a series of incentivized laboratory experiments. Contrary to common belief and theory, data from over 200 subjects show that group liability can encourage tortious behavior and incentivize individuals to act with as many tortfeasors as possible. We find that subjects can be just as likely to commit a tort under a liability regime as they would be when facing no tort liability. Group liability can also incentivize a tort by making subjects perceive it as fairer to victims and society. These …

การจัดเก็บภาษีที่ดินและสิ่งปลูกสร้างประเภทที่อยู่อาศัยตามพระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562 นั้นได้มีการออกพระราชบัญญัติแทนกฎหมายเดิมซึ่งก็คือ พระราชบัญญัติภาษีโรงเรือนและที่ดิน พ.ศ. 2475 โดยหลักเกณฑ์และแนวปฏิบัติในการจัดเก็บภาษีนั้นมีลักษณะแตกต่างจากเดิม โดยตามกฎหมายเดิมนั้นจะมีฐานภาษีที่ใช้ในการคำนวณเพื่อจัดเก็บภาษี คือ ค่ารายปีหรือค่าเช่าจากทรัพย์สินนั้น ส่วนตามกฎหมายปัจจุบันนั้นจะมีฐานภาษีจากมูลค่าประเมินทุนทรัพย์ของทรัพย์สินนั้น โดยจากการบังคับใช้กฎหมายฉบับปัจจุบันนั้นส่งผลให้เจ้าของทรัพย์สินในส่วนของที่อยู่อาศัย เช่น บ้าน คอนโดมิเนียม เป็นต้น ต้องมีการรับภาระในการจ่ายชำระภาษีที่ดินและสิ่งปลูกสร้างเพิ่ม ทั้งที่ถ้าตามกฎหมายเดิมเจ้าของทรัพย์สินในส่วนของที่อยู่อาศัยจะไม่มีภาระในการจ่ายชำระภาษีที่ดินและสิ่งปลูกสร้างเนื่องจากเป็นการอยู่อาศัยโดยเจ้าของทรัพย์สินเอง ไม่ได้มีการให้ผู้อื่นเช่าจึงไม่มีค่ารายปีที่ต้องนำมาคำนวณเป็นฐานภาษี การจัดเก็บภาษีที่ดินและสิ่งปลูกสร้างในปัจจุบันฐานภาษีนั้นเกิดจากมูลค่าประเมินทุนทรัพย์ของทรัพย์สิน และอัตราภาษีของที่ดินและสิ่งปลูกสร้างในแต่ละประเภทไม่เท่ากัน คือ มีการจัดประเภทที่ดินและสิ่งปลูกสร้างที่ใช้ประโยชน์ในการประกอบเกษตรกรรม ที่อยู่อาศัย การใช้ประโยชน์อื่น หรือที่ดินและสิ่งปลูกสร้างที่ทิ้งไว้ว่างเปล่า เป็นต้น ซึ่งประเภทของที่ดินและสิ่งปลูกสร้างที่แตกต่างกันก็จะทำให้มีการจัดเก็บอัตราภาษีไม่เท่ากัน ดังนั้นจึงเกิดปัญหาในการตีความนิยามของคำว่าประเภทของที่อยู่อาศัยนั้นว่ามีความเหมาะสมและแน่นอนหรือไม่ เช่น ที่อยู่อาศัยที่มีการให้เช่าเพื่ออยู่อาศัย หรือ โฮมสเตย์ควรจะมีการจัดประเภทที่ดินและสิ่งปลูกสร้างเป็นที่อยู่อาศัย หรือเพื่อการใช้ประโยชน์อื่นในทางพาณิชยกรรม เนื่องจากการจัดประเภทที่แตกต่างกันย่อมส่งผลถึงอัตราภาษีที่ใช้ในการคำนวณภาษีที่ดินและสิ่งปลูกสร้างด้วยเช่นกัน ซึ่งหากถูกจัดประเภทเป็นที่อยู่อาศัยอัตราภาษีย่อมต่ำกว่าการจัดประเภทเพื่อการใช้ประโยชน์อื่น อีกทั้ง การประเมินมูลค่าทุนทรัพย์เพื่อใช้เป็นฐานภาษีในการจัดเก็บภาษีที่ดินและสิ่งปลูกสร้างนั้นสามารถทำได้หลายวิธี เช่น วิธีต้นทุน วิธีเปรียบเทียบราคาตลาดและวิธีรายได้ เป็นต้น ซึ่งวิธีการประเมินทุนทรัพย์แต่ละวิธีนั้นย่อมมีมูลค่าในการประเมินทุนทรัพย์ที่แตกต่างกัน ซึ่งหากทางหน่วยงานที่รับผิดชอบในการประเมินมูลค่าทุนทรัพย์ใช้วิธีในการประเมินที่ไม่เหมาะสม คือ ทำให้ผู้มีหน้าที่เสียภาษีที่ดินและสิ่งปลูกสร้างต้องรับภาระภาษีมากหรือน้อยเกินสมควรย่อมเป็นการประเมินที่ไม่เป็นธรรม เช่น หากประเมินมูลค่าอาคารที่มีต้นทุนการก่อสร้างที่สูง เนื่องจากอาจซื้อวัสดุก่อสร้างมาด้วยราคาที่แพงเกินสมควรจะทำให้การใช้วิธีต้นทุนในการประเมินมูลค่าทุนทรัพย์อาจจะไม่เหมาะสม เนื่องจากหากประเมินด้วยวิธีเปรียบเทียบราคาตลาดแล้วมูลค่าที่ประเมินได้ย่อมอาจมีมูลค่าต่ำกว่าค่อนข้างมาก และจะส่งผลต่อฐานภาษีเพื่อนำไปใช้ในการคำนวณภาษีต่อไป โดยหากฐานภาษียิ่งมีมูลค่าสูงย่อมทำให้ผู้มีหน้าที่เสียภาษีต้องรับภาระภาษีมากขึ้นและหากฐานภาษีมีมูลค่าน้อยกว่าสมควรก็ย่อมทำให้รายได้ของรัฐในการจัดเก็บภาษีนั้นต่ำลง โดยพระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562 ประกอบกับพระราชบัญญัติการประเมินมูลค่าทรัพย์สินเพื่อประโยชน์แห่งรัฐ พ.ศ.2562 นั้นมีการเปลี่ยนวิธีจากการกำหนดค่ารายปีเป็นการประเมินมูลค่าของทรัพย์สินเพื่อใช้เป็นฐานในการคำนวณภาษีที่ดินและสิ่งปลูกสร้าง ซึ่งกรณีที่ดินจะใช้ราคาตลาดเป็นหลักในการประเมินมูลค่าทรัพย์สิน ส่วนสิ่งปลูกสร้างจะใช้ราคาประเมินโดยวิธีต้นทุนเป็นหลัก แต่จากการศึกษานั้นพบว่าประเภทของบ้านนั้นมีหลายประเภท เช่น บ้านไม้ บ้านปูน หรือบ้านครึ่งตึกครึ่งไม้ แต่กรมธนารักษ์หรือผู้ประเมินทุนทรัพย์นั้นได้จำแนกประเมินในการกำหนดราคาประเมินเพียง 2 ประเภท คือ บ้านเดี่ยวและบ้านทาวน์โฮมซึ่งไม่สอดคล้องกับประเภทบ้านที่มีอยู่อย่างหลากหลายในปัจจุบัน และบ้านแต่ละประเภทก็ย่อมมีต้นทุนไม่เท่ากัน จะประเมินบ้านแต่ละประเภทมีต้นทุนที่เท่ากันเพื่อใช้ในการคำนวณเป็นฐานภาษีนั้นย่อมไม่เหมาะสมและไม่เท่าเทียม ดังนั้น จากปัญหาข้างต้นจึงได้มีการศึกษามาตรการทางภาษีของต่างประเทศ คือ ประเทศญี่ปุ่นและประเทศเกาหลีใต้เพื่อที่จะทำการเปรียบเทียบกับกฎหมายของประเทศไทย และนำมาเสนอแนวทางในการลดหรือขจัดปัญหาที่เกิดขึ้นจากปัญหาการจัดเก็บภาษีที่ดินและสิ่งปลูกสร้างประเภทที่อยู่อาศัยในเรื่องของการตีความนิยามของคำว่าประเภทของที่อยู่อาศัย และการกำหนดประเภทของที่อยู่อาศัยในการประเมินมูลค่าทุนทรัพย์เพื่อเป็นฐานในการจัดเก็บภาษีที่ดินและสิ่งปลูกสร้างตามพระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562

ตราบใดที่สภาวการณ์ในเรื่องค่าฝุ่น 2.5 PM ยังคงมีความทวีพูนอยู่และมากขึ้นที่ยังไม่ สามารถจัดการหรือควบคุมให้ดีขึ้นได้ หรือแม้กระทั่งสถานการณ์การแพร่ระบาดของเชื้อไวรัสโควิด 19 ในปัจจุบันที่ยังคงระบาดอยู่ทั่วโลก ผู้ประกอบการหรือนายจ้างย่อมต้องปรับเปลี่ยนการใช้ชีวิตทั้ง ในด้านสังคมและพฤติการณ์ในการทํางานที่เปลี่ยนแปลงไปให้เข้ากับสภาวการณ์ที่ยังดํารงอยู่ใน ปัจจุบัน ดังนั้นตัวผู้ประกอบหรือนายจ้าง และตัวพนักงงานหรือลูกจ้างต้องมีการเตรียมความพร้อม เรื่องการทํางานนอกสถานที่ หรือที่เรียกว่าการทํางานทางไกลผ่านมัลติมิเดีย (Telework) อยู่เสมอ และดูเหมือนจะเป็นรูปแบบการทํางานที่คนให้ความสนใจนิยมมากขึ้น อีกทั้งจากการที่ผู้วิจัยได้ศึกษาการทํางานทางไกลผ่านมัลติมิเดีย (Telework) พบว่า ถึงแม้ว่าการทํางานแบบนี้จะมีข้อดีในเรื่องเทคโนโลยีสารสนเทศและการสื่อสารที่ทําให้สามารถพูดคุย กันแบบเห็นหน้าได้โดยไม่ต้องไปทํา ณ สํานักงาน ที่ช่วยให้เวลาในการทํางานมีความยืดหยุ่นมาก ยิ่งขึ้น และยังเป็นการลดใช้จ่ายส่วนกลางที่ตัวผู้ประกอบการต้องรับภาระ แต่ถึงกระนั้นแล้วใช้ว่าการ ทํางานรูปแบบนี้จะมีข้อดีอย่างเดียว แต่หากยังพบถึงปัญหาไม่ว่าจะเป็นในเรื่องไม่มีการจัดสรรเวลาใน การทํางานที่ดี ไม่ว่าจะเป็นฝั่งลูกจ้างที่โดนใช้เวลานอกงานทําให้ไปรบกวนเวลาว่างที่ควรจะเป็นอิสระ และได้รับการพักผ่อน อีกทั้งฝั่งนายจ้างอาจได้รับผลกระทบที่ฝั่งลูกจ้างไม่จัดสรรเวลาให้ดี ทํางานไม่ ครบตามเวลาที่กําหนดจึงทําให้การทํางานไม่เกิดประสิทธิภาพและประสิทธิผลตามที่พึงต้องการในเนื้อ งาน เป็นตัน ปัญหาเหล่านี้ยังขาดบทกฎหมายในการคุ้มครองสิทธิแรงงานที่ควรจะได้รับ ดังนั้นเมื่อเปรียบเทียบกับประเทศที่ผู้วิจัยได้ทําการศึกษา ได้แก่สหรัฐอเมริกา และสหพันธ สาธารณรัฐเยอรมนีพบว่าประเทศเหล่านี้มีการปรับเปลี่ยนโครงสร้างในทางกฎหมายโดยการมีบัญญัติ กฎหมายขึ้นโดยเฉพาะเพื่อกําหนดกฎเกณฑ์หรือสร้างกรอบนโยบายในการคุ้มครองลูกจ้างที่ทํางาน ทางไกลผ่านมัลติมีเดีย (Telework) เพื่อขจัดปัญหาที่ได้เกิดขึ้น และหากย้อนกลับมาดูถึงสภาวการณ์ ของกฎหมายที่เป็นความว่างเปล่าของกฎหมายไทยที่ยังไม่มีแนวทางในการปฏิบัติหรือการบัญญัติ กฎหมายเฉพาะ หากมองถึงข้อบกพร่องของความว่างเปล่าที่ไม่มีกฎหมายในการเข้ามาควบคุมการทํา สัญญาเกี่ยวกับการทํางานในลักษณะนี้จากการศึกษาผู้วิจัยจึงต้องการให้มีการกําหนดกฎเกณฑ์หรือ สร้างกรอบนโยบายอันเป็นแนวทางในการทํางานทางไกลผ่านมัลติมีเดีย (Telework) เพื่อเป็นการ สร้างนิติสัมพันธ์ระหว่างนายจ้างและลูกจ้างที่สามารถได้รับการคุ้มครองภายใต้กฎหมายแรงงานตาม ความเหมาะสมทั้งส่วนสิทธิและหน้าที่ของนายจ้างและสิทธิหน้าที่ของลูกจ้างเพื่อให้เป็นการประกัน โครงสร้างและรูปแบบการทําสัญญาการทํางานทางไกลผ่านมัลติมีเดีย (Telework) ที่จะมี ประสิทธิภาพและเกิดประโยชน์สูงสุดกับทุกฝ่ายที่เป็นไปตามแนวทางมาตรการสากล

ปัญหาการเปลี่ยนแปลงสภาพภูมิอากาศเป็นปัญหาเร่งด่วนที่สุดปัญหาหนึ่งที่มีความ จําเป็นต้องได้รับการแก้ไข ทั้งนี้เป้าหมายการพัฒนาที่ยั่งยืน (SDGs) เป็นทางออกที่ดีที่สุดในการแก้ไข ปัญหานี้เนื่องจากเป็นความตกลงร่วมกันของทั้ง 193 ประเทศทั่วโลก โดยตกลงที่จะปฏิบัติตาม เป้าหมายดังกล่าว เพื่อหยุดการเปลี่ยนแปลงสภาพภูมิอากาศและสร้างโลกที่ดีขึ้น และเนื่องจาก ประเทศไทยเป็นหนึ่งใน 193 ประเทศทั่วโลก จึงจําเป็นต้องมีมาตรการสนับสนุนให้แก่ทุกภาคส่วน ประกอบด้วยภาคธุรกิจ ภาครัฐ และภาคประชาสังคม เพื่อให้ร่วมมือกันบรรลุเป้าหมาย 17 ประการ ของการพัฒนาที่ยั่งยืน ยิ่งไปกว่านั้น ยังมีรายงานจากสหประชาชาติที่ได้อ้างว่าอาคารเขียวจะช่วยให้ บรรลุเป้าหมายที่ 7 และ 11 ซึ่งจะช่วยให้แต่ละประเทศเข้าใกล้การบรรลุเป้าหมายการพัฒนาที่ยั่งยืน ได้มากยิ่งขึ้น นอกจากนี้ในทฤษฎีภาษีอากร มีหลักการที่ว่ามาตรการภาษีสามารถที่จะช่วยส่งเสริม การพัฒนาอาคารเขียวได้ด้วยการเปลี่ยนแปลงพฤติกรรม ดังนั้น หากนํามาตรการทางภาษีเพื่อส่งเสริม การพัฒนาอาคารเขียวมาใช้จะช่วยให้บรรลุเป้าหมายการพัฒนาที่ยั่งยืนได้ แต่อย่างไรก็ตาม มาตรการภาษีของไทยในการส่งเสริมการพัฒนาอาคารเขียวจําเป็น ต้องได้รับการปรับปรุง เนื่องจากมีประสิทธิภาพต่ํา ดังนั้น งานวิจัยนี้จึงมีวัตถุประสงค์เพื่อวิเคราะห์ ปัญหาของมาตรการภาษีส่งเสริมการพัฒนาอาคารเขียวในประเทศไทย เพื่อสร้างแนวทางในการ ปรับปรุงมาตรการภาษีเพื่อส่งเสริมการพัฒนาอาคารเขียว นอกจากนี้รายงานวิจัยฉบับนี้ยังได้ วิเคราะห์ปัญหาของมาตรการทางกฎหมายและมาตรการทางการเงินในการส่งเสริมการพัฒนาอาคาร เขียวในประเทศไทยด้วย เพื่อช่วยให้ประเทศไทยบรรลุเป้าหมายการพัฒนาที่ยั่งยืนได้สําเร็จ

The proliferation of artificial intelligence in our daily lives has spawned a burgeoning literature on the dawn of dehumanized, algorithmic governance. Remarkably, the scholarly discourse overwhelmingly fails to acknowledge that automated, non-human governance has long been a reality. For more than a century, policymakers have relied on regulations that automatically adjust to changing circumstances, without the need for human intervention. This article surveys the track record of self-adjusting governance mechanisms to propose a normative theory of automated regulation.

This article proposes a different rationale for corporate democracy, one that extends more broadly to all forms of employment. It is based on an equivalence, not an analogy. The equivalence is that subordination feels essentially the same to an individual whether a public or a private entity is carrying it out. As recognized in the public arena, it undermines people’s dignity and autonomy, and at least threatens—and often produces—actual oppression. Our economic system counts on markets to allocate most of our societal resources. The law often treats markets as discrete entities, with a native intelligence and structure that provides clear answers to questions about prices and terms. In reality, of course, markets are much messier—they are agglomerations of negotiations by individual parties. Despite theoretical and empirical work on markets and on negotiation, legal scholars have largely overlooked the connection between the two areas in considering how markets are constructed and regulated.
