Our economic system counts on markets to allocate most of our societal resources. The law often treats markets as discrete entities, with a native intelligence and structure that provides clear answers to questions about prices and terms. In reality, of course, markets are much messier—they are agglomerations of negotiations by individual parties. Despite theoretical and empirical work on markets and on negotiation, legal scholars have largely overlooked the connection between the two areas in considering how markets are constructed and regulated.

This is the second in a series of articles proposing that the globalization of markets necessitates the integration of the Law & Economics Framework into legal education. To this end, this article proposes using classroom simulations loosely based upon Garrett Hardin’s classic article, “The Tragedy of the Commons.” As proposed, the simple and flexible core simulation can easily be altered to address various types of issues while also serving as an engaging class introduction to the Law & Economics Framework. Investigating The Contract Production Process, Stephen J. Choi, Robert E. Scott, G. Mitu Gulati

Contract law and theory have traditionally paid little attention to the processes by which contracts are made. Instead, contracts among sophisticated parties are assumed to be full articulations of the desires of the parties; whatever the process, the outcome is the same. This article compares sovereign debt contracts from US and UK firms, with different production processes, that are trying to do the same thing under very similar legal regimes. We find that that the production process likely matters quite a bit to the final form that contracts take.

This Article critically examines startup culture and its legal predicates. The Article analyzes innovation culture as a whole and uses the downfall of Theranos to illustrate the deficiencies in Silicon Valley culture, centering on race and class. The Article demonstrates that the rise and fall of the unicorn startup Theranos and its founder, Elizabeth Holmes, is emblematic of the problem with the glorification and pursuit of the unicorn designation for startup ventures. The examination of the downfall of Theranos exposes how investors, founders, and others in Silicon Valley engage with each other in the context of pursuing unicorn status. The …

India recently decided to ban a slew of applications (“apps”), mostly Chinese, accessed on mobile phones and other internet-based devices citing privacy and security concerns arising from the surreptitious mining and profiling of user data that is collected by these apps. It found these activities to be prejudicial to the sovereignty and integrity of India, defence of India, security of the state and public order. China responded that it suspected India’s decision to ban these apps to have violated the obligations that India had committed to under the framework of he World Trade Organization (WTO). Over thirty million Americans just filed first-time unemployment claims as a result of the economic devastation caused by the coronavirus pandemic, pushing unemployment to its highest levels since the Great Depression. Despite that, the US stock markets recorded in April their best month since 1987; after an initial shock, the markets rallied steadily, rising over 30 percent since their lows in late March. Most economists sounded puzzled and offered fanciful daily explanations. Even Paul Krugman had little to say, suggesting that "Investors are buying stocks in part because they have nowhere else to go."

This Article contends that the government should consider – rather than ignore – distributional consequences both in the design of legal rules and during legal transitions. This does not mean that the distributional effect of every legal rule should be measured and taken into account in the rule’s design. But if the likely distributional effects are unintended, large, and objectionable, if the efficiency of the legal rule is doubtful, if the compensating tax-and-transfer adjustment is not forthcoming (or has not occurred), policymakers should take distribution into account. A Practical Proactive Proposal For Dealing With Attrition: Alternative Approaches And An Empirical Example, John Dinardo, Jordan Matsudaira, Justin Mccrary, Lisa Sanbonmatsu

Survey nonresponse and attrition undermine the validity of many and possibly most econometric estimates. We propose that survey administrators and evaluators proactively create an instrument for observation, for example, by ex ante randomizing participants to differing intensity of follow-up. We illustrate how to apply our proposed methodology using a carefully conducted randomized controlled trial, the Moving to Opportunity demonstration project, which de facto randomly assigned a subset of subjects to more intensive follow-up. The approach yields treatment effect estimates similar to the unbiased estimator based on complete administrative data and has narrower confidence intervals than alternative bounding approaches.

Antitrust law is one of the most commonly deployed instruments of economic regulation around the world. To date, over 130 countries have adopted a domestic antitrust law. These countries comprise developed and developing nations alike, and combined produce over 95 percent of the world’s GDP. Most of the countries that have adopted an antitrust law have done so since 1990. This period of significant proliferation of antitrust laws also coincides with a notable expansion of international trade agreements, including the creation of the World Trade Organization (WTO) in 1995 and the negotiation of numerous bilateral and multilateral trade agreements. In this reply, I respond to and elaborate on the critique of my book “The Code of Capital” published in this special issue. The common thread of the critiques is the call for more theorizing of the themes the book addresses, especially the conception of state power, of resources, social relations and questions of knowledge and access to knowledge about the law, or epistemology. This reply is only a first response to issues that do require further analysis and I am hoping to follow suit on at least some of them in the near future.

In this brief introduction, I summarize the core themes of my book “The Code of Capital: How the Law Creates Wealth and Inequality”. Capital, I argue, is coded in law – predominantly in a handful of private law institutions. By relying on legal coding techniques, asset holders invoke the right to enforce claims against others, if necessary with the help of the state’s coercive power.

In 2015, the United Nations Member States, including the United States, unanimously approved 17 Sustainable Development Goals (SDGs) to be achieved by 2030. The SDGs are nonbinding; each nation is to implement them based on its own priorities and circumstances. This Article argues that the SDGs are a critical normative framework the United States should use to improve human quality of life, freedom, and opportunity by integrating economic and social development with environmental protection. It collects the recommendations of 22 experts on steps that the Biden-Harris Administration should take now to advance each of the SDGs. It is part of …

Contract law has long suffered from an institutional problem: Which legal institution can best create an efficient law for commercial contracts that can overcome "obsolescence” – the persistence of rules that only solve yesterday’s contracting problems? Until the early 20th century, contract law was largely created by common law courts. The law's default rules were efficient when created and courts updated them as commerce changed. But there were few rules and the common law process is slow. The economic analysis of law enforcement holds that greater expected sanctions lead to greater compliance. The literature on positive and negative incentives holds that rewards and sanctions – or carrots and sticks – have identical first-order incentive effects. We extend the basic model of law enforcement in three ways. We allow agents to opt out of the regulatory regime, we allow for enforcement errors, and we model agents who vary in at least one trait in addition to their cost of compliance. There is a large body of research in economics and law suggesting that the legal origin of a country – that is, whether its legal regime is based on English common law or French, German, or Nordic civil law – profoundly impacts a range of outcomes. However, the exact relationship between legal origin and legal substance has been disputed in the literature and not fully explored with nuanced legal coding. We revisit this debate while leveraging novel cross-country data sets that provide detailed coding of two areas of laws: property and antitrust. We find that having shared legal origins strongly …

This article presents salient facts on the performance of WTO dispute settlement, using an updated dataset on cases adjudicated between 1992 and mid 2020. The dataset provides a comprehensive compilation of information on WTO disputes, including complainants, respondents and third parties; the substantive matters tabled; the WTO provisions invoked; the claims that are accepted or rejected by adjudicating bodies; the time involved to complete the consultation, panel and appeal (Appellate Body) stages; and the identity of panelists and how they were appointed. Implicit within the African fiscal architecture are embedded vulnerabilities to exogenous factors which challenge their domestic revenue mobilization (DRM) strategies. These DRM challenges are attributable to asymmetrical power relationships that exist within the international tax regime (ITR). The rules governing international taxation have largely been devised by developed countries resonating their own economic purposes, resulting in a regressive relationship that overlooks African perspectives in the creation of tax norms. Consequently, policymaking, and scholarship have focused extensively on curbing these power asymmetries that have resulted in vulnerable African tax systems. The rise of the intangibles economy has led to a significant erosion of corporate tax revenue in the innovation-intensive advanced economies, even as the share of national income flowing to capital rose. For developing countries, the erosion is worse and comes on top of substantial erosion of corporate tax revenues from the tangibles economy due to weak tax administration and corruption. In this paper, we take up the questions of how big is the taxing problem that the intangibles economy has raised, and whose problem is it. The essay that follows examines the boundary between two sets of rules. The first set arises under the law of Restitution, particularly the rule that volunteers ordinarily need not be rewarded. (Another way to state this same Restitution rule is to say that the retention of benefit voluntarily conferred is ordinarily not "unjust enrichment".) The second set of rules are those of Intellectual Property law, which creates property in a special kind of volunteer. In this paper, I outline the colonial structure of international law, and examine the short decline or suppression of its coloniality in the so-called ‘era of decolonisation’, then illustrate its resurgence in the modern neo-colonial order. PIL has split into two separate systems. One includes, and is justified by, the heroic tales of human rights and ‘Humanity’s Law’. Public International Law (PIL) is portrayed as an autonomous and tolerably just legal system. A determinable system of rules and principles, deployed by professionals to evaluate and constrain the global machinations of power politics. Law as an authoritative structure through which global justice can be pursued. This entrenches a comforting, but false, progress narrative; and obscures the limitations of pursuing progressive change through international law. PIL is structured by false necessity and false contingency. These interact to create the Deceptive Dyad, which disguises the radical indeterminacy of PIL. เอกัตศึกษาฉบับนี้มีวัตถุประสงค์เพื่อศึกษาบทบัญญัติตามกฎหมายหรือกฎเกณฑ์ที่มีอิทธิพล รวมทั้งข5อจำกัดต่าง ๆ ที่มีผลต่อการแจ้งเบาะแสของผู้ประกอบวิชาชีพบัญชีในประเทศไทย เพื่อให้ ทราบและเป็นแนวทางในการช่วยขจัดปัญหาหรือลดอุปสรรคในการแจ้งเบาะแสของผู้ประกอบ วิชาชีพบัญชีอย่างมีประสิทธิภาพ รวมทั้งการนำเสนอแนวทางหรือมาตรการอื่น ๆ เพิ่มเติม เพื่อส่งเสริมให้เกิดกระบวนการแจ้งเบาะแสโดยผู้ประกอบวิชาชีพบัญชีเป็นไปโดยสัมฤทธิ์ผล ตามเจตนารมณ์และความคาดหวังของสังคมโดยรวม จากการศึกษาพบว่าปัจจุบันประเทศไทยยังไม่มีมาตรการทางกฎหมายในการสนับสนุนและ ส่งเสริมในการแจ้งเบาะแสอย่างเพียงพอ โดยเฉพาะอย่างยิ่งมาตรการทางกฎหมายในการให้ความ คุ้มครองเยียวยาผู้ประกอบวิชาชีพบัญชีในการแจ้งเบาะแสอย่างชัดเจนเป็นรูปธรรม ประกอบกับ ข้อกำหนดทางจรรยาบรรณวิชาชีพของผู้ประกอบวิชาชีพบัญชีในปัจจุบันยังขาดความชัดเจนในส่วน ของการกำหนดกรอบข้อบังคับและแนวทางของการแจ้งเบาะแสเพื่อประโยชน์สาธารณะ ดังนั้นบทสรุปของการศึกษานี้ในการเพิ่มประสิทธิภาพในการแจ้งเบาะแสโดยผู้ประกอบ วิชาชีพบัญชี ผู้ศึกษาวิจัยจึงเสนอแนะให้มีการแก้ไขเพิ่มเติมในส่วนของข้อบังคับสภาวิชาชีพบัญชีว่าด้วย จรรยาบรรณของผู้ประกอบวิชาชีพบัญชี มาตรการภายในองค์กรธุรกิจหรือหน่วยงานในการกำกับ ดูแลกิจการ การแก้ไขปรับปรุงมาตรการทางกฎหมายในการคุ้มครองเยียวยาให้มีความครอบคลุม และสอดคล้องเชื่อมโยงกันกับแนวทางการประกอบวิชาชีพของผู้ประกอบวิชาชีพบัญชี รวมทั้งการ เพิ่มเติมมาตรการในด้านการให้รางวัลจูงใจเพื่อส่งเสริมให้เกิดการแจ้งเบาะแสการกระทำความผิดเป็น อีกวิธีหนึ่งที่สามารถช่วยส่งเสริมให้เกิดความร่วมมือในการแจ้งเบาะแสได้อย่างมีประสิทธิภาพ

รายงานเอกัตศึกษาฉบับนี้มีวัตถุประสงค์เพื่อศึกษาและวิเคราะห์ถึงปัญหาการจัดเก็บภาษีเงินได้ที่เกิด จากคริปโทเคอร์เรนซีใน 3 ด้านหลัก ๆ ได้แก่ (1) การกำหนดประเภทเงินได้ (2) หลักการจัดเก็บภาษีเงินได้ (3) วิธีการคำนวณมูลค่ารวมถึงการกำหนดต้นทุนเพื่อจัดเก็บภาษีเงินได้บุคคลธรรมดา ด้วยวิธีการศึกษาเรียบ เรียงวิธีวิจัยเชิงเอกสารเกี่ยวกับเรื่องรูปแบบของสินทรัพย์ดิจิทัล กิจกรรมที่ก่อให้เกิดเงินได้จากคริปโทเคอร์เรน ซี รวมถึงมาตรการทางกฎหมายที่เกี่ยวกับการจัดเก็บภาษีเงินได้จากคริปโทเคอ์เรนซีของประเทศไทยและ ประเทศสหรัฐอเมริกา ภายหลังการศึกษาได้นำข้อมูลที่ได้รวบรวมมาทำการวิเคราะห์โดยการเปรียบเทียบ มาตราการจัดเก็บภาษีเงินได้ที่เกี่ยวข้องกับคริปโทเคอร์เรนซีในประเทศไทยและในประเทศสหรัฐอเมริกา เพื่อ หาแนวทางในการกำหนดประเภทเงินได้พึงประเมิน หลักการจัดเก็บภาษีเงินได้ วิธีการคำนวณมูลค่ารวมถึง การกำหนดต้นทุนเพื่อจัดเก็บภาษี เพื่อให้สามารถใช้บังคับเป็นแนวทางการจัดเก็บภาษีเงินได้อย่างตรงตาม วัตถุประสงค์และให้มีความชัดเจนต่อนักลงทุนไทยเพื่อเสียภาษีได้อย่างถูกต้อง จากการศึกษาพบว่า สกุลเงินดิจิทัลหรือคริปโทเคอร์เรนซีได้รับความสนใจอย่างแพร่หลายว่าจะเป็น สื่อกลางในการแลกเปลี่ยนมูลค่าที่จะมาทดแทนการใช้เงินสดในปัจจุบัน จะเห็นว่าธนาคารกลางแต่ละประเทศ ได้มีการศึกษาการออกสกุลเงินดิจิทัล หรือที่เรียกว่าสกุลเงินดิจิทัลที่ออกโดยธนาคารกลาง (Central Bank Digital Currency “CBDC”) จากเทรนโลกที่เปลี่ยนแปลงไปทำให้หลาย ๆ ประเทศออกกฎหมายเพื่อกำกับ ดูแลการทำธุรกรรมที่เกี่ยวข้องกับคริปโทเคอร์เรนซี รวมถึงประเทศไทยได้มีการออกกฎหมายที่เกี่ยวข้องกับ คริปโทเคอร์เรนซีอยู่ 2 ฉบับ คือ พระราชกำหนดการประกอบธุรกิจสินทรัพย์ดิจิทัล พ.ศ.2561 ซึ่งออกมาเพื่อ กำกับธุรกิจสินทรัพย์ดิจิทัลเพื่อให้มีแนวทางการปฏิบัติที่ชัดเจน โปร่งใส รวมถึงคุ้มครองผู้ลงทุนจากการลงทุน ในสินทรัพย์ดิจิทัล และพระราชกำหนดแก้ไขเพิ่มเติมประมวลรัษฎากร ฉบับที่ 19 พ.ศ. 2561 ซึ่งออกมาเพื่อ กำหนดส่วนเพิ่มประเภทย่อยที่เกิดจากคริปโทเคอร์เรนซีหรือโทเคนดิจิทัลให้เป็นเงินได้พึงประเมินตามมาตรา 40 (4) แห่งประมวลรัษฎากร และกำหนดให้ผู้จ่ายเงินได้พึงประเมินดังกล่าวมีหน้าที่หักภาษี ณ ที่จ่ายในอัตรา ร้อยละ 15 ของเงินได้ตามมาตรา 50 (2) (ฉ) แห่งประมวลรัษฎากร โดยผู้มีเงินได้ต้องนำเงินได้จากคริปโทเคอร์ เรนซีดังกล่าวไปรวมคำนวณเงินได้สุทธิเพื่อเสียภาษีเงินได้บุคคลธรรมดาในปีที่มีเงินได้ จากผลการศึกษาโดยวิธีการเปรียบเทียบมาตราการจัดเก็บภาษีเงินได้ที่เกี่ยวข้องกับคริปโทเคอร์เรนซี ในประเทศไทยและในประเทศสหรัฐอเมริกา พบว่าทั้งสองประเทศมีมุมมองต่อคริปโทเคอร์เรนซีที่คล้ายกัน กล่าวคือ ในการตีความว่าคริปโทเคอร์เรนซีเป็นประเภทหนึ่งของสินทรัพย์ เนื่องจากมีเงินได้ในรูปดอกผลหรือ กำไรจากการลงทุน ไม่ได้มีลักษณะเป็นเงินตราเนื่องจากมีความผันผวนสูง และมีการจัดเก็บภาษีจากกำไร ส่วนเกินทุน (Capital gain) โดยมีความแตกต่างกันในเรื่องที่ศึกษา 3 ด้านหลัก ๆ คือ (1) การกำหนดประเภท เงินได้ (2) หลักการจัดเก็บภาษีเงินได้ และ (3) …

ในอดีต การจัดซื้อจัดจ้างและการบริหารพัสดุถูกกำหนดให้ส่วนราชการจะต้องดำเนินการตามหลักเกณฑ์และวิธีการที่กำหนดไว้ในระเบียบสำนักนายกรัฐมนตรี ว่าด้วยการพัสดุ พ.ศ. 2535 และฉบับที่แก้ไขเพิ่มเติม โดยระเบียบสำนักนายกรัฐมนตรีฉบับดังกล่าวนั้นมีผลบังคับใช้กับ ส่วนราชการ ซึ่งดำเนินการเกี่ยวกับการพัสดุโดยใช้เงินงบประมาณ เงินกู้ และเงินช่วยเหลือ ได้แก่ กระทรวง ทบวง กรม สำนักงาน หรือหน่วยงานอื่นใดของรัฐ ทั้งในส่วนกลาง ส่วนภูมิภาค หรือ ในต่างประเทศ เท่านั้น แต่ไม่รวมถึงรัฐวิสาหกิจ หน่วยงานตามกฎหมายว่าด้วยระเบียบบริหารราชการส่วนท้องถิ่น หรือหน่วยงานอื่นซึ่งมีกฎหมายบัญญัติให้มีฐานะเป็นราชการบริหารส่วนท้องถิ่น ทำให้หน่วยงานที่ไม่ได้ถูกบังคับใช้ตามระเบียบสำนักนายกรัฐมนตรีฉบับดังกล่าวจำเป็นต้องจัดทำข้อบังคับหรือระเบียบขึ้นเองเพื่อนำไว้ใช้เป็นแนวทางปฏิบัติสำหรับหน่วยงานของตนเอง ต่อมา พบปัญหาจากการดำเนินการจัดหาพัสดุของหน่วยงานของรัฐหลายประเด็น เช่น นักลงทุนต่างประเทศที่จะเข้ามาร่วมประมูลในโครงการของหน่วยงานของรัฐไม่มีความเชื่อมั่นในระบบการจัดซื้อจัดจ้างของหน่วยงานของรัฐของประเทศไทย เนื่องจากประเทศไทยนั้นไม่มีการออกกฎหมายกลางที่ใช้บังคับกับหน่วยงานของรัฐทุกแห่งให้เป็นมาตรฐานเดียวกัน จึงทำให้กรมบัญชีกลาง กระทรวงการคลัง จัดทำร่างพระราชบัญญัติการจัดซื้อจัดจ้างและการบริหารพัสดุภาครัฐขึ้น โดยได้มีการรับฟังความคิดเห็นจากภาคเอกชน และมีหนังสือแจ้งไปยังหน่วยงานต่าง ๆ ที่เกี่ยวข้องให้ตอบแบบสอบถามความเห็นเกี่ยวกับร่างพระราชบัญญัติฉบับดังกล่าว ในเวลาต่อมาจึงเกิดพระราชบัญญัติการจัดซื้อจัดจ้างและการบริหารพัสดุภาครัฐ พ.ศ. 2560 ที่มีผลใช้บังคับวันที่ 23 สิงหาคม 2560 โดยมีวัตถุประสงค์เพื่อให้การดำเนินการจัดซื้อจัดจ้างและการบริหารพัสดุภาครัฐมีหลักเกณฑ์และแนวทางปฏิบัติที่เป็นมาตรฐานเดียวกัน และได้มีการออกระเบียบกระทรวงการคลังว่าด้วยการจัดซื้อจัดจ้างและการบริหารพัสดุภาครัฐ พ.ศ. 2560 กำหนดหลักเกณฑ์ วิธีการ และแนวทางปฏิบัติเกี่ยวกับการจัดซื้อจัดจ้างและการบริหารพัสดุภาครัฐ โดยพระราชบัญญัติและระเบียบกระทรวงการคลังดังกล่าว ใช้บังคับกับรัฐวิสาหกิจตามกฎหมายว่าด้วยวิธีการงบประมาณด้วย ทำให้รัฐวิสาหกิจนั้นเกิดความไม่คล่องตัวในการโอนพัสดุ เนื่องจากการจำกัดหน่วยงานผู้รับโอนเป็นการจำกัดที่ไม่สอดคล้องกับการดำเนินงานของรัฐวิสาหกิจที่ต้องดำเนินการรับผิดชอบต่อผู้มีส่วนได้เสียที่มากกว่าที่กฎหมายกำหนดให้ ทำให้เกิดการบริหารพัสดุที่มีอยู่อย่างไม่คุ้มค่าและไม่เกิดประโยชน์สูงสุดทั้งหน่วยงานผู้โอนและผู้รับโอน ดังนั้น ผู้ศึกษาจึงเห็นว่า ควรมีการกำหนดหลักเกณฑ์เพิ่มเติมเกี่ยวกับการโอนพัสดุสำหรับรัฐวิสาหกิจ เพื่อให้การโอนพัสดุของรัฐวิสาหกิจมีความคุ้มค่าและเกิดประโยชน์สูงสุด

ความเป็นมาและความสำคัญของปัญหา ในสมัยนายอานันท์ ปันยารชุนดำรงตำแหน่งเป็นนายกรัฐมนตรีหรือตั้งแต่วันที่ 1 มกราคม พ.ศ.2535 เป็นต้นมา ได้มีการประกาศใช้ภาษีมูลค่าเพิ่มแทนภาษีการค้า โดยภาษีมูลค่าเพิ่มนั้นจะจัดเก็บจากฐานการบริโภคซึ่งตามประมวลรัษฎากรได้กำหนดให้ บุคคลซึ่งขายสินค้าหรือให้บริการในทางธุรกิจหรือวิชาชีพเป็นผู้ประกอบการภาษีมูลค่าเพิ่มที่มีหน้าที่ต้องเสียภาษี สำหรับฐานรายได้ในส่วนที่เกินหนึ่งล้านแปดแสนบาทต่อปี ทั้งนี้คำว่า “บริการ หมายถึง การกระทำใด ๆ อันอาจหาประโยชน์อันมีมูลค่าซึ่งมิใช่เป็นการขายสินค้า” และการดำรงตำแหน่งเป็นกรรมการบริษัทในช่วงเวลานั้นก็จัดเป็นการให้บริการในทางธุรกิจหรือวิชาชีพซึ่งมีหน้าที่ต้องเสียภาษีมูลค่าเพิ่มจากฐานรายได้ของหน้าที่งานกรรมการ ต่อมาในปี พ.ศ.2558 ได้มีประกาศอธิบดีกรมสรรพากรเกี่ยวกับภาษีมูลค่าเพิ่ม ฉบับที่ 205 ที่กำหนดให้การปฏิบัติงานในฐานะกรรมการบริษัทจำกัดหรือบริษัทมหาชนจำกัด กรรมการโดยตำแหน่ง และกรรมการผู้ทรงคุณวุฒิตามที่กฎหมายกำหนด และกรรมการที่ได้รับการแต่งตั้งโดยราชการ ไม่ถือว่าเป็นการให้บริการและส่งผลให้การปฏิบัติงานในฐานะกรรมการได้รับการยกเว้นภาษีมูลค่าเพิ่ม สำหรับการปฏิบัติงานในฐานะกรรมการ หากตีความตามความหมายของ “บริการ” ที่ได้กล่าวไว้ข้างต้นพบว่า การปฏิบัติงานในฐานะกรรมการเป็นการให้บริการ เนื่องจากเป็นการกระทำใด ๆ อันอาจหาประโยชน์อันมีมูลค่าซึ่งมิใช่เป็นการขายสินค้า แต่การปฏิบัติงานดังกล่าวมิใช่การกระทำในทางธุรกิจหรือวิชาชีพเสียมากกว่า เนื่องจากการขายสินค้าหรือการให้บริการซึ่งรัฐ องค์กรปกครองส่วนท้องถิ่น หรือหน่วยงานอื่นใดของรัฐซึ่งอยู่ภายใต้กฎหมายมหาชนที่ได้กระทำในฐานะที่เป็นองค์กรมหาชนนั้น เป็นการใช้อำนาจตามกฎหมายในการควบคุมกิจการต่าง ๆ (regulatory activity) ซึ่งมิใช่การประกอบธุรกิจการค้าใด ๆ ด้วยเหตุนี้ การออกประกาศฯ เพื่อยกเว้นภาษีมูลค่าเพิ่มที่กล่าวว่า การปฏิบัติงานในฐานะกรรมการไม่ถือว่าเป็นการให้บริการนั้น ในความเห็นของผู้ศึกษาจึงเห็นว่าไม่มีเหตุผลอันสมควร จากปัญหาข้างต้น พบว่า การพิจารณาขอบเขตการใช้บังคับภาษีมูลค่าเพิ่มตามประมวลรัษฎากร โดยเฉพาะความหมายของการกระทำในทางธุรกิจหรือวิชาชีพนั้นมีความสำคัญต่อการบังคับใช้กฎหมายดังกล่าวเป็นอย่างมาก เนื่องจากยังมีการใช้บังคับที่ผิดเพี้ยนออกไปจากหลักการที่แท้จริงซึ่งมีสาเหตุมาจากความเร่งรีบในการประกาศใช้กฎหมายให้ทันในช่วงที่มีสภาพิเศษในปี พ.ศ.2534 และปัญหาการตีความของหน่วยงานที่บังคับใช้กฎหมายอีกด้วย ทั้งนี้ในต่างประเทศ ได้แก่ สหภาพยุโรป และราชอาณาจักรบาห์เรนที่ทางผู้ศึกษาเลือกมาศึกษานั้น ได้มีการกำหนดขอบเขตการใช้บังคับภาษีมูลค่าเพิ่มและหลักเกณฑ์ในการพิจารณาว่าการกระทำใดเป็นการกระทำในทางธุรกิจหรือวิชาชีพไว้อย่างชัดเจน ดังนั้น ผู้ศึกษาจึงจัดทำเอกัตศึกษาฉบับนี้ขึ้น เพื่อศึกษาขอบเขตการใช้บังคับภาษีมูลค่าเพิ่มตามประมวลรัษฎากรเปรียบเทียบกับกฎหมายของต่างประเทศ และเสนอแนะแนวทางในการแก้ไขปัญหาเกี่ยวกับการจัดเก็บภาษีมูลค่าเพิ่มของกรรมการซึ่งได้รับค่าตอบแทนเป็นเบี้ยประชุมกรรมการ

ปัจจุบันปัญหาขยะพลาสติกเป็นปัญหาสิ่งแวดล้อมที่ส่งผลกระทบไม่ใช่เฉพาะในประเทศไทย แต่ส่งผลกระทบต่อสภาพแวดล้อมของโลกด้วย เนื่องจากการเติบโตของชุมชนเมืองการเติบโตทางเศรษฐกิจจึงส่งผลให้มีผลิตภัณฑ์พลาสติกหลากหลายชนิดที่ผลิตขึ้นมาเพื่อตอบสนองความต้องการของผู้บริโภค อีกทั้งพลาสติกเป็นวัสดุสังเคราะห์ที่มีต้นทุนต่ำ และสามารถนำมาใช้งานได้หลายรูปแบบ ทำให้ผลิตภัณฑ์พลาสติกเป็นสิ่งที่เข้ามามีบทบาทสำคัญในชีวิตประจำวันของมนุษย์อย่างมาก เช่น ถุงพลาสติก บรรจุภัณฑ์ใส่อาหาร ช้อนซ้อมพลาสติก หลอดพลาสติก แก้วพลาสติก และบรรจุภัณฑ์ชนิดต่าง ๆ ที่ล้วนแล้วแต่เป็นผลิตภัณฑ์พลาสติกแบบที่ใช้ครั้งเดียวทิ้ง (Single Use Plastic) ส่งผลให้เกิดปัญหาขยะพลาสติกที่ตกค้างอยู่ในสิ่งแวดล้อมเป็นจำนวนมากจากพฤติกรรมการบริโภค พฤติกรรมการทิ้งขยะ และระบบการจัดการขยะพลาสติกของประเทศไทยที่ไม่มีประสิทธิภาพเพียงพอในการจัดการ ประกอบกับปัจจุบันพฤติกรรมของผู้บริโภคเปลี่ยนไป มีการสั่งอาหารผ่านแอพลิเคชั่นบนสมาร์ทโฟนมากขึ้น ไม่จำเป็นต้องเดินทางไปรับประทานเองที่ร้านอาหาร ทำให้เกิดการใช้ผลิตภัณฑ์พลาสติกมากขึ้นโดยเฉพาะบรรจุภัณฑ์พลาสติก เช่น ถุงพลาสติกหูหิ้ว กล่องพลาสติกใส่อาหาร ซองเครื่องปรุงรส และอุปกรณ์ในการรับประทานอาหาร ภาครัฐจึงได้มีนโยบายโดยใช้เครื่องมือทางภาษีอากรมาใช้ลดปัญหาขยะพลาสติก รัฐจึงมีนโยบายให้การส่งเสริมทางภาษีอากร ที่ถือเป็นมาตรการหนึ่งที่ใช้เป็นเครื่องมือในการจูงใจให้ผู้ประกอบการหันมาผลิตหรือใช้วัตถุดิบที่เป็นมิตรต่อสิ่งแวดล้อม โดยมาตรการทางภาษีอากรที่ภาครัฐใช้โดยคณะกรรมการส่งเสริมการลงทุน (BOI) เพื่อส่งเสริมกิจการที่เป็นมิตรต่อสิ่งแวดล้อม เช่น กิจการผลิตเคมีภัณฑ์หรือพอลิเมอร์ที่เป็นมิตรต่อสิ่งแวดล้อมหรือผลิตภัณฑ์ขึ้นรูปต่อเนื่องจากการผลิตพอลิเมอร์ที่เป็นมิตรต่อสิ่งแวดล้อมในโครงการเดียวกัน กิจการที่ผลิตผลิตภัณฑ์จากพอลิเมอร์ที่เป็นมิตรต่อสิ่งแวดล้อม กิจการผลิตเคมีภัณฑ์พอลิเมอร์ชนิดพิเศษหรือเคมีภัณฑ์ชนิดพิเศษ และการวิจัยและพัฒนากิจการ Biotechnology เป็นต้น ซึ่งได้มีการให้สิทธิประโยชน์ทางภาษีโดยการยกเว้นภาษีเงินได้นิติบุคคลสำหรับกิจการที่ได้รับการส่งเสริมการลงทุนแต่ละประเภท สิทธิประโยชน์ยกเว้นอากรขาเข้าสำหรับเครื่องจักรที่ใช้ในโครงการผลิต ยกเว้นอากรขาเข้าสำหรับวัตถุดิบที่ผลิตเพื่อการส่งออก เป็นต้น โดยระยะเวลาการให้สิทธิประโยชน์จะขึ้นอยู่กับแต่ละประเภทกิจการที่ได้รับการส่งเสริมตามเงื่อนไขในบัตรส่งเสริมการลงทุนที่ได้ระบุไว้ อีกทั้งยังมีสิทธิประโยชน์อื่นที่ไม่ใช่ภาษีอากร เช่น ผู้ลงทุนต่างชาติสามารถถือครองอสังหาริมทรัพย์ได้ หรือสามารถนะผู้เชี่ยวชาญต่างชาติเข้ามาทำงานได้ตามเงื่อนไขพิเศษ แต่อย่างไรก็ตาม การส่งเสริมการลงทุนกิจการประเภทดังกล่าวจากการศึกษายังพบว่าประสิทธิผลของมาตรการยังเป็นประเด็นปัญหาสำคัญ หลังจากมีการส่งเสริมการลงทุนในกิจการพลาสติกที่ย่อยสลายได้ทางชีวภาพมานานถึง 12 ปี แต่ปัญหาขยะพลาสติกของประเทศไทยไม่มีแนวโน้มที่ดีขึ้น อีกทั้งปัจจุบันยังมีอัตราการใช้ผลิตภัณฑ์พลาสติกเพิ่มขึ้นถึงร้อยละ 45 จากปี 2562 มาตรการดังกล่าวที่รัฐกำลังใช้จัดการปัญหาขยะพลาสติกอยู่นั้นไม่มีประสิทธิภาพ อีกทั้งโครงสร้างพื้นฐานในการกำจัดขยะพลาสติกที่ย่อยสลายได้ทางชีวภาพยังไม่เพียงพอในการจัดการขยะดังกล่าวในประเทศ จึงทำให้เกิดปัญหาสิ่งแวดล้อมใหม่ขึ้นมา

เอกัตศึกษาฉบับนี้มีวัตถุประสงค์เพื่อศึกษาแนวทางการจัดเก็บภาษีมูลค่าเพิ่มสำหรับแอนิเมชั่นของ ผู้ประกอบการจดทะเบียนในประเทศไทยที่มีการส่งออกไปให้บริการในต่างประเทศ แล้วมีการส่งแอนิเมชั่นนั้น ย้อนกลับมาใช้บริการในประเทศไทย วิเคราะห์ปัญหาของการจัดเก็บภาษีมูลค่าเพิ่มที่ส่งผลต่อผู้ประกอบการจด ทะเบียนในประเทศไทย และศึกษาหลักกฎหมายการจัดเก็บภาษีมูลค่าเพิ่มจากการนำเข้าบริการของประเทศ สาธารณรัฐสิงคโปร์ประกอบกับแนวทางการจัดเก็บภาษีมูลค่าเพิ่มจากธุรกรรมระหว่างประเทศกรณีการให้บริการ ทางการค้าระหว่างผู้ประกอบการขององค์การเพื่อความร่วมมือทางเศรษฐกิจและการพัฒนา (OECD) เพื่อให้ทราบ ถึงแนวคิดที่สำคัญและข้อดีของแนวทางดังกล่าว นำไปสู่การเสนอแนวทางปรับปรุงการจัดเก็บภาษีมูลค่าเพิ่มเพื่อ ประโยชน์ในการจัดเก็บภาษีอากร จากการศึกษาพบว่า การจัดเก็บภาษีมูลค่าเพิ่มสำหรับแอนิเมชั่นของผู้ประกอบการจดทะเบียนในประเทศ ไทยที่มีการส่งออกไปให้บริการในต่างประเทศ แล้วมีการส่งแอนิเมชั่นนั้นย้อนกลับมาใช้บริการในประเทศไทย ไม่ สอดคล้องกับหลักปลายทาง เจ้าหน้าที่สรรพากรใช้อำนาจในการประเมินภาษีมูลค่าเพิ่มของผู้ประกอบการที่ได้ แสดงรายการชำระภาษีมูลค่าเพิ่มจากอัตราร้อยละ 0 เป็นอัตราร้อยละ 7 ทำให้ผู้ประกอบการต้องเป็นผู้แบก รับภาระภาษีการประเมินภาษีมูลค่าเพิ่มในลักษณะดังกล่าวจะนำไปสู่ปรากฏการณ์ต่อต้านการเพิ่มผลผลิต กล่าวคือ ผู้ประกอบการมีแนวโน้มที่จะเลือกทำธุรกิจที่ไม่ถูกจัดเก็บภาษีแทนกิจกรรมทางเศรษฐกิจเดิมที่ตนมี ความสามารถหรือความถนัด สำหรับการจัดเก็บภาษีสินค้าและบริการของประเทศสาธารณรัฐสิงคโปร์มีบทบัญญัติที่ชัดเจนในหลัก กฎหมายการจัดเก็บภาษีสินค้าและบริการจากการให้บริการระหว่างประเทศและหลักกฎหมายการจัดเก็บภาษี สินค้าและบริการจากการนำเข้าสินค้าเพื่อให้ผู้ประกอบการสามารถพิจารณากำหนดผู้รับบริการที่ได้รับ ผลประโยชน์โดยตรงจากสินค้าหรือการให้บริการ ซึ่งเป็นสิ่งที่แสดงถึงจุดสิ้นสุดของการบริโภคสินค้าและให้บริการ นั้นๆ ด้วยตนเองได้ ผู้เขียนจึงเสนอแนะว่า ให้บัญญัติหลักกฎหมายให้ชัดเจนเพื่อหลีกเลี่ยงการตีความและการใช้ดุลยพินิจส่วน บุคคลของเจ้าหน้าที่สรรพากรในการประเมิน นอกจากนี้ควรมีการกำหนดความหมายของการให้บริการระหว่าง ประเทศอย่างละเอียด เพื่อที่จะสามารถกำหนดสถานที่ของผู้รับบริการในต่างประเทศ ซึ่งเป็นหลักในการพิจารณา การได้รับสิทธิในการเสียภาษีมูลค่าเพิ่มในอัตราร้อยละ 0 เนื่องจากปัจจุบันมีโอกาสอย่างยิ่งที่บริการที่เคยให้บริการ ไปแล้วในอดีต จะกลับมามีผลใช้บริการในประเทศไทยอีก
