Is something wrong with the structure of our stock market? Recent scholarship faults the equity market for its lack of innovation. In particular, commentators stringently criticize the continuous nature of modern trading for baking in a wasteful arms race for speed among high-frequency traders. เอกัตศึกษานี้มีวัตถุประสงค์เพื่อศึกษาปัญหาของแนวทางการปรับเปลี่ยนพิกัดและการจัดเก็บภาษีสําหรับ เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ เพื่อหาแนวทางที่เหมาะสมในการนํามาปรับใช้ในการจัดเก็บภาษีสําหรับเครื่องดื่ม มอลต์ไม่มีแอลกอฮอล์ของประเทศไทยได้ อันเนื่องมาจากกรมสรรพสามิตพิจารณาที่จะเพิ่มพิกัดทางภาษีของ เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ให้สูงกว่าปกติที่มีพิกัดภาษีอัตราร้อยละ 14 แต่จะไม่ปรับเพิ่มเกินร้อยละ 22 จาก มุมมองว่าเครื่องดื่มมอลต์ไม์มีแอลกอฮอล์นี้อาจเป็นสาเหตุให้เยาวชนหรือผู้บริโภคทั่วไปมีแรงจูงใจในการบริโภค เครื่องดื่มแอลกอฮอล์มากขึ้น ซึ่งปัจจุบันเครื่องดื่มประเภทดังกล่าวเสียภาษีในอัตราร้อยละ 14 เช่นเดียวกับกลุ่ม เครื่องดื่มที่ให้ความหวานและเครื่องดื่มประเภทน้ําอัดลม เนื่องจากเครื่องดื่มดังกล่าวไม่มีแอลกอฮอล์ หรือมีแต่ไม่ ถึงร้อยละ 0.5 จึงจัดเป็นประเภทเครื่องดื่มตามคํานิยามตามพระราชบัญญัติภาษีสรรพสามิต พ.ศ. 2560 ดังนั้นจะเห็นได้ว่าการจะปรับพิกัดอัตราภาษีสรรพสามิตเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ให้เพิ่มขึ้น จะเป็น การขัดแย้งกับคํานิยามตามพระราชบัญญัติภาษีสรรพสามิต พ.ศ. 2560 อีกทั้งจะส่งผลให้ราคาสินค้าเพิ่มขึ้น ถือ เป็นการตัดทางเลือกของผู้บริโภคที่ในปัจจุบันหันมาใส่ใจในสุขภาพมากขึ้น การบริโภคเครื่องดื่มมอลต์ไม่มี แอลกอฮอล์จะสามารถทดแทนการดื่มเครื่องดื่มแอลกอฮอล์ได้และจะช่วยลดการเกิดอุบัติเหตุจากการเมาแล้วขับ และช่วยแก้ปัญหาการดื่มแอลกอฮอล์ในสังคมไทยให้ลดลงได้ จากการศึกษาผู้เขียนได้นําหลักการของภาษีสรรพสามิตสําหรับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ของ ประเทศเยอรมนีมาประยุกต์ใช้เพื่อให้เป็นแนวทางแก้ไขการจัดเก็บภาษีเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ในประเทศ ไทย ซึ่งมีทั้งแนวทางที่สามารถนํามาประยุกต์ใช้ได้และไม่สามารถประยุกต์ใช้ได้ โดยแนวทางที่สามารถนํามา ประยุกต์ใช้ได้ คือ การกําหนดคํานิยามที่ชัดเจนในส่วนของปริมาณแอลกอฮอล์ที่หากมีปริมาณแอลกอฮอล์น้อย กว่าร้อยละ 0.5 ก็จะไม่จัดว่าอยู่ในนิยามของเครื่องดื่มแอลกอฮอล์ที่ต้องจัดเก็บภาษีตามอัตราภาษีของเครื่องดื่ม แอลกอฮอล์ แต่ในทางกลับกันแนวทางที่ไม่สามารถประยุกต้ใช้ได้ คือ การที่เครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ใน ประเทศเยอรมนีไม่ถูกจัดเก็บภาษีสรรพสามิตในส่วนของประเภทเครื่องดื่ม ซึ่งอาจทําให้เป็นการส่งเสริมให้ ผู้บริโภคบริโภคเครื่องดื่มที่ฟุ่มเฟือย โดยจะขัดต่อวัตถุประสงค์ของการจัดเก็บภาษีสรรพสามิตที่จะจํากัดการ บริโภคสินค้าฟุ่มเฟือยทําให้เกิดความยุติธรรมในระบบภาษี จึงไม่สามารถนําหลักการของประเทศเยอรมนีในส่วนนี้ มาประยุกต์ใช้ในประเทศไทยได้ในการจัดเก็บภาษีสรรพสามิตของเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์สําหรับประเทศไทยนั้น ผู้เขียนขอเสนอแนะแนวทางให้มีการปรับปรุงพัฒนาการจัดเก็บภาษีสําหรับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์และให้มี มาตรการรองรับเกี่ยวกับเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ คือ ส่วนของพิกัดอัตราภาษีที่หากจะเปิดพิกัดภาษีใหม่ สําหรับเครื่องดื่มที่มีปริมาณแอลกอฮอล์ต่ํากว่า 0.5 ดีกรีหรือเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์นี้ อาจทําให้มี ผลกระทบต่อสินค้าประเภทอื่น เช่น ยารักษาโรคบางชนิดที่มีปริมาณแอลกอฮอล์ผสมอยู่ เป็นต้น และส่วนของ นโยบายเพื่อควบคุมเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ ซึ่งควรมีความร่วมมือกันระหว่างหน่วยงานที่เกี่ยวข้อง เพื่อ กําหนดมาตรการการควบคุมเครื่องดื่มมอลต์ไม่มีแอลกอฮอล์ที่ชัดเจน ทั้งในด้านฉลากสินค้า ด้านการโฆษณา และ ด้านการควบคุมการเข้าถึง เพื่อให้เกิดประโยชน์สูงสุดต่อผู้บริโภคและสังคมไทย

กรุงเทพมหานคร เป็นศูนย์กลางความเจริญและเป็นศูนย์รวมของประชากรจํานวนมาก จึงส่งผล ให้เกิดปัญหาการจราจรบนท้องถนนมาอย่างยาวนาน ปัญหานี้เกิดขึ้นจากหลายปัจจัยแต่ปัจจัยหลักคงหนี ไม่พ้นเรื่องอุบัติเหตุบนท้องถนน ซี่งอุบัติเหตุส่วนมากเกิดขึ้นจากพฤติกรรมของผู้ขับขี่ที่ไม่ยอมปฏิบัติตาม กฎหมายและบ่อยครั้งที่พบว่าผู้ขับขี่รถโดยสารประจําทางก็มีพฤติกรรมการขับขี่ที่เสี่ยงต่อการเกิด อุบัติเหตุด้วยเช่นกัน จากสถิติการรับเรื่องร้องเรียนที่เกี่ยวกับพฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสาร ประจําทางในกรุงเทพมหานครที่มีการร้องเรียนเป็นจํานวนมาก เช่น ขับแทรกและปาดหน้ารถร่วมทาง ขับรถเร็ว ขับรถกระชาก กลับรถในที่ห้ามกลับ และใช้โทรศัพท์ขณะขับรถ เป็นต้น ซึ่งพฤติกรรมเหล่านี้ถือ ว่าเป็นพฤติกรรมที่ผู้ขับขี่รถโดยสารประจําทางไม่ควรกระทําเป็นอย่างยิ่ง เนื่องจากผู้ขับขี่รถโดยสาร ประจําทางควรมีจิตสํานึกที่ดีในการให้บริการและควรตระหนักถึงความปลอดภัยของผู้โดยสารเป็นสําคัญ จากการศึกษาข้อมูลเกี่ยวกับประเด็นปัญหาดังกล่าวพบว่ากฎหมายที่ใช้ในการกํากับดูแล พฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทางในกรุงเทพมหานครมีการบัญญัติบทลงโทษผู้กระทําผิด ไว้ค่อนข้างเบาและกฎหมายมีช่องว่างให้ผู้กระทําผิดมีโอกาสในการกระทําผิดซ้ำ จึงส่งผลให้ผู้ขับขี่รถ โดยสารประจําทางในกรุงเทพมหานครไม่เกรงกลัวต่อมาตรการที่ใช้ในการลงโทษตามที่กฎหมายได้บัญญัติ ไว้ เมื่อเปรียบเทียบกับกฎหมายที่ใช้ในการกํากับดูแลพฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทาง ในประเทศสิงคโปร์ที่มีการบัญญัติบทลงโทษผู้กระทําผิดไว้ค่อนข้างสูงอีกทั้งยังมีการเพิ่มโทษในกรณีที่มี การกระทําผิดซ้ํ้ำในความผิดเดิม จึงส่งผลให้พฤติกรรมการขับขี่ของผู้ขับขี่รถโดยสารประจําทางของ ประเทศสิงคโปร์มีมาตราฐานที่ดี ดังนั้นจึงควรปรับปรุงแนวทางการกํากับดูแลพฤติกรรมการขับขี่ของผู้ขับ ขี่รถโดยสารประจําทางในกรุงเทพมหานคร โดยผู้เขียนขอเสนอให้มีการพิจารณาแก้ไขระเบียบกรมการขนส่งทางบก ว่าด้วยการพักใช้หรือ เพิกถอนใบอนุญาตเป็นผู้ขับรถตามกฎหมายว่าด้วยการขนส่งทางบก พ.ศ. 2564 ในข้อ 12 และข้อ 16 คือขอให้พิจารณาเพิ่มโทษในกรณีที่มีการกระทําผิดซ้ำในความผิดเดิมและกำหนดระยะเวลาในการกระทํา ผิดซ้ำห้แคบลง ทั้งนี้เพื่อเพิ่มประสิทธิภาพในกํากับดูแลให้มีมาตรฐานที่ดียิ่งขึ้น

เอกัตศึกษานี้มีวัตถุประสงค์ เพื่อที่จะสนับสนุนให้ประชาชนมีส่วนร่วมในการพัฒนาเมือง กรุงเทพฯ ให้น่าอยู่อย่างยั่งยืน ผ่านรูปแบบการแจ้งเบาะแส เมื่อพบผู้กระทําความผิด บนทางเท้าของ เขตกรุงเทพฯ ผ่านวิธีการศึกษาและวิจัยเชิงคุณภาพ และการวิจัยทางเอกสาร ผ่านการค้นคว้า ศึกษา สืบค้น รวบรวมข้อมูล จาก หนังสือ บทความที่เกี่ยวข้อง วิทยานิพนธ์ กฎหมายที่เกี่ยวข้องทั้งในและ ต่างประเทศ และข้อมูลอิเล็กทรอนิกส์ อีกทั้งยังศึกษาถึงข้อจํากัดภายใต้กฎหมายและแนวทางปฏิบัติ ของประเทศไทย ตลอดจนข้อจํากัดต่าง ๆ ที่สามารถเพิ่มประสิทธิภาพในการแจ้งเบาะแสให้ดียิ่งขึ้น การที่ผู้แจ้งเบาะแส ได้รับเงินรางวัล จากการแจ้งเบาะแส นั้น จะเป็นส่วนหนึ่งในมาตรการกระตุ้นให้ ประชาชนเข้ามามีส่วนร่วม เพื่อพัฒนาเมืองให้เติบโตไปอย่างยั่งยืน จากการศึกษาพบว่า ปัจจุบันประเทศไทยยังมีการปฏิบัติที่ไม่มีประสิทธิภาพที่ดีพอและยังไม่มี กฎหมายคุ้มครองผู้แจ้งเบาะแสโดยตรง ซึ่งผู้วิจัย เห็นว่าการดําเนินการของผู้แจ้งเบาะแส ในปัจจุบัน ยังมี ช่องว่างที่จะสามารถทําให้เกิดพัฒนาการที่ดีขึ้นได้ผ่านมิติของกฎหมาย ดังนี้บทสรุปของการศึกษานี้ พิจารณาได้ว่าเพื่อให้เกิดแรงจูงใจในการแจ้งเบาะแสมากขึ้น การให้เงินรางวัล กับผู้แจ้งเบาะแส จึงเป็น ช่องทางหนึ่ง ที่สามารถให้กลไกทางการมีส่วนร่วมและการร่วมกันตรวจสอบของทุกภาคส่วน ไปขับเคลื่อน ให้สังคมดีขึ้นได้

Big Pharma, Big Problems: Covid-19 Heightens Patent-Antitrust Tension Caused By Reverse Payments, Hannah M. Lasting

In the wake of COVID-19, pharmaceutical companies rushed to produce vaccinations and continue to work on developing treatments, while the tension caused by reverse payments intensifies between patent and antitrust law. Lawmakers must address this tension, and the current pandemic should serve as a catalyst to prompt reform at the legislative level. By amending the Hatch-Waxman Act, lawmakers can ease the increasing strain between patent and antitrust policy concerns. In 2013, the U.S. Supreme Court attempted to resolve this tension in its landmark decision, F.T.C. v. Actavis, but the tension remains as lower courts struggle to produce a uniform standard …

Stock Buyback Ability To Enhance Ceo Compensation: Theory, Evidence, And Policy Implications, Nitzan Shilon

I report that stock buyback ability to enhance CEO compensation has reached a record high amount corresponding to one-third of total pay. Also, I refute the common wisdom that this ability is attributed mainly to buyback impact on per share criteria that determine annual bonuses. Instead, I show that because of recent reforms in executive compensation design, the ability of buybacks to boost the amount of CEO stock-based compensation has become ten times higher than their potential to increase annual bonuses. The Carbon Price Equivalent: A Metric For Comparing Climate Change Mitigation Efforts Across Jurisdictions, Gabriel Weil

Climate change presents a global commons problem: Emissions reductions on the scale needed to meet global targets do not pass a domestic cost-benefit test in most countries. To give national governments ample incentive to pursue deep decarbonization, mutual interstate coercion will be necessary. Many proposed tools of coercive climate diplomacy would require a one-dimensional metric for comparing the stringency of climate change mitigation policy packages across jurisdictions. This article proposes and defends such a metric: the carbon price equivalent. Consumer Perceptions Of The Right To Repair, Aaron Perzanowski
Indiana Law Journal
Part I of this Article details the strategies upon which device makers rely to frustrate repair. Part II considers legislative interventions intended to push back on existing barriers to repair, with a particular focus on the set of bills introduced in state legislatures across the United States. Part III describes the results of a survey of more than 800 U.S. consumers, focusing on their expectations of and experiences with the repair of electronic devices. The legal and policy implications of those results are discussed in Part IV.

Tolls are levies with a limited base. This base is made up of drivers that pay user fees, in cash or via electronic transponder, in exchange for access to state-administered roads. In Illinois, every single toll is a function of three factors: vehicle characteristics, tollway entry point, and how far a driver goes on state-administered roads.
It is commonly assumed that any toll violation, i.e., any failure to pay, results in a traffic ticket, administrative fees and state-imposed sanctions. Such an assumption, however, is only partly true due to overly forgiving Illinois state policies. Examples include the Traffic Ticket Exemption, …

Multinational corporations are the global goliaths of modern times. These entities collectively are responsible for large portions of world production, employment, investment, international trade, research, and innovation. The problems governments face in regulating consumer finance fall into two categories: normative and cognitive. The normative problems have to do with the way that some governments, particularly those adhering to an American model of household finance, have financed social mobility and intergenerational welfare through debt, a tenuous and socially risky policy choice. Credit has a substantial social aspect to it in the United States, where the federal government has in some way engaged in subsidizing about 1/3 of consumer credit, particularly in the residential mortgage market, feeding into a substantial capital markets dimension through government-guaranteed securitization. Two leading schools of thought among U.S. conservative legal elites — Law and Economics (L&E) and Originalism and Textualism (O&T) — both purport to use their formalist structures to guide analysis in ways that are objective, substantially determinate, and apolitical. Because they rest on very different theoretical underpinnings, L&E and O&T should only randomly reach similar policy or legal conclusions. After all, L&E implements neoclassical economics, a theory of utility maximization, whereas O&T is a theory of semantics. Yet as practiced, L&E and O&T rarely result in conflict. A common narrative during the COVID-19 pandemic correctly observed that lockdowns which stripped public interactions to the bare minimum exposed the economic and social fault lines of Canadian society. Since March 2020, women— particularly racialized women in jobs with low pay—have disproportionately borne the brunt of the pandemic’s negative economic impacts. The fact that racialized women face systemic economic inequality and marginalization in Canada is not new. It is the structural foundation of an economy and sex-segregated labour market rooted in racial capitalism. The pandemic merely made the disparities impossible to ignore. U.S. employment law traditionally classifies workers as either employees or independent contractors; each worker under this traditional legal rubric can only be classified as one or the other—there can be no ambiguity or overlap. There seems to be a growing social consensus that the United States imprisons far too many people for far too long. But reform efforts have slowed in the face of a challenging question: How can we reduce reliance on prisons while still discouraging crime, particularly violent crime? Through the 1970s, social scientists believed the answer was an array of what I will call preventive benefits: drug and mental health treatment, housing, and even unconditional cash payments. But early evaluations of these programs failed to find much evidence that they were successful, confirming a then-developing economic theory that predicted the programs …

This essay examines the current time of crisis and offers a vision of the way in which our society and our law can evolve in response. Crises of this scale are evolution-forcing events and I argue that the current moment can move us towards a fundamentally different vision of law and justice. It is the first essay or article to show that the autonomous pursuit of self-interest was a common assumption or value in the major intellectual forces of the twentieth century: classical free market economics, behavioral economics, and sociobiology, as well as in the competing visions of a just …

This Symposium Article is an invitation to rethink the Anglo-American history of corporate law from different perspectives. This Article uses new sources to investigate Sutton’s Hospital and corporate development in England during the sixteenth and seventeenth centuries. By doing so, the analysis reveals overlooked connections between the history of corporate law, religious thought, and social purpose. In turn, the recognition of these connections challenges the received history of pre-modern corporate law. Although this history shapes contemporary Anglo-American debates over corporate personality and purpose, few have scrutinized its underlying assumptions.

This Article offers a new theoretical approach to understanding resistance to legal change in the corporate and commercial context by introducing the sociological concept of "community economic identity" (CEI) into legal scholarship. I argue that community leaders (typically, but not exclusively, from the political, legal, and business spheres) generate public and recognizable identities-e.g., "Coal Country" or "Motor City"-with respect to some commercial activities. These identities influence how law reform is conceived and deployed within jurisdictional boundaries (i.e., country, state, town, region, etc.). CEI complicates the prevailing public choice narrative regarding the influence of special interests in the law reform process. …

This Article explores an underlying tension in the regulatory competition literature regarding why some jurisdictions are more attractive to firms than others. It pays special attention to offshore financial centers (OFCs). OFCs court the business of nonresidents, offer business friendly regulatory environments, and provide for minimal, if any, taxation on their customers. On the one extreme, OFCs are theorized as merely products of legislative capture— thereby lacking any meaningful agency of their own. On the other hand, OFCs are conceptualized as well-governed jurisdictions that attract investment because of the high quality of their laws and legal institutions—indicating some ability to …

This paper makes the point that a court decision that is open to an appeal is akin to a take-it-or-leave-it settlement proposal for both parties. For the case to not be appealed, both parties need to “take,” i.e., accept, this proposal. Thus, on one hand, if both parties cannot achieve a settlement by themselves, they usually benefit from the right to appeal. On the other hand, a right to appeal activates the regressive effects that characterize settlements, which also applies to lower-court decisions. For example, legal uncertainty has a regressive effect on lower-court decisions: if the judge wishes to block …
