Impossibility, Impracticability, And Supervening Illegality, James J. White Jan 1974

Impossibility, Impracticability, And Supervening Illegality, James J. White

Book Chapters

The Doctrine of Impossibility, or as the Uniform Commercial Code knows it, Excuse by Failure of Presupposed Conditions, remains one of the unclimbed peaks of contract doctrine. All of the famous early and mid-twentieth century mountaineers, Corbin, Williston, Farnsworth and many lesser men have made attempts on this doctrine, but none have succeeded in climbing it to the very top. The doctrine inheres in Section 2-615 of the UCC, in Sections 454 - 469 of the Restatement of Contracts and in a series of Anglo-American cases stretching back for many years. In spite of attempts by all of the contract …

Force And The Charter In The Seventies, Julius Stone Jan 1974

Force And The Charter In The Seventies, Julius Stone

Syracuse Journal of International Law and Commerce

Force and the Charter is a very complex problem. It imports not merely the place of force in the relations of States within the Charter of the United Nations, but also the residual rules of international law, which themselves are very much older-several centuries older at least-than the United Nations. These are the residual rules of international law, customary international law, as we call it, concerning the use of force, insofar as the Charter has not abrogated those rules.

Emigration: A Policy Oriented Inquiry, Arthur Jay Silverstein

Syracuse Journal of International Law and Commerce

This inquiry will treat restrictions on the desire to emigrate in a conceptual manner so as to provide criteria and procedures for decision-making. First, a framework will be constructed to assist decision-makers--be they heads of state, diplomats, legislators, bureaucrats, or simply citizens--in evaluating the competing claims involved when an individual seeks to exercise the right to emigrate. Then, an analysis of the emigration policies of Austria, India, the Soviet Union, the United Kingdom, and the United States will be presented as illustrative of the world community's approach toward emigration showing its general expectations about appropriate controls on emigration. Finally, the …

An Evaluation Of The Need For Further Statutory Controls On Foreign Direct Investment In The United States, Gregory E. Andrews Jan 1974

An Evaluation Of The Need For Further Statutory Controls On Foreign Direct Investment In The United States, Gregory E. Andrews

Vanderbilt Journal of Transnational Law

Negative opinions about the expansion of direct foreign participation in the American economy have ranged from xenophobic fears of a foreign economic takeover of the United States to more responsible concerns for the possible need to inhibit foreign penetration of certain critical industries and raw material sectors. These fears and negative reactions have been exacerbated by a paucity of available information to verify or rebut them. A number of congressional committees, therefore, have responded by scheduling investigatory hearings on foreign direct investment, while several members of Congress recently have sponsored legislation in this area. Senator Daniel Inouye (D-Hawaii), has introduced …

What Ever Happened To The "Checkless Society"?, Isaiah Baker Jan 1974

What Ever Happened To The "Checkless Society"?, Isaiah Baker

University of Michigan Journal of Law Reform

In the late 1960's and early 1970's, a proliferation of articles in law reviews and other scholarly journals predicted a fundamental change in the payments systems in the United States. The "checkless society" was hailed as the coming thing-the latest and best innovation to come along in the vast areas of law covered by the Uniform Commercial Code provisions governing commercial paper and bank collections. Despite the claims that present technology is capable of effecting basic alterations in the existing check collection and payment systems, changes have been slow to come and are coming with deliberate speed rather than the …

Establishing An International Commercial Arbitration Council: A Preliminary Proposal, Martin Domke Jan 1974

Establishing An International Commercial Arbitration Council: A Preliminary Proposal, Martin Domke

Vanderbilt Journal of Transnational Law

There has been, in recent years, a substantial growth of international trade. This phenomenon has not confined itself to the more economically developed nations of the world. The developing countries, with different economic and social structures, have also participated in the increased trade activity. Moreover, it can be expected that this trend will continue in the coming years, steadily forging more and more links between countries in all parts of the world.

Growth of trade activity is necessarily accompanied by a corresponding increase in the number of disputes between parties to commercial agreements. The business community is in general accord …

The Requirement That A Capital Expenditure Create Or Enhance An Asset, Alan Gunn Jan 1974

The Requirement That A Capital Expenditure Create Or Enhance An Asset, Alan Gunn

Journal Articles

Should expenditures that have an impact on a company’s production beyond one tax year be capitalized for tax purposes? How can these be distinguished from the “ordinary and necessary expenses” of a business? Is it reasonable to permit a current deduction for these expenditures? While a capitalized expenditure has often been seen as an expenditure that has produced an “asset”, there is no clear rule on what is an asset how to define it. The article examines these issues, with a discussion of the statutory provisions concerning capital expenditures and the problem of whether capitalization is a method of accounting. …

Import Controls On Foreign Oil: Reply, George A. Hay Dec 1973

Import Controls On Foreign Oil: Reply, George A. Hay

Cornell Law Faculty Publications

The position of Ryan Amacher, Robert Tollison, and Thomas Willett (ATW) can be summarized as follows: Assuming that the domestic industry behaves like a profit-maximizing monopoly, if the quota on imported crude oil is replaced by a tariff that is by assumption set so as to achieve the same domestic price of crude oil, the market power of the dominant domestic firms is "severely constrained."

In response I would contend that 1) their assumption about the level of the tariff differs from what I had assumed; 2) their conclusion about the market power of the dominant firms is subject to …

Legislative Restriction Of Creditor Powers And Remedies: A Case Study Of The Negotiation And Drafting Of The Wisconsin Consumer Act, Jeffrey Davis Nov 1973

Legislative Restriction Of Creditor Powers And Remedies: A Case Study Of The Negotiation And Drafting Of The Wisconsin Consumer Act, Jeffrey Davis

Michigan Law Review

This Article discusses the background, negotiation, and drafting of selected WCA restrictions on creditor powers and remedies and compares those provisions to the analogous restrictions proposed by other reform measures. In addition to the UCCC, the MCCA and the WCA, two other major works must be considered in any discussion of consumer-credit legislation. First is Working Redraft No. 4 of the UCCC (UCCC Redraft). This proposed revision, published in December 1972, represents a marked change in the UCCC. Many provisions favorable to the consumer have been added, and many of the parallel provisions on sales and loans have been consolidated. …
