The recent popularity of index investing and corresponding influx of assets into passively managed mutual funds has generated a large literature in law and in finance about the implications for securities markets, antitrust, corporate governance, and beyond. But few have explored the index landscape itself. Professor Robertson’s article is an important exception, and her findings — in particular, that indices are more diverse and dynamic than many would have expected — have implications for all of these debates.

A decade after the financial crisis, regulators worry that the regulation enacted to help stabilize the financial system may be insufficient to prevent another crisis. Examining that regulation with the benefit of hindsight, this Article finds that much has been accomplished but much remains to be done. Most of the existing regulation is ad hoc, providing “tools” rather than a coherent framework. It also is unduly entity-based, largely ignoring markets and other critical elements of the financial system. While the business model of private equity has remained largely unchanged since the 1980s, private equity as an industry has undergone a dramatic transformation. In the early 1980s, private equity was both highly profitable and highly controversial. Today, on the other hand, it is an important asset class and its returns are modest. Financial regulation has traditionally been “hard”: national legislatures and regulators (and sometimes international bodies) require certain kinds of behavior and forbid others, on pain of business sanctions, fines, or even criminal penalties. When a financial crisis happens, the usual after-the-fact response is more hard regulation. That pattern goes back at least to the 1929 market crash that precipitated the Great Depression.

Community currency is known by many names including complementary currency, alternative currency, and parallel currency. Community currency operates alongside an official or national currency (e.g., dollars or euros) with the purpose of circulating within a small geographic area to facilitate the sale of goods and services. In the Wells Fargo accounts scandal, millions of banking accounts were created for customers without their consent. The scandal cost Wells Fargo customers millions of dollars in direct and indirect charges. Investigations revealed that employees were pressured into creating these false accounts through abusive banking practices promulgated from the top. These practices are not unique to Wells Fargo; instead, they are ubiquitous in the financial services industry.

Looking across the long twentieth century, this article tracks the rise and fall of one form of anti-competition regulation: the certificate of public convenience. Designed to curb “destructive competition” in certain industries, such as transportation and banking, certificate laws prevented firms from entering those industries unless they could convince regulators that they would satisfy an unmet public demand for goods or services. This history highlights how lawmakers used similar techniques in governing infrastructure and finance—two fields that are not often studied together. การประกอบธุรกิจในรูปแบบของนิติบุคคลประเภทบริษัทจ้ากัดหรือบริษัทมหาชนจ้ากัด จำต้องอาศัยแหล่งเงินทุนเพื่อนำไปประกอบธุรกิจอย่างยั่งยืน ที่ผ่านมามีบริษัทในประเทศไทยจำนวนมากที่ได้รับผลกระทบจากภาวะเศรษฐกิจ ส่งผลให้เกิดภาวะการขาดทุนสะสมภายในบริษัทต่อเนื่องกันมา แม้ว่ากรมสรรพากรจะมีมาตรการในการช่วยเหลือบริษัทที่ยังคงมีผลขาดทุนสะสม ดังนั้น หลายบริษัทในประเทศไทยที่ยังคงมีผลขาดทุนสะสมอย่างต่อเนื่อง และไม่สามารถที่จะกู้ยืมเงินจากสถาบันการเงินในประเทศไทยหรือในต่างประเทศได้ การจัดหาแหล่งเงินทุนภายนอก (External Source of fund) ประเภทการออกจ้าหน่ายหุ้นสามัญ (Common Stock) หรือการออกจำหน่ายหุ้นบุริมสิทธิ (Preferred Stock) จึงได้รับความสนใจและเป็นที่นิยมในเวลาต่อมา เดิมการออกหุ้นโดยมีส่วนล้ำมูลค่าหุ้นสามารถกระท้าได้หากเป็นไปตามข้อบังคับและหนังสือบริคณห์สนธิของบริษัทตามที่มาตรา 1105 วรรคสอง แห่งประมวลกฎหมายแพ่งและพาณิชย์กำหนดไว้ และไม่ได้มีกฎหมายอื่นใดกำหนดไว้อย่างชัดเจนว่าจะต้องกำหนดส่วนล้ำมูลค่าหุ้นในอัตราส่วนเท่าใด นอกจากนั้นหากได้รับช้าระค่าหุ้นพร้อมทั้งส่วนล้ำมูลค่าหุ้นตามมาตรา 1202 วรรคสอง แห่งประมวลกฎหมายแพ่งและพาณิชย์ รวมถึงมาตรฐานการบัญชี ฉบับที่ 35 เรื่องการนำเสนองบการเงิน ให้ถือว่า ส่วนล้ำมูลค่าหุ้นเป็นส่วนของเจ้าของ (Equity) ที่ไม่ต้องน้ามาค้านวนเพื่อเสียภาษีเงินได้ และไม่ใช่รายรับที่ต้องน้าไปค้านวนเพื่อเสียภาษีมูลค่าเพิ่มรวมถึงมีข้อหารือกรมสรรพากรให้ความเห็นสนับสนุนหลักการดังกล่าวเรื่อยมา ต่อมาในปี 2559 ได้มีค้าพิพากษาศาลฎีกาหมายเลขคดี 2050/2559 ระหว่างบริษัทเอ็นอีซี (ประเทศไทย) จ้ากัด (โจทก์) และ กรมสรรพากร (จ้าเลย) ได้มีแนวคำวินิจฉัยตัดสินให้ส่วนล้ำมูลค่าหุ้นในกรณีดังกล่าว ถือเป็นเงินให้เปล่าหรือเงินช่วยเหลือ ซึ่งถือเป็นรายได้ที่ต้องน้าไปรวมค้านวนเพื่อเสียภาษีเงินได้นิติบุคคลตามมาตรา 65 แห่งประมวลรัษฎากร และต่อมาจึงได้มีแนวค้าวินิจฉัยของกรมสรรพากรเดินตามแนววินิจฉัยของศาลฎีกาแผนกคดีภาษีอากรดังกล่าว ดังนั้น เอกัตศึกษาฉบับนี จึงมุ่งศึกษาถึงแนวความคิดและความแตกต่างระหว่างการตีความของกรมสรรพากรเดิมกับแนวค้าพิพากษาของศาลฎีกา ซึ่งพบว่าส่วนล้ำมูลค่าหุ้นเป็นส่วนหนึ่งของส่วนทุนของบริษัทและในการจัดหาแหล่งเงินทุนที่ถูกต้อง บริษัทต่าง ๆ สามารถที่จะดำเนินการออกหุ้นเพิ่มทุนโดยมีส่วนล้ำมูลค่าหุ้นได้ แต่ทั้งนี้ หากบริษัทได้ดำเนินการออกหุ้นโดยมีส่วนล้ำมูลค่าหุ้นสูงเกินและมิได้แสดงให้เห็นถึงกิจการของบริษัท อย่างถูกต้องแล้วนั้น ในบางกรณีย่อมเห็นได้ชัดว่าเป็นการหลีกภาษี หรือการเลี่ยงภาษีอย่างใดอย่างหนึ่ง ทั้งนี้ ปัจจุบันประเทศไทยยังคงขาดความชัดเจนในเรื่องดังกล่าว จึงควรมีการเพิ่มเติมความหมาย พร้อมทั้งกำหนดรูปแบบการจัดเก็บภาษีไว้ในประมวลรัษฎากร เพื่อความชัดเจนและส่งผลให้ข้อขัดแย้งในการตีความที่จะเป็นข้อพิพาทขึ้นสู่ศาลลดน้อยลง

This Article examines Congress’s decades-long attempt to ensure that securities class action lawsuits of national importance are litigated in federal courts. The intent is limiting strike suits. Congress attempted to curtail strike suits through the enactment of the Private Securities Litigation Reform Act (“PSLRA”). The PSLRA required heightened pleading requirements to ensure the validity of federal securities class actions. Instead of solving the dilemma, plaintiffs circumvented the PSLRA by bringing fraud cases as state law claims. To combat the circumvention of the PSLRA, Congress enacted the Securities Litigation Uniform Standards Act (“SLUSA”). SLUSA federally preempted state law claims based on …

Under current Treasury Regulations, various propaganda groups throughout the United States are exempt from paying federal income tax. This is so because the current test used by the IRS to determine tax-exempt eligibility, the methodology test, is incapable of separating wild propaganda from viewpoints supported by facts.

The IRS created the methodology test in the late 1970s/early 1980s. Since then, groups denied tax-exempt status have repeatedly challenged its validity. There is a puzzle at the core of corporate governance theory. Prior scholarship reports a strong relationship between firms best at creating shareholder value and those rated highly by the established corporate governance indices. Little work explores why, however. We hypothesize that the link between governance and performance depends centrally on context. We illustrate the importance of context by exploring circumstances when a firm's governance structure can operate as a signal of the quality of its management. The idea is that better managers are on average more likely to choose a highly rated governance structure than are bad managers because …

The ability to distinguish between people in setting the price of credit is often constrained by legal rules that aim to prevent discrimination. These legal requirements have developed focusing on human decision-making contexts, and so their effectiveness is challenged as pricing increasingly relies on intelligent algorithms that extract information from big data. In this Essay, we bring together existing legal requirements with the structure of machine-learning decision-making in order to identify tensions between old law and new methods and lay the ground for legal solutions. At the peak of the 2008 financial crisis, the Internal Revenue Service (IRS) issued Notice 2008–83 (the Notice), administrative guidance that limited Internal Revenue Code (the Code) section 382, an important tax rule designed to discourage tax-motivated acquisitions. Although styled as a mere interpretation of existing law, the Notice has been widely viewed as an improper exercise of the IRS’s authority that undermined its legitimacy. But did the Notice work? เอกัตศึกษาฉบับนี้มุ่งเน้นศึกษาลักษณะพฤติการณ์ประวิงคดีของลูกหนี้ และปัจจัยที่มีผลต่อการประวิงคดี ของลูกหนี้ในกระบวนการด าเนินคดีล้มละลายภายหลังศาลมีค าสั่งพิทักษ์ทรัพย์เด็ดขาดลูกหนี้ของธนาคาร เพื่อการส่งออกและนำเข้าแห่งประเทศไทยเนื่องจากปัญหาความล่าช้าในการดำเนินคดีล้มละลายกับลูกหนี้ของธนาคารเพื่อการส่งออกและนำเข้าแห่งประเทศไทย สาเหตุหนึ่งเกิดจากการที่ลูกหนี้ประวิงคดีมิให้เจ้าหนี้ได้รับชำระหนี้ด้วยการยื่นคำขอประนอมหนี้หรือแก้ไขค าขอประนอมหนี้เป็นจำนวนเพิ่มขึ้นเล็กน้อยและลูกหนี้คาดหมายได้ว่าเจ้าหนี้ไม่อาจยอมรับคำขอประนอมหนี้เช่นนั้นได้ในขณะที่พระราชบัญญัติล้มละลาย พุทธศักราช 2483 ไม่ได้มีบทบัญญัติกำหนด จำนวนเงินขั้นต่ำที่ลูกหนี้จะขอประนอมหนี้ได้ทำให้บรรดาเจ้าหนี้จำต้องขอเลื่อนการประชุมเจ้าหนี้ออกไปเพื่อพิจารณาคำขอประนอมหนี้และในที่สุด ที่ประชุมเจ้าหนี้ไม่ยอมรับคำขอประนอมหนี้ฉบับดังกล่าวส่งผลให้ธนาคารต้องเสียทรัพยากรในด้านเวลาการทำงานของพนักงาน รวมทั้งค่าใช้จ่ายและค่าทนายความโดยที่ธนาคารเพื่อการส่งออกและนำเข้าแห่งประเทศไทยไม่ได้รับชำระหนี้จากลูกหนี้แต่อย่างใด ผู้เขียนจึงนำเสนอแนวทางที่เหมาะสมในการป้องกันมิให้ลูกหนี้ประวิงมิให้เจ้าหนี้ได้รับชำระหนี้ในการ ดำเนินคดีล้มละลายภายหลังศาลมีค าสั่งพิทักษ์ทรัพย์เด็ดขาดลูกหนี้ของธนาคารเพื่อการส่งออกและนำเข้า แห่งประเทศไทย

เอกัตศึกษานี้มีวัตถุประสงค์ที่จะศึกษาพระราชบัญญัติภาษีการรับมรดก พ.ศ.2558 โดยมุ่งเน้นไปที่หลักเกณฑ์การจัดเก็บภาษีการรับมรดกว่าบรรลุผลสัมฤทธิ์ตามวัตถุประสงค์ในการจัดเก็บภาษีการรับมรดกเมื่อพิจารณาภายใต้หลักเกณฑ์ตามพระราชบัญญัติหลักเกณฑ์การจัดทําร่างกฎหมายและการประเมินผลสัมฤทธิ์ของกฎหมาย พ.ศ. 2562 หรือไม่ โดยศึกษาถึงวัตถุประสงค์และปัญหาที่เกิดขึ้นจากการจัดเก็บภาษีการรับมรดกเพื่อทําการประเมินผลสัมฤทธิ์ของกฎหมายซึ่งเป็นการวิเคราะห์ผลที่เกิดขึ้นจากการบังคับใช้กฎหมายภาษีการรับมรดกว่าได้ผลตรงตามวัตถุประสงค์ของการตรากฎหมายนั้นมากน้อยเพียงใด คุ้มค่ากับภาระที่เกิดขึ้นแก่รัฐและประชาชนหรือไม่ หรือมีผลกระทบอื่นอันก่อให้เกิดความไม่เป็นธรรมแก่ประชาชนหรือไม่ เพียงใด ผลการศึกษาพบว่าจากข้อมูลการวิเคราะห์การจัดเก็บภาษีการรับมรดกภายใต้หลักเกณฑ์ตามพระราชบัญญัติหลักเกณฑ์การจัดทําร่างกฎหมายและการประเมินผลสัมฤทธิ์ของกฎหมายพ.ศ. 2562 พบว่ากฎหมายภาษีการรับมรดกในปัจจุบันยังไม่สัมฤทธิ์ผลด้วยเหตุผลหลายประการเช่นปัญหามูลค่าทรัพย์สินที่เป็นฐานภาษีในการจัดเก็บภาษีการรับมรดก ดังนั้นสมควรทําการปรับปรุงแก้ไขปัญหาในการจัดเก็บภาษีการรับมรดกให้เหมาะสมหรือมีประสิทธิภาพมากยิ่งขึ้นซึ่งถือเป็นทางเลือกที่ดีที่สุดและคุ้มค่ามากที่สุดในการบรรลุวัตถุประสงค์ตามบรรทัดฐานที่กฎหมายกําหนด อาทิความจําเป็นของกฎหมาย ความสอดคล้องกับสภาพการณ์และการลดความเหลื่อมลํ้าในสังคม เป็นต้น

ภาษีอากรเป็นค่าใช้จ่ายของกิจการอย่างหนึ่ง ผู้ประกอบธุรกิจจึงพยายามหาวิธีการเพื่อให้กิจการของตนเสียภาษีอากรน้อยที่สุดหรือไม่จําต้องเสียภาษีอากรเลยการเลือกใช้อนุสัญญาภาษีโดยมิชอบ เป็นวิธีการที่ถูกใช้เพื่อลดค่าใช้จ่ายทางภาษีส่งผลให้นานาประเทศสูญเสียรายได้จากการจัดเก็บภาษีที่รัฐควรจะได้รับมหาศาล โดยประเทศสหรัฐอเมริกาเป็นประเทศแรกที่เริ่มสนใจปัญหาการเลือกใช้อนุสัญญาภาษีซ้อนโดยมิชอบ และหามาตรการเพื่อจัดการปัญหาดังกล่าว ซึ่งหลักจํากัดสิทธิประโยชน์เป็นมาตรการที่ประเทศสหรัฐอเมริกาเลือกใช้มาเป็นระยะเวลายาวนาน และเชื่อว่าสามารถจัดการกับปัญหาการเลือกใช้อนุสัญญาภาษีโดยมิชอบได้อย่างมีประสิทธิภาพ โดยวัตถุประสงค์ของหลักจํากัดสิทธิประโยชน์มีขึ้นเพื่อรับมือกับธุรกรรมบางประเภท อันเป็นมาตรการเฉพาะว่าด้วยการต่อต้านการหลีกเลี่ยงภาษีอากร ทําให้หลักจํากัดสิทธิประโยชน์มีความชัดเจน แน่นอน จัดเก็บภาษีได้อย่างเต็มเม็ดเต็มหน่วย และมีประสิทธิภาพในการป้องกันการวางแผนภาษีที่เกิดขึ้นใหม่ได้เป็นอย่างดี จากการศึกษาพบว่าหลักการจํากัดสิทธิประโยชน์เป็นหลักการที่ประเทศไทยสมควรรับมาเป็นบทบัญญัติหนึ่งในอนุสัญญาภาษีซ้อน ด้วยเหตุนี้จึงจําเป็นต้องศึกษาถึงหลักเกณฑ์และแนวทางการบังคับใช้รวมถึงความมีประสิทธิภาพจากการบังคับใช้เพื่อเป็นแนวทางในการนําหลักการจํากัดสิทธิประโยชน์มาปรับใช้ในประเทศไทยต่อไปอย่างมีประสิทธิภาพ

As tensions between investors’ rights and sovereign power escalate, investor-state dispute settlement has become a focal point of backlash and controversy. As a result, ISDS now embodies two opposing currents in international law: (i) the erosion of sovereignty that accompanied economic globalization, trade frameworks, and investment treaties following the Second World War and (ii) more recently, reassertions of sovereignty prompted by recent backlashes against the global economic order. Whether in response to roboadvising, artificial intelligence, or crypto-currencies like Bitcoin, regulators around the world have made it a top policy priority to supervise the exponential growth of financial technology (or "fintech") in the post-Crisis era. However, applying traditional regulatory strategies to new technological ecosystems has proven conceptually difficult. Part of the challenge lies in the tradeoffs involved in regulating innovations that could conceivably both help and hurt consumers and market participants alike. Problems also arise from the common assumption that today's fintech is a mere continuation of the story of innovation that has shaped finance for centuries.
