ห้างหุ้นส่วนจดทะเบียนเป็นธุรกิจที่มีความสำคัญต่อระบบเศรษฐกิจ แต่ด้วยข้อจำกัดสามประการ อันประกอบไปด้วย ข้อจำกัดในการกำหนดคุณสมบัติของห้างหุ้นส่วน ข้อจำกัดในการสนับสนุนทางการเงิน และข้อจำกัดด้านความน่าเชื่อถือ ทำให้ห้างหุ้นส่วนจดทะเบียนไม่สามารถเข้าสู่กระบวนการฟื้นฟูกิจการได้ สร้างความสูญเสียต่อระบบเศรษฐกิจของประเทศไทย จากการศึกษาพบว่า กฎหมายของประเทศไทยยังมีข้อจำกัดด้านคุณสมบัติคือลูกหนี้ต้องเป็นบริษัทจำกัด บริษัทมหาชนจำกัด และนิติบุคคลอื่นที่กฎกระทรวงประกาศไว้เท่านั้น ทำให้ห้างหุ้นส่วน จดทะเบียนไม่ได้เข้าสู่กระบวนการฟื้นฟูกิจการ ซึ่งแตกต่างกับประเทศสหรัฐอเมริกา ประเทศสหราชอาณาจักรและประเทศสหพันธ์รัฐเยอรมัน ที่ไม่มีการกำหนดเงื่อนไขดังกล่าวไว้ จึงควรแก้ไขบทบัญญัติตามมาตรา 90/1 และคุณสมบัติของจำนวนหนี้ที่กำหนดไว้เพื่อแก้ไขข้อจำกัดในด้านคุณสมบัติของการเข้าสู่การฟื้นฟูกิจการให้เปิดกว้างมากขึ้น ในส่วนของข้อจำกัด ด้านการสนับสนุนทางการเงินเนื่องจากประเทศไทยยังไม่มีแนวทางที่ชัดเจนในการให้สิทธิต่อเจ้าหนี้รายใหม่ จึงควรระบุเรื่องดังกล่าวในการฟื้นฟูกิจการให้ชัดเจน และในส่วนข้อจำกัดในด้านความน่าเชื่อถือ เพื่อให้เกิดความต่อเนื่องในกระบวนการฟื้นฟูกิจการควรมีการกำหนดไว้ในแผนฟื้นฟูกิจการให้ชัดเจนในประเด็นความต่อเนื่องหากหุ้นส่วนผู้จัดการถึงแก่ความตายไป โดยนำหลักความคิดจากกฎหมายต่างประเทศมาปรับใช้เพื่อกำหนดกรอบคุณสมบัติและแก้ไขข้อจำกัดให้กับห้างหุ้นส่วนจดทะเบียนเข้าสู่กระบวนการฟื้นฟูกิจการได้ต่อไป

การจัดเก็บภาษีที่ดินและสิ่งปลูกสร้างแก่ทรัพย์สินของสถานศึกษาเอกชน ยังคงมีปัญหาบางประการ กล่าวคือ พระราชกฤษฎีกาลดภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ.2563 มาตรา 4 (6) และ (7) ซึ่งเป็นบทบัญญัติที่เป็นการลดอัตราภาษีให้แก่สถานศึกษาเอกชน ไม่ได้มีการกำหนดขอบเขตของการใช้ประโยชน์ในทรัพย์สินของสถานศึกษาเอกชน และประเภทของทรัพย์สินที่จะได้รับประโยชน์จากบทบัญญัติดังกล่าว ทำให้ไม่ทราบถึงขอบเขตของการใช้ประโยชน์ในที่ดินและสิ่งปลูกสร้างของสถานศึกษาเอกชน ที่จะได้รับประโยชน์จากการลดอัตราภาษีที่แน่ชัด กล่าวคือ กฎหมายมีเจตนาที่จะลดอัตราภาษีเฉพาะที่ดินและสิ่งปลูกสร้างที่ใช้เพื่อการศึกษาเท่านั้น หรือจะรวมถึงการใช้ที่ดินและสิ่งปลูกสร้างเพื่อวัตถุประสงค์อื่นนอกจากการศึกษาด้วย การที่บทบัญญัติดังกล่าวไม่มีขอบเขตของการใช้ประโยชน์ในทรัพย์สินดังกล่าว ทำให้เกิดปัญหาการตีความทรัพย์สินประเภทต่างๆ ของสถานศึกษาเอกชน และเกิดปัญหาการตีความกฎหมาย จึงเห็นได้ว่าบทบัญญัติว่าด้วยการลดอัตราภาษีที่ดินและสิ่งปลูกสร้างแก่สถานศึกษาเอกชนจึงยังมีปัญหาความไม่ชัดเจน ไม่แน่นอน ก่อให้เกิดปัญหาการตีความบทบัญญัติแห่งกฎหมาย และปัญหาข้อพิพาททางภาษี ซึ่งนำไปสู่การเป็นคดีขึ้นสู่ชั้นศาล ทั้งหมดล้วนเป็นปัญหา และขัดต่อหลักการจัดเก็บภาษีที่ดี อย่างไรก็ตาม จากปัญหาดังกล่าว สามารถนำหลักเกณฑ์ และแนวคิด ของกฎหมายภาษีที่ดินและสิ่งปลูกสร้าง ของมลรัฐอิลลินอยส์ ประเทศสหรัฐอเมริกาซึ่งมีรูปแบบการให้สิทธิประโยชน์ทางภาษีแก่สถานศึกษาเอกชนที่ชัดเจน มาเป็นหนึ่งในรูปแบบเพื่อศึกษาแนวทางในการปรับปรุงแก้ไขบทบัญญัติแห่งกฎหมายให้ดียิ่งขึ้นได้ เช่น การนำหลักเกณฑ์ในการกำหนดรูปแบบ ขอบเขตการใช้ประโยชน์ในทรัพย์สินของสถานศึกษาเอกชน และการกำหนดประเภททรัพย์สินที่จะได้รับการบรรเทาภาระภาษีที่ดินและสิ่งปลูกสร้าง เพื่อให้บทบัญญัติแห่งกฎหมายของประเทศไทย มีความชัดเจน มีความแน่นอน สอดคล้องกับหลักความแน่นอน ลดปัญหาการตีความกฎหมาย และ ปัญหาข้อพิพาททางภาษี ระหว่างผู้จัดเก็บภาษีและผู้เสียภาษีที่จะตามมาในอนาคต

เอกัตศึกษานี้มีวัตถุประสงค์เพื่อวิเคราะห์การใช้เครื่องมือทางเศรษฐศาสตร์ในการจัดการปัญหามลพิษที่เกิดจากการกำจัดขยะมูลฝอยด้วยวิธีการฝังกลบ เนื่องจากสภาพสังคมและเศรษฐกิจที่ขยายตัว ส่งผลให้เกิดการใช้ทรัพยากรธรรมชาติโดยปราศจากความรับผิดชอบและสร้างขยะมูลฝอยเพิ่มขึ้นในทุกๆปี และขยะส่วนใหญ่จะถูกส่งไปกำจัดด้วยวิธีการฝังกลบซึ่งเป็นวิธีการกำจัดขยะที่ก่อมลพิษต่อสิ่งแวดล้อมมากที่สุดและส่งผลกระทบต่อผู้ที่อาศัยอยู่ในชุมชนบริเวณใกล้เคียง แต่เครื่องมือทางเศรษฐศาสตร์ที่ใช้ในการจัดการกับปัญหาขยะมูลฝอยเหล่านี้ยังไม่สามารถทำให้เกิดการเปลี่ยนแปลงพฤติกรรมของผู้คนในสังคมได้ กล่าวคือ การเก็บค่าธรรมเนียมเก็บ ขน และกำจัดขยะ มีลักษณะเป็นการเก็บที่ครอบคลุมในส่วนของต้นทุนการให้บริการเท่านั้น ไม่ได้สะท้อนถึงต้นทุนทางสิ่งแวดล้อมที่เป็นการใช้ประโยชน์รวมถึงความเสียหายที่เกิดกับสิ่งแวดล้อมซึ่งเกิดจากการกำจัดขยะ จากการศึกษาจะเห็นว่าประเทศไทยมีการจัดเก็บค่าธรรมเนียมมาเป็นเวลานานแต่กลับมีปริมาณขยะเพิ่มขึ้นทุกปี และการจัดการขยะที่เกิดขึ้นส่วนใหญ่จะใช้วิธีการกำจัดด้วยการฝังกลบมากกว่าการนำกลับมาใช้ประโยชน์หรือกำจัดด้วยวิธีอื่นที่เป็นมิตรกับสิ่งแวดล้อมมากกว่า จึงสะท้อนให้เห็นว่าการจัดเก็บค่าธรรมเนียมยังไม่สามารถจูงใจให้เกิดการเปลี่ยนแปลงพฤติกรรมในการจัดการขยะ อีกทั้งรายได้ค่าธรรมเนียมการเก็บ ขน และกำจัดขยะที่เก็บได้ยังไม่สอดคล้องกับรายจ่ายที่ภาครัฐต้องแบกรับในการจัดการขยะมูลฝอย เครื่องมือทางเศรษฐศาสตร์ประเภทค่าธรรมเนียมจึงไม่สอดคล้องกับหลักการผู้ก่อมลพิษเป็นผู้จ่าย จึงขอเสนอให้มีการจัดเก็บภาษีสิ่งแวดล้อม คือ ภาษีการฝังกลบ(Landfill Tax) ซึ่งมีลักษณะเป็นภาษีสิ่งแวดล้อมทางอ้อมเพื่อสร้างแรงจูงใจให้เกิดการเปลี่ยนแปลงพฤติกรรมการจัดการขยะของคนในสังคม สร้างรายได้ให้กับรัฐ และสอดคล้องกับหลักการจัดการสิ่งแวดล้อมโดยเฉพาะอย่างยิ่งหลักการผู้ก่อมลพิษเป็นผู้จ่าย

Racism is not a natural phenomenon. Historically, it was socialised into global exist existence through intentional acts that have become embedded parts of the international legal order and domestic social systems. Rejecting racism and developing alternative antiracist approaches similarly require intentionality. One area of concern for scholars is how our linguistic and framing choices perpetuate or reproduce racialised hierarchies. In this article, I employ I. This Article on central bank digital currencies is motivated by a parable, The Orkney Slew, which is set in an archipelago. Based on the parable, we point out a significant economic market failure that exists in the cross-border payments realm. Against an overview analyzing the mobile money system, this article provides a preliminary criterion for determining potential systemic risk of collapse of a mobile money firm (MM firm). The Federal Reserve (“the Fed”) can remove bankers from office if they violate the law, engage in unsafe or unsound practices, or breach their fiduciary duties. The Fed, however, has used this power so rarely that few even realize it exists. Although major U.S. banks have admitted to repeated and flagrant lawbreaking in recent years, the Fed has never removed a senior executive from one of these institutions.

A new category of retail stock trader has emerged: the “expressive” trader. An expressive trader is not motivated by profit alone, but trades as a form of social protest, political speech, or aesthetic expression. GameStop’s meteoric surge in price in January 2021 revealed the power expressive traders can exert on the market. This Essay explores the phenomenon of expressive trading and its implications for issuers, markets, and regulators. The Essay sets forth potential defensive measures available to issuers against the consequences of expressive trading, and cautions regulators against hasty action to address expressive trading.

Digital currencies have the potential to improve the speed and efficiency of payments and to broaden financial inclusion. The principal goal is to facilitate payments among consumers on a day-to-day basis as an alternative to cash, both domestically and across national borders. This Article begins by critically examining and critiquing the ongoing progress of trying to develop retail digital currencies, focusing on the two most feasible approaches: central bank digital currencies (“CBDC”), and privately issued currencies that are backed by assets having intrinsic value (“stablecoins”). Piercing the corporate veil has been substantially limited in English law since Prest v. Petrodel. This contraction coincides with the development of the direct liability doctrine which attaches liability directly on the parent company. The authors argue that the shift from using piercing the corporate veil to direct liability is a positive development as it gives English courts a better tool to combat the abuse of separate legal personality. Despite increasing criticism, Delaware’s dominance in corporate law has not experienced a significant decline: as of today, 67.8 percent of Fortune 500 companies are still incorporated in its jurisdiction. Nevada is known as Delaware’s most important competitor, with an aggressive strategy that has overridden the efforts of any other jurisdiction. Yet, its success has been limited to a specific market segment: small firms with low institutional shareholding and high insider ownership.

A growing body of literature evaluates the impact of antitrust laws on economic growth. Most of these empirical studies identify a positive impact; however, the existing literature only studies the effect of the existence of antitrust laws, but not their enforcement. To fill this gap in the literature, this Article uses private antitrust case filing numbers to examine the growth effect. Employing U.S. data and, after addressing endogeneity, using a two-stage least squares (2SLS) regression analysis, I identify a negative and robust association between private enforcement and output on a national level in the short run over the period from …

The full extent of the pandemic’s effect, including a tidal wave of wide-spread corporate and financial sector harm and wide-spread economic distress, remains to be seen. Special purpose acquisition companies (SPACs), otherwise known as blank check companies, are corporations created to raise capital from investors with the express purpose of using such capital to acquire an already existing business. Much like a traditional merger, the transaction between the SPAC and the target company (formally called the “Initial Business Combination” or colloquially the “de- SPAC transaction”) is highly scrutinized in shareholder litigation. However, Delaware courts have not definitively established under which standard these de-SPAC transactions should be reviewed. It is estimated that $800 billion to $2 trillion are laundered globally every year, funding the schemes of bad actors and terrorists alike. These astronomical sums are moved around the world without detection; this is in large part due to the ease with which anonymous shell companies, typically limited liability companies (LLCs), can be created, particularly in the United States. Bitcoin, the first blockchain and cryptocurrency (crypto), launched in 2009 when the Bitcoin network opened to the public. A blockchain is a digital ledger technology where transactions are aggregated and permanently recorded into blocks of information. Maintenance of a blockchain is typically conducted by decentralized managers who own and operate network computers (“Nodes”) and serve the functions normally handled by central intermediaries to validate and confirm transactions. All Nodes follow a blockchain protocol. In Bitcoin’s and most cryptos’ cases, this protocol is known as a Proof- of-Work protocol which requires a large amount of energy consumption. The narrative that emerged in the aftermath of the COVID-19 financial crisis has focused on nonbank financial intermediation as the primary vulnerability that plagued financial markets starting in March of 2020 and the exogenous nature of a public health crisis as a unique precipitating event. As a result, the crisis has largely been viewed as vindication for financial regulation as it applies to banks, with the Federal Reserve playing the role of heroic rescuer of the financial system.

When the Gramm-Leach-Bliley Act authorized financial conglomeration in 1999, Professor Arthur Wilmarth, Jr. presciently predicted that diversified financial holding companies would try to exploit their bank subsidiaries by transferring government subsidies to their nonbank affiliates. To prevent financial conglomerates from taking advantage of their insured depository subsidiaries in this way, policymakers instructed a bank's board of directors to act in the best interests of the bank, rather than the bank's holding company.
