The Net Stable Funding Ratio (NSFR), a liquidity standard introduced by Basel III, seeks to promote a better match between the liquidity of a bank’s assets and the manner in which the bank funds those assets. The NSFR requires banks to maintain a minimum amount of funding deemed “stable” by the Basel framework based on the liquidity of the banks’ assets and activities over a one-year timeframe. One of the areas seen as most affected by this development may be bank participation in project finance for infrastructure development. One of the Basel Committee on Banking Supervision’s responses to the global financial crisis of 2007-09 was to introduce the Liquidity Coverage Ratio (LCR), a short-term measure that evaluates whether a bank has enough liquidity to meet expected cash outflows during a 30-day stress scenario. One area in which this incentive has already resulted in changed practices is in the market for commercial paper. Hedge funds rely on “prime brokerage” units within banks to provide leverage. With the enhanced capital requirements and new liquidity standards introduced by Basel III driving up the cost to banks of engaging in such financing, prime brokers have begun to offer an alternative means of providing hedge fund clients with leveraged exposure to securities. Known as synthetic financing, this alternative requires the prime broker to enter into derivatives contracts with the clients. After the Basel Committee on Banking Supervision (BCBS) introduced the Basel III framework in 2010, individual countries confronted the question of how best to implement the framework given their unique circumstances. Switzerland, with a banking industry that is both heavily concentrated and very large relative to the size of its overall economy, faced a special challenge. It ultimately adopted what is sometimes referred to as the “Swiss Finish” to Basel III—enhanced requirements applicable to Switzerland’s “too-big-to-fail” banks Credit Suisse and UBS that go beyond the base requirements established by the BCBS. In the wake of the financial crisis of 2007-09, the Basel Committee on Banking Supervision (BCBS) faced the critical task of diagnosing what went wrong and then updating regulatory standards aimed at preventing it from occurring again. In seeking to strengthen the microprudential regulation associated with the earlier Basel Accords while also adding a macroprudential overlay, Basel III consists of proposals in three main areas intended to address 1) capital reform, 2) liquidity standards, and 3) systemic risk and interconnectedness. From the earliest efforts to mandate the amount of capital banks must maintain, regulators have grappled with how best to accomplish this task. Until the 1980s, regulation had been based largely on discretion and judgment. In the wake of two bank failures, the central bank governors of the G10 countries established the Basel Committee on Banking Supervision (BCBS) and in 1988, the BCBS introduced a capital measurement system, Basel I. In December 2011, the Chief Executive Officer and Chief Financial Officer of JPMorgan Chase (JPM) instructed the bank’s Chief Investment Office to reduce the size of its Synthetic Credit Portfolio (SCP) during 2012, so that JPM could decrease its Risk-Weighted Assets as the bank prepared to adopt the impending Basel III bank capital regulations. However, the SCP traders were also told to minimize the trading costs incurred to reduce Risk-Weighted Assets, while still maintaining the opportunity to profit from unexpected corporate bankruptcies. Incorporating Macroprudential Financial Regulation Into Monetary Policy, Aaron Klein

This paper proposes two insights into financial regulation and monetary policy. The first enhances understanding the relationship between them, building on the automobile metaphor that describes monetary policy: when to accelerate or brake for curves miles ahead. Enhancing the metaphor, financial markets are the transmission. In a financial crisis, markets cease to function, equivalent to a transmission shifting into neutral. This explains both monetary policy’s diminished effectiveness in stimulating the economy and why the financial crisis shock to real economic output greatly exceeded central bank forecasts.

This Article takes stock of post-financial crisis regulatory developments to tell a tale of two markets within a political economy of financial regulation. The financial crisis stemmed from excessive risk-taking and dodgy practices in the subprime home mortgage market, a market that owed its existence to private-label securitization. The pre-crisis boom in private label mortgage-backed securities could never have happened, however, without financing from an array of structured products and vehicles created in the capital markets-CDOs, CDO2 s, and SIVs. It was these capital markets products that magnified mortgage credit risk and transmitted it into the financial system's vulnerable nodes. …

The coronavirus pandemic caused an unprecedented shutdown of the United States. The stay-at-home orders issued by most states typically banned large gatherings of any kind, including religious services. Churches sued, arguing that these bans violated their religious liberty rights by treating worship services more strictly than analogous activities that were not banned, such as shopping at a liquor store or superstore. This Essay examines these claims, concluding that the constitutionality of the bans turns on the science of how the pathogen spreads, and that the best available scientific evidence supports the mass gathering bans.

This dissertation examines emerging risks and regulatory concerns in exchange traded funds (ETFs). It makes four core arguments through four published or accepted (and forthcoming) law review articles, alongside two published blog posts, all of which were written and previously submitted to the SJD Committee during the author’s dissertation research period. These articles are organized herein as dissertation chapters together with a contextual introduction and a summary conclusion which frames the dissertation within the scholarly literature on economic “financialization,” and emerging challenges associated with the growth of large interconnected asset managers.

As the opioid crisis continues to claim lives throughout the U.S., tort litigants have faced challenges pursuing Purdue Pharma – one of the drug makers responsible for aggressively promoting OxyContin while downplaying the drug’s addictive effects. Much of this litigation posture sought to recover billions in public health costs incurred responding to the crisis at federal, state and local levels. As the plaintiff class grew, Purdue Pharma petitioned for bankruptcy protection, at which point auditors discovered the entity’s beneficial owners had caused it to wire billions in opioid profits into offshore accounts – placing them beyond the reach of litigants. …

Cryptocurrencies are electronically generated and stored currencies by which users can trade either real or virtual objects with one another. As these digital assets gain popularity, the issue of how to regulate them becomes more pressing. Cryptocurrencies are attractive due in part to their decentralized, peer-to-peer structure. In the aftermath of a school shooting in Florida, the
New York State bank regulator urged banks to manage
the “reputation risk” posed by doing business with the
National Rifle Association (a gun rights advocacy
group). As part of Operation Choke Point, a federal
regulator told banks to end relationships with payday
lenders because those activities posed “reputation risk.”
Another federal regulator warns banks their reputations
might be damaged by lending to oil and gas companies
that are perceived to cause environmental harm.

รายงานเอกัตศึกษาเล่นนี้ มีวัตถุประสงค์ เพื่อศึกษาหาแนวทางในแก้ปัญหาความขัดหรือแย้งของพระราชบัญญัติจัดตั้งศาลภาษีอากรและวิธีพิจารณาคดีภาษีอากร พ.ศ.2528 มาตรา 7(1) ประกอบมาตรา 8 กับพระราชบัญญัติภาษีที่ดินและสิ่งปลูกสร้าง พ.ศ. 2562, พระราชบัญญัติภาษีสรรพสามิตพ.ศ. 2560, พระราชบัญญัติกรมศุลกากร พ.ศ.2560 และพระราชบัญญัติภาษีการรับมรดก พ.ศ.2558 ในคดีอุทธรณ์คำวินิจฉัยของเจ้าพนักงานหรือคณะกรรมการตามกฎหมายเกี่ยวกับภาษีอากรโดยเทียบเคียงกับพระราชบัญญัติจัดตั้งศาลปกครองและวิธีพิจารณาคดีปกครอง พ.ศ. 2542 และพระราชบัญญัติวิธีปฏิบัติราชการทางปกครอง พ.ศ. 2539 โดยวิธีการศึกษาวิจัยทางเอกสารในการค้นคว้าและรวบรวมข้อมูลวิเคราะห์จากบทบัญญัติตามพระราชบัญญัติ คำพิพากษาของศาลหนังสือกฎหมาย ตลอดจนเอกสารอื่นๆ ที่เกี่ยวข้องในเรื่องดังกล่าว จากการศึกษาพบว่า ขั้นตอนในการดำเนินการต่างๆ เกี่ยวกับประเมินภาษีอากรและการคัดค้านหรืออุทธรณ์การประเมินภาษีอากร เป็นกระบวนการพิจารณาทางปกครองทั้งสิ้น และกฎหมายภาษีอากรที่ได้มีการปรับปรุง แก้ไขฉบับใหม่มีการให้สิทธิผู้อุทธรณ์สามารถฟ้องคดีต่อศาลภาษีอากรได้ ถึงแม้ว่าคณะกรรมการพิจารณาอุทธรณ์ยังไม่มีคำวินิจฉัยก็ตาม ซึ่งคล้ายคลึงกับเงื่อนไขในการฟ้องคดีทางปกครอง แต่ในปัจจุบันสิทธิตามกฎหมายภาษีอากรดังกล่าวยังไม่สามารถกระทำได้อย่างเต็มที่เนื่องจากเงื่อนขในการฟ้องคดีต่อศาลภาษีอากรต้องมีคำวินิจฉัยของคณะกรรมการพิจารณาอุทธรณ์ก่อน ด้วยเหตุนี้ จึงควรปรับปรุง แก้ไข เงื่อนไขในการฟ้องคดีตามมาตรา 7(1) ประกอบมาตรา 8 แห่งพระราชบัญญัติจัดตั้งศาลภาษีอากรและวิธีพิจารณาคดีภาษีอากร พ.ศ.2528 ให้คล้ายคลึงกับหลักเกณฑ์ของกฎหมายปกครอง เพื่อทำให้สิทธิในการฟ้องคดีต่อศาลภาษีอากรสามารถกระทำได้ตามอย่างถูกต้อง และยังเป็นการทำให้การฟ้องคดีมีมาตรฐานในรูปแบบเดียวกัน อันเป็นการประกันมาตรฐานวิธีการดำเนินงานของเจ้าหน้าที่ของรัฐให้กับประชาชนอีกทางหนึ่งด้วย

วิจัยนี้มีวัตถุประสงค์ในการศึกษาปัญหาของกระบวนการในการบังคับหลักประกันทางธุรกิจตามพระราชบัญญัติหลักประกันทางธุรกิจ พ.ศ. 2558 ซึ่งกระบวนการในการบังคับหลักประกันทางธุรกิจยังมีความไม่ ชัดเจนในบางเรื่อง บางเรื่องกฎหมายมิได้กำหนดไว้ ทำให้เกิดปัญหาในการปรับใช้และตีความเกี่ยวกับกระบวนการ ในการบังคับหลักประกัน เอกัตศึกษานี้ทำการศึกษาโดยการสัมภาษณ์ เก็บรวบรวมข้อมูลถึงสภาพปัญหาของกระบวนการบังคับ หลักประกันทางธุรกิจ โดยศึกษาค้นคว้ารวบรวมข้อมูลจากกฎหมายที่เกี่ยวข้อง บทความและหนังสือต่างๆ ซึ่ง นำมาวิเคราะห์กับหลักกฎหมาย Uniform Commercial Code ของประเทศสหรัฐอเมริกาและหลัก Floating Charge ของประเทศอังกฤษ วิจัยนี้พบว่ามีปัญหาในการบังคับหลักประกันทางธุรกิจในเรื่องการใช้สิทธิของผู้รับหลักประกันในการ บังคับหลักประกันทางธุรกิจ ขั้นตอนการบังคับหลักประกัน การใช้สิทธิทางศาลเกี่ยวกับการขอบังคับหลักประกัน และการขอเปลี่ยนแปลงข้อมูลทางทะเบียนกับหน่วยงานของรัฐ ทำให้ผู้รับหลักประกันบังคับหลักประกันได้ช้าลง ซึ่งไม่สอดคล้องกับวัตถุประสงค์ของการบัญญัติกฎหมายฉบับนี้ เอกัตศึกษานี้ได้เสนอแนวทางการปรับปรุงแก้ไขพระราชบัญญัติหลักประกันทางธุรกิจ พ.ศ. 2558 โดย การตัดเงื่อนไขในการบังคับหลักประกันออกบางส่วน เพื่อให้ผู้รับหลักประกันมีสิทธิในการบังคับหลักประกันได้ อย่างมีประสิทธิภาพ และกำหนดขั้นตอนในการบังคับหลักประกันไว้เป็นการเฉพาะ โดยไม่ต้องอาศัยการตีความ จากบทบัญญัติกฎหมายฉบับอื่น และกำหนดอำนาจในการใช้สิทธิทางศาลเพิ่มเติม เพื่อลดโอกาสในการยักย้าย ถ่ายเททรัพย์สิน และกำหนดเอกสารให้มีรูปแบบมาตรฐานและขั้นตอนในการติดต่อกับหน่วยงานของรัฐให้ชัดเจน ยิ่งขึ้น

เอกัตศึกษาฉบับนี้ มุ่งศึกษาประเด็นปัญหาความไม่ชัดเจนของกฎหมายในการกำหนดประเภทและขอบเขตของหนังสือหรือหนังสืออิเล็กทรอนิกส์ที่ได้รับยกเว้นภาษีมูลค่าเพิ่ม รวมถึงรูปแบบของการให้บริการหนังสืออิเล็กทรอนิกส์ และแนวทางการคำนวณภาษีกรณีธุรกรรมที่ไม่สามารถแบ่งแยกราคาได้ อีกทั้งได้เสนอให้มีการจัดเก็บภาษีอัตราศูนย์สำหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ประเภทตำราเรียน เนื่องจากประมวลรัษฎากรกำหนดให้มีการยกเว้นภาษีมูลค่าเพิ่ม สำหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ประเภทหนังสือพิมพ์ นิตยสาร และตำราเรียน แต่อย่างไรก็ดี กฎหมายดังกล่าวไม่มีความชัดเจนแต่อย่างใด ทั้งกรณีการกำหนดประเภทและขอบเขตของหนังสือหรือหนังสืออิเล็กทรอนิกส์และรูปแบบการให้บริการหนังสืออิเล็กทรอนิกส์ที่จะได้รับยกว้นภาษีมูลค่าเพิ่ม รวมถึงวิธีการคำนวณภาษีกรณีการทำธุรกรรมที่ไม่สามารถแบ่งแยกราคาได้ ก็มิได้มีการกำหนดแนวทางในการคำนวณภาษีไว้ อันทำให้รัฐอาจสูญเสียรายได้จากการจัดเก็บภาษี นอกจากนี้ ควรกำหนดให้มีการจัดเก็บภาษีมูลค่าเพิ่มในอัตราศูนย์สำหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ประเภทตำราเรียน เพื่อให้ปลอดภาระภาษีโดยสิ้นเชิง ผู้เขียนจึงได้ศึกษาแนวคิดและกฎหมาย โดยพิจารณาเปรียบเทียบกับแนวทางการจัดเก็บภาษีหรับการจำหน่ายหนังสือหรือการให้บริการหนังสืออิเล็กทรอนิกส์ในสหราชอาณาจักร เพื่อเสนอแนะแนวทางอันทำให้กฎหมายมีความชัดเจนมากยิ่งขึ้น

For many, the appeal of bitcoin is in its detachment from government regulation. However, the Coffee bonding theory, which initially arose in the context of foreign stocks, suggests certain benefits of regulation for bitcoin, including increased legitimacy. By invoking the Coffee bonding theory, this Article offers another perspective on the regulation of bitcoin.
