การแก้ปัญหาหนี้สินผ่านกระบวนการฟื้นฟูกิจการตามพระราชบัญญัติล้มละลาย พ.ศ. 2483 นั้น เป็นกระบวนการที่เจ้าหนี้และลูกหนี้จะมาตกลงทำการปรับโครงสร้างหนี้ของลูกหนี้เพื่อที่ว่ากิจการของลูกหนี้ที่มีหนี้สินล้นพันตัวจะได้มีโอกาสกลับมาดำเนินธุรกิจและมีผลกำไรได้อย่างปกติอีกครั้ง แทนที่จะต้องชำระบัญชีและเลิกกิจการไป ในกระบวนการฟื้นฟูกิจการ การปรับลดค่าใช้จ่ายทางด้านบุคลากรนับว่าเป็นหนึ่งในปัจจัยสำคัญที่จะส่งผลต่อความสำเร็จของการฟื้นฟูกิจการของลูกหนี้ อย่างไรก็ดี ในการปรับลดใช้จ่ายทางด้านบุคลากรของบริษัทเข้าสู่กระบวนการฟื้นฟูกิจการนั้นจะมีความเกี่ยวข้องกับกฎหมายหลายฉบับ ซึ่งมีเจตนารมณ์ของกฎหมายแต่ละฉบับต่างก็มุ่งที่จะคุ้มครองผลประโยชน์ของกลุ่มบุคคลที่แตกต่างกัน การปรับลดใช้จ่ายทางด้านบุคลากรของบริษัทเข้าสู่กระบวนการฟื้นฟูกิจการภายใต้บทบัญญัติของกฎหมายไทยในปัจจุบันจึงกระทำได้อย่างค่อนข้างจำกัดและไม่มีประสิทธิภาพเนื่องจากขาดหลักเกณฑ์และมาตรการดำเนินการที่เหมาะสม เอกัตศึกษาฉบับนี้ มีวัตถุประสงค์ในการศึกษาแนวคิดและหลักเกณฑ์ในการปรับลดค่าใช้จ่ายเกี่ยวกับบุคลากรของลูกหนี้ที่เข้าสู่กระบวนการฟื้นฟูกิจการตามกฎหมายของสหรัฐอเมริกา และกฎหมายของสหราชอาณาจักร เพื่อนำมาเป็นแนวในการปรับปรุงกฎหลักเกณฑ์ตามกฎหมายฟื้นฟูกิจการ และกฏหมายแรงงานของไทยในส่วนที่เกี่ยวข้องกับการปรับลดค่าใช้จ่ายเกี่ยวกับบุคคลากรของลูกหนี้ในกระบวนการฟื้นฟูกิจการให้มีความเหมาะสม สามารถบังคับใช้ได้จริงและมีประสิทธิภาพ และเกิดความสมดุลระหว่างสิทธิประโยชน์ของลูกจ้าง และสิทธิในการดำเนินการที่จำเป็นเพื่อความสำเร็จขอการฟื้นฟูกิจการลูกหนี้

การศึกษานี้จึงมีวัตถุประสงค์เพื่อการวิเคราะห์แนวทางการจัดเก็บภาษีเงินได้สําหรับบริษัทจํากัดคนเดียวโดยใช้หลักการจัดเก็บภาษีเงินได้ที่เหมาะสมกับบริบทของบริษัทจํากัดคนเดียวที่กําลังจะเกิดขึ้นในประเทศไทย ซึ่งเป็นการศึกษากฎหมายเชิงเปรียบเทียบ โดยรวบรวมข้อมูลของประเทศที่ได้จัดตั้งบริษัทจํากัดคนเดียวและมีหลักปฏิบัติสําหรับการจัดเก็บภาษีเงินได้บริษัทจํากัดคนเดียว เช่น ประเทศสหรัฐอเมริกา ฝรั่งเศส และอินเดีย เพื่อให้ได้หลักการจัดเก็บภาษีเงินได้สําหรับบริษัทจํากัดคนเดียวที่เหมาะสมที่สุดสําหรับประเทศไทย ซึ่งจากการศึกษาเปรียบเทียบการจัดเก็บภาษีเงินได้บริษัทจํากัดคนเดียวในประเทศสหรัฐอเมริกา และประเทศฝรั่งเศส พบว่าบริษัทจํากัดคนเดียวถูกจัดเก็บภาษีเงินได้บุคคลธรรมดา โดยใช้แนวความคิดระบบส่งผ่านเงินได้ประกอบกับการพิจารณาลักษณะและคุณสมบัติพิเศษของบริษัทจํากัดคนเดียว โดยไม่คํานึงว่า บริษัทจํากัดคนเดียวจะมีสถานะเป็นนิติบุคคลตามกฎหมายก็ตาม ซึ่งเมื่อนํามาวิเคราะห์ประกอบกับบริบทของบริษัทจํากัดคนเดียวในประเทศไทยที่มีโอกาสเกิดขึ้นแล้ว การจัดเก็บภาษีเงินได้บุคคลธรรมดาสําหรับบริษัทจํากัดคนเดียวถือเป็นแนวคิดการจัดเก็บภาษีเงินได้ที่สอดคล้องกับหลักการจัดเก็บภาษีอากรที่ดีและเป็นธรรมต่อทุกฝ่าย ดังนั้น จึงเสนอแนะให้ประเทศไทยรับแนวคิดการจัดเก็บภาษีเงินได้บุคคลธรรมดามาปรับปรุงประมวลรัษฎากรและกฎหมายภาษีอากรที่เกี่ยวข้องเพื่อบังคับใช้ต่อไป

Federal parity laws, and their state equivalents, have been shown to increase access to substance use disorder (SUD) treatment, by decreasing the cost of SUD treatment borne by the insured, and has resulted in little increase in health plan costs. Despite these improvements, the effects of parity on access to SUD treatment have been lower than expected. Recent reports suggest that states have varied in their enforcement parity, failures which may explain why persons surveyed still report having inadequate insurance coverage for SUD treatment despite the parity legislation. Indenture Trustee Duties: The Pre-Default Puzzle, Steven L. Schwarcz

This Article addresses a topic at the intersection of finance, agency, contract, and trust law: the pre-default duties of an indenture trustee for bondholders. The existing scholarship on indenture trustee duties focuses on the post-default scenario, when the indenture trustee is required to act as a prudent person in like circumstances on behalf of the bondholders. No prior scholarship addresses an indenture trustee’s predefault duties. It is critical to try to define those duties because activist investors in the $42-trillion-plus bond market increasingly are making pre-default demands on indenture trustees, requiring them to know how to respond.

Reforms which seek to overhaul the Dodd-Frank Act
have begun to gain support within the Trump
Administration and Congress. The leading proposals go
beyond technical matters and reflect a wholesale
critique: financial regulation has become too
burdensome, too complex, and grants too much
discretion to regulators. This Article argues that what is
really at stake in these debates is the distinct issue of
“regulatory overlap”—the joint use of multiple legal
rules to address a common market failure. It begins by
developing a general framework for analyzing

An emerging consensus in certain legal, business, and scholarly communities maintains that corporate managers are pressured unduly into chasing short-term gains at the expense of superior long-term prospects. The forces inducing managerial myopia are easy to spot, typically embodied by activist hedge funds and Wall Street gadflies with outsized appetites for next quarter’s earnings. Restructuring sovereign debt has long proved challenging: There is no formal regime for sovereign insolvencies similar to those that that govern domestic bankruptcy and insolvency and attempts to create one by international treaty have been met with political resistance. Currently, sovereign debt restructuring is governed by the debt contracts themselves along with the background law in the jurisdiction in which the debt is issued. Sovereign immunity also protects most state assets from seizure. These ad hoc restructuring processes are plagued by unpredictability, however, and there are incentives for individual creditors to “hold out,” demanding full repayment of their claims and …

This chapter introduces the current state of derivatives market regulation in Asia following the global financial crisis. It focuses on Singapore and Hong Kong, the two largest international financial centres in the region. Singapore and Hong Kong have adopted international regulatory reforms, including mandatory trade reporting, centralized clearing, exchange trading requirements and the initial margin rule. The implementation has varied greatly because reporting requirements and initial margin rules have been implemented whereas clearing and trading requirements are waiting for full implementation. Debt presents a dilemma to societies: successful societies benefit from a substantial infrastructure of consumer, commercial, corporate, and sovereign debt but debt can cause substantial private and social harm. Pre- and post-crisis solutions have seesawed between subsidizing and restricting debt, between leveraging and deleveraging. A consensus exists among governments and international financial institutions that financial stability is the fundamental normative principle underlying financial regulation. Financial stability, however, is insensitive to equality concerns and can produce morally impermissible aggregations in which the least advantaged in a society are made worse off. To curb the rapid spread of the coronavirus set to overwhelm the United States' healthcare system, in mid-March 2020, the federal government declared a national emergency. Many states followed suit by implementing shelter-at-home orders and people began social distancing across America. As of this writing, the United States' reaction to the unique and alarming threat of COVID 19 has partially succeeded in slowing the virus's spread. Saving people's lives, however, has come at a severe economic cost. Economic activity plummeted. Unemployment numbers soured to figures not seen since the Great Depression and countless other people saw their income disappear.
