Annual Report Readability: The Case Of Small-Cap Companies, Cecilia W. Ricci

This study proposes to fill a gap in the literature on the readability of annual reports submitted to the SEC by focusing on an area that has not be studied previously: small cap companies. Seven passages of approximately 100 words each were randomly selected from the annual reports of a random sample of fifty companies in the S&P Small Cap 600. The testing of the passages finds that small cap companies’ 10-Ks have readability scores similar to or worse than large cap companies.

Annual Report Readability: The Case Of The Fortune 500, Cecilia W. Ricci

This study adds to the literature on the readability of annual reports submitted to the SEC by assessing current readability, and contemporizing similar studies conducted between 1950 and 1991. The results show that the sample’s 10-Ks are “Very Difficult” to read, and have scores lower than previous research. The study also examines the sample by economic sector, and finds that readability levels are similar among sectors with one exception. These outcomes raise several issues, including the usefulness of the information transfer of 10-Ks, and whether the goals of the SEC are met if 10-Ks are virtually unreadable

The prominence and size of For Profit Universities (FPUs) today has led to increased regulation and oversight. One important regulation is the 90/10 rule which states that FPUs cannot receive more than 90% of their revenue from government Title IV funds. The regulations require publicly traded For Profit Universities to not only comply with the 90/10 rule but also to disclose their score on their financial statements. There however, is little research studying the quality of these disclosures. My paper studies the readability and complexity of the 90/10 score disclosure in relation to the 90/10 score. On October 13, 2011, the U.S. Securities and Exchange Commission issued a guidance on corporate disclosure of cyber-risks and information security breaches (SEC, 2011). To determine if a company disclosed information on the breach, I reviewed the company’s risk factors, management’s discussion and analysis of financial conditions and results of operations, description of the business, legal proceedings, financial statement disclosures, and disclosure controls and procedures. However, the disclosure regulations from this guidance are vague and thus do little to force disclosure of valuable information. The term "cheap stock" describes undervalued stock options granted to CEOs and other key employees prior to initial public offerings (IPOs). Pre-IPO firms have incentives to issue cheap stock as compensation because it results in lower compensation expense on the income statement and in large cash windfalls to CEOs subsequent to the IPO. Because cheap stock results in an overstatement of earnings, the Securities and Exchange Commission frequently challenges the valuations of these grants, which makes cheap stock a key accounting issue in many IPOs. In 2009, most REITs opted for the recapitalization of their balance sheets in order to respond to the recent global credit crisis, thus reducing their leverage and strengthening their financial statements (REIT, 2011b). In 2011, the REIT industry represented $54.3 billion in revenue and a profit of $7.8 billion. The industry annual growth expectation for the next 5 years (from 2011 to 2016) is 5.1% or $69.7 billion (IBISWorld, 2011b). The Impact Of Corporate Social Disclosure On Investment Behavior: A Cross-National Study, Joyce Van Der Van Der Laan Smith, Ajay Adhikari, Rasoul H. Tondkar, Robert L. Andrews

We examine the impact of corporate social disclosure (CSD) on investment behavior in the US, Japan, France, and Sweden using stakeholder theory as the underlying framework for our analysis. We find that there is a significant difference in investors’ reactions to CSD across countries. Using a unique stakeholder scale we also find that these reactions are related to the investors’ stakeholder orientation. These findings provide insight into cross-national dif- ferences in the perceived relevance of CSD to investors.
