On The Theory Of Finance For Privately Held Firms, James S. Ang
The Journal of Entrepreneurial Finance
This paper is a first attempt at differentiating the problems of finance of the privately held small businesses from their larger counterparts. Small businesses, though not concerned with the problems and opportunities associated with publicly traded firms, have different types of complexities, such as shorter expected life, presence of estate tax, intergenerational transfer problems, and prevalence of implicit contracts. Some standard problems like agency and asymmetric information are also more complex. The relatively high transaction costs faced by small businesses in all types of financial decisions also preclude a sizable subset of available choices.

Differences In Risk Measurement For Small Unlisted Businesses, Edward A. Vos
The Journal of Entrepreneurial Finance
The use of traditional risk measurement techniques for small unlisted businesses proves difficult due to a lack of market information. A sample of 209 small businesses in New Zealand was gathered to test the possibility of using accounting betas for risk measurement. While the accounting betas calculated for the listed companies in New Zealand did relate similarly to previous studies, several differences with the unlisted businesses are uncovered. The need to develop better measurement devices is highlighted if benchmarks for risk vs. return equilibrium are to be found for the class of small unlisted businesses.

Financial Information For Decision Making: An Alternative Small Firm Perspective, Brian Gibson

Successful decision making in small firms requires the availability of financial information and its deployment in a variety of financial management techniques. This prescriptive dictate and the techniques and practices it advocates have developed from, and are supported by, a framework of assumptions derived from mainstream neoclassical economics. Substantial relaxation of these assumptions is often necessary to provide plausible explanations for many observed practices such as the irregular use of financial information in small firm decision contexts. Rather than seeking to justify these departures within the extant framework, understanding may be better accommodated by adopting a different perspective. Concerned primarily …

Why do some early stage ventures perform remarkably well while others fail? Is there a fairly accurate way to predict which emerging growth business will become a high performing success story and which a low performing disaster? Is there a way for investors to increase the likelihood of investing in “winners” and decrease the likelihood of investing in “losers”? These are the central questions addressed in this article.

Unlike most other small firms, there is an excellent record of the initial equity capitalization details of banking organizations when they are formed, as well as subsequent changes, because of the chartering application and reporting requirements of the banking regulatory authorities. By combining these records with the actual approved acquisition price of small banks, the return received by small bank investors from the time of organization through acquisition is determined. For small banks organized after 1972 and acquired from 1980 and through 1988, yearly mean rates of return ranged from 23.07 percent to 10.49 percent. Generally, these returns exceed S&P …

Factors Affecting New Firm Success And Their Use In Venture Capital Financing, Timothy Bates, William D. Bradford

Using a nationwide sample of 14,424 new firms, we find that attractive human capital traits at business entry for entrepreneurs include high educational attainment, owners who lie in the middle of—as opposed to the tails of—the age distribution, and family business background. Attractive firm traits are purchase of an existing firm rather than starting a firm de novo, and larger amounts of starting capital. Recent research has found that certain ethnic minorities are differentially restricted from obtaining commercial bank financing. Our statistical tests indicate that when we control for differences in human capital and firm traits, the venture capital market …

Option Introduction And Liquidity Changes In The Otc/Nasdaq Equity Market, Rich Fortin, Judy Maese
The Journal of Entrepreneurial Finance
This paper examines the impact of option listing in the NASDAQ equity market on the bid-ask spread of the underlying stock. We find that both the market adjusted percentage and dollar spreads decrease with option listing, which is consistent with a value enhancing impact of derivative security introduction.

On Excess Compensation Earned By Underwriters In Firm Commitment Initial Public Offerings Of Common Stock: An Empirical Analysis, Daniel P. Klein, R. Corwin Grube, O. Maurice Joy
The Journal of Entrepreneurial Finance
This paper examines compensation for the underwriting activity in firm commitment initial public offerings (IPOs) of common stock in the U.S. When compensation for origination, management and marketing efforts are excluded from total underwriter compensation, we find that the portion of the total compensation assigned for the underwriting activity itself exceeds theoretical compensation only for issues that sell out very quickly. We interpret this finding as empirical evidence supporting the incentive for underwriters to underprice IPOs. Finally, we find excess compensation to underwriters is positively related to the riskiness of the IPO and negatively related to the degree of competition …

Reading Horizons: A Journal of Literacy and Language Arts
This article reports the findings from the second year of a three year study following four children from a prekindergarten Headstart program through first grade. Grounded in the developmental theories of Vygotsky (1986), who has asserted the importance of social interaction and language learning, and Halliday (1975), who has provided a sociolinguistic framework for children learning language in social functions that promote meaning in their lives, it is an attempt to document the impact of oral language on young children's reading and writing. The purpose of this project was to conduct a systematic inventory of rare plant species on the Pine Ridge District of the Nebraska National Forest. The objective of the inventory was to locate rare plant occurrences and compile information on their location, status and any possible threats. Four areas within the Pine Ridge District were identified as priority areas for the inventory fieldwork. The four tracts included the Soldier Creek Wilderness Area, a tract encompassing the East and West Ash Creek drainages, a middle unit tract, and a tract which straddles U.S. Highway 385 and encompasses a number of timber …

Identifiability Of Semiconductor Defects From Lbic Images, Weifu Fang, Kazufumi Ito

The identifiability of defects in a semiconductor from its laser-beam-induced current (LBIC) image is studied. It is shown that the LBIC technique is reliable for detecting any spatial defects in the semiconductor material. Continuous dependence of the current measurements on the spatial defects is proved, and sensitivity is also discussed in certain cases.

The ultimate goal of the study was to improve the quality of life in a region where, in spite of rich natural resources, large numbers of people still live in poverty. The Project was to carry out a fundamental assessment of the Delta region, its people, its economy, its social system, its local government capacities, and its regional infrastructure. From the very first, the intent of the study was to go beyond a mere description of the Mississippi Delta; it was also to point toward courses of action that would lead to the improvement of the Delta region.

The Valuation Effects Of Private Placements Of Public Corporations' Common Stock, W. R. Mcdaniel Ii, William R. Mcdaniel Iii
The Journal of Entrepreneurial Finance
Outside shareholders should benefit when the firm issues common stock through a private placement. Our propositions are (1) that the private issue of common equity creates a value-maximizing insider that has the incentive and ability to monitor and discipline, and thereby reduce agency costs and (2) investors can reduce uncertainty about the value of thinly traded stock by observing the share price negotiated by the well-informed buyer. Both of these benefits are especially applicable to small firms. Our empirical evidence supports hypotheses based on these propositions.

Much work has been done in the last two decades to estimate the determinants of bankruptcy of large firms. Very little work appears to have been attempted in the area of small firm bankruptcy. This paper goes some way to remedy the deficiency by estimating conditional logistic probability regressions for small firm bankruptcy on a recently constructed U.K. accounts database.

Small Business Capital Structure Choice, Jacques A. Schnabel

A simple single-period model of entrepreneurial capital structure choice under conditions of informational asymmetry is developed. The uncertain terminal cash flow generated by a business venture is assumed to depend on both the amount of effort provided by the entrepreneur and the quality of the business venture. External financing induces the effort-averse entrepreneur to reduce the amount of effort he exerts. However, by astute choice of capital structure, the entrepreneur can mitigate this effect. It is shown that this entails financing high quality ventures with debt and low quality ventures with equity. This explains the predominance of debt in the …
