In the 2010 Berle Center Directors’ Academy Keynote Address, Chief Justice Veasey addresses “the federal and state contexts relating to the corporate-governance focus on business risk and the expectations laid at the doorstep of directors and officers of U.S. public companies.” Specifically, Chief Justice Veasey looks “at the governance landscape through both a federal regulatory lens and a state judicial lens as it relates to risk assessment and risk management.”

This Article grows out of my delight in seeing fellow law clerks break through the paper curtain and onto the pages of the Federal Reporter, the Federal Supplement, or some other compendium of judicial opinions. While my fascination with law clerks as the subjects rather than the instruments of judicial writing is probably not universal, I have selected the opinions I discuss in this Article with an eye toward entertaining—and maybe even instructing, if only slightly—the clerkigentsia and the judiciary. Private Litigation In A Public Law Sphere:The Standard Of Review In Investor-State Arbitrations, William W. Burke-White, Andreas Von Staden

International arbitration and, particularly, investor-state arbitration is rapidly shifting to include disputes of a public law nature. Yet, arbitral tribunals continue to apply standards of review derived from the private law origins of international arbitration, have not recognized the new public law context of these disputes, and have failed to develop a coherent jurisprudence with regard to the applicable standard for reviewing a state's public regulatory activities. This problematic approach is evidenced by a recent series of cases brought by foreign investors against Argentina challenging the economic recovery program launched after a massive financial collapse and has called into question …

A Constituição está acima de toda e qualquer outra manifestação jurídica, e, naturalmente, política. Por isso tem sido identificada, na pirâmide normativa (e jurídica em geral), com o vértice. Todo o Direito tem de estar de acordo com a Constituição. As normas, mesmo pretensamente constitucionais, que não respeitem a Constituição, são inconstitucionais e devem ser apagadas (quanto possível, pela natureza das coisas) da ordem jurídica. A Constituição é a norma das normas, base da estabilidade institucional e da continuidade política para além dos governos, que se vão sucedendo e a devem sempre cumprir. A Constituição contém um programa nacional comum. Quando esse programa não servir realmente, não se revê a Constituição. Faz-se uma revolução e virá por ela nova Constituição. Mas estamos contentes com a Constituição que temos. Ela serve-nos, com mudanças de pormenor, quando oportuno.

Why The Supreme Court Cares About Elites, Not The American People, Lawrence Baum, Neal Devins

Supreme Court Justices care more about the views of academics, journalists, and other elites than they do about public opinion. This is true of nearly all Justices and is especially true of swing Justices, who often cast the critical votes in the Court’s most visible decisions. In this Article, we will explain why we think this is so and, in so doing, challenge both the dominant political science models of judicial behavior and the significant work of Barry Friedman, Jeffrey Rosen, and others who link Supreme Court decision making to public opinion.

Antes de tudo, para haver saúde social e política, é preciso ter ideias claras. E elas não existem sem palavras apropriadas - uma lição de Confúcio a meditar. A alternativa é venerarmos apenas, acriticamente, os ídolos que passem na TV.
