Essay On Anti-Takeover Provisions And Corporate Spin-Offs, Wei Du

Despite the prevalent use of anti-takeover provisions (ATPs) based indices as measures of corporate governance quality, the role of ATPs (efficiency vs. entrenchment hypotheses), and their relationship to firm performance are not fully understood. Corporate spin-offs offer a unique opportunity to disentangle entrenchment motives from efficiency motives behind the adoption of ATPs. This setting also provides relatively clean inferences on the relation between ATPs and firm performance. This paper studies the design of ATPs in spun-off firms relative to their parents, the determinants of ATPs, and their relationship to subsequent firm performance. The current study is focusing on diffusion and adoption of new digital artifacts. The goal is to explore the social role of user-generated content (UGC) during the diffusion process of digital artifacts in the context of online social networks. The study spans a wide range of analytics methods and tools such as predictive modeling, latent sentiment analysis, data retrieval, and other tools of time-series analysis & visualization. The purpose of this study was to determine the perceptions of selected aspects of high fidelity simulation among students enrolled in a baccalaureate nursing program and the influence of these perceptions on students’ satisfaction and self-confidence in learning. In order to collect the necessary data, the Satisfaction and Self-confidence in Learning and Simulation Design Scale instruments were used. These instruments were completed by both sophomore and senior baccalaureate nursing students following simulation lab experiences. The primary purpose of this study was to determine the influence of financial knowledge and selected demographic characteristics on student retention from the second to the third year at a public research university in the southern region of the United States. The accessible population was defined as students in the Fall 2013 entering freshman cohort who were enrolled in the Spring 2015 semester. The primary purpose of this dissertation was to examine the criterion-related validity of all 16 LTSI General and Specific Scales in relation to training transfer. Using an ex-post facto design the researcher analyzed secondary data that included measures of key transfer system variables, as captured by the LTSI scales, and individual training transfer as indicated by supervisory ratings. The dataset comprised of employees from diverse organizations who had participated in different types of organizational instructor-led classroom training programs. This descriptive correlational study sought to measure the development of leadership life skills and the perceptions of youth-adult relationships by youth serving on the Louisiana 4-H State Leadership Boards. Members of the 2013-2014 Louisiana 4-H State Leadership Boards (N = 99) served as the population for the study. Overall, 4-H members who served on the Louisiana 4-H State Leadership Boards perceived they gained “a lot” of leadership life skills from their board involvement. Board members reported high levels of youth involvement, adult involvement, and youth-adult interaction. Does the inflow of remittances affect the quality of institutions in the recipient countries? This question is important because economists have stressed that good economic institutions, particularly those in the public sector, are instrumental for economic development and growth. The literature on remittances, however, does not document a thorough analysis and compelling evidence of the relationship between these private financial transfers and institutional quality. Unlike other kinds of international capital flows, remittances inflows are not mediated by the government of recipient countries. This study investigates how CEO managerial ability affects investment quality, investment efficiency, and the value of cash. Specifically, I examine whether higher managerial ability is associated with higher M&A quality, more efficient capital investments, and higher value of cash. Investment decision-making and implementation can signal a CEO’s managerial ability (Stein 2003), and shareholders assign more value to the cash of those firms with high ability CEOs. Thus, I predict that more able CEOs conduct higher quality M&A and make more efficient capital investment decisions. I also propose that the value of cash is higher for firms with more able CEOs. …

This dissertation studies institutional investment in U.S. bank holding companies (BHCs). The first essay examines institutional investing preferences in U.S. banks and the impact of expansion of bank power on the preferences. Institutional investors prefer BHCs that hold more liquid assets, are better capitalized and larger in size, have better loan quality, lower stock return volatility and less derivative trading. In addition, the expansion of bank power is welcomed by various types of institutional investors, except for long-term institutions. Group and individual evaluations are systematic, as the restaurant industry is characterized by high labor intensiveness that typically involves substantial social interactions and task interdependence. Offshoring audit tasks is becoming common among international accounting firms. Although tasks currently performed offshore require preparers to exercise little or no professional judgment, firms are poised to expand the volume and scope of procedures performed offshore. While critics argue that offshoring results in reduced audit quality, advocates maintain that offshored procedures are reviewed and supervised by U.S. auditors, and that offshoring may actually improve audit quality. However, little is known about how offshoring impacts reviewers and the review process.
