Legal Academia's White Gaze, Renee Nicole Allen
Legal Academia's White Gaze, Renee Nicole Allen
Faculty Publications
For Black law faculty, Blackness, the Black experience, and Black legal and social identity are not trends. Yet, there are inflection points where legal scholarship about race, particularly Blackness, is in vogue. The most recent rise in such legal scholarship came in the aftermath of George Floyd’s murder and the worldwide Black Lives Matter protests in 2020. When antiracist sentiment is high, the regard for scholarship central to the personhood of Black legal scholars is high. Even then, there is an expectation that Black authors write in ways that conform to the White norms of legal scholarship. Though central to …
Shortcomings Of Law School And Big Law, Julian Velasco
Shortcomings Of Law School And Big Law, Julian Velasco
Journal Articles
This paper, presented as part of a colloquium on Lawyers and Their Institutions, considers two important institutions — law schools and "big law," especially transaction practice at elite law firms — and argues that they exert a problematic influence on developing attorneys by inculcating opposing types of disrespect for the law. First, the process of legal education often suggests that the law is fundamentally indeterminate. Second, big law tends to suggest to junior associates that law is largely irrelevant. Such misunderstandings can result in a misconception of the purpose of law and give a false impression of the lawyer's …

Law Faculty Publications
Since our first iteration of the Guide to Virginia Legal Information Resources in March 2023, the Guide has been distributed far and wide. It has been made available on public library websites (for example it was featured as a bullet point on the website of the Bristol Public Library and uploaded to the website of the Waynesboro Public Library). It has been cataloged by academic libraries (for example, the University of Virginia Library has an entry in its online catalog) and has been included in LibGuides at academic law libraries (there is a link to the Guide in the Virginia …

Voting Matters: Materiality Considerations And The Shareholder Vote, Renee M. Jones
Voting Matters: Materiality Considerations And The Shareholder Vote, Renee M. Jones
Seattle University Law Review
For the shareholder franchise to have meaning, shareholders must have access to relevant information to inform their voting decisions. The securities laws’ disclosure requirements play an essential role in informing the shareholder vote.
This Essay focuses on the question of the materiality of information in the context of shareholder voting. It addresses the question of whether ESG-related information is material, positioning the materiality inquiry within the context of shareholders’ voting decisions. It explores the definition of materiality with a focus on the “reasonable investor” concept embedded within the definition. The Essay argues that the implicit expectations of many commentators that …

Understanding The Big Three’S Wavering Support Of Environmental And Social Shareholder Proposals, Jeff Schwartz, Jefferson Jensen
Understanding The Big Three’S Wavering Support Of Environmental And Social Shareholder Proposals, Jeff Schwartz, Jefferson Jensen
Seattle University Law Review
Because of their substantial equity portfolios, BlackRock, Vanguard, and State Street (the Big 3) are central players in corporate governance. It is, therefore, critical to understand how they vote. One puzzle is that their support for shareholder proposals on environmental and social matters appears to waiver. In 2020, for instance, BlackRock supported 11.1% of environmental proposals at S&P 500 firms. In 2021, it seemingly reversed course, supporting 55.2%. It then flipped again, supporting 32.1% in 2022. Such statistics suggest that the Big 3 are constantly changing their views on these topics. This Article seeks to better understand whether this is …

Bar Examination: A Verb, Not A Noun, Marsha Griggs
Bar Examination: A Verb, Not A Noun, Marsha Griggs
All Faculty Scholarship
The legal profession, long steeped in tradition, is witnessing a transformative shift in the protocols for licensing new attorneys. Multiple jurisdictions are moving away from reliance on standardized testing as the sole gateway to law practice and are developing individualized (and potentially reciprocal) systems of state licensure. Ironically, the planned launch of a new standardized exam—the NextGen bar exam—appears to be a major catalyst in the transformation of state licensure pathways. This shift has the potential to realign the regulatory hierarchy in attorney admission. Such a realignment is vital to the preservation of lawyer self-governance, and it offers great promise …
Law, Conflict, And Hybrid Warfare: A Teaching Imperative For A Changing World, Cynthia Alkon, Andrea K. Schneider
Law, Conflict, And Hybrid Warfare: A Teaching Imperative For A Changing World, Cynthia Alkon, Andrea K. Schneider
Articles
Lawyers increasingly find themselves at the frontlines of the battlefield, just not in the traditional sense. Hybrid warfare is a conflict form that combines traditional military offensive measures with nontraditional methods, including the harnessing of legal systems to achieve strategic goals. Lawyers have always been at the frontline of typical legal risk assessment, thinking about a client's risk of liability or regulation costs generally. Now, lawyers must stand at the ready for a lot more: lawyers must be prepared for cyber-attacks, disinformation campaigns using artificial intelligence, the use of court systems to suppress reporting or shield bad actors, and so …

A 2016 study of 13,000 lawyers conducted by American Bar Association Commission on Lawyer Assistance Programs and the Hazelden Betty Ford Foundation found that approximately 28 percent struggle with depression, 19 percent anxiety and 23 percent stress.12 The study found “younger lawyers in the first ten years of practice and those working in private firms experience the highest rates of problem drinking and depression.”13 At least one study suggests that 40-70 percent of disciplinary proceedings and malpractice claims against lawyers involve substance abuse or depression.
According to a 2016 Survey of Law Student Well-Being including over 3,300 law …

Until the last decade, gender inequality in the legal profession was selfevident. Law school classrooms and law firm offices were overwhelmingly filled with men. In recent years, women have outnumbered men in law school classes and reached parity with men among first-year associates. These developments have created the misperception that gender equality has been achieved. In this Article, we challenge this complacency. We present new evidence from a detailed case study of law firms in a midsize city, showing that women remain underrepresented in leadership roles and underpaid relative to their colleagues. We then show how the limited opportunities and …

Developing A Professional Identity: Lessons For Women, Bipoc, And First-Generation Law Students From The Canaries In The Coalmines, Christine M. Venter
Developing A Professional Identity: Lessons For Women, Bipoc, And First-Generation Law Students From The Canaries In The Coalmines, Christine M. Venter
Michigan Journal of Gender & Law
This Article explores the concept of professional identity formation in the law, particularly as it pertains to women and lawyers of color. The topic of professional identity formation is an understudied area in legal education, despite the ABA’s new Standard 303(b)(3), which requires law schools to provide substantial opportunities for the development of professional identity. In the legal field, professional identity is often conflated with professionalism, which leads to confusion about how law schools should best prepare their students for their professional lives, and fails to fully equip students to join the profession.
Studies from other professions have shown that …

Book Review: Transformative Negotiation: Strategies For Everyday Change And Equitable Futures, Peter R. Reilly
Faculty Scholarship
This volume makes an immense contribution to the field of negotiation and to dispute resolution more generally. The book covers a vast amount of ground, effectively connecting theory to practice and harnessing large amounts of research to support its arguments and advice. Perhaps most importantly, this reviewer found reading the book to be—as the title suggests—a transformative experience.
Reshaping Intellectual Property Scholarship From Within, Peter K. Yu
Reshaping Intellectual Property Scholarship From Within, Peter K. Yu
Faculty Scholarship
Written for the Symposium collecting papers from the Race + IP 23 Conference, this article explores intellectual property scholarship that has been either overlooked or marginalized. Because scholars of color are often outsiders looking in, the article identifies opportunities to reshape intellectual property scholarship from within. Even though the focus of this article was chosen with readers of this Symposium in mind, its insights will be relevant to all scholars.
This article begins by calling on scholars to develop a deeper appreciation of the intrinsic motivations of authors and inventors. It then discusses the oft-overlooked inequalities of creativity and innovation …
