The rise of financialized capitalism as a component of the neoliberal state has resulted in our debt-based economy, under which utilizing credit—and incurring significant debt—is a necessary strategy for individuals and families to avoid economic marginality and to maintain some semblance of financial security in an evaporated welfare state. The current capitalist logic of differential accumulation and financial expropriation has created perpetually indebted citizens for whom debt needs to be understood as a social power and as a class relation of domination and exploitation between creditors and debtors. Recently, Congress has debated measures to provide some relief to taxpayers negatively impacted by the Internal Revenue Code’s State and Local Tax (SALT) deductibility limit. Although Congress has not yet budged on whether to adjust this cap, many states have taken it upon themselves to find creative workarounds to provide relief for their constituent taxpayers. In the face of an uncertain future for the current SALT cap, crucial questions exist for these state workarounds and those still to come. Regulation Of Football Agents In Europe: A Comparative Law And Economics Analysis, William Bull, Michael Faure

The structure of this contribution is as follows. First, we provide a theoretical framework concerning the need to regulate football agents and the appropriate instruments. Second, we present the evolution of the regulation at the international level of FIFA. This is followed by our examination of the regulatory framework in a few selected European jurisdictions. Lastly, Section V provides a critical comparative analysis, and Section VI concludes.

Fair Value As Process: A Retrospective Reconsideration Of Delaware Appraisal, William Wilson Bratton

This Article reconsiders the jurisprudence of fair value under Delaware's appraisal remedy, placing recent cases in historical perspective and offering a novel account. Its central observation is that appraisal has developed into a process jurisprudence rather than jurisprudence devoted to the articulation of an entitlement. As such it defies expectations and excites the wrath of academic commentators looking for a more conventional, rights-based evolution. There is a nominal entitlement: the cases at all times announce that shareholder dissenters may pursue going concern value (as opposed to third party sale value) as the measure of fair value. The People’s Republic of China is a leading experimenter in central bank digital currencies (CBDCs). This Article explores the current background, deployment, features, potential impacts, challenges, and legal concerns of China’s CBDC: the electronic yuan, or E-CNY. This Article explains the potential significance of what is known and not known about E-CNY with a particular focus on how E-CNY might fit into existing legal and economic systems, both within China and internationally. Whether the activities of lawyers might hamper economic growth has been hotly contested over the past three decades. Contradictory conclusions have flowed from evidence that typically has focused on the impact of lawyers on the growth rates of countries. Disputes over definitions and samples that vary among countries have colored portions of these debates. We surmount many of these issues by adopting a 50-state panel covering the period 2005-2018 for the United States and by utilizing widely accepted variables regarding economic activity and who is considered a lawyer. Amid ongoing economic reforms, Cuba faces its most severe crisis since the 1990s Soviet Union collapse. Transitioning into a service-oriented economy, it grapples with inefficiencies, a feeble production base, and a struggling external sector. Traditionally reliant on sugar, Cuba now depends on international tourism and professional services for hard currency. However, these lack domestic production ties, limiting economic impact. There are various efforts underway to increase gender diversity on corporate boards, including legislation in California, a recent SEC approved comply or explain rule for companies listed on the Nasdaq stock exchange, and efforts by institutional investors such as State Street and BlackRock to recognize the value diversity brings to corporate decisionmaking. Although some of these efforts are being contested in the courts, many companies have begun to comply with these initiatives.

On New Year’s Eve night, 2019, sixteen-year-old Selena Shelley Faye Not Afraid attended a party in Billings, Montana, about fifty miles west of her home in Hardin, Montana, near the Crow Reservation. Whereas emergencies used to be the exception to the rule, they now seem to be the norm. Wildfires, hurricanes, flooding, and contagious diseases dominate our daily lives. Although these are not the traditional types of military emergencies of our past, these non-wartime emergencies can trigger some of the same emergency powers. And with their use comes some of the same concerns about abuses of such emergency powers. Much ink has been spilled analyzing the tradeoffs associated with necessary emergency powers and frequent abuses in the context of foreign threats—resulting in reduced privacy, civil liberties, and freedoms.

Technology companies such as Facebook have long been criticized for abusing customers’ personal information and monetizing user data in a manner contrary to customer expectations. Some commentators suggest fiduciary law could be used to restrict how these companies use their customers’ data.1 Under this framework, a new member of the fiduciary family called the “information fiduciary” was born. #MeToo’s initial virtual explosion in the fall of 2017 was very much about Hollywood, with famous actresses speaking out against famous producers, media moguls and celebrities, exposing the ubiquity of sexual harassment and sexual violence in and around the entertainment industry. Since then, #MeToo has made its way into Hollywood representations without much irony. Films and television shows have explicitly taken up the #MeToo themes, exploring issues of sexual harassment and violence and its afterlives. The empirical literature on perception and memory consistently demonstrates the pitfalls of eyewitness identifications. Exoneration data lend external validity to these studies. With the goal of informing law enforcement officers, prosecutors, criminal defense attorneys, judges, and judicial law clerks about what they can do to reduce wrongful convictions based on misidentifications, this Article presents a synthesis of the scientific knowledge relevant to how perception and memory affect the (un)reliability of eyewitness identifications. This essay makes three claims. First, that the central role of race in international economic law has been erased and much more needs to be done to recover its large footprints in the discipline as well as in the policies and practices that constitute it. Second, that rules of international economic law formally embed racially constructed hierarchies, such as those that subordinate the status of former and current colonies. Trademarks are increasingly valuable assets, and some companies aggressively enforce and protect these assets. Such aggressive tactics can harm small businesses and chill creativity and speech, but trademark owners are routinely told that the law requires them to stop all similar third-party trademark usage or risk abandonment of their rights. While prior scholarship has discussed how the risk of trademark abandonment is quite low, incentives built into trademark law still push companies to court. The Supreme Court in Nestlé v. Doe held that foreign plaintiffs who claimed to be victims of overseas tortious conduct by corporate defendants had no jurisdiction to sue in federal courts using the Alien Tort Statute. This Comment looks at the history of the Alien Tort Statute, from its inspiration, long dormancy, and recent reinvigoration beginning in the 1980s. The Comment then explores the background of Nestlé and its issues with child slavery in its cocoa supply chain. From there, the Comment analyzes the Nestlé v. Intellectual property is understood to have an economic rationale: supplying incentives for innovation and for the creation and dissemination of knowledge and information. In the modern era, questions of how best to accomplish this have been explored with reference to economic efficiency and other concepts from microeconomics. But why not macroeconomics? In the microeconomic view, the intangibles of innovation, knowledge, and information are ordinary economic goods, albeit ones whose easy reproducibility leads to special problems. In the macroeconomic view, however, innovation, knowledge, and information are extraordinary goods with special virtues. Indeed, modern macroeconomics puts these intangibles at the center of …

Unemployment rates soared when COVID-19 hit the U.S. While pandemic relief programs allowed millions to meet their basic needs, a new problem emerged: overpayments. Overpayments occur when state agencies give claimants benefits they were not entitled to. While most claimants were not at fault for these mistakes, millions are now expected to repay benefits they spent months ago. Thus far, the U.S. has prioritized fraud detection over this overpayment crisis. This misguided effort is representative of the destructive, individualistic American welfare culture at large. Judges For Sale: The Effect Of Campaign Contributions On State Criminal Courts, Arturo Romero Yáñez, Neel U. Sukhatme

Do campaign contributions impact democratic processes? Using donation data from Texas, we show that criminal defense attorneys who contribute to a district judge’s electoral campaign are preferentially assigned by that judge to indigent defense cases, i.e., public contracts in which the state pays private attorneys to represent poor defendants.
We estimate that attorney donors receive twice as many cases as non-donors during the month of their campaign contribution. Nearly two-thirds of this increase is explained by the contribution itself, with the remainder attributable to shared preferences within attorney-judge pairs, such as those based on professional, ideological, political, or personal ties. …

This Essay considers the allocation of state authority to enforce the legal obligations particular to charities and their leaders among state officials, including attorneys general, judges, and legislators, and private parties. It first describes the existing allocation. It then reviews the most common criticisms of this allocation, which primarily focus on two concerns: politicization and lack of sufficient enforcement. Finally, it evaluates the most notable proposals for reallocating this authority, including the reallocation of this authority in part to private parties.

การลงทุนในหุ้น เป็นหนึ่งในวิธีการลงทุนที่ได้รับความนิยมสูง เนื่องจากเป็นสินทรัพย์ที่ซื้อง่ายขายคล่องและมักได้รับผลตอบแทนในระดับที่น่าพึงพอใจ ในการลงทุนใดๆ ทุกคนย่อมคาดหวังกำไรจากการลงทุนเป็นปกติ แต่ในหลายๆสถานการณ์ การขาดทุนก็เป็นสิ่งที่ไม่สามารถหลีกเลี่ยงได้ อย่างไรก็ตาม หากพิจารณาถึงหลักเกณฑ์ในการจัดเก็บภาษีจากการขายหุ้นในประเทศไทยในปัจจุบัน บุคคลธรรมดาอาจต้องเสียภาษีมากกว่าความมั่งคั่งที่เกิดขึ้นจริง เอกัตศึกษาฉบับนี้ มีวัตถุประสงค์เพื่อศึกษาหลักเกณฑ์ในการจัดเก็บภาษีเงินได้จากการขายหุ้นสำหรับการขายหุ้นที่อยู่ในตลาดหลักทรัพย์และนอกตลาดหลักทรัพย์ในกรณีที่มีผลขาดทุนของบุคคลธรรมดาตามกฎหมายไทย ศึกษาหลักเกณฑ์ในการจัดเก็บภาษีเงินได้จากการขายหุ้นในกรณีที่มีผลขาดทุนของบุคคลธรรมดาตามกฎหมายต่างประเทศและแนวทางในการนำผลขาดทุนมาหักลบผลกำไร วิเคราะห์ปัญหาและเสนอแนะแนวทางที่เหมาะสมสำหรับประเทศไทยในกำหนดแนวทางในการนำผลขาดทุนมาหักลบผลกำไรในการจัดเก็บภาษีจากการขายหุ้น จากการศึกษาเปรียบเทียบ พบว่าประเทศไทยไม่อนุญาตให้บุคคลธรรมดานำผลขาดทุนมาหักลบออกจากผลกำไรได้ ในขณะที่ประเทศสหรัฐอเมริกาและประเทศญี่ปุ่นกำหนดให้บุคคลธรรมดาสามารถนำผลขาดทุนที่เกิดขึ้นมาหักลบออกจากผลกำไรได้ อีกทั้งยังมีการกำหนดหลักเกณฑ์ในการนำผลขาดทุนสะสมไปปีถัดไปและข้อห้ามในการนำผลขาดทุนมาหักลบกำไรบางประการ ผู้เขียนจึงมีข้อเสนอแนะว่า ประเทศไทยควรพิจารณาปรับแก้กฎหมายภาษีเกี่ยวกับการกำหนดหลักเกณฑ์ในการจัดเก็บภาษีเงินได้จากการขายหุ้นในกรณีที่มีผลขาดทุนสำหรับการขายหุ้นที่อยู่ในตลาดหลักทรัพย์และนอกตลาดหลักทรัพย์ ให้สามารถนำผลขาดทุนที่เกิดขึ้นมาหักลบออกจากผลกำไรและนำผลขาดทุนสะสมไปปีถัดไปได้โดยมีหลักเกณฑ์ที่แตกต่างกันไประหว่างหุ้นสองประเภท แต่เพื่อไม่ให้เกิดการใช้ประโยชน์จากการนำผลขาดทุนมาหักลบผลกำไรในทางที่ผิด จึงควรพิจารณาถึงข้อห้ามในการนำผลขาดทุนมาหักลบผลกำไร ตลอดจนอำนาจในการตรวจสอบและประเมินโทษปรับของเจ้าหน้าที่ เพื่อให้เกิดความเป็นธรรมและสอดคล้องกับความมั่งคั่งที่เกิดขึ้นจริง

เอกัตศึกษาฉบับนี้ ได้ทำการศึกษาผลกระทบของข้อจำกัดการกู้ยืมเงินของกองทรัสต์อสังหาริมทรัพย์ในประเทศไทย เฉพาะในบทบัญญัติ ข้อ 14 ของประกาศคณะกรรมการกำกับตลาดทุน (กตท.) ที่ ทจ.49/2555 เรื่อง การออกและเสนอขายหน่วยทรัสต์ของทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์ สำหรับกรณีศึกษาถึงผลกระทบต่อการดำเนินกิจการของกองทรัสต์ SHREIT ในช่วงที่เกิดวิกฤตการแพร่ระบาดของโรค Covid-19 ซึ่งทำให้หลักเกณฑ์การกู้ยืมเงินสำหรับกองทรัสต์ที่บังคับใช้ในปัจจุบันเป็นอุปสรรคต่อการบริหารจัดการกองทรัสต์ ผู้ศึกษาได้นำเอาหลักการและแนวคิดทางกฎหมาย ความเป็นมาของทรัสต์ที่มีจุดเริ่มต้นจากระบบคอมมอนลอว์ (Common law) ของประเทศอังกฤษ ความเป็นมาของทรัสต์และทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์ในประเทศไทย รวมถึงความเป็นมาของหลักเกณฑ์ข้อจำกัดการกู้ยืมเงินของกองทรัสต์ และได้นำหลักการความรู้ทางการเงินที่เกี่ยวข้อง เช่น หลักการบริหารความเสี่ยง เครื่องมือชี้วัดทางการเงิน หลักการจัดอันดับความน่าเชื่อถือ (Credit Rating) เป็นต้น เพื่อนำมาบูรณาการให้มีความสอดคล้องกับหลักเกณฑ์ทางกฎหมายที่ใช้บังคับกับกองทรัสต์ นอกจากนี้ ผู้ศึกษาได้รวบรวมข้อมูลที่เกี่ยวข้องกับข้อจำกัดของการกู้ยืมเงินจากต่างประเทศ ซึ่งมีรายละเอียดในบทที่ 3 ทั้งหมด 10 ประเทศ จาก 4 ภูมิภาค ได้แก่ กลุ่มภูมิภาคในแถบยุโรป ภูมิภาคเอเชียแปซิฟิก กลุ่มภูมิภาคแอฟริกาและตะวันออกกลาง และภูมิภาคอเมริกา และได้นำหลักเกณฑ์ของต่างประเทศที่ทำการศึกษานั้น มาพิจารณาเพื่อจำแนกหลักเกณฑ์การกู้ยืมเงินของประเทศและพบว่าหลักเกณฑ์การกู้ยืมเงินประกอบด้วย 4 หลักเกณฑ์ที่แตกต่างกัน ซึ่งผู้ศึกษาได้นำหลักเกณฑ์ที่จำแนกมาใช้เพื่อเป็นหลักในการวิเคราะห์ในบทที่ 4 ต่อไป ทั้งนี้ ผู้ศึกษาได้วิเคราะห์ถึงประเด็นปัญหาของข้อจำกัดการกู้ยืมเงินของกองทรัสต์ในปัจจุบัน และวิเคราะห์ถึงต้นทุน-ผลประโยชน์ (Cost-Benefit Analysis) ของหลักเกณฑ์จากต่างประเทศแต่ละรูปแบบ เพื่อให้สามารถพิจารณาในประเด็นปัญหาและผลกระทบของหลักเกณฑ์ที่บังคับใช้ในปัจจุบันได้อย่างชัดเจน และนำข้อสังเกตของแต่ละหลักเกณฑ์จากต่างประเทศที่จำแนกไว้มาใช้ในการเทียบเคียงกับหลักเกณฑ์ของประเทศไทย เพื่อนำไปสู่แนวทางในการปรับปรุงหลักเกณฑ์การกู้ยืมเงินของกองทรัสต์ในประเทศไทย ให้มีความทันต่อยุคสมัย และเหมาะกับบริบทของประเทศไทย ตามวัตถุประสงค์และประโยชน์ที่จะได้รับของเอกัตศึกษาฉบับนี้ ดังนั้น ในบทที่ 5 ได้มีเนื้อหาเกี่ยวกับบทสรุปและข้อเสนอแนะในการปรับปรุงกฎหมาย โดยผู้ศึกษาจึงได้เสนอให้มีการแก้ไขปรับปรุงหลักเกณฑ์ของการกู้ยืมเงิน เนื่องจากหลักเกณฑ์ข้อจำกัดการกู้ยืมเงินของกองทรัสต์ในประเทศไทยที่มีความเข้มงวดและยังขาดความยืดหยุ่น โดยเสนอให้แก้ไขปรับปรุงหลักเกณฑ์ใน ข้อ 14 ของประกาศคณะกรรมการกำกับตลาดทุนที่ ทจ. 49/2555 เรื่อง การออกและเสนอขายหน่วยทรัสต์ของทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์

We rely upon a 50-state, 20-year panel to find that the number of Law School Admissions Test (LSAT) takers is only loosely related to economic conditions—although slightly more for men than for women, who in 2020 accounted for 58% of all LSAT takers. The number of test takers rose more than 35% between 2014 and 2020. This wave accentuated an already existing downtrend in the median real income of lawyers, and thus provides support for the hypothesis that most states have more lawyers than they need.

The COVID-19 pandemic led to acute supply shortages across the country as well as concerns over price increases amid surging demand. In the process, it reawakened a debate about whether and how to regulate “price gouging” — a controversy that continues as inflation has accelerated even as the pandemic abates. Animating this debate is a longstanding conflict between laissez-faire economics, which champions price fluctuations as a means to allocate scarce goods, and perceived norms of consumer fairness, which are thought to cut strongly against sharp price hikes amid shortages.
