Speech Inequality After Janus V. Afscme, Charlotte Garden

This Article explores the growing divide between the Roberts Court’s treatment of the free speech rights of wealthy individuals and corporations in campaign finance cases as compared to its treatment of the rights of public-sector labor unions and their members. First, it highlights some internal contradictions in the Janus Court’s analysis. Then, it discusses the growing—yet mostly ignored—divergence in the Court’s treatment of corporate and labor speakers with respect to the use of market influence to achieve political influence.

Distributive Justice And Rural America, Ann M. Eisenberg

Today’s discourse on struggling rural communities insists they are “dying” or “forgotten.” Many point to globalization and automation as the culprits that made livelihoods in agriculture, natural resource extraction, and manufacturing obsolete, fueling social problems such as the opioid crisis. This narrative fails to offer a path forward; the status quo is no one’s fault, and this “natural” rural death inspires mourning rather than resuscitation. This Article offers a more illuminating account of the rural story, told through the lens of distributive justice principles. The Article argues that rural communities have not just “died.” They were sacrificed. Specifically, distributive justice …

Occupational choice at the margin depends on both the incentives for entry and barriers to entry. The primary entry barrier determined by regulation is an occupational license. These are government laws determining the minimum qualifications to enter an occupation including education, testing, fees, and background checks. These regulations are currently enforced on 25% of the US labor market. The laws are crafted to protect consumers from unsafe goods and services but also have important consequences in labor market outcomes. The consequences may include fewer workers entering the profession, changes to which workers enter the profession, and altering competition, all of …

The Costs And Benefits Of Affordable Housing: A Partial Solution To The Conflict Of Competing Goods, Michael R. Diamond

In this Article, I extend a prior inquiry into the costs borne by society due to the lack of enough decent, affordable housing units. I previously outlined those costs and suggested a combination of public cost savings and public and private benefits that would accrue by providing that housing. I posited that the savings and benefits, in the aggregate, could at least substantially offset the costs and might even exceed them. If that is so, I queried, why has society not produced the needed units? In answering that question, I offered several possible responses: inadequate resources, racism, and public choice …

Labor, Trade, And Populism: How Ilo-Wto Collaboration Can Save The Global Economic Order, Sungjoon Cho, Cesar F. Rosado-Marzan

Populists are trying to take down the global economic order and its institutions. While some of those forces might be fueled by racism, they also play to legitimate social concerns that include massive plant closings and deindustrialization, inadequate skills programs, and lack of decent jobs. Some of these problems also concern the Global South, as workers there face exploitation, unhealthy working conditions, and other social ills caused by global capitalism. In light of these problems, this Article argues that the International Labor Organization (ILO) should design new conventions on lead firm liability and mass layoffs. The Sherman Act Is A No-Fault Monopolization Statute: A Textualist Demonstration, Robert H. Lande, Richard O. Zerbe

The drafters of the Sherman Act originally designed Section 2 to impose sanctions on all monopolies and attempts to monopolize, regardless whether the firm had engaged in anticompetitive conduct. This conclusion emerges from the first ever textualist analysis of the language in the statute, a form of interpretation originally performed only by Justice Scalia but now increasingly used by the Supreme Court, including in its recent Bostock decision.
Following Scalia’s methodology, this Article analyzes contemporaneous dictionaries, legal treatises, and cases and demonstrates that when the Sherman Act was passed, the word “monopolize” simply meant that someone had acquired a monopoly. …

The deterrence of copyright infringement and the evils of piracy have long been an axiomatic focus of both legislators and scholars. The conventional view is that infringement must be curbed and/or punished in order for copyright to fulfill its purported goals of incentivizing creation and ensuring access to works. This Essay proves this view false by demonstrating that some rightsholders don’t merely tolerate, but actually encourage infringement, both explicitly and implicitly, in a variety of different situations and for one common reason: they benefit from it. Copyright provides a long term of legal excludability, ostensibly to encourage the production of new creative works. How long this term should last, and the extent to which current law aligns with the economic incentives of copyright owners, has been the subject of vigorous theoretical debate. We investigate the economic viability of content in a major content industry—commercial music—using a novel longitudinal dataset of weekly sales and streaming counts. We find that the typical sound recording has an extremely short commercial half-life—on the order of months, rather than years or decades—but also see evidence that subscription streaming services are extending …

The conventional wisdom is that property rules induce more—and more efficient—contracting, and that when faced with rigid property rules, intellectual property owners will contract into more flexible liability rules. A series of recent, private copyright deals show some intellectual property owners doing just the opposite: faced with statutory liability rules, they are contracting for more protection than that dictated by law, something this Article calls “super-statutory contracting”—either by opting for a stronger, more tailored liability rule, or by contracting into property rule protection. In 2007, the economy crashed because of credit rating agency misconduct. Through the early 2000s, credit raters’ reckless pursuit of profits facilitated the enormous real estate and structured finance bubble that eventually burst in 2007. This Article examines the ratings industry and its institutions, their role in the crash, the regulation that led to their dominance in the markets, how that regulation changed in the wake of the economic crisis, and how they can be held liable today for present and future misconduct.

“Fintech” refers to a variety of digital assets, technologies, and infrastructure that deal with the operation of today’s financial markets. The regulation of this presents both legal and regulatory challenges. This article examines the regulatory responses to fintech disruption; specifically, the “experimentation” approach, the “incorporation” approach, and the “accommodation” approach. These approaches provide a baseline for further discussion and policy analysis in response to “Fintech.”

This article argues that there is a fundamental mismatch between the nature of finance and current approaches to financial regulation. Today’s financial system is a dynamic and complex ecosystem. For these and other reasons, policy makers and market actors regularly have only a fraction of the information that may be pertinent to decisions they are making. The processes governing financial regulation, however, implicitly assume a high degree of knowability, stability, and predictability. The law-and-economics movement has transformed the analysis of private law in the United States and, increasingly, around the world. As the field developed from 1970 to the early 2000s, scholars have developed countless insights about the operation and effects of law and legal institutions. Throughout this period, the discipline of law-and-economics has benefited from a partnership among trained economists and academic lawyers. Standard-form contracts are likely to be incomplete because they are not tailored to the needs of particular deals. In an attempt to reduce incompleteness, standard-form contracts often contain clauses with vague or ambiguous terms. Terms with indeterminate meaning present opportunities for strategic behavior well after a contract has been executed. This linguistic uncertainty in standard-form commercial contracts creates an opportunity for “contractual arbitrage”: parties may argue ex post that the uncertainties in expression mean something that the contracting parties did not contemplate ex ante. Legal scholars, historians, and social scientists have long puzzled over how England-with its apparently irrational common-law system-gave birth to the Industrial Revolution. One prominent solution has been to suggest that eighteenth-century merchants used arbitration and other forms of private ordering to sidestep England's defective legal system. This Article questions that story by offering a new account of how and why extralegal commercial arbitration declined in the early years of the Industrial Revolution. Until the middle of the eighteenth century, merchants could generally resolve their disputes without courts or lawyers. But that changed as new forms of lending arose, credit transactions …

Over the past two decades, a few dozen lawyers have come to dominate practice before the U.S. Supreme Court. By many accounts, these elite lawyers—whose clients are often among the largest corporations in the world—have spurred the Court to hear more cases that businesses care about and to decide those cases in favor of their clients. Advancing technologies are increasingly able to fully or partially automate job tasks. These technologies range from robotics to machine learning and other forms of artificial intelligence, and are being adopted across many sectors of the economy. Applications range from selecting job applicants for interviewing, picking orders in a warehouse, interpreting X-rays to diagnose disease, and automated customer service. These developments have raised concern that workers are being displaced by advancing automation technology. ปัจจุบันธนาคารในประเทศไทย ได้มีการให้บริการผลิตภัณฑ์ด้านสินเชื่อให้แก่ลูกหนี้ในหลากหลายประเภท ไม่ว่าจะเป็นสินเชื่อภายในประเทศ เช่น ตั๋วสัญญาใช้เงิน (Promissory Notes: PN) หรือสินเชื่อสำหรับการเข้าทำธุรกรรมระหว่างประเทศ เช่น สินเชื่อเพื่อการนำเข้าและส่งออก (Trade Finance) รวมไปถึงการให้บริการการออกหนังสือค้ำประกันต่างประเทศ (Standby Letter of Credit: SBLC) โดยการให้บริการออกหนังสือค้ำประกันต่างประเทศ หรือ Standby Letter of Credit (“SBLC”) ของธนาคารนั้น มีวัตถุประสงค์สำหรับกรณีที่ลูกหนี้จะเข้าทำนิติกรรมสัญญากับบุคคลอื่น ไม่วาจะเป็นสัญญาการดำเนินงาน หรือสัญญาที่มีข้อผูกพันต้องชำระเงินต่างๆ โดยคู่สัญญาอีกฝ่ายนั้นจะมีความเสี่ยงจากการที่ลูกหนี้จะไม่สามารถปฏิบัติตามสัญญาได้อย่างครบถ้วน และก่อให้เกิดความเสียหาย เช่น ไม่สามารถปฎิบัติหรือส่งมอบงานได้ตามกำหนดเวลา หรือไม่สามารถชำระเงินได้ครบตามที่กำหนดไว้ เป็นต้น เพื่อป้องกันความเสี่ยงดังกล่าวคู่สัญญาอีกฝ่ายจึงได้มีข้อกำหนดให้ลูกหนี้ต้องนำหนังสือค้ำประกันที่ออกโดยธนาคารวางเข้าค้ำประกันสำหรับการดำเนินงาน หรือการเข้าทำสัญญาต่างๆ ดังนั้นลูกหนี้จึงมีคำขอออกหนังสือค้ำประกันมายังธนาคารที่ตนมีวงเงินสินเชื่ออยู่ เพื่อให้ธนาคารออกหนังสือค้ำประกันต่างประเทศและเข้าไปผูกพันตนในฐานะผู้ค้ำประกันให้แก่ลูกหนี้บนสัญญาประธานต่างๆ ที่ลูกหนี้ได้เข้าทำนิติกรรมกับคู่สัญญาอีกฝ่าย ต่อมาหากลูกหนี้ไม่สามารถปฎิบัติตามสัญญาประธานดังกล่าวได้ คู่สัญญาอีกฝ่ายในฐานะผู้รับผลประโยชน์มีสิทธิที่จะเรียกร้องให้ธนาคารชำระหนี้แทนตามจำนวนเงินที่ระบุในหนังสือค้ำประกันต่างประเทศแต่ละฉบับ ดังนั้นการที่ธนาคารเข้าผูกพันตนในฐานะผู้ค้ำประกันผ่านการออกหนังสือค้ำประกันต่างประเทศ จะเป็นการสร้างความมั่นใจแก่ผู้รับผลประโยชน์ว่าหากลูกหนี้ไม่ชำระหนี้แล้วก็จะสามารถเรียกให้ธนาคารชำระหนี้แทนได้ และธนาคารก็มีสิทธิที่จะมาไล่เบี้ยเอาจากลูกหนี้ตามในภายหลังได้ ทั้งนี้หากลูกหนี้ตามสัญญาสินเชื่อของธนาคารเข้าสู่กระบวนการฟื้นฟูกิจการ และอยู่ในสภาวะการพักชำระหนี้ (Automatic Stay) ตามพระราชบัญญัติล้มละลาย พ.ศ. 2483 (แก้ไขเพิ่มเติม พ.ศ. 2541) มาตรา 90/12 คำสั่งสภาวะการพักชำระหนี้ตามบทบัญญัติกฎหมายดังกล่าวไม่ได้มีผลไปถึงคู่สัญญาที่อยู่ในต่างประเทศ ดังนั้นปัญหาที่เกิดขึ้นในปัจจุบันคือหากลูกหนี้ได้มีการเข้าทำสัญญาที่มีข้อผูกพันต้องชำระเงินแก่เจ้าหนี้ต่างประเทศ โดยสัญญาดังกล่าวถูกค้ำประกันโดยหนังสือค้ำประกันต่างประเทศที่ออกจากธนาคารในประเทศไทย ต่อมาหากลูกหนี้ผิดนัดชำระหนี้ตามสัญญาประธาน เจ้าหนี้ต่างประเทศยังคงบังคับชำระหนี้ดังกล่าวผ่านการเรียกร้องให้ชำระหนี้ใต้ความผูกพันตามหนังสือค้ำประกันต่างประเทศที่ธนาคารได้มีการออกเพื่อค้ำประกันไว้ ซึ่งโดยทั่วไปธนาคารมีหน้าที่ที่จะต้องชำระทันทีโดยไม่ต้องพิสูจน์ความผิดของลูกหนี้ โดยปัจจุบันเกิดปัญหาขึ้นว่าธนาคารสามารถมาไล่เบี้ยกับลูกหนี้ขณะที่ลูกหนี้อยู่ในกระบวนการฟื้นฟูกิจการได้อย่างไร และกรณีที่ลูกหนี้ได้มีการมอบหลักประกันเป็นการจดทะเบียนทางธุรกิจหลักประกันบัญชีเงินฝากไว้ ธนาคารสามารถบังคับหลักประกันดังกล่าวเพื่อมาชำระหนี้ได้ทันทีหรือไม่ หรือจะต้องมีการยื่นขอรับชำระหนี้ตามกระบวนการฟื้นฟูกิจการ และรอรับชำระหนี้ตามแผนของลูกหนี้ในภายหลัง ซึ่งธนาคารในฐานะเป็นเจ้าหนี้ที่มีหลักประกันอาจจะไม่ได้รับชำระหนี้ตามที่ควรจะเป็นซึ่งจะขึ้นอยู่กับแผนฟื้นฟูกิจการที่ผู้นำแผนจะนำส่งต่อเจ้าพนักงานพิทักษ์ทรัพย์และจะต้องเป็นไปตามความเห็นชอบของเจ้าหนี้ทั้งหมด จากประเด็นปัญหาที่กล่าวมาข้างต้น จะเห็นว่าคำสั่งสภาวะการพักชำระหนี้ตามพระราชบัญญัติล้มละลาย พ.ศ. 2483 (แก้ไขเพิ่มเติม พ.ศ. 2541) ยังไม่สามารถระงับการบังคับชำระหนี้จากเจ้าหนี้ประเทศได้ อันส่งผลให้เกิดความเสียหายและความเสี่ยงต่อธนาคารในฐานะที่เป็นผู้ค้ำประกัน รวมถึงตัวลูกหนี้เองที่อาจจะไม่สามารถเข้าสู่กระบวนการฟิ้นฟูได้อย่างมีประสิทธิภาพ ดังนั้นจึงควรศึกษาถึงบทบัญญัติของกฎหมายไทยที่จะเข้ามาคุ้มครองลูกหนี้และธนาคารจากการเรียกรับชำระหนี้ของเจ้าหนี้ต่างประเทศระหว่างที่ลูกหนี้อยู่ในระหว่างกระบวนการฟื้นฟูกิจการ

การศึกษาเรื่องการกำกับดูแลการให้สินเชื่อเพื่อที่อยู่อาศัยของธนาคารพาณิชย์: กรณีศึกษา มาตรการ LTV (Loan to Value Ratio) มีวัตถุประสงค์เพื่อ (1) ศึกษาสาระสำคัญของประกาศธนาคาร แห่งประเทศไทยที่ สนส.24/2561 และประกาศธนาคารแห่งประเทศไทย ที่ สนส.1/2563 เรื่อง หลักเกณฑ์การกํากับดูแลสินเชื่อเพื่อที่อยู่อาศัยและสินเชื่ออื่นที่เกี่ยวเนื่องกับสินเชื่อเพื่อที่อยู่อาศัย ลง วันที่ 11 ธันวาคม 2561 และลงวันที่ 20 มกราคม 2563 ตามลําดับ (2) ศึกษาวิเคราะห์ผลกระทบของ ประกาศธนาคารแห่งประเทศไทย ที่ สนส.24/2561 และประกาศธนาคารแห่งประเทศไทย ที่ สนส. 1/2563 เรื่องหลักเกณฑ์การกํากับดูแลสินเชื่อเพื่อที่อยู่อาศัย และสินเชื่ออื่นที่เกี่ยวเนื่องกับสินเชื่อเพื่อที่ อยู่อาศัย ที่ส่งผลต่อการตัดสินใจปล่อยสินเชื่อเพื่อที่อยู่อาศัยของสถาบันการเงินให้กับลูกค้ารายย่อย (3) ศึกษาถึงรูปแบบของการกํากับดูแลจากหน่วยงานภาครัฐ ในการกํากับดูแลการให้สินเชื่อเพื่อที่อยู่ อาศัยและสินเชื่ออื่นที่เกี่ยวเนื่องกับสินเชื่อเพื่อที่อยู่อาศัยของสถาบันการเงิน และ (4) นําเสนอ ข้อเสนอแนะ และแนวทางที่เป็นประโยชน์ต่อประเทศไทย สําหรับการดูแลการให้สินเชื่อเพื่อที่อยู่อาศัย และสินเชื่ออื่นที่เกี่ยวเนื่องกับสินเชื่อเพื่อที่อยู่อาศัยของสถาบันการเงิน การศึกษานี้เป็นการศึกษาค้นคว้าเชิงเอกสาร โดยการรวบรวมข้อมูลและเอกสารที่เกี่ยวข้อง หลากหลายประเภททั้งภาษาไทยและภาษาต่างประเทศ เพื่อนำมาศึกษาวิเคราะห์สาระสำคัญของ ประกาศธนาคารแห่งประเทศไทยเกี่ยวกับเกณฑ์การกำกับดูแลสินเชื่อเพื่อที่อยู่อาศัยที่ส่งผลต่อการตัดสินใจ ปล่อยสินเชื่อเพื่อที่อยู่อาศัยของสถาบันการเงินให้แก่ลูกค้ารายย่อย โดยวิธีการใช้มาตรการ (Loan to Value Ratio: LTV) ของประเทศไทย เปรียบเทียบกับประเทศมาเลเซีย และวิเคราะห์เชิงเปรียบเทียบกรณีการกํากับ ดูแลการให้สินเชื่อเพื่อที่อยู่อาศัยของธนาคารพาณิชย์ ผลการศึกษา พบว่า หลังจากธนาคารแห่งประเทศไทยได้ปรับมาตรการ LTV ซึ่งมีผลบังคับใช้ ตั้งแต่วันที่ 1 เมษายน 2562 พบว่าสัญญาณการเก็งกําไร และความไม่สมดุลในตลาดอสังหาริมทรัพย์ปรับ ลดลงสอดคล้องกับเจตนารมณ์ของมาตรการ ในขณะที่ราคาที่อยู่อาศัยโดยเฉพาะอาคารชุดมีแนวโน้มปรับ ลดลงและผู้ประกอบการเริ่มชะลอการเปิดโครงการใหม่ อย่างไรก็ดี ผู้ประกอบการอสังหาริมทรัพย์ โดยเฉพาะอาคารชุดในพื้นที่ซึ่งได้รับผลกระทบจากการชะลอตัวของอุปสงค์ต่างชาติ และมีอุปทานคงค้าง อยู่ในระดับสูงตั้งแต่ก่อนการประกาศใช้มาตรการ LTV อาจต้องใช้เวลานานขึ้นในการปรับตัว จึงยังต้อง ติดตามการปรับตัวของภาคอสังหาริมทรัพย์อย่างต่อเนื่องเพื่อให้สอดคล้องกับอุปสงค์ที่เปลี่ยนแปลงใน อนาคตต่อไป อันมีรายละเอียดสำคัญ คือ การปรับตัวของภาคอสังหาริมทรัพย์หลังการปรับมาตรการและ การประเมินประสิทธิผลของมาตรการ LTV ช่วงปี 2560-2561 ของภาคอสังหาริมทรัพย์ของไทยพบว่า …

ในประเทศไทยและต่างประเทศมีการก่อตั้งการระดมทุนหรือทรัพย์สินร่วมกันระหว่างกลุ่มจัดตั้งนั้นๆ หรือระหว่างกลุ่มหลายกลุ่มด้วยกัน โดยมีกองทรัพย์สินซึ่งอาจมีได้ทั้งการจัดตั้งกองทรัพย์สินประเภทสังหาริมทรัพย์หรืออสังหาริมทรัพย์ และมีการตกลงกันระหว่างกลุ่มที่จัดตั้งนั้นว่าจะแบ่งหน้าที่ให้ใครเป็นผู้ดูแลหรือจัดการทรัพย์สินนั้นๆ ที่สามารถก่อให้เกิดประโยชน์และการนำมาซึ่งผลประโยชน์จากการจัดตั้งกองทรัพย์สินนั้น และนำผลประโยชน์ที่ได้จากการจัดตั้งมาแบ่งปันให้แก่ผู้รับผลประโยชน์ ซึ่งการดำเนินการรูปแบบนี้มีมาอย่างยาวนานทั้งในประเทศไทยและต่างประเทศ โดยมีการเรียกชื่อว่า "กองรีท (REIT : Real Estate Investment Trust)" หรือ "กองทรัสต์ (Trust)" คือ การจัดการทรัพย์สินรูปแบบหนึ่ง ที่ไม่ใช่นิติบุคคลมีวัตถุประสงค์ในการจัดการทรัพย์สินเป็นกองทรัพย์สินที่ลงทุนในอสังหาริมทรัพย์ มีลักษณะเป็นกองทรัสต์ตามพระราชบัญญัติทรัสต์เพื่อธุรกรรมในตลาดทุน พ.ศ. 2550 กองทรัสต์ประกอบด้วย 3 องค์ประกอบ คือ ผู้ก่อตั้งทรัสต์ (Settlor) ผู้จัดการกองทรัพย์สินหรือทรัสตี (Trustee) และผู้รับผลประโยชน์ (Beneficiary) ซึ่งโดยทั่วไปการจัดตั้งทรัสต์มักได้รับการยอมรับในประเทศที่ใช้ระบบกฎหมายคอมมอนลอว์ (Common Law) เช่น อังกฤษ สหรัฐอเมริกา แต่ในบางประเทศที่ใช้ระบบกฎหมายซีวิลลอว์ (Civil Law) เช่น เยอรมัน ฝรั่งศส และญี่ปุ่น ได้มีการยอมรับให้มีการจัดตั้งทรัสต์เพื่อการจัดการทรัพย์สินเช่นกัน แม้จะได้มีการกำหนดรูปแบบการจัดตั้งทรัสต์ตามที่กฎหมายกำหนด มีการจัดการและการดำเนินการทรัสต์เพื่อให้เป็นไปตามที่กฎหมายกำหนดก็ตาม แต่ในทางการปฏิบัติการทางด้านภาษียังคงมีประเด็นปัญหาอันเกิดจากการบริหารจัดการกองทรัสต์อย่างต่อเนื่อง โดยประเด็นปัญหาเกี่ยวกับภาระภาษีของทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์และผู้ถือหน่วยทรัสต์ มีดังต่อไปนี้ ปัญหาภาษีในการจัดตั้งทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์ เมื่อมีกรณีก่อตั้งกองทรัสต์ขึ้นมาจะต้องเสียภาษีอย่างไรบ้าง เนื่องจากมีส่วนที่เกี่ยวข้องกับกองทรัสต์ถึง 3 ฝ่าย คือ ผู้ก่อตั้งหรือผู้จัดการกองทรัสต์ ทรัสตี และผู้รับผลประโยชน์ และยังมีกองทรัพย์สินจากการก่อตั้งทรัสต์ ซึ่งเมื่อมีการก่อตั้งทรัสต์ขึ้นก็จะต้องมีการดำเนินการทางกฎหมายให้ถูกต้อง ตั้งแต่ขั้นตอนการขออนุญาตจากเจ้าหน้าที่ที่มีอำนาจในการควบคุมและดูแลเกี่ยวกับการดำเนินการประเภทนี้ และยังมีการโอนกรรมสิทธิ์ในทรัพย์สินอันเป็นปัจจัยในการก่อตั้งทรัสต์ให้แก่ทรัสตี ซึ่งการโอนกรรมสิทธิ์ การจัดตั้งทรัสต์นี้ ในสรรพากรแต่ละพื้นที่ยังมีการปฏิบัติที่แตกต่างกันส่งผลให้มีการเสียภาษีที่ถูกต้องแล้วหรือไม่ หรืออาจส่งผลให้การปฏิบัติในการเสียภาษีในการจัดตั้งทรัสต์ไม่ถูกต้องตามที่ควรซึ่งอาจเป็นผลเสียหายต่อประเทศได้เช่นกันอันเป็นผลมาจากยังไม่มีแนวทางปฏิบัติที่เหมาะสม ปัญหาภาษีในการเลิกกองทรัสต์เพื่อการลงทุนในอสังหาริมทรัพย์ กรณีเลิกกองทรัสต์และอยู่ระหว่างการชำระบัญชี ต่อมาเมื่อกองทรัสต์จ่ายเงินคืนให้แก่ผู้ถือหน่วยทรัสต์ ในทางปฏิบัติผู้ถือหน่วยทรัสต์มักจะเรียกร้องให้ผู้จัดการกองทรัสต์แจกแจงถึงเงินที่จ่ายว่าเป็นเงินส่วนแบ่งกำไรหรือเป็นเงินจ่ายคืนทุนเพื่อที่ผู้ถือหน่วยทรัสต์จะนำไปแยกยื่นภาษีอากร โดยเทียบเคียงกับการเสียภาษีจากกรณีได้รับเงินบริษัทหรือห้างหุ้นส่วนนิติบุคคลทั่วไป ในทางภาษีอากร ถือเป็นเงินได้พึงประเมินตามมาตรา 40 (4)(ฉ) แห่งประมวลรัษฎากร ซึ่งเรียกว่า "ผลประโยชน์ที่ได้จากการที่บริษัทหรือห้างหุ้นส่วนนิติบุคคลเลิกกัน ซึ่งตีราคาเป็นเงินได้เกินกว่าเงินทุน" ผู้ชำระบัญชีจะจัดการคืนให้พร้อมกับเงินทุน ซึ่งจะได้รับคืนภายหลังที่จ่ายชำระหนี้ให้แก่เจ้าหนี้ไปหมดสิ้นแล้ว จะส่งผลต่อการคำนวณภาษีประจำปีและภาษีเงินได้หัก ณ ที่จ่ายของผู้ถือหน่วยทรัสต์ ซึ่งในทางปฏิบัติทางกองทรัสต์จำเป็นต้องแบ่งแยกให้ผู้ถือหน่วยหรือไม่ หรือเป็นหน้าที่ของบุคคลธรรมดาในการเสียภาษีประจำปี ด้วยที่มาและความสำคัญของปัญหาดังกล่าวมาแล้ว ทำให้ผู้วิจัยต้องการทราบแนวทางการจัดการที่ถูกต้องและเป็นไปตามกฎหมายที่รองรับการจัดตั้งทรัสต์ โดยเปรียบเทียบกับการดำเนินการกองทรัสต์ในต่างประเทศ โดยทำการศึกษาเปรียบเทียบกับประเทศญี่ปุ่น สิงคโปร์และอังกฤษเพื่อทราบทิศทางและการปฏิบัติการด้านภาษีเกี่ยวกับการจัดตั้งและเลิกทรัสต์เพื่อลงทุนในอสังหาริมทรัพย์เพื่อให้มีการปฏิบัติอย่างถูกต้องเหมาะสม มีบรรทัดฐานเดียวกัน ซึ่งจะส่งผลให้การชำระภาษีเงินได้บุคคลธรรมดาหรือภาษีเงินได้นิติบุคคลถูกต้องไปด้วย ทั้งนี้เพราะกองทรัสต์มิได้มีสถานะเป็นนิติบุคคลด้วย

Around the world, subnational and national regulatory sandboxes are being adopted in an effort to promote fintech innovation. These regulatory sandboxes seek to achieve this by rolling back some of the consumer protection and prudential regulations that would otherwise apply to the firms trialing their financial products and services in the sandbox. While sacrificing such protections in order to promote innovation is problematic, such sacrifice may nonetheless be justifiable if, by working with innovators in the sandbox, regulators are educated about new technologies in a way that enhances their ability to effectively promote consumer protection and financial stability in other …

Faced with new technologies that confound existing financial regulatory structures, regulators around the world have been experimenting with new approaches to regulating fintech. The most prominent of these experiments have been innovator-focused programs that provide guidance (and in the case of regulatory sandboxes, regulatory relief) to private sector firms, in order to help them navigate a confusing thicket of financial regulation that might otherwise impede their innovation.
