Attorney–client privilege is one of the most important aspects of our legal system. It is one of the oldest privileges in American law and is codified both at the national and state level. Applying to both individual persons and corporations, this expanded privilege covers a wide breadth of clients. However, this broad privilege can sometimes become blurred in relationships between the corporation and the individuals it serves. Specifically, insurance companies and those they cover have complex relationships, as the insurer possesses a quasi-fiduciary relationship in relation to the insured. Response To Oliar And Stern: On Duration, The Idea/Expression Dichotomy, And Time, Wendy J. Gordon

Courts often use possession to determine who should own unclaimed resources. Yet, as Oliar and Stern demonstrate, the concept of possession is little more than a metaphor, capable of being applied to a broad range of phenomena. The authors helpfully deploy “time” as a metric to sort through the rules determining what should count as possession, and they survey the likely costs and benefits attached to choosing earlier versus later events as triggers for acquiring title.

In "Consentability," Nancy Kim tackles an important and current topic—in an age of increasing options about how to live, die, and procreate, what limits, if any, should the law place on those choices? "Consentability" is a valuable resource for scholars and policymakers alike, summarizing the arguments for and against government intrusion on the choices of consenting adults with encyclopedic thoroughness. After weighing the arguments, Kim proposes that “bodily integrity exchanges” be permitted, subject to limitations. A much-debated question in contract law scholarship is what the optimal measure of damages for breach should be. The casebook answer-drawing from the theory of efficient breach-is expectation damages. This standard answer, which was a major contribution of the law and economics field, has come under attack by theoreticians within that field itself. To shed an empirical perspective on the question, we look at data on the types of damages provisions parties contract/or themselves in international debt contracts. Both corporate theory and sex discrimination law start with presumptions that CEOs seek to advance legitimate ends and design the internal organization of business enterprises to achieve such ends. Yet, a growing literature questions why CEOs and boards of directors nonetheless select for Machiavellianism, narcissism, psychopathy, and toxic masculinity, despite the downsides associated with these traits. Three scholarly literatures—economics, criminology, and gender theory—draw on advances in psychology to shed new light on the construction of seemingly dysfunctional corporate cultures. Coffee, the world’s favorite beverage, provides livelihoods for at least 60 million people across dozens of countries. Yet this beloved drink is experiencing a sustainability crisis. A sustained decline in world coffee prices has squeezed coffee producers, and thrown a tremendous number of producers below the global extreme poverty line of US$1.90 per day. This briefing note presents our research into sustainability within the coffee sector, including the results of our analytical and empirical modeling, and provides several recommendations.

For-Profit Managers As Public Fiduciaries: A Neo-Classical Republican Perspective, Rob Atkinson

This Article examines the fiduciary duties of for-profit managers in modern liberal society. To arrive at the right "mix" of these duties, it compares the fiduciary duties implied by a standard descriptive model of our society with two competing normative models: Lockean libertarianism on the "right" and neo-classical republicanism on the "left." This comparison shows that all three versions of liberalism, even the one with a Lockean nightwatchman state, require far more extensive duties than we now expect, including a professionalization of management itself. ในสภาวะเศรษฐกิจและสังคมของประเทศในปัจจุบัน ทำให้ผู้เช่าซื้อรถยนต์จำนวนไม่น้อยไม่ สามารถชำระหนี้ได้ภายในระยะเวลาที่กำหนด เมื่อลูกหนี้ผิดนัดชำระหนี้ค่างวดเช่าซื้อรถยนต์ ผู้ติดตาม ทวงหนี้โดยธนาคารหรือตัวแทนผู้ได้รับมอบอำนาจจากธนาคารจึงต้องติดตามทวงถามหนี้ แต่ยังมีลูกหนี้ที่ ได้รับความเดือดร้อนจากการติดตามทวงถามหนี้ที่ไม่เหมาะสมหรือกระทำการที่เกินกว่าเหตุ และมีการ ติดตามยึดรถยนต์ที่เช่าซื้อคืนในลักษณะที่ไม่ชอบด้วยกฎหมาย ซึ่งเป็นการกระทำที่ล้วนละเมิดสิทธิและ เสรีภาพของลูกหนี้ทั้งยังมีการเรียกเก็บค่าใช้จ่ายต่างๆ ในการติดตามทวงถามหนี้ในอัตราที่สูงเกินสมควร จากการศึกษาพบว่าประเทศไทยมีกฎหมายหลายฉบับที่เกี่ยวข้องกับการคุ้มครองผู้เช่าซื้อรถยนต์ จากการติดตามทวงถามหนี้ โดยมีประมวลกฎหมายแพ่งและพาณิชย์ บัญญัติให้ความคุ้มครอ งไว้เป็น หลักการทั่วไป และมีกฎหมายลำดับรองต่างๆ บัญญัติไว้ ทั้งพระราชบัญญัติคุ้มครองผู้บริโภค พ.ศ.2522 พระราชบัญญัติว่าด้วยข้อสัญญาที่ไม่เป็นธรรม พ.ศ.2540 และพระราชบัญญัติการทวงถามหนี้ พ.ศ.2558 รวมทั้งประกาศต่างๆ จากหน่วยงานที่เกี่ยวข้อง แต่ทั้งนี้บทบัญญัติที่ปรากฏอยู่ในกฎหมายฉบับต่างๆ ยัง ไม่เพียงพอกับการคุ้มครองผู้เช่าซื้อรถยนต์จากการติดตามทวงถามหนี้ และยังไม่ปรากฎว่ามีกฎหมายฉบับ ใดที่เข้ามากำหนดหลักเกณฑ์การคุ้มครองผู้เช่าซื้อรถยนต์โดยตรง ตั้งแต่การติดตามทวงถามหนี้เมื่อผิดนัด ชำระค่างวดเช่าซื้อ การติดตามและกลับเข้าครอบครองรถยนต์คืนจากผู้เช่าซื้อ และการเรียกเก็บค่าใช้จ่าย ต่างๆ จากการติดตามทวงถามหนี้ เมื่อเปรียบเทียบกับกฎหมายของประเทศสหรัฐอเมริกาพบว่ามีบทบัญญัติกฎหมายว่าด้วยวิธี ปฎิบัติในการติดตามทวงถามหนี้ไว้โดยเฉพาะ คือ The Fair Debt Collection Practices Act of 1977 มีเนื้อหาสาระการควบคุมการติดตามทวงหนี้ที่ชัดเจน ในส่วนผู้ที่ได้รับความคุ้มครอง ข้อปฏิบัติและข้อ ห้ามปฏิบัติในการติดตามทวงถามหนี้ และการควบคุมโดยคณะกรรมการ นอกจากนี้ประเทศสหรัฐอเมริกา ยังมีแนวปฏิบัติที่ชัดเจนในการยึดรถยนต์คันเช่าซื้อคืน รวมทั้งมีมาตรการให้ความช่วยเหลือลูกหนี้ในเรื่อง ของการเก็บค่าใช้จ่ายในการติดตามทวงถามหนี้ ผู้วิจัยจึงได้นำมาตรการในบางเรื่องมาประยุกต์ใช้และ เสนอแนะเพิ่มเติมในกฎหมายไทย เพื่อคุ้มครองผู้เช่าซื้อรถยนต์จากการติดตามทวงถามหนี้ ดังนั้น ผู้วิจัยจึงขอเสนอแนะให้มีการปรับปรุงแก้ไขเพิ่มเติมกฎหมายดังนี้ 1. พระราชบัญญัติการทวงถามหนี้ พ.ศ.2558 ให้พิจารณาปรับเวลาในการติดต่อทวงถามหนี้ โดย กำหนดให้ผู้ทวงถามหนี้ติดต่อทวงถามหนี้ได้ในวันธรรมดาและเสาร์อาทิตย์ เวลา 9.00-17.00 นาฬิกา เท่านั้น และห้ามทำการติดต่อทวงถามหนี้ในวันหยุดนักขัตฤกษ์ 2. ประกาศคณะกรรมการกำกับการทวงถามหนี้ ให้เพิ่มเติมประเด็นในเกี่ยวกับข้อปฏิบัติในการ ติดตามทวงถามหนี้ให้ชัดเจนยิ่งขึ้น ในเรื่องของการค้นหาข้อมูลลูกหนี้จากบุคคลอื่น มีการชะลอการ ติดตามทวงถามหนี้แบบชั่วคราว และการติดต่อสื่อสารในการติดตามทวงถามหนี้ ให้นำหลักเงื่อนไขการ รับรู้หรือมีเหตุอันควรรู้ของผู้ติดตามทวงถามหนี้มาปรับใช้ เพื่อให้เกิดความยืนหยุ่นและปฏิบัติได้จริง และ เพื่อหลีกเลี่ยงการละเมิดต่อสิทธิความเป็นส่วนตัวของลูกหนี้ นอกจากนี้ให้นำมาตรการการดำเนินคดีทั้ง ทางแพ่งและทางอาญามาบังคับใช้อย่างเข้มงวดและเด็ดขาดในการดำเนินคดี และเพิ่มเติมบทบัญญัติ เกี่ยวกับการใช้สิทธิเรียกร้องในส่วนค่าเสียหายทางจิตใจอย่างชัดเจน 3. ประกาศคณะกรรมการว่าด้วยสัญญา เรื่อง ธุรกิจให้เช่าซื้อรถยนต์และรถจักรยานยนต์เป็น ธุรกิจควบคุมสัญญา พ.ศ. 2561 …

เนื่องจากในระหว่างปี พ.ศ. 2563 ทั่วโลกได้เผชิญกับสถานการณ์โรคติดเชื้อไวรัสโคโรนา 2019 ที่ระบาดไปอย่างรวดเร็วอย่างที่ไม่สามารถคาดการณ์ได้ ทำให้ส่งผลกระทบทั้งต่อวิถีการ ดำรงชีวิตของผู้คนทั่วไป รวมไปถึงสภาพเศรฐกิจของแต่ละประเทศก็ได้รับกระทบเป็นอย่างมาก เช่นเดียวกัน ประเทศไทยก็เป็นประเทศหนึ่งที่ได้รับผลกระทบจากสถานการณ์โรคติดเชื้อไวรัสโคโรนา 2019 เป็นการอย่างมาก ทั้งในด้านการลงทุนจากในประเทศและนอกประเทศ การท่องเที่ยวที่ซบเซา ทำให้ระบบเศรษฐกิจมีแนวโน้มหยุดชะงักไม่สามารถเติบโตได้ตามเป้าหมายที่ตั้งไว้ โดยความเสียหาย จากสถานการณ์โรคติดเชื้อไวรัสโคโรนา 2019 ต่อเศรษฐกิจนั้นกระทบภาคธุรกิจหลายกิจการทั้งใน ส่วนของภาคบริการและการท่องเที่ยว ภาคอุตสาหกรรมที่มีการปิดตัวลง ทำให้เกิดการเลิกจ้างแรงงาน จะเห็นว่าจากผลกระทบในส่วนภาคธุรกิจและอุตสาหกรรมได้ลามมากระทบในส่วนของภาคประชาชน อย่างหลีกเลี่ยงไม่ได้ ทำให้ทางรัฐบาลจึงได้มีเร่งออกมาตรการช่วงเหลือต่างๆ ทั้งในส่วนของภาคธุรกิจ และภาคประชาชน เพื่อส่งเสริมการลงทุนในประเทศ ช่วยกระตุ้นเศรษฐกิจให้มีเม็ดเงินไหลเวียนใน ระบบเศรษฐกิจ รวมถึงเป็นการช่วยเหลือบรรเทาในภาคธุรกิจที่ได้รับผลกระทบให้สามารถดำเนิน กิจการต่อไปได้แต่อย่างไรก็ตาม จากสถานการณ์โรคติดเชื้อไวรัสโคโรนา 2019 ที่ยังคงมีการระบาด อย่างต่อเนื่องและทวีความรุนแรงมากขึ้นในปัจจุบัน และไม่มีสัญญาณว่าจะบรรเทาลงในเร็ววัน จึงได้ มีการศึกษามาตรการทางภาษีเงินได้ในการช่วยเหลือผู้ประกอบการในสถานการณ์โรคติดเชื้อไวรัสโคโร นา 2019 ของต่างประเทศ เพื่อหาแนวทางและหลักเกณฑ์ที่เหมาะสมนำมาประยุกต์ใช้ให้สอดคล้อง กับสถานการณ์เศรษฐกิจของประเทศไทยในปัจจุบัน เอกัตศึกษาเล่มนี้จัดทำขึ้นเพื่อศึกษามาตรการทางภาษีในการส่งเสริมการลงทุนของบริษัท และห้างหุ้นส่วนนิติบุคคลในสถานการณ์โรคติดเชื้อไวรัสโคโรนา 2019 ของประเทศไทย และศึกษา วิเคราะห์เปรียบเทียบมาตรการทางภาษีในการส่งเสริมการลงทุนในสถานการณ์โรคติดเชื้อไวรัสโคโร นา 2019 ของประเทศออสเตรเลียและเมียนมา เพื่อจะนำแนวทางมาตรการทางภาษีมาปรับ ประยุกต์ใช้ให้สอดคล้องกับสภาพเศรษฐกิจในสถานการณ์โรคติดเชื้อไวรัสโคโรนา 2019 ในปัจจุบัน โดยจากการศึกษาพบว่ามาตรการทางภาษีในการส่งเสริมการลงทุนของประเทศไทยยังมีบางมาตรการ ที่มีหลักเกณฑ์และเงื่อนไขการให้สิทธิประโยชน์ไม่ชัดเจน ให้สิทธิประโยชน์ในทรัพย์สินแค่บางประเภท บางกลุ่มธุรกิจ หรือให้สิทธิประโยชน์สำหรับการจ้างแรงงานเฉพาะธุรกิจขนาดเล็ก จาการกล่าวมาจึง จะเห็นได้ว่ามาตรการทางภาษีในการส่งเสริมการลงทุนของบริษัทและห้างหุ้นส่วนนิติบุคคลในสถานการณ์โรคติดเชื้อไวรัสโคโรนา 2019 ที่ประกาศใช้แล้วในประเทศไทยนั้น ยังไม่มีประสิทธิภาพ และความชัดเจนเพียงพอในการส่งเสริมการลงทุน รวมไปถึงไม่ได้มีการกระตุ้นเศรษฐกิจให้เติบโตมาก เท่าที่ควร ผู้เขียนจึงได้เสนอแนวทางมาตรการทางภาษีประเทศออสเตรเลียและประเทศเมียนมาบาง มาตรการมาปรับประยุกต์ใช้ในส่วนของการส่งเสริมการลงทุนเพื่อให้มาตรการดังกล่าวมีประสิทธิภาพ มากยิ่งขึ้น โดยมาตรการทางภาษีในการส่งเสริมการลงทุนในทรัพย์สินที่ควรจะส่งเสริมการลงทุนในทุก ประเภทของทรัพย์สินและทุกกลุ่มธุรกิจ รวมถึงการออกมาตรการส่งเสริมการลงทุนในทรัพย์สินและ การจ้างแรงงานที่สามารถให้ตัดรายจ่ายได้มากขึ้นในปีที่ธุรกิจประสบกับสภาพเศรษฐกิจในสถานการณ์ โรคติดเชื้อไวรัสโคโรนา 2019 นอกจากจะเป็นการช่วยส่งเสริมการลงทุนและการกระตุ้นเศรษฐกิจ แล้ว ยังเป็นการช่วยบรรเทาภาระภาษีและยังช่วยให้มีกระแสเงินสดหมุนเวียนในบริษัทมากขึ้นอีกด้วย เพื่อบริษัทหรือห้างหุ้นส่วนนั้น ๆ จะได้ดำเนินกิจการผ่านพ้นวิกฤติเศรษฐกิจนี้ไปได้

ในช่วงก่อนวิกฤติการณ์การแพร่ระบาดของโรคติดเชื้อไวรัสโคโรนา 2019 (Covid-19) อุตสาหกรรมท่องเที่ยวไทยมีการเติบโตและมีการพัฒนาอย่างรวดเร็ว มีจำนวนนักท่องเที่ยวต่างชาติโดยเฉลี่ยเพิ่มขึ้นถึง 2-3 ล้านคนต่อปี ส่งผลให้ในปี 2561 รายได้จากการท่องเที่ยวของไทยขยับขึ้นไปอยู่ในอันดับ 4 ของโลก และมีสัดส่วนของธุรกิจการท่องเที่ยวต่อผลิตภัณฑ์มวลรวมในประเทศ (GDP) สูงถึงร้อยละ 22 จนกระทั่งเกิดสถานการณ์การแพร่ระบาดของ Covid-19 ซึ่งเริ่มระบาดมาตั้งแต่ช่วงเดือนธันวาคม 2562 ส่งผลให้ภาครัฐจำเป็นต้องใช้มาตรการเพื่อป้องกันการแพร่กระจายของ Covid-19 คือ การจำกัดการเดินทางภายในประเทศและระหว่างประเทศ ลดการให้บริการขนส่งสาธารณะ และการใช้มาตรการรักษาระยะห่างทางสังคม (Social Distancing) ซึ่งมาตรการเหล่านี้ล้วนส่งผลกระทบต่ออุตสาหกรรมการท่องเที่ยวทั้งสิ้น ซึ่งเห็นได้ชัดเจนจากจำนวนนักท่องเที่ยว และรายได้จากนักท่องเที่ยว ทั้งชาวต่างชาติและชาวไทยที่เดินทางท่องเที่ยวในประเทศไทย ในช่วงเดือนมกราคม – ธันวาคม ปี 2563 ลดลงร้อยละ 55.39 และร้อยละ 70.95 ตามลำดับ เมื่อเทียบจากช่วงเวลาเดียวกันของปี 2562 ธุรกิจโรงแรมเป็นหนึ่งในอุตสาหกรรมการท่องเที่ยวที่ได้รับผลกระทบอย่างมาก จากการแพร่ระบาดของ Covid-19 โดยเฉพาะในจังหวัดซึ่งเป็นที่ได้รับความนิยมจากนักท่องเที่ยว เช่น เชียงใหม่ ภูเก็ต พังงา กระบี่และสุราษฎร์ธานี เป็นต้น และจะส่งผลอย่างรุนแรงต่อผู้ประกอบธุรกิจโรงแรมที่มีรายได้หลักมาจากการประกอบธุรกิจโรงแรมตามพระราชบัญญัติโรงแรม พ.ศ. 2547 ซึ่งไม่รวมถึง การประกอบธุรกิจสถานที่พักที่ไม่ใช่โรงแรม เช่น การเปิดฟาร์มสเตย์หรือโฮมสเตย์ เป็นต้น เนื่องจากสถานที่พักดังกล่าว มีวัตถุประสงค์หลักเพื่อใช้เป็นที่พักอาศัย และมีการประกอบธุรกิจให้บริการที่พักเพื่อหารายได้เสริมเท่านั้น ซึ่งเห็นได้ชัดเจนจากจำนวนผู้เข้าพักและอัตราการเข้าพัก ในโรงแรมในช่วงเดือนมกราคม – ธันวาคม ปี 2563 ลดลงร้อยละ 56.28 และร้อยละ 40.57 ตามลำดับ เมื่อเทียบจากช่วงเวลาเดียวกันของปี 2562 ส่งผลให้ผู้ประกอบธุรกิจโรงแรมมีรายได้จากค่าห้องพักลดลง ในขณะที่ยังคงต้องแบกรับต้นทุนค่าใช้จ่ายที่สูงเท่าเดิม ทั้งต้นทุนค่าใช้จ่ายในการจ้างพนักงานและค่าใช้จ่ายในบริหารงานอื่น ๆ ทำให้ผู้ประกอบธุรกิจโรงแรมขาดสภาพคล่อง มีเงินหมุนเวียนในธุรกิจลดน้อยลง และหากไม่สามารถปรับตัวได้ก็อาจส่งผลกระทบร้ายแรงถึงขั้นทำให้ธุรกิจโรงแรมต้องปิดตัวลง ที่ผ่านมาภาครัฐได้มีการออกมาตรการชั่วคราวทางภาษีเพื่อช่วยเหลือบริษัทหรือห้างหุ้นส่วนนิติบุคคลซึ่งเป็นผู้ประกอบธุรกิจโรงแรมตามกฎหมายว่าด้วยโรงแรม ได้แก่ มาตรการภาษีเพื่อสนับสนุนการปรับปรุงกิจการโรงแรมเพื่อให้ผู้ประกอบธุรกิจโรงแรมที่ต้องการพัฒนา ปรับปรุงต่อเติมหรือขยายกิจการของโรงแรม แต่ต้องไม่ใช่เป็นการซ่อมแซมให้คงสภาพเดิม สามารถนำรายจ่าย ที่เกี่ยวกับการปรับปรุงกิจการโรงแรมระหว่างวันที่ 1 มกราคม– 31 ธันวาคม 2563 มาใช้เป็นรายจ่ายของกิจการได้ 1.5 เท่าของรายจ่ายจริง …

เอกัตศึกษานี้มีวัตถุประสงค์เพื่อศึกษาการคุ้มครองสิทธิผู้บริโภคด้านการทำสัญญา ศึกษา กรณีธุรกิจขายห้องชุด เนื่องจากปัจจุบันที่อยู่อาศัยประเภทห้องชุดหรือคอนโดมิเนียมได้รับความนิยม เพิ่มมากขึ้น โดยมีสาเหตุมาจากการย้ายถิ่นที่อยู่อาศัยของประชาชนเพื่อเข้ามาทำงานและประกอบ อาชีพในเขตเมือง รวมถึงการเปลี่ยนแปลงรูปแบบค่านิยมการอยู่อาศัยของสังคมไทย เมื่อธุรกิจ ขายห้องชุดเติบโตมากขึ้น ผู้ประกอบธุรกิจก็รีบทำห้องชุดออกขาย และอาศัยความรู้ความเชี่ยวชาญ ในการทำสัญญาและอำนาจในการต่อรองจัดทำสัญญาสำเร็จรูปในการซื้อขายห้องชุดไว้ล่วงหน้า โดยกำหนดข้อสัญญาที่เอารัดเอาเปรียบผู้บริโภค ทำให้ผู้บริโภคซึ่งเป็นผู้ซื้อห้องชุดไม่ได้รับความเป็น ธรรมในการทำสัญญา อย่างไรก็ตาม แม้รัฐจะได้เข้าแทรกแซงและควบคุมการทำสัญญาในธุรกิจขาย ห้องชุด และได้กำหนดแบบสัญญาจะซื้อจะขายห้องชุด หรือแบบ อ.ช. 22 เอาไว้ แต่ก็ยังพบว่า มีประชาชนผู้ซื้อห้องชุด ซึ่งถือว่าอยู่ในฐานะผู้บริโภคเป็นจำนวนมากที่ไม่ได้รับความเป็นธรรม ในการทำสัญญาจะซื้อจะขายห้องชุดกับผู้ประกอบธุรกิจ ซึ่งพบว่ายังมีปัญหาการควบคุมและบังคับใช้ แบบสัญญามาตรฐาน ปัญหาหน่วนงานของรัฐในการกำกับดูแลการทำสัญญา และปัญหา มาตรการลงโทษ ซึ่งปัญหาดังกล่าวเกิดขึ้นเนื่องจากกฎหมายที่เกี่ยวข้องกับการคุ้มครองสิทธิผู้บริโภค ด้านการทำสัญญาในธุรกิจขายห้องชุดยังไม่เหมาะสม จึงท าให้ผู้บริโภคไม่ได้รับความเป็นธรรม ด้านการทำสัญญา จากการศึกษาพบว่า ในการำาสัญญาจะซื้อจะขายห้องชุดนั้น ตามประมวลกฎหมายแพ่งและ พาณิชย์มาตรา 456 วรรคสอง ไม่ได้ก าหนดให้ต้องท าต่อพนักงานเจ้าหน้าที่ ณ สำนักงานที่ดิน และยังไม่ได้กำหนดแบบของสัญญาจะซื้อจะขายเอาไว้ ทำให้ผู้ซื้อและผู้ขายสามารถตกลงทำ สัญญาจะซื้อจะขายห้องชุดกันได้เอง แม้ไม่ได้ท าต่อพนักงานเจ้าหน้าที่สัญญาดังกล่าวก็มีผลสมบูรณ์ ไม่ตกเป็นโมฆะ และพระราชบัญญัติอาคารชุด (ฉบับที ่ 4) พ.ศ. 2551 ซึ่งได้กำหนดไว้ว่า กรณีที่สัญญาจะซื้อจะขายไม่ทำตามแบบสัญญาที่รัฐมนตรีประกาศกำหนดและไม่เป็นคุณต่อผู้จะซื้อ ให้ถือว่าสัญญาส่วนนั้นไม่มีผลใช้บังคับ แต่หากข้อสัญญาเป็นคุณต่อผู้จะซื้อแม้ไม่ได้ทำตามแบบสัญญาก็ถือว่าสัญญา ส่วนนั้นมีผลใช้บังคับได้ จึงทำให้เกิดช่องว่างทางกฎหมายในการแก้ไขเปลี่ยนแปลง แบบของสัญญาได้ ทำให้ไม่สามารถควบคุมและบังคับใช้แบบสัญญาได้อย่างเด็ดขาดผู้ประกอบธุรกิจ จึงอาศัยช่องว่างทางกฎหมายดังกล่าวในการแก้ไขเพิ่มเติมข้อสัญญาที่เอาเปรียบและไม่เป็นคุณแก่ ผู้ซื้อ และยังหลีกเลี่ยง ไม่ใช้แบบสัญญามาตรฐานตามที่กฎหมายกำหนด ประกอบกับกรมที่ดินซึ่งเป็น หน่วยงานของรัฐที่มีอำนาจโดยตรงในการกำกับดูแลด้านสัญญาในธุรกิจขายห้องชุด และได้กำหนดให้ ใช้แบบสัญญาจะซื้อจะขายห้องชุด หรือแบบ อ.ช. 22 เอาไว้ แต่กลับไม่มีหน่วยงานโดยเฉพาะใน การควบคุมกำกับดูแลและตรวจสอบการท าสัญญาในธุรกิจซื้อขายห้องชุด และไม่มีพนักงานเจ้าหน้าที่ โดยเฉพาะในการตรวจสอบการทำสัญญา อีกทั้ง ยังไม่มีอำนาจในการฟ้องร้องดำเนินคดีต่อศาลแทน ผู้ซื้อ จึงทำให้ไม่สามารถควบคุมและบังคับใช้กฎหมายได้อย่างจริงจัง สำหรับในเรื่องมาตรการลงโทษ ในกรณีที่ผู้ประกอบธุรกิจได้ฝ่าฝืนไม่ใช้แบบสัญญาจะซื้อจะขายห้องชุด หรือแบบ อ.ช. 22 ตามที่กฎหมายกำหนดนั้น ตามพระราชบัญญัติอาคารชุด พ.ศ. 2522 มาตรา …

The U.S. Constitution divides authority over commerce between states and the national government. Passed in 1890, the Sherman Act (“the Act”) reflects this allocation of power, reaching only those harmful agreements that are “in restraint of . . . commerce among the several States.” This Article contends that the Supreme Court erred when it radically altered the balance between state and national power over trade restraints in 1948, abruptly abandoning decades of precedent recognizing exclusive state authority over most intrastate restraints. Federal law prohibits the possession and sale of marijuana. At the same time, states are not only decriminalizing marijuana but also attempting to provide a regulatory apparatus for its sale. This has created a unique business environ- ment. Debt presents a dilemma to societies: successful societies benefit from a substantial infrastructure of consumer, commercial, corporate, and sovereign debt but debt can cause substantial private and social harm. Pre- and post-crisis solutions have seesawed between subsidizing and restricting debt, between leveraging and deleveraging. A consensus exists among governments and international financial institutions that financial stability is the fundamental normative principle underlying financial regulation. In this Article, we propose that courts adopt an amended version of the consumer expectations test that we call the “specific consumer expectations test.” The specific consumer expectations test would apply to any product or product component for which consumers have clear, articulable ex ante expectations about the function of the product. The gradual establishment of an international mechanism to review and prosecute allegations of corruption could help to deter fraudulent conduct. Fraudulent conduct often reduces the economic benefits associated with large-scale development or investment projects. These projects are generally awarded through contract bidding; the bidding outcome may be dictated by bribery and other corrupt behaviors by local officials overseeing the project. The money earmarked for the project may in turn be siphoned off to the bribe recipients for private gain, leaving citizens unable to appreciate the fruits of any such project. Increasingly, however, consumers are resisting or rejecting such technological interventions based on inappropriate assignment of risk. In other words, the consumer assessment of risk is not in line with evidence-based assessment of risk. As early as the late 1980’s, William Wilson argued that widespread economic transitions had altered the socioeconomic structure of American inner cities to the detriment of African Americans. Wilson identified declines in manufacturing work and its replacement with poorly compensated service sector work as driving racial segregation and leaving African Americans jobless, poor and alienated from American society. These transitions were particularly problematic for African American men since manufacturing work was their primary gateway to middle-class employment while African American women had already focused more on service work.
