การประมวลผลข้อมูลส่วนบุคคลที่เป็นข้อมูลสาธารณะทางภาษีเพื่อวัตถุประสงค์ตามภารกิจของกรมสรรพากรดำเนินการโดยอาศัยฐานการประมวลผลโดยชอบด้วยกฎหมาย คือเป็นการจำเป็นเพื่อการดำเนินภารกิจของรัฐเป็นสำคัญ อย่างไรก็ตามปัจจุบันที่มีการนำข้อมูลจากฐานข้อมูลขนาดใหญ่ (Big Data) มาใช้ในการวิเคราะห์ข้อมูลทางด้านภาษี การริเริ่มใช้เครื่องมือเทคโนโลยีสารสนเทศในการเก็บรวบรวม ใช้ เปิดเผยข้อมูลส่วนบุคคลที่เป็นข้อมูลสาธารณะเพื่อเพิ่มประสิทธิภาพสนับสนุนการดำเนินกระบวนงานทางภาษีของกรมสรรพากรจึงเกิดเป็นมาตรฐานใหม่ในการคุ้มครองข้อมูลส่วนบุคล จากการศึกษาพบว่า มี 3 การดำเนินกระบวนงานหลักของกรมสรรพากร คือ การสำรวจและติดตามธุรกิจนอกระบบ การกำกับดูแลและตรวจสอบภาษีและงานกฎหมายและเร่งรัดภาษีอากรค้างที่สามารถนำข้อมูลส่วนบุคคลที่เป็นข้อมูลสาธารณะมาใช้ โดยการใช้เทคโนโลยีมาเป็นเครื่องมือในการประมวลผลข้อมูลส่วนบุคคลที่เป็นข้อมูลสาธารณะนั้นสามารถทำได้ เพื่อเป็นการแสดงให้เห็นว่าการใช้และการเปิดเผยข้อมูลส่วนบุคคลที่เป็นข้อมูลสาธารณะทางภาษีสามารถทำได้โดยสอดคล้องตามพระราชบัญญัติคุ้มครองข้อมูลส่วนบุคคล กรมสรรพากรควรกำหนดนโยบายเกี่ยวกับการใช้ข้อมูลสาธารณะทางภาษีตามหลักความชอบด้วยกฎหมาย ความเป็นธรรม และความโปร่งใส (Lawfulness Fairness and Transparency) และเพิ่มมาตรการในการเปิดเผยข้อมูลสาธารณะทางภาษีเพื่อให้สอดคล้องตามหลักความจำเป็นในการประมวลผลข้อมูล หรือหลักการใช้ข้อมูลให้น้อยที่สุด (Data minimization)

บทคัดย่อฉบับนี้มุ่งศึกษาผลกระทบต่อรายได้ของผู้ประกอบการซึ่งขายสินค้าออนไลน์ที่เกิดจากการ รายงานข้อมูลของบุคคลที่มีธุรกรรมลักษณะเฉพาะ เนื่องด้วยการค้าขายสินค้าออนไลน์หรือการค้าในธุรกิจ E- Commerce ในปัจจุบันได้รับความนิยมไปทั่วโลก ทำให้มีบุคคลธรรมดาเริ่มมีการขายสินค้าออนไลน์เพิ่มขึ้นทุกปี ประกอบกับการขายสินค้าออนไลน์จะมีรูปแบบการชำระเงินในรูปแบบการชำระเงินอิเล็กทรอนิกส์มากกว่าลักษณะเฉพาะในปีที่ล่วงมาแล้ว ผู้เขียนจึงได้ศึกษาผลกระทบที่เกิดขึ้นของผู้ประกอบการซึ่งขายสินค้าออนไลน์ที่เกิดจากการ รายงานข้อมูลของบุคคลที่มีธุรกรรมลักษณะเฉพาะ โดยการวิจัยครั้งที่เป็นวิจัยเชิงสำรวจ มีขอบเขตการวิจัยดังนี้ 1) ศึกษาจากกลุ่มตัวอย่างซึ่งเป็นผู้ประกอบการ 414 คน 2) เครื่องมือที่ใช้ในการทำการชำระเงินผ่านผู้ขายโดยตรง ซึ่งรูปแบบการชำระเงินอิเล็กทรอนิกส์ก็จะมีสถาบันการเงินเป็นตัวกลางในการชำระเงินระหว่างผู้ซื้อและผู้ขาย ประกอบกับตามที่ประมวลรัษฎากรได้มีการออกกฎหมายกำหนดให้สถาบันการเงินหรือผู้ให้บริการอิเล็กทรอนิกส์ตามกฎหมายเป็นผู้มีหน้าที่รายงานข้อมูลเกี่ยวกับบุคคลที่มธุรกรรมที่มีวิจัยคือแบบสอบถามในรูปแบบออนไลน์(google forms) 3)วิเคราะห์ข้อมูลโดยใช้สถิติเชิงบรรยายการแจกแจงความถี่ จำนวน ร้อยละ และเปรียบเทียบค่าคำตอบที่ได้โดยดูค่าความสัมพันธ์ ของตัวแปรที่เกี่ยวข้องกับผลกระทบ ผลวิจัยครั้งหลักเกณฑ์การจัดให้ผู้ให้บริการรายงานข้อมูลนั้นก็ยังครอบคลุมบุคคลได้น้อย ยังมีบุคคลอีกจำนวนมากที่เข้าหลักเกณฑ์มีหน้าที่เสียภาษีแต่ไม่ถูกรายงานและการรายงานข้อมูลก็ยังไม่อาจทราบได้ว่าเป็นผู้ประกอบการขายสินค้าออนไลน์บ้าง อีกทั้งยังมีตัวแปรอื่น ๆ ที่ส่งผลทำให้ผู้ประกอบการแม้ว่าไม่มีการเสียภาษี แต่ก็ไม่ได้รับหมายเรียกจากเจ้าพนักงานประเมิน ดังนั้นจึงสรุปได้ว่า รายงานข้อมูลของบุคคลที่มีธุรกรรมลักษณะเฉพาะ ไม่ส่งผลกระทบต่อรายได้ของผู้ประกอบการซึ่งขายสินค้าออนไลน์

บทบัญญัติความผิดเกี่ยวกับการหลีกเลี่ยง หรือพยายามหลีกเลี่ยงภาษีที่ในประเทศไทย ที่ยังมีการกำหนดอัตราโทษและอายุความที่นำมาปรับใช้ที่ไม่เหมาะสมกับการกระทำความผิด ในบางกรณี จึงทำให้บทบัญญัติที่นำมาใช้แก้ไขปัญหาการหลีกเลี่ยงหรือพยายามหลีกเลี่ยงภาษี ของไทยนั้นไม่สามารถบังคับใช้ได้อย่างแท้จริง จากการศึกษาพบว่า มาตรา 37 และมาตรา 37 ทวิ แห่งประมวลรัษฎากร ยังมีบางส่วน ของบทบัญญัติที่ก่อให้เกิดปัญหาในเรื่องของการดำเนินคดี โดยเฉพาะกับการกำหนดอัตราโทษ และการกำหนดอายุความการดำเนินคดีของทั้งสองมาตราที่ไม่เท่ากัน ทั้ง ๆ ที่ ลักษณะและความร้ายแรงของการกระทำความผิดจะคล้ายคลึงกัน จึงส่งผลทำให้ไม่สามารถนำตัวผู้หลีกเลี่ยงภาษีมาลงโทษได้อย่างที่ควรจะเป็น ดังนั้น จึงสมควรที่จะมีการแก้ไขเพิ่มเติม มาตรา 37 และมาตรา 37 ทวิ แห่งประมวลรัษฎากร ให้มีบทบัญญัติอัตราโทษและอายุความที่เหมาะสม

ปัจจุบันการคำนวณภาษีเงินได้นิติบุคคลของบริษัทประกันชีวิต ประมวลรัษฎากรมาตรา 65 ตรี (1) (ก) กำหนดให้บริษัทประกันชีวิตมีสิทธินำเงินสำรองประกันภัยสำหรับสำหรับสัญญาประกันภัยระยะยาวมาหักเป็นรายจ่ายของกิจการได้ไม่เกินร้อยละ 65 ของจำนวนเบี้ยประกันภัยรับสุทธิ และมาตรา 65 ตรี (1) (ข) กำหนดให้บริษัทประกันชีวิตมีสิทธินำเงินสำรองประกันภัยสำหรับสัญญาประกันภัยระยะสั้นมาหักเป็นรายจ่ายของกิจการได้ไม่เกินร้อยละ 40 ของจำนวนเบี้ยประกันภัยรับสุทธิ อย่างไรก็ดี ประกาศสำนักงานคณะกรรมการกำกับและส่งเสริมการประกอบธุรกิจประกันภัย เรื่อง หลักเกณฑ์ วิธีการ และเงื่อนไข ในการจัดสรร เบี้ยประกันภัยไว้เป็นเงินสำรองประกันภัย สำหรับกรมธรรม์ประกันภัยที่ยังมีความผูกพันอยู่และเงินสำรองอื่นของบริษัทประกันชีวิต พ.ศ. 2554 กำหนดให้บริษัทประกันชีวิตใช้วิธีการทางคณิตศาสตร์ประกันภัยใน การคำนวณมูลค่าเงินสำรองประกันภัย เพื่อวัตถุประสงค์ในการกำกับดูแลความมั่นคงทางการเงินของ บริษัทประกันชีวิต และเพื่อให้มั่นใจว่าบริษัทประกันชีวิตจะสามารถเงินเอาประกันภัยตามกรมธรรม์ประกันภัยให้แก่ผู้เอาประกันภัยได้อย่างครบถ้วน ความแตกต่างของหลักเกณฑ์วิธีการคำนวณเงินสำรองประกันภัยตามประมวลรัษฎากรกับ หลักคณิตศาสตร์ประกันภัย ส่งผลให้ในกรณีที่มูลค่าเงินสำรองประกันภัยที่คำนวณตามหลักการทางคณิตศาสตร์ประกันภัยมีมูลค่าสูงเกินกว่าอัตราที่ประมวลรัษฎากรกำหนด บริษัทประกันชีวิตจะจะต้องนำ เงินสำรองประกันภัยส่วนที่เกินดังกล่าวไปบวกกลับเป็นรายได้ของกิจการ ซึ่งส่งผลกระทบทำให้บริษัทประกันชีวิตต้องรับภาระภาษีสูงขึ้น ดังนั้น เพื่อแก้ไขปัญหาดังกล่าว จึงเสนอให้แก้ไขปรับปรุงหลักเกณฑ์วิธีการคำนวณ เงินสำรองประกันภัยตามประมวลรัษฎากรโดยอนุญาตให้บริษัทประกันชีวิตสามารถนำเงินสำรองประกันภัยที่คำนวณตามหลักการทางคณิตศาสตร์ประกันภัยมาหักเป็นรายจ่ายในการคำนวณกำไรสุทธิได้ทั้งจำนวน

เอกัตศึกษานี้ มีวัตถุประสงค์เพื่อศึกษาข้อมูลเกี่ยวกับกระบวนพิจารณาคดีทางออนไลน์ของประเทศไทยโดยเปรียบเทียบกับแนวทางประเมินองค์ประกอบทั้งสี่ด้านของรายงานวิจัย “Developing the Detail: Evaluating the Impact of Court Reform in England and Wales on Access to Justice,” อันได้แก่ (1) การเข้าถึงระบบกฎหมายที่เป็นทางการ (Access to the formal legal system) (2) การเข้าถึงการพิจารณาที่เป็นธรรมและมีประสิทธิภาพ (Access to a fair and effective hearing) (3) การเข้าถึงคำตัดสินที่เป็นไปตามกฎหมาย (Access to a decision in accordance with substantive law) (4) การเข้าถึงการเยียวยา (Access to remedy) ซึ่งองค์ประกอบทั้งสี่ด้านเหล่านี้ สามารถนำมาเป็นแนวทางในการประเมินการเข้าถึงความยุติธรรม (Access to Justice ) ของกระบวนพิจารณาคดีออนไลน์ได้ โดยจากการศึกษาข้อมูลเชิงสถิติและงานวิจัยที่เกี่ยวกับศาลออนไลน์ในประเทศไทยจากแหล่งต่าง ๆ เปรียบเทียบกับแนวทางการประเมินตามองค์ประกอบทั้งสี่ดังกล่าวพบว่า กระบวนพิจารณาคดีออนไลน์ของไทยยังคงขาดข้อมูลการประเมินที่ครบถ้วนในทุก ๆ ด้าน และในบางข้อมูลก็ไม่สามาถแสดงให้เห็นได้อย่างชัดเจนว่า กระบวนพิจารณาคดีออนไลน์ของไทยสามารถเข้าถึงความยุติธรรมได้อย่างมีประสิทธิภาพ ซึ่งอาจส่งผลให้กระบวนพิจารณาคดีออนไลน์กลายเป็นอุปสรรคต่อคู่ความในการเข้าถึงความยุติธรรมได้ ดังนั้น ในการปรับปรุงพัฒนากระบวนพิจารณาคดีออนไลน์ของไทยจึงควรมีการเก็บรวบรวมข้อมูลเพื่อตรวจสอบเรื่องต่าง ๆ และพัฒนารูปแบบของศาลออนไลน์ให้เป็นไปตามมาตรฐานการประเมินทั้งสี่ด้านต่อไป

Merger and acquisition ("M&A") transactions are among the most high profile of corporate transactions. They are also among the most contentious, with around eighty percent of all completed deals litigated in recent years. And yet investment banks—essential advisors on these deals—have generally succeeded spectacularly in avoiding liability, an anomaly considering the routine nature of deal litigation and the frequency with which they face lawsuits in their other activities. Countless high-profile abuses of user data by leading technology companies have raised a basic question: should firms that traffic in user data be held legally responsible to their users as “information fiduciaries”? Privacy legislation to impose fiduciary-like duties of care, confidentiality, and loyalty on data collectors enjoys bipartisan support but faces strong opposition from scholars. This chapter comparatively assesses U.S. and U.K. law governing management buyouts (MBOs), focusing on the duties of directors and officers in these systems. The analysis casts doubt on persistent but mistaken perceptions about U.S. and U.K. corporate fiduciary duties for self-dealing. The U.K. no-conflict rule is seen as strict, the U.S. fairness rule as flexible and pragmatic. As the analysis for MBOs demonstrates, these fiduciary rules operate similarly, tasking neutral or disinterested directors with policing self-dealing, enabling commercially sensitive responses to conflicts of interest. To improve financial regulation, scholars have engaged in extensive research over the past decade to try to understand why systemically important financial firms engage in excessive risk-taking. None of that research fully explains, however, the unusually excessive risk-taking by financial guarantors such as bond insurers, protection sellers under credit-default-swap (CDS) derivatives, credit enhancers in securitization transactions, and even issuers of standby letters of credit. With tens of trillions of dollars of financial guarantees outstanding, the potential for failure is massive. The European Union recently adopted a Restructuring Directive intended to facilitate the reorganization of insolvent and other financially troubled firms. Although the central goal of the Directive parallels that of chapter 11 of U.S. bankruptcy law—to protect and maximize the value of financially distressed but economically viable enterprises by consensually reorganizing their capital structure—the Directive introduces an innovative but controversial option: that EU Member States can decree that reorganization negotiations should be subject to a relative priority default rule, in contrast to the type of absolute priority default rule used by chapter 11. This article examines four areas in which the SEC, for more than a decade, resisted reform or impeded shareholders’ access to sought-after environmental, social, and governance (ESG) information. These areas are: (1) the SEC’s refusal to act on several rulemaking petitions submitted during the years 2009 to 2018, which called for expanded ESG disclosure; (2) the SEC’s grudging promulgation of rules concerning social disclosures as required by Congress in the Dodd-Frank Act of 2010; (3) the SEC’s 2020 revisions to SEC Rule 14a-8, which make the submission of shareholder proposals more difficult, thereby thwarting investor efforts to raise ESG concerns; …

Blockchain technology is transforming how markets work.
Blockchains eliminate the need for trusted gatekeepers like
banks to execute, verify, and record transactions. In the
financial markets, their disruptive potential threatens both
Wall Street banks and Silicon Valley venture capitalists. How
blockchain technology is regulated will determine whether it
encourages or inhibits competition. Some blockchain

Climate change has emerged as a major issue of financial risk for Canadian pension funds when determining where to place investments. This Article explores the civil procedure attendant to private fraudulent transfer litigation (primarily outside the context of bankruptcy). In such litigation, courts ponder whether fraudulent transfers are void or voidable. In fact, they are both simultaneously! According to the theory "at law," a fraudulent transfer is "void." That is, a creditor with a judgment could simply levy the property from a fraudulent grantee as if the grantee had no property rights. The problems governments face in regulating consumer finance fall into two categories: normative and cognitive. The normative problems have to do with the way that some governments, particularly those adhering to an American model of household finance, have financed social mobility and intergenerational welfare through debt, a tenuous and socially risky policy choice. Credit has a substantial social aspect to it in the United States, where the federal government has in some way engaged in subsidizing about 1/3 of consumer credit, particularly in the residential mortgage market, feeding into a substantial capital markets dimension through government-guaranteed securitization. Beginning in August 2016, a series of class action lawsuits were filed on behalf of participants and beneficiaries of 403(b) employee retirement plans sponsored by major American colleges and universities. These plans are regulated by the 1974 Employee Retirement Income Security Act (“ERISA”), which sets minimum standards to protect the participants and beneficiaries of voluntarily established retirement and health plans. The allegations in the several lawsuits have centered primarily around breaches of fiduciary duties by those charged with administering the plan.

Research shows that Black, Latinx, and other minorities pay more for credit and banking services, and that wealth accumulation differs starkly between their households and white households. The link between debt in-equality and the wealth gap, however, remains less thoroughly explored, particularly in light of new credit products and debt-like banking services, such as early wage access and other fintech innovations. These innovations both hold the promise of reducing racial and ethnic disparities in lending and bring concerns that they may be exploited in ways that perpetuate inequality. Property law has traditionally relied on tangible boundaries to delineate legal thinghood and to inform the bounds of in rem rights and duties. Unfortunately, property doctrines have fossilized around tangibility, causing fragmentation in the legal treatment of digital assets. In the United States, for example, cryptocurrencies and non-fungible tokens (NFTs) may simultaneously be classified as commodities, securities, currencies, assets, or not property at all, depending on the jurisdiction, domain, or specific asset in question. This fragmented system of overlapping legal treatments increases the information cost of using digital assets, decreases efficiency, and ultimately hinders future innovation.
