Contracting In Direct Asset Sales, Xin Yuan

Using a unique, hand-collected dataset of direct asset sales agreements in the SEC filings, I provide the first large-sample evidence on how contracting mechanisms are used to mitigate information frictions in these important transactions. The conflict of interests is unique because the scarcity of asset-specific financial information makes target assets difficult to value and monitor, especially when such transactions are usually consummated in a short period. I first show an extensive use of representations and warranties, covenants, and special payment arrangements in these contracts when severe information asymmetry exists between buyers and sellers. The aim of this dissertation is to explore how cultural factors influence the sentiment and behavior of financial market participants. This dissertation consists of three chapters that encompass sports events, cultural dimensions, institutional investors, financial analysts, and earnings announcements. Chapter 1 is the introduction, Chapter 2 to 4 are the main content, and Chapter 5 concludes.

Inter-organizational Systems (IOS) are network-enabled information systems that extend boundaries of an organization. There is a growing interest among researchers and practitioners to understand how the use of IOS enhances firm performance. In this study, we examine how IOS use impacts an organization’s supply chain management (SCM) capabilities and supply chain performance. Viasat, Inc. requires precise inventory tracking at their production facility in San Diego, CA. Viasat has installed the Quuppa indoor real-time locating system (RTLS), which it uses to track the real-time position of high-value work-in-process items. In its current state, the system only displays in-the-moment location information, with no available functionality for storing historical data for review, analysis, or visualization. In addition, the data displayed is noisy and prone to significant random error. Research Summary: To address endogeneity concerns stemming from firm-CEO matching, we deploy a two-sided matching model that identifies the complementarities arising from the CEO-firm match and subsequently account for these complementarities in empirical tests. Applying this approach, we examine how the nature of CEOs' human capital affects the acquisition behavior and performance of firms. We find that generalist CEOs (CEOs with a broader set of knowledge and skills) are more likely to engage in unrelated acquisitions than specialist CEOs (CEOs with a narrower but deeper set of knowledge and skills). This paper examines the impact of teamwork on sell-side analysts’ performance. Using a hand-collected sample of over 50,000 analyst research reports, we find that analyst teams issue more than 70% of annual earnings forecasts. In contrast, most prior research implicitly assumes that forecasts are issued by individual analysts. We document that analyst teams generate more accurate earnings forecasts than individual analysts and that the stock market reacts more strongly to forecast revisions issued by teams. Analyst teams also cover more firms, issue earnings forecasts more frequently, and issue less stale forecasts. Analysts working in teams are more likely to be …

Labor Market Mobility And Expectation Management: Evidence From Enforceability Of Noncompete Provisions, Michael Tang, Rencheng Wang, Yi Zhou

This study examines how managers' use of expectation management is affected by their labor market mobility, which we measure by the enforceability of noncompete provisions in their employment contracts. Exploiting quasinatural experiments, our difference-in-differences analyses provide new causal insights to the growing literature on how managers' career concerns affect their disclosure choices. Consistent with a less mobile labor market imposing more pressure on managers to achieve earnings expectations, we predict and find that managers in US states that tightened enforcement of noncompete provisions are more likely to manage analyst expectations downward. What Drives Sales Of E-Commerce Live Streaming? Evidence From Taobao, Danyang Song, Xi Chen, Zhiling Guo, Xin Gao

Despite the rapid development of live streaming, empirical research on the driving factors of e-commerce live streaming sales, still lags. We empirically address this question by utilizing a large and unique data set from a leading e-commerce platform in the world. Our results show that product characteristics, streamer characteristics and consumer engagement are important factors that drive e-commerce live streaming sales. Interestingly, we find that newer products from small brands with lower prices benefit more from the live streaming sales. Experienced streamers who are tied to a single seller and who have more followers perform better. In addition, real-time comments …

The purpose of this study is to examine the U.S. Air Force's dependence toward sole sourcing and how that influences procurement outcomes in terms of supplier performance. This research used linear regression to explain the effect of source dependence and supplier size on performance categories for 326 suppliers. The five supplier performance categories in the study included timeliness, cost control, quality, business relations, and regulatory compliance. The research found that the USAFs dependence on sole sourcing had a small but statistically significant influence on all five aspects of supplier performance, with timeliness being the most adversely impacted.

According to the Association of Certified Fraud Examiners (ACFE, 2020), it is estimated that losses from occupational fraud represent 5% of revenue each year and that 86% of occupational fraud included asset misappropriation or embezzlement. Different media accounts during the recent Covid-19 pandemic have mentioned an upswing in horse racing gambling thanks to a decline in other forms of wagering at casinos and with sports gambling. This paper examines gambling trends across the US before and during the pandemic for these forms in gambling as well as lotteries. Horse racing wagering did see an increase, but not as dramatically as one would expect.

New Jersey was the first state to legalize sports gaming outside of Nevada after a landmark US Supreme Court decision in May 2018 struck down a federal law banning sports gambling in all other states and the District of Columbia (Liptak and Draper 2018).
