Contractual Remedies In Mergers: Lessons From Crispo V. Musk, Dhruv Aggarwal, Albert H. Choi, Geeyoung Min
Law & Economics Working Papers
The Delaware Chancery Court recently restricted a merger target's ability to recover damages on behalf of its shareholders from a breaching buyer. This paper investigates the impact of the decision. First, we present a theoretical analysis to generate empirical predictions. Second, we show that the decision led to a decrease in the firm value of targets in mergers governed by Delaware law. Third, we hand-collect relevant provisions from merger agreements and find that the agreements governed by Delaware law increasingly include target-friendly non-price terms after the decision. Tuberculosis (TB) remains a major global health issue, particularly in Southeast Asia, where its impact extends beyond public health to affect economic performance. This study evaluates the economic implications of TB incidence on gross domestic product (GDP) growth across eight ASEAN countries from 2000 to 2020. We employed a panel data regression approach, utilizing Common Effect Model (CEM), Fixed Effects Model (FEM), and Random Effects Model (REM) to analyze the relationship between TB incidence and economic growth. The aim of this study was to enhance students’ science literacy through a discussion-based contextual approach in the learning of the human reproductive system. This quantitative research employed an experimental method with a quasi-experimental posttest-only design. This research aims to explore kinematic resources in linear kinematics by utilizing different forms of problem representation. The study was conducted by administering 15 reasoned multiple-choice questions to 146 high school students from three districts in Central Sulawesi, Indonesia. The research instrument covers topics in linear kinematics, including distance, displacement, speed, and velocity, presented through diagrammatic representations, graphs, and mathematical equations. The students’ written answers were analyzed both quantitatively and qualitatively. Quantitative analysis was conducted to determine descriptive statistics from the data, while qualitative analysis identified the resources students activated when solving these questions. Oresitrophe is monotypic, with the only species, Oresitrophe rupifraga Bunge, which is exclusive to China, having special growth and developmental traits due to its habitat. Furthermore, it has bright flowers and medicinal benefits. This study investigated the metabolites present in various tissues of Oresitrophe rupifraga Bunge. Using a widely targeted metabolomics approach, 1965 different metabolites were identified in Oresitrophe rupifraga Bunge. Based on principal component analysis (PCA) and orthogonal partial least squares discriminant analysis (OPLS-DA), the aboveground and underground metabolites of Oresitrophe rupifraga differed significantly. Visuals in picturebooks play an important role in supporting children’s reading comprehension and literacy development. This qualitative case study analyzes three American families’ shared reading practices at home by analyzing their online surveys for family literacy environments, reading logs for a month, mother interviews, and video observation of their shared reading at home. The analysis of the collected data categorizes children’s responses to visuals into three major themes: reflecting personal preferences and thoughts on visuals, interpreting visuals based on prior knowledge, and misreading visuals that interfere with understanding content. A field study conducted during the 2021-22 season aimed to assess the impact of varying nitrogen levels (0, 50, 100, and 150 kg N ha-1) on the wheat genotypes Faisalabad-2008 and AZRC-Dera. Detailed data on growth and yield parameters were collected and subjected to analysis. AZRC-Dera exhibited superior performance, consistently producing more plants throughout the crop growth. Incremental nitrogen application significantly increased plant number 224.2, 304.2 and 305.9 m-2 on 15th of December, 20th of January and 5th of April. The purposes of this pilot study were 1) to develop the critical thinking scale of upper secondary school students in social studies by applying computerized dynamic assessment, and 2) to validate the critical thinking scale of upper secondary school students in social studies by applying computerized dynamic assessment. The sample consisted of 100 upper secondary school students by purposive sampling. The research instrument used was the critical thinking scale by applying computerized dynamic assessment. Scaling complexity and appropriate data sets availability for training current Computer Vision (CV) applications poses major challenges. We tackle these challenges finding inspiration in biology and introducing a Self-supervised (SS) active foveated approach for CV. In this paper we present our solution to achieve portability and reproducibility by means of containerization utilizing Singularity. We also show the parallelization scheme used to run our models on ThetaGPU–an Argonne Leadership Computing Facility (ALCF) machine of 24 NVIDIA DGX A100 nodes. β-Nickel hydroxide (Ni(OH)2) nanosheet–modified glassy carbon for pseudocapacitors was successfully prepared. The nanosheets were synthesized via a conventional growth seeding method combined with hydrothermal treatment. Transmission electron microscopy (TEM) characterization indicated the hexagonal structure of the nanosheets of around 15 nm in size, and X-ray diffraction (XRD) pattern confirmed the β-phase lattice crystal. These nanosheets used to modify the glassy carbon surface, increased the electroactive surface area by around 15 times. The utilization of antibiotics is prevalent among lactating mothers. Hence, the rapid determination of trace amounts of antibiotics in human milk is crucial for ensuring the healthy development of infants. In this study, we constructed a human milk system containing residual doxycycline (DXC) and/or tetracycline (TC). Machine learning models and clustering algorithms were applied to classify and predict deficient concentrations of single and mixed antibiotics via label-free SERS spectra. The experimental results demonstrate that the CNN model has a recognition accuracy of 98.85% across optimal hyperparameter combinations. In making decisions, stakeholders utilize not only quantitative information but also qualitative information, such as annual reports. However, annual reports in narrative form are often used to exaggerate company performance data. One aspect that influences stakeholders’ decision is tone. This study aims to examine the impact of positive tone disclosure in management analysis reports and discussions on company value. This study was conducted on 166 financial and property companies listed on the IDX. Management analysis and discussion reports were categorized according to their tone. The study presents a novel mathematical framework for addressing Ebola and malaria concerns in Sub-Saharan Africa that combines Laplace transformation with Caputo fractional order derivative. It takes into account socioeconomic aspects that influence disease dynamics and uses the basic reproduction number to quantify transmission dynamics. Extensive numerical simulations using Maple 18 software are used to investigate the effect of fractional order derivatives on disease dynamics. It shows how the Laplace-Adomian decomposition approach simplifies nonlinear equations and generates control solutions. Image reconstruction is one of the important tasks in the application of electrical capacitance tomography (ECT) systems. Though numerous algorithms have been implemented, it is often challenging to obtain satisfactory images in all imaging regions by the use of a single algorithm due to the soft-field nature of ECT systems. The preferred iterative reconstruction algorithms are highly computationally inefficient. A new iterative reconstruction algorithm is proposed which combine iterative Linear Back Projection and Logistic Regression.
